Private Limited Company Registration in Hyderabad

Register your Pvt Ltd company in Hyderabad with a CA-led team — SPICe+ filing, DSC, DIN, name approval, MoA & AoA drafting, PAN, TAN and GST. Telangana is one of the few states that has put clearance deadlines into statute rather than policy, and since February 2026 Hyderabad has become the company-law appellate centre for four states. Both matter more than most incorporation pages admit.

Your Registrar Did Not Change in 2026. Hyderabad's Role Above It Grew.

Telangana does not appear in the Ministry of Corporate Affairs reorganisation notified as S.O. 4850(E), and the Registrar of Companies, Hyderabad continues to handle every incorporation, name approval and ROC filing for the state exactly as before. Andhra Pradesh has its own Registrar at Vijayawada, as it has since the 2014 bifurcation.

What changed sits one level up, and for once the news is not that a jurisdiction got smaller. It got bigger.

Position
Your RegistrarRoC Hyderabad, for the whole of Telangana — unchanged
Your Regional DirectorSouth-Eastern Region, at Hyderabad — now covering the States of Andhra Pradesh, Chhattisgarh, Odisha and Telangana

Hyderabad's Regional Directorate was not shrunk. It was recomposed. With effect from 16 February 2026 it lost Karnataka, which moved to a newly created South-Western Region directorate at Bengaluru. And it now covers Chhattisgarh and Odisha — neither of which appears under any other directorate in the new table. Eastern Region at Kolkata is now only West Bengal, Bihar and Jharkhand; North-Western at Ahmedabad is only Rajasthan, Gujarat, Madhya Pradesh and Dadra and Nagar Haveli.

So Hyderabad is now the company-law appellate centre for a four-state block running from the Deccan across central India to the east coast. Most commentary on the 2026 reorganisation has been written from Bengaluru's point of view — a new directorate gaining Karnataka. Read from Hyderabad, the same change looks entirely different.

Being straight about what is fact and what is inference: that Andhra Pradesh, Chhattisgarh, Odisha and Telangana now sit with Hyderabad is quoted directly from the notification. That Odisha came across from Kolkata and Chhattisgarh from Ahmedabad is our reading of the same table plus geography, not a transfer we have seen documented. And we are not going to tell you what any of it has done to disposal times — the change is six months old and there is no published data.

The Regional Director decides what a growing company eventually needs: compounding of offences after a missed filing, condonation of delay, shifting a registered office from one state to another, certain name-change directions, and fast-track mergers under section 233. For a Telangana company those applications are heard in Hyderabad — which, unlike companies in most states, means locally.

Telangana's Genuine Differentiator, and It Is in an Act of the Legislature

TS-iPASS: Clearance Deadlines That Are Statutory, Not Promised

Almost every Indian state promises single-window clearance. Most of those promises live in a policy document, which is to say in a press release. Telangana put its into an Act of the legislature — the Telangana State Industrial Project Approval and Self Certification System Act, 2014 — and gave applicants a statutory right rather than an assurance.

⏱️

30 days for clearances

Sections 12(2) and 12(3) require the District and State Committees to give clearances within thirty days. Not "endeavour to", not "ordinarily" — the section fixes the period.

🚀

15 days for mega projects

Section 7(3) requires provisional approvals for mega projects to be granted within fifteen days of a self-certified application, after preliminary scrutiny.

✅

Deemed approval

Section 13(1) allows the Government to notify clearances where failure by the competent authority to pass final orders in the stipulated time results in deemed approval. The clock running out becomes your permission.

⚖️

A right to clearances — with penalties on officials

Section 20(1) creates a statutory "Right to Clearances" and enables penalties on the designated officers of the competent authority for delay. The consequence attaches to the individual, not to an abstract department.

Why we think this is worth building a page around. Every state's investment brochure claims a fast single window. What almost none of them have is a provision under which an official is personally liable for missing a deadline and the applicant is entitled to proceed anyway. Whether the machinery always delivers is a separate question — but a statutory right is something you can point at, and a policy commitment is not.

And the honest limit. The Act does not itself fix the penalty amounts; those are left to notification under sections 19 and 26. So the right exists in the statute while its teeth depend on subordinate legislation. We would rather tell you that than let you build a timeline on the assumption that a deadline enforces itself.

Self-certification is the other half of the design: you certify compliance up front, the state clears on that basis, and inspection follows rather than precedes. That shifts risk onto the applicant, which is exactly why the certifications going into a TS-iPASS application are worth getting a professional to review before they are filed rather than after an inspection.

Telangana Profession Tax — and the Earliest Due Date in India

Telangana levies profession tax under the Telangana Professional Tax Act, 1976, carried over unchanged from the undivided Andhra Pradesh statute at the 2014 bifurcation. The slabs are straightforward:

Monthly salary or wageProfession tax per monthPer year
Up to ₹15,000Nil—
₹15,001 – ₹20,000₹150₹1,800
Above ₹20,000₹200₹2,400

The detail that catches new employers out is the deadline, not the rate. Telangana requires the Form V statement and the deducted tax by the 10th of the following month — reported as the earliest profession tax due date of any major state in India. Maharashtra and Karnataka work to the 15th or later; Tamil Nadu is half-yearly. A payroll calendar imported from another state will be four to five days late in Telangana every single month, and nobody notices until interest starts accruing.

Two further points worth knowing. Telangana is not one of the three states where profession tax registration goes through SPICe+ — only Maharashtra, Karnataka and West Bengal have it built into the incorporation form — so for a Hyderabad company it is a separate registration after incorporation, and it is regularly missed. And there is a reported five-year exemption from the date of PTIN registration for newly registered individual professionals; we mention it because it comes up, but we have seen it in one source only, it concerns individual practitioners rather than companies, and it does not remove a company's own enrolment obligation. We confirm the position for your specific case rather than relying on it.

Why Hyderabad, and Where It Is Genuinely Strong

💊

Life sciences at a scale few cities match

Genome Valley, a deep bulk-drug and formulations base, and a vaccine manufacturing cluster of global significance. For pharma, biotech or medical devices, the vendor and regulatory ecosystem is already here.

💻

A technology base that is not a single company town

Global capability centres across finance, technology and pharma, plus a domestic product scene. Attrition and salary dynamics are noticeably calmer than Bengaluru's.

⚖️

Statutory clearance deadlines

TS-iPASS is the substantive version of what most states put in a brochure — deadlines in an Act, deemed approval, and penalties attaching to named officials.

🏛️

Your Regional Director is in your city

Compounding, condonation, inter-state office shifts and section 233 mergers for Telangana companies are heard at Hyderabad — which since February 2026 serves four states from here.

🏗️

Land and infrastructure that has kept pace

The outer ring road, planned industrial nodes and a commercial property market that has generally absorbed demand rather than choking on it — a real operating difference from several peer cities.

🗣️

What we will tell you plainly

Hyderabad is not the cheapest place in the region to build, and Telangana's incentives are not the most generous in India. What it sells is speed and predictability. If your constraint is capital subsidy rather than time, another state may serve you better.

Stamp Duty on MoA & AoA in Telangana

Stamp duty on the Memorandum and Articles is a state levy collected when SPICe+ is filed, and in Telangana it is linked to authorised share capital.

We do not publish a fixed table here, deliberately. We have watched two states move theirs in the last two years — Karnataka raised its incorporation duty fivefold in February 2024, and Maharashtra increased its Articles rate by half in October 2024. A figure printed on a website eighteen months ago is exactly how a founder ends up with a budget wrong by an order of magnitude. We quote Telangana duty against your actual authorised capital and confirm it before filing. Compare states with our stamp duty calculator, and estimate the central fee with our MCA fee calculator.

One structuring point that applies wherever duty scales with capital: there is a real cost to setting authorised share capital higher than you need at incorporation. Most companies are better off starting low and increasing it at the round, when there is money to pay for it and a reason to.

Step-by-Step Registration Procedure

0

If it is an industrial project, start the TS-iPASS thinking now

The self-certifications in a TS-iPASS application should be reviewed before they are filed, not after an inspection. And the statutory clocks only start on a complete application — an incomplete one buys you nothing.

1

Digital Signature Certificate (DSC)

A Class 3 DSC for every proposed director, through Aadhaar OTP or video KYC. For a foreign director the route is passport-based with notarisation and apostille, usually the longest item on the critical path.

2

Director Identification Number (DIN)

Allotted through SPICe+ itself for first-time directors. At least one director must be resident in India.

3

Name reservation and approval

Two proposed names through SPICe+ Part A. Check first with our company name availability tool. Names echoing the pharma and biotech majors headquartered here collide more often than founders expect — a trademark search is worth doing early.

4

Drafting MoA and AoA

Objects, share classes, reserved matters, transfer restrictions and board composition, aligned to any shareholders' agreement. For a life sciences or manufacturing project the objects clause will later be read against your TS-iPASS application and your pollution control consents — worth getting broad enough at incorporation.

5

Filing SPICe+ with RoC Hyderabad

SPICe+ Part B with AGILE-PRO-S (INC-35) and INC-9. Note that in Telangana AGILE-PRO-S will not carry profession tax — that is a separate registration afterwards.

6

Certificate of Incorporation, PAN and TAN

Issued with the CIN, naming RoC Hyderabad. Telangana stamp duty is collected at this stage.

7

Post-incorporation setup

Current account activation, GST registration, profession tax enrolment, shops and establishments, Udyam registration, and — if foreign money is coming in — the time-bound FC-GPR filing.

Documents Required for Registration

For Indian directors and shareholders

  • PAN card (mandatory for Indian nationals)
  • Aadhaar card
  • Passport-size photograph
  • Identity proof — Voter ID, Passport or Driving Licence
  • Address proof — bank statement or utility bill, not older than two months
  • Email ID and mobile number linked to Aadhaar

For a foreign parent or foreign director

  • Passport and address proof, notarised and apostilled in the home country
  • Board resolution of the parent authorising the Indian investment and naming the authorised signatory
  • Certificate of incorporation and charter documents of the parent, apostilled
  • Proof of the registered office — utility bill, NOC from the owner, and the rental or lease agreement

A residential address is valid, and co-working works where the agreement and a utility bill in the provider's name are available. For a TSIIC or industrial plot, confirm the allotment position and permitted use before the address goes into the MoA.

Timeline & Cost Overview

StageTypical timeWhat decides it
DSC for all directors1–2 working daysSame day for Indian directors with Aadhaar OTP; several days if a foreign director needs apostilled documents
Name approval (SPICe+ Part A)1–3 working daysDistinctiveness against a crowded pharma and technology registry
Drafting and signing MoA, AoA, INC-91–2 working daysLonger where a shareholders' agreement or a regulated-sector objects clause has to be reflected
SPICe+ Part B, AGILE-PRO-S processing3–5 working daysRegistrar queue and whether the file attracts a resubmission
Total, clean file7–10 working daysA resubmission typically adds three to five working days
Total with a foreign parentUsually 3–6 weeksDriven almost entirely by the apostille, not by the Indian filing

FDI, FEMA and the Filings That Follow Incorporation

Hyderabad's pharmaceutical and technology sectors both run on foreign capital, and a large share of the companies we set up here have an overseas parent. Incorporation is the easy half; the filings that follow are time-bound and the penalties for missing them are real.

🚪

Entry route

Most sectors permit 100% foreign investment under the automatic route with no prior approval. Pharmaceuticals are a live exception worth checking carefully — brownfield pharma is treated differently from greenfield. Sector and activity are checked against the FDI Policy before the objects clause is drafted.

🧾

Entity Master and the Single Master Form

Before the first FC-GPR the company registers on the RBI's FIRMS portal through the Entity Master. Companies routinely discover this when the FC-GPR is already due.

📐

Pricing and valuation

Shares issued to a non-resident cannot be priced below fair value on an internationally accepted methodology, certified by a merchant banker or chartered accountant. Section 56(2)(viib) and rule 11UA also apply on the income-tax side.

⏱️

Form FC-GPR

Filed within 30 days of allotment. Allotment must happen within 60 days of receiving the money, failing which it is refundable within 15 days. FC-GPR filing →

📅

Annual FLA return

The Foreign Liabilities and Assets return is due by 15 July each year for every company holding foreign investment, including years when nothing new came in.

🔁

FC-TRS on transfers

Any transfer of shares between a resident and a non-resident is reported in FC-TRS within 60 days. Secondary transfers are missed far more often than fresh issues.

Where there is a foreign parent there will usually be international transactions with associated enterprises, bringing transfer pricing documentation and Form 3CEB — and in Hyderabad's case, very often intra-group R&D and contract manufacturing arrangements that need pricing properly from the first year. Outward remittances require Form 15CA and 15CB, and software and services exporters should check their STPI registration and Softex filing position. If the structure is a branch, liaison or project office rather than a subsidiary, see branch office, liaison office and project office registration, or our foreign subsidiary company service.

Licences & Registrations Applicable in Hyderabad

Applies to almost every Telangana company

  • Profession tax — separate registration, and due by the 10th each month
  • Telangana Shops and Establishments registration
  • GST registration — on crossing the threshold, or immediately for inter-state supply, e-commerce and exports
  • Udyam (MSME) registration — free, and it unlocks the 45-day payment protection
  • EPFO and ESIC — applied for through AGILE-PRO-S; obligations bite at the statutory headcounts
  • POSH — an internal committee is mandatory at ten or more employees

Sector and project-specific

  • TS-iPASS application and self-certifications
  • TSIIC plot allotment and transfer approvals
  • TSPCB consent to establish, then consent to operate — before construction, not after, and the binding constraint in the pharma belt
  • Drug licence and CDSCO approvals for pharmaceutical and device manufacture
  • Factories Act licence and labour department approvals
  • Import Export Code and AD Code for anything crossing a customs frontier
  • FSSAI, PESO and sector registrations as applicable
  • Trademark registration — in the company's name, not a founder's

Why Choose TAXAJ for Your Hyderabad Company

📜

We read the Act, not the brochure

The TS-iPASS section numbers on this page come from the statute itself, including the part the brochures leave out — that the penalty amounts are left to subordinate legislation.

We track the jurisdiction changes properly

We hold the full Regional Directorate table as notified, which is how we can tell you Hyderabad now covers four states rather than repeating the Bengaluru-side version of the story.

📆

We set the payroll calendar to Telangana

🌐

India entry, end to end

Apostille chains, entry route including the brownfield pharma position, valuation, Entity Master, FC-GPR, FLA, FC-TRS, STPI and transfer pricing.

👥

CA, CS and lawyer in one team

Incorporation, tax, GST, ROC, FEMA and legal drafting handled by one accountable team instead of four vendors who each blame the others.

🗣️

We separate fact from inference

You will notice this page distinguishes what the notification says from what we have deduced from it. We work the same way on a file.

TAXAJ does not have an office in Telangana. We serve clients across the state from our offices in Delhi, Bengaluru, Bihar and Goa, and the entire incorporation is online — DSC by video KYC, documents by secure upload, filings through the MCA portal. We say this plainly because a firm that invents a local address on its website is telling you something about how it will handle yours.

Frequently Asked Questions

Which Registrar of Companies handles Hyderabad?

RoC Hyderabad, with jurisdiction over the whole of Telangana. Andhra Pradesh has its own Registrar at Vijayawada. Telangana does not appear in the February 2026 MCA reorganisation notification, so the Registrar position is exactly as it was.

What changed for Hyderabad in February 2026, then?

The level above the Registrar, and it grew. With effect from 16 February 2026 the Regional Directorate (South-Eastern Region) at Hyderabad covers the States of Andhra Pradesh, Chhattisgarh, Odisha and Telangana. It lost Karnataka, which moved to a new South-Western Region directorate at Bengaluru. Hyderabad is now the company-law appellate centre for a four-state block.

Did Chhattisgarh and Odisha move to Hyderabad from somewhere else?

That is our reading rather than a documented transfer, and we would rather be precise about it. What the notification says is that Andhra Pradesh, Chhattisgarh, Odisha and Telangana are now with Hyderabad. Neither Odisha nor Chhattisgarh appears under any other directorate in the new table — Eastern Region at Kolkata is now only West Bengal, Bihar and Jharkhand, and North-Western at Ahmedabad only Rajasthan, Gujarat, Madhya Pradesh and Dadra and Nagar Haveli. The inference is straightforward, but it is an inference.

Has the change made Regional Director applications faster or slower?

We do not know, and nor does anyone else yet — the change is six months old and there is no published data on disposal times. What we can say is that Hyderabad's jurisdiction is now four states rather than three, so the caseload has more likely risen than fallen. We are not going to promise you a timeline we cannot evidence.

What is TS-iPASS and why does it matter?

The Telangana State Industrial Project Approval and Self Certification System Act, 2014 — Telangana's single-window clearance system, and unusually it is an Act rather than a policy. Sections 12(2) and 12(3) require clearances within thirty days; section 7(3) requires provisional approvals for mega projects within fifteen days; section 13(1) allows the Government to notify clearances where failure to decide in time results in deemed approval; and section 20(1) creates a "Right to Clearances" with penalties on the designated officers for delay.

Are the TS-iPASS penalties actually enforceable?

The right is in the statute; the penalty amounts are not. Section 20(1) enables penalties on designated officers, but the Act leaves the quantum to notification under sections 19 and 26. So the entitlement exists at the level of the Act while its teeth depend on subordinate legislation. We would rather tell you that than let you build a project timeline on the assumption that a deadline enforces itself.

What are the Telangana profession tax slabs?

Nil up to ₹15,000 a month; ₹150 from ₹15,001 to ₹20,000; ₹200 above ₹20,000 — ₹2,400 a year at the top slab, under the ₹2,500 annual ceiling Article 276 of the Constitution sets. The governing law is the Telangana Professional Tax Act 1976, carried over unchanged at the 2014 bifurcation.

When is Telangana profession tax due?

By the 10th of the following month, with the Form V statement — reported as the earliest profession tax deadline of any major state in India. Maharashtra and Karnataka work to the 15th or later; Tamil Nadu is half-yearly. A payroll calendar imported from another state will be four or five days late in Telangana every month, and it usually goes unnoticed until interest starts accruing. Note also that Telangana is not one of the three states where profession tax registration goes through SPICe+, so it is a separate registration after incorporation.

Is there a five-year profession tax exemption in Telangana?

A five-year exemption from the date of PTIN registration is reported for newly registered individual professionals — doctors, lawyers, consultants and similar. We mention it because it comes up, but we have seen it in a single source, it concerns individual practitioners rather than companies, and it does not remove a company's own enrolment obligation. We confirm the position for your specific facts rather than relying on it.

Can a foreign company own 100% of a Hyderabad subsidiary?

In most sectors yes, under the automatic route. Pharmaceuticals are the exception to check carefully given how much of Hyderabad's economy sits there — brownfield pharma is treated differently from greenfield under the FDI Policy. You will also need at least one director resident in India, which for a wholly foreign-owned company is usually the first constraint to solve.

How much is stamp duty on incorporation in Telangana?

It is linked to authorised share capital and the schedule is amended from time to time, so we quote it against your actual capital rather than publishing a table. Two states moved theirs recently — Karnataka raised its incorporation duty fivefold in February 2024, Maharashtra increased its Articles rate by half in October 2024. Where duty scales with capital, there is a real cost to setting authorised capital higher than you need at incorporation.

Do I need to be in Hyderabad to register a company there?

No. The whole process is online — DSC through Aadhaar OTP or video KYC, documents by secure upload, and filing through the MCA portal. TAXAJ has no Telangana office; we serve clients across the state from Delhi, Bengaluru, Bihar and Goa. You will need a genuine registered-office address in the state, which the Registrar can and does verify.
