Private Limited Company Registration in Delhi
Register your Pvt Ltd company online in Delhi with a CA-led team — SPICe+ filing, DSC, DIN, name approval, MoA & AoA drafting, PAN, TAN and GST. Since 16 February 2026 there is no single "RoC Delhi". The capital now has two Registrars, and which one you file with is decided by your Delhi district. Delhi also levies no professional tax, and is the state MCA names for the first-time shops and establishments registration number issued through the incorporation form itself.
- We confirm your Registrar first
- Expert MoA & AoA drafting
- DSC & DIN for all directors
- PAN, TAN & CIN included
- Shops & Estb. inside SPICe+
- FDI & FEMA practice in-house
How Pvt Ltd Company Registration Works in Delhi
Delhi is where TAXAJ started and where our head office still is, in Dwarka. So we will be blunt about something most Delhi incorporation pages — including, until today, our own — have got wrong: the Registrar of Companies for Delhi no longer exists in the form everybody describes.
Until February 2026 one office, the Registrar of Companies for the NCT of Delhi and Haryana, handled every company in the capital and every company in Haryana. On 16 February 2026 two things happened at once. Haryana was given its own Registrar at Chandigarh and left. And the Delhi office itself was split into RoC Delhi-I and RoC Delhi-II, divided along district lines.
The filing is entirely online through the MCA's SPICe+ form, so none of this changes a step of the process. It changes which office your Certificate of Incorporation names and where every ROC form you ever file goes. If you want the underlying process end to end, read our guide to private limited company registration in India.
There is no longer a single "RoC Delhi" — and it no longer covers Haryana
Effective 16 February 2026, the Ministry of Corporate Affairs created two Registrars for the capital, both seated in Delhi:
RoC (NCT of Delhi-I) — South Delhi, South West Delhi, New Delhi, South East Delhi and East Delhi.
RoC (NCT of Delhi-II) — Central Delhi, West Delhi, North Delhi, North West Delhi, North East Delhi and Shahdara.
In the same reorganisation, Haryana was moved to its own Registrar at Chandigarh, so a Gurugram or Faridabad company no longer files in Delhi at all. Delhi's Regional Directorate is the Northern Region-I at New Delhi, which now covers the NCT of Delhi and Uttar Pradesh. Existing companies were allocated between the two Registrars and need not re-file.
Which Registrar Is Yours? Look Up Your Locality
The rule of thumb is simple: south and east Delhi file with Delhi-I; central, west and north Delhi file with Delhi-II. Here is the practical version, by the localities people actually give as their address:
| Your locality | Delhi district | Your Registrar |
|---|---|---|
| Connaught Place, Chanakyapuri, Parliament Street | New Delhi | Delhi-I |
| Nehru Place, Kalkaji, Okhla, Lajpat Nagar, Defence Colony, Sarita Vihar | South East | Delhi-I |
| Saket, Hauz Khas, Malviya Nagar, Mehrauli | South | Delhi-I |
| Dwarka, Najafgarh, Delhi Cantt | South West | Delhi-I |
| Laxmi Nagar, Preet Vihar, Mayur Vihar, Patparganj | East | Delhi-I |
| Karol Bagh, Paharganj, Daryaganj | Central | Delhi-II |
| Rajouri Garden, Janakpuri, Tilak Nagar, Punjabi Bagh | West | Delhi-II |
| Rohini, Pitampura, Netaji Subhash Place | North West | Delhi-II |
| Civil Lines, Kashmere Gate | North | Delhi-II |
| Seelampur, Yamuna Vihar, Karawal Nagar | North East | Delhi-II |
| Shahdara, Vivek Vihar, Dilshad Garden | formerly Shahdara | Delhi-II |
Our own head office is in Dwarka, which sits in South West Delhi — so TAXAJ itself files with Delhi-I. A client of ours in Karol Bagh, four kilometres away as the crow flies, files with Delhi-II. That is the whole point: this is decided by district, not by distance, and not by what your letterhead says.
We confirm the district against your specific address before filing rather than working from the postal address — and there is a reason to be especially careful this year, set out immediately below.
Worth knowing: two notifications are slightly out of step
The MCA's allocation was notified on 23 October 2025 and written against Delhi's then eleven districts. Delhi's own government subsequently reorganised its revenue districts — approved on 11 December 2025 and effective 1 January 2026 — taking the capital from eleven districts to thirteen. Three new districts were created: Old Delhi (Sadar Bazar, Chandni Chowk), Central North (Shakur Basti, Shalimar Bagh, Model Town) and Outer North (Mundka, Narela, Bawana). Shahdara district was eliminated. Sub-divisions and sub-registrar offices went from 22 to 39, the stated purpose being to align revenue districts with MCD zones.
The MCA's Registrar jurisdictions then took effect on 16 February 2026 — still worded against the old map. So the operative list names a district that no longer exists, and does not name the three that now do.
The practical position looks reassuring rather than alarming. On our reading, no area crosses the Delhi-I / Delhi-II line as a result, because every district affected was already on the Delhi-II side — Shahdara was Delhi-II, and Old Delhi, Central North and Outer North were each carved out of districts that were themselves Delhi-II. But since the operative list names a dissolved district, for an address in any of those areas we confirm the position rather than assume it. That is a judgement about how the two notifications read together, not a statement of the Ministry's position.
Why Delhi is a Serious Place to Incorporate
Delhi is expensive and crowded and everybody knows it. What it has that no other Indian jurisdiction has is a specific set of administrative advantages that only show up once you start filing.
Shops & Establishments Inside SPICe+
Delhi is the only jurisdiction in India where shops and establishments registration is available within the AGILE-PRO-S form at incorporation. Everywhere else it is a separate application afterwards.
No Professional Tax
Delhi does not levy it — no PTRC, no PTEC, no monthly deduction and no return, at any payroll size.
Every Regulator In One City
The MCA, the RBI, the CBDT, DPIIT, the DGFT and the ministries are all here — which matters more than founders expect for approvals, appeals and representations.
India-Entry Capital
Embassies, chambers of commerce and the professional infrastructure that a foreign parent needs to establish an Indian subsidiary.
Two International Airports
Indira Gandhi International, and now Noida International at Jewar since June 2026 — unusual redundancy for an inland market.
India's Largest Trading Market
Chandni Chowk, Karol Bagh, Sadar Bazar, Azadpur and Okhla — wholesale and distribution networks reaching the whole of north India.
Best Businesses to Start in Delhi
Foreign Subsidiaries & India Entry
The default landing point for an overseas parent setting up in India — and the work that most needs FEMA and transfer-pricing care.
Professional & Consulting Services
Selling to head offices, ministries and PSUs that are physically in the same city.
Trading, Wholesale & Distribution
Delhi's oldest business and still its largest, with national reach from a single warehouse.
D2C Brands & E-commerce
Buyers, suppliers, photographers, packaging and logistics all inside one city.
IT, SaaS & Digital Services
An enterprise and government customer base on the doorstep, with NCR talent to draw on.
Healthcare & Diagnostics
The referral centre for north India, with a patient catchment that reaches far beyond the NCR.
Education & Training
Universities, coaching and a large young workforce — with the GST position on commercial coaching worth getting right before you price.
Media, Events & Creative
Agencies, production and event businesses serving corporates, government and diplomatic clients.
Food, Beverage & Hospitality
One of India's deepest restaurant and cloud-kitchen markets, with FSSAI and licensing to match.
Company Registration Across Delhi & the NCR
We register companies across every Delhi district — Dwarka, Connaught Place, Nehru Place, Okhla, Saket, Laxmi Nagar, Karol Bagh, Rajouri Garden, Rohini, Pitampura, Netaji Subhash Place and Chandni Chowk — filing each with the correct Registrar. Pick your city to begin:
Benefits of Private Limited Company Registration
Limited Liability
Your personal assets stay separate from business debts and claims.
The FDI Vehicle
Foreign investment under the automatic route flows into a private limited company — the standard structure for an Indian subsidiary.
Investor-Ready Structure
What VCs, PE funds and an overseas parent all expect — priced rounds, preference shares, standard documentation.
ESOPs
The Delhi and NCR talent market runs on equity. Only a company issues it cleanly.
Tender & Vendor Credibility
Government tenders, PSU vendor registration and enterprise onboarding almost always require an incorporated counterparty.
One-Form Setup
In Delhi alone, incorporation, PAN, TAN, GSTIN, EPFO, ESIC, bank account and shops and establishments come through a single integrated form.
Instant Cost Estimator — Pvt Ltd in Delhi
Get an indicative professional-fee estimate based on your company structure. Government fees (ROC, stamp duty, DSC tokens) are charged at actuals and confirmed on your free call.
Setting up an Indian subsidiary for an overseas parent? Use our foreign subsidiary set-up cost estimator instead — the cost structure is different.
Step-by-Step Registration Procedure
The process is governed by the Ministry of Corporate Affairs and completed online through the MCA portal. Which Registrar processes your file depends on your registered office district — RoC Delhi-I for the southern and eastern districts, RoC Delhi-II for the central, western and northern districts.
Confirm your district first
Not a step you will find on other pages, and the one that now matters most in Delhi. Before anything else we check which district your proposed registered office falls in, because it decides which of the two Registrars the whole file goes to.
Digital Signature Certificate (DSC)
A Class 3 DSC is issued for every proposed director through Aadhaar OTP or video KYC. For a foreign director the route is passport-based with notarisation and apostille, and it is usually the longest item on the critical path.
Director Identification Number (DIN)
DIN is allotted through the SPICe+ form itself for first-time directors. At least one director must be resident in India — a point that catches out wholly foreign-owned subsidiaries every week.
Name Reservation & Approval
Two proposed names go through SPICe+ Part A. Check availability first with our company name availability tool. Delhi carries a very large registry, so name collisions are more common here than almost anywhere else — and a name implying a connection with a ministry, a regulator or the government will not clear.
Drafting MoA & AoA
For a subsidiary or an investor-backed company this is not a template exercise. Objects, share classes, reserved matters, transfer restrictions and board composition all have to line up with the shareholders' agreement.
Filing SPICe+ with the correct Registrar
SPICe+ Part B goes in with AGILE-PRO-S (INC-35) and INC-9. In Delhi that single form covers incorporation, PAN, TAN, GSTIN, EPFO, ESIC, bank account opening and shops and establishments registration — the last of which MCA provides for companies incorporated in Delhi.
Certificate of Incorporation, PAN & TAN
On approval the RoC issues the Certificate of Incorporation carrying the CIN, with PAN and TAN allotted alongside. From 2026 that certificate names Delhi-I or Delhi-II, not simply "Delhi".
Post-Incorporation Setup
Current account activation, GST registration if not taken through AGILE-PRO-S, Udyam registration, and — if foreign money is coming in — the time-bound FC-GPR filing through the RBI's Single Master Form.
Documents Required for Registration
For Indian Directors & Shareholders
- PAN card (mandatory for Indian nationals)
- Aadhaar card
- Passport-size photograph
- Identity proof — Voter ID, Passport or Driving Licence
- Address proof — bank statement or utility bill, not older than two months
- Email ID and mobile number linked to Aadhaar
For a Foreign Parent or Foreign Director
- Passport and address proof, notarised and apostilled in the home country
- Board resolution of the parent authorising the Indian investment and naming the authorised signatory
- Certificate of incorporation and charter documents of the parent, apostilled
- Proof of the registered office in Delhi — utility bill, NOC from the owner, and the lease
A residential address in Delhi is acceptable as a registered office. Co-working with a proper agreement and a utility bill in the provider's name generally works. A pure virtual-office address is riskier — the Registrar can carry out physical verification, and Delhi GST registration frequently attracts a site visit.
Timeline & Cost Overview
Indicative Timeline
- District and Registrar confirmation — same day
- DSC issue — 1 working day for Indian directors; longer where apostille is involved
- Name approval through SPICe+ Part A — 1 to 3 working days
- Drafting and signing MoA / AoA — 1 to 2 working days
- SPICe+ Part B filing and processing — 3 to 5 working days
- Certificate of Incorporation with PAN and TAN — typically 7 to 10 working days end to end
For a wholly foreign-owned subsidiary, plan on longer: the binding constraint is almost never the Registrar, it is document legalisation abroad.
What Determines Your Cost
- Number of directors — each additional director means another DSC
- Authorised share capital — drives both MCA fee and stamp duty
- Stamp duty on MoA and AoA as applicable in Delhi
- Whether a foreign parent is involved — apostille, valuation and FC-GPR add to it
- Whether you add GST registration and first-year compliance
Under the Companies (Registration Offices and Fees) Rules, the MCA filing fee is nil for authorised capital up to ₹15 lakh. Estimate with our MCA fee calculator.
Your Registrar, PAN & TAN AO Code and GST State Code
South, South West, New Delhi, South East and East Delhi. New office from 16 February 2026.
Central, West, North, North West, North East Delhi and the former Shahdara.
Every Delhi GSTIN begins with 07, on both sides of the Registrar line. Apply for GST →
Delhi's Regional Directorate is the Northern Region-I at New Delhi, which covers the NCT of Delhi and Uttar Pradesh, and which handles inter-state shifting of a registered office, compounding of offences, condonation of delay and fast-track mergers. Your PAN and TAN AO code is assigned from your registered-office jurisdiction — find your AO code here.
Three Registrars in one metropolitan area
This is the part that surprises NCR founders most. Since 16 February 2026, a business operating across the National Capital Region may be dealing with three different Registrars depending on where each entity is registered:
| Where the registered office is | Registrar | GST code | Professional tax |
|---|---|---|---|
| Delhi — south and east districts | RoC Delhi-I | 07 | Not levied |
| Delhi — central, west and north districts | RoC Delhi-II | 07 | Not levied |
| Gurugram / Faridabad | RoC Haryana, Chandigarh | 06 | Not levied |
| Noida / Ghaziabad | RoC Noida | 09 | Not levied |
Two useful things fall out of that table. First, none of the four NCR jurisdictions levies professional tax, so on that measure the NCR is a level playing field and the choice turns on other things. Second, a supply between them is an inter-state supply attracting IGST — Delhi to Gurugram is fifteen kilometres and three GST codes apart.
Statutory positions change from time to time. Confirm current jurisdiction, rates and fees with us on your free call before you rely on them for a filing.
Delhi Levies No Professional Tax
Professional tax is a state levy on salaried employees and professionals, capped constitutionally at ₹2,500 per person per year. Maharashtra, Karnataka, West Bengal, Tamil Nadu, Gujarat, Telangana, Andhra Pradesh, Puducherry and Bihar all levy it. Delhi does not — and nor do Haryana, Uttar Pradesh, Punjab or Himachal Pradesh.
For a Delhi company it means no PTRC registration, no PTEC enrolment, no monthly deduction from salaries, no monthly or annual return and no penalty exposure on any of it — against an identical operation in Mumbai, Bengaluru or Kolkata.
The exception that catches multi-state employers
Professional tax follows where the employee works, not where the company is registered. A Delhi company with a development centre in Bengaluru or a sales office in Mumbai still needs professional tax registration in Karnataka or Maharashtra. Check any state's position with our professional tax state finder.
Shops & Establishments Comes Bundled Into the Incorporation Form
Every other page we have written about company registration in India carries the same caveat: the Shops and Establishments component of AGILE-PRO-S is not enabled for that state, so the registration is applied for separately. On this page, that caveat turns into the advantage.
The AGILE-PRO-S form (INC-35) filed alongside SPICe+ Part B covers, in one submission: GSTIN, EPFO, ESIC, Profession Tax where applicable, a bank account, and Shops and Establishments registration. MCA’s published service list states that the first-time Shops and Establishments registration number is provided for companies incorporated in Delhi, with effect from 7 June 2021 — and Delhi is the only state it names for that service. (The INC-35 form itself also carries a separate Mumbai declaration block referring to the Maharashtra Shops and Establishments Act 2017, so Maharashtra may be enabled as well; we check what the form actually offers at the time of filing rather than assuming.) In Bengaluru, Chennai, Kolkata, Gurugram or Noida it is a separate application to the state labour department after incorporation — another form, another queue, another follow-up.
It is not a large saving in rupees. It is a real saving in elapsed time and in the number of things that can go wrong in your first month, and it is the one structural advantage Delhi has that no other jurisdiction can match.
If Foreign Money Is Coming InFDI, FEMA and the Filings That Follow Incorporation
Delhi is where most foreign parents land, and incorporating the company is the visible part. The work that actually carries risk starts the day the money arrives, and it is time-bound.
Getting the money in correctly
- Confirm the sector and entry route — automatic or government approval — before the remittance, not after
- Receive funds through banking channels with the correct FEMA purpose code and obtain the FIRC and KYC from the AD bank
- Obtain a valuation report supporting the issue price
- Register on the Entity Master first, then allot shares and file Form FC-GPR through the RBI's Single Master Form
What follows, every year
- FLA return to the RBI each year where there is foreign investment
- Form FC-TRS on any transfer of shares between a resident and a non-resident
- Transfer pricing documentation on every intra-group transaction, reported in Form 3CEB
- Form 15CA and 15CB on foreign remittances, with the DTAA rate applied correctly
If you are still choosing between structures, compare a wholly owned subsidiary, a branch office, a liaison office and a project office before you file anything — they differ sharply on permitted activity, tax and exit.
Stamp Duty on MoA & AoA in Delhi
Delhi charges stamp duty on the Memorandum and Articles of Association with reference to your authorised share capital, collected electronically through SPICe+ at incorporation. Because the rate depends on your capital structure and the schedule is amended from time to time, we do not publish a fixed figure — we quote it against your actual authorised capital and confirm it before filing. Use our stamp duty calculator for an indicative number. It does not differ between Delhi-I and Delhi-II.

Why Choose TAXAJ for Your Delhi Company
We Confirm Your Registrar First
Delhi-I or Delhi-II is decided by your district, not your postal address. We settle that before anything else — most advisors still say "RoC Delhi" and stop there.
This Is Our Home City
TAXAJ was incorporated in Delhi in 2016 and our head office is in Dwarka. We file here every week, and we know both offices.
India Entry, End to End
Apostille chains, entry route, valuation, FC-GPR through the Single Master Form, FLA, FC-TRS and transfer pricing — the work that decides whether a subsidiary runs cleanly.
We Use the Delhi Advantage
Shops and establishments inside AGILE-PRO-S, so your first month has one fewer application in it than it would in almost any other state.
CA, CS and Lawyer in One Team
Incorporation, tax, GST, ROC, FEMA and legal drafting handled by one accountable team instead of four vendors.
Beyond Incorporation
Bookkeeping, GST returns, TDS, payroll, transfer pricing documentation and annual ROC filing under one engagement.

TAXAJ was incorporated in Delhi in September 2016 and our head office is still here, in Sector 14 Dwarka, alongside branches in Bengaluru, Darbhanga and Goa. Incorporation itself is entirely online — SPICe+ filing, DSC by Aadhaar OTP or video KYC — so you never need to visit either Registrar. Frequently Asked Questions
Which ROC handles company registration in Delhi?
It depends on your district, which is new. Until 16 February 2026 one office — the Registrar of Companies for the NCT of Delhi and Haryana — handled every company in the capital and in Haryana. On that date it was split into RoC Delhi-I, covering South, South West, New Delhi, South East and East Delhi, and RoC Delhi-II, covering Central, West, North, North West, North East Delhi and the former Shahdara. Both are seated in Delhi. In the same reorganisation Haryana moved to its own Registrar at Chandigarh.
How do I know whether I am Delhi-I or Delhi-II?
By the Delhi district your registered office falls in, not by your postal address or your locality's name. The rule of thumb is that south and east Delhi file with Delhi-I and central, west and north Delhi file with Delhi-II. Connaught Place, Nehru Place, Okhla, Saket, Dwarka and Laxmi Nagar are Delhi-I. Karol Bagh, Rajouri Garden, Rohini, Civil Lines, Chandni Chowk and Seelampur are Delhi-II. We confirm the district against your specific address before filing.
Delhi reorganised its own districts in January 2026. Does that affect my Registrar?
Probably not, but it is worth confirming rather than assuming. The MCA's allocation was notified on 23 October 2025 against Delhi's then eleven districts. Delhi's government then reorganised its revenue districts, approved on 11 December 2025 and effective 1 January 2026, taking the capital to thirteen districts — creating Old Delhi, Central North and Outer North, and eliminating Shahdara. The MCA jurisdictions took effect on 16 February 2026 still worded against the old map. On our reading no area crosses the Delhi-I / Delhi-II line, because every affected district was already on the Delhi-II side. But since the operative list names a district that no longer exists, we confirm the position for addresses in those areas rather than assume it. That is our reading of how the two notifications sit together, not a statement of the Ministry's position.
Does RoC Delhi still handle Haryana companies?
No. Until 16 February 2026 the Delhi Registrar covered the NCT of Delhi and Haryana together. On that date Haryana was given its own Registrar of Companies at Chandigarh, and Haryana's Regional Directorate also moved to Chandigarh. A Gurugram or Faridabad company no longer files in Delhi at all.
Is there professional tax in Delhi?
No. Delhi does not levy professional tax, so a Delhi company has no PTRC registration, no PTEC enrolment, no monthly salary deduction and no professional tax returns. Haryana, Uttar Pradesh, Punjab and Himachal Pradesh also do not levy it, so the whole NCR is a level playing field on this measure — the saving is against Maharashtra, Karnataka, Telangana and West Bengal. Professional tax follows where the employee works, so a development centre in Bengaluru triggers registration in Karnataka.
What is the AGILE-PRO-S advantage in Delhi?
The AGILE-PRO-S form (INC-35) filed alongside SPICe+ covers GSTIN, EPFO, ESIC, bank account opening and — for Delhi — shops and establishments. MCA’s published service list names Delhi for the first-time Shops and Establishments registration number, with effect from 7 June 2021, and names no other state for it, although the form carries a Mumbai declaration block as well. In Bengaluru, Chennai, Kolkata, Gurugram or Noida it is a separate application to the state labour department after incorporation. It is not a large saving in money, but it removes an application, a queue and a follow-up from your first month.
Should I register in Delhi, Gurugram or Noida?
There is no tax arbitrage between them. Corporate income tax is central and identical, GST rates are national, and none of Delhi, Haryana or Uttar Pradesh levies professional tax. The genuine differences are stamp duty on incorporation documents, the state incentive schemes available in Haryana and Uttar Pradesh, Delhi's AGILE-PRO-S advantage, and — the one that should decide it — where your office and your people physically are. The registered office is an address the Registrar can and does verify.
How long does Pvt Ltd registration take in Delhi?
Typically 7 to 10 working days from complete documents to the Certificate of Incorporation, assuming the proposed name clears without resubmission. For a subsidiary of a foreign parent, plan on longer — the binding constraint is usually notarisation and apostille of the parent's documents abroad, not the Registrar. Delhi carries a very large registry, so name collisions are more common here than almost anywhere else.
What does it cost to register a private limited company in Delhi?
Professional fees start at ₹11,999. On top of that you pay government fees at actuals — stamp duty on the MoA and AoA as applicable in Delhi, and DSC token costs. The MCA filing fee itself is nil for authorised capital up to ₹15 lakh. The cost does not differ between Delhi-I and Delhi-II. A foreign-parent subsidiary costs more because of apostille, valuation and FC-GPR work.
Can I use a co-working or virtual office in Delhi as my registered office?
A co-working desk with a proper agreement, a No-Objection Certificate and a utility bill in the provider's name is generally acceptable. A pure virtual-office address is riskier: the Registrar can carry out physical verification of the registered office, and Delhi GST registration frequently attracts a site visit. If nobody can receive a notice at the address, do not use it.
What is the GST state code for Delhi?
07, on both sides of the Registrar line. Every GSTIN issued to a business registered anywhere in Delhi begins with 07. A supply from Delhi to Gurugram or Noida is an inter-state supply attracting IGST, even over a few kilometres — the NCR spans three GST codes.
Can a foreign company own 100% of a Delhi subsidiary?
In most sectors, yes, under the automatic route — but the sector and entry route should be confirmed before the money is remitted, not after. At least one director must be resident in India. Once shares are allotted you must file Form FC-GPR through the RBI's Single Master Form, supported by a valuation report, having registered on the Entity Master first. An annual FLA return follows for as long as the foreign investment remains.
