Private Limited Company Registration in Gujarat
Register your Pvt Ltd company anywhere in Gujarat with a CA-led team — SPICe+ filing, DSC, DIN, name approval, MoA & AoA drafting, PAN, TAN and GST. Gujarat has one Registrar for the whole state, 251 talukas sorted into three incentive categories, a profession tax collected by your municipal corporation, and the country's only International Financial Services Centre. This page maps all four.
- One Registrar — no jurisdiction risk
- Taluka category checked
- DSC & DIN for all directors
- PAN, TAN & CIN included
- Municipal profession tax set up
- GIFT City assessed honestly
What This Page Already Got Right — and What It Never Told You
Gujarat does not appear in the Ministry of Corporate Affairs reorganisation notified as S.O. 4850(E). The Registrar of Companies, Ahmedabad handles every incorporation for all thirty-three districts, and this page has always said so — including the part most sites get wrong, that GIFT City and Gandhinagar file with the same Registrar as everywhere else.
What it has never told you is anything about the state itself: that Gujarat sorts its 251 talukas into three incentive categories, that it levies a profession tax collected by your municipal corporation, that GIDC runs the industrial estates most manufacturers will actually sit in, or which Regional Directorate now sits above your Registrar. For the incorporation process see our guide to private limited company registration in India; for the city and the full GIFT City position, our Ahmedabad page.
One Registrar for Thirty-Three Districts
The proviso to section 12(5) of the Companies Act 2013 bars a company from moving its registered office from one Registrar's jurisdiction to another within the same state without confirmation by the Regional Director — a special resolution, Form MGT-14, an application in Form INC-23 under rule 28, an order, then INC-28 and INC-22.
| State | Registrars | Can an intra-state office move need a Regional Director's order? |
|---|---|---|
| Maharashtra | 4 | Yes — frequently |
| Tamil Nadu | 2 | Yes — Chennai against Coimbatore |
| Uttar Pradesh | 2 | Yes — Kanpur against Noida |
| Gujarat | 1 | No. Never. |
A registered-office move anywhere inside Gujarat is a plain INC-22 — Ahmedabad to Mundra, Surat to Rajkot, GIFT City to a GIDC estate in Bharuch. No special resolution to the Regional Director, no Form INC-23, no order to wait for. For a state whose incentive map genuinely rewards moving, as the next section shows, that matters.
And the Regional Directorate Above You
With effect from 16 February 2026, the North-Western Region directorate at Ahmedabad covers Rajasthan, Gujarat, Madhya Pradesh and the Union Territory of Dadra and Nagar Haveli. Chhattisgarh does not appear in it, and now sits under the South-Eastern Region directorate at Hyderabad.
The Regional Director decides what a growing company eventually needs — compounding of offences after a missed filing, condonation of delay, shifting a registered office from one state to another, certain name-change directions, and fast-track mergers under section 233. For a Gujarat company those are heard in Ahmedabad, which most companies in India cannot say of their own state.
Being precise about what is quoted and what is inferred: the current allocation above is taken from the notification. That Chhattisgarh moved from Ahmedabad is our reading of the table, not a transfer we have seen documented. And we are not going to tell you what any of it has done to disposal times — the change is six months old and there is no published data.
The Part That Decides Real MoneyAll 251 Talukas, in Three Categories
The Gujarat Industrial Policy 2020 classifies every taluka in the state — all 251 of them, across 33 districts — into one of three categories, and incentives to MSMEs are provided as capital and interest subsidy on term loans by reference to that category.
| Category | What it covers | Talukas | Incentive position |
|---|---|---|---|
| Category I | Industrially less developed and backward | 119 | Best |
| Category II | Medium industrial development | 76 | Intermediate |
| Category III | Well developed industrially, plus municipal areas | 56 | Least |
119 + 76 + 56 = 251 — every taluka in Gujarat, appearing once. That check is how we satisfied ourselves we were looking at the whole classification rather than a partial list. It is the same test that worked for Maharashtra's 36 districts, Uttar Pradesh's 75 and Tamil Nadu's 38 — and the same test that failed for Karnataka, which is precisely why our Karnataka page declines to lean on its taluk counts.
And Here Gujarat Breaks the Pattern Every Other State Follows
We have now read the incentive classifications of five large states against their notifications. In four of them, the "developed" category — the one that receives the least — is tiny, and is essentially the capital and its ring:
| State | The category that receives the least | How much of the state |
|---|---|---|
| Tamil Nadu | Category A | Four districts — Chennai and its three ring districts |
| Karnataka | Zone 3 | Bengaluru Urban and Bengaluru Rural, and nothing else |
| Maharashtra | Group A | The Mumbai and Pune metropolitan regions, and nowhere else in the state |
| Uttar Pradesh | The lowest band | Gautam Buddh Nagar and Ghaziabad |
| Gujarat | Category III | 56 talukas — twenty-two per cent of the state |
Gujarat is the first state in this series whose developed classification is genuinely distributed rather than a ring drawn around one city. Fifty-six talukas is more than a capital region however generously you draw it. And that is not an accident of drafting — it reflects an industrial base that really is spread across Ahmedabad, Surat, Vadodara, Rajkot, Bharuch, Jamnagar and Kutch, rather than concentrated in a single metropolitan area with the rest of the state waiting for it.
The practical consequence for a founder is a pleasant one. In Tamil Nadu or Karnataka, capturing the better incentive category means leaving the only city with a deep talent market. In Gujarat it usually does not — because several of the places with real industrial infrastructure are not Category III, and several Category III towns are nowhere near Ahmedabad.
Two honest qualifications. Category III is defined as "well developed industrially plus municipal areas", so it is not a pure measure of industrial development — municipal status alone can put a taluka there, which is part of why the count is larger. And we have not published capital or interest subsidy percentages by category, because we could not verify current rates against a source we would stand behind. The categorisation's shape is stable and useful for thinking about where to build; the rates should be confirmed against the operative scheme before they go into a business plan, and we will do that for your project.
GIFT City, in Brief
Gujarat has the only International Financial Services Centre in India, and the single most common misunderstanding about it is worth correcting here as well as on the city page.
It is not a separate company-law jurisdiction
A company in GIFT IFSC is an Indian company under the Companies Act 2013, registered with RoC Ahmedabad, with a CIN, filing AOC-4, MGT-7, ADT-1 and DIR-3 KYC, under the same Regional Director as the rest of Gujarat. There is no separate Registrar and no separate incorporation route.
What it does change
Your regulator — IFSCA, unified for financial activity in the IFSC — and your tax position: a 100% deduction on specified income under section 80LA for ten consecutive years out of fifteen, a 9% MAT/AMT rate, exemption from STT, CTT and stamp duty on IFSC exchange transactions, and a ten-year state stamp duty exemption for aircraft leasing, financing and insurance.
The row that catches people out: supplies from the SEZ into the Domestic Tariff Area are treated as imports and attract GST. A business whose customers are Indian does not obtain a tax holiday by taking a Gandhinagar address. Section 80LA relief attaches to a registered IFSC unit carrying on permitted activity under IFSCA's framework, not to any company located there. And we deliberately do not state the FEMA treatment of an IFSC unit, because we could not verify it from the sources we checked and it materially affects how capital moves — we confirm it per structure instead. Full detail on our Ahmedabad page.
Profession Tax — Two Slabs, Collected by Your Municipal Corporation
Gujarat levies profession tax under the Gujarat State Tax on Professions, Trades, Callings and Employments Act, 1976, and the table is the simplest in India:
| Monthly salary or wage | Profession tax per month | Per year |
|---|---|---|
| Up to ₹12,000 | Nil | — |
| Above ₹12,000 | ₹200 | ₹2,400 |
Two slabs, and that is the whole of it. The ₹12,000 threshold took effect on 24 May 2022, and the annual maximum of ₹2,500 is the ceiling Article 276 of the Constitution places on such taxes. Further exemptions are reported for persons holding a disability certificate and for senior citizens aged sixty-five and above.
The structural point matters more than the rate. Profession tax in Gujarat is collected by the municipal corporation — Ahmedabad, Surat and Vadodara each run their own — rather than by the state. There is no single state counter, and the corporation your registered office sits in is the one you deal with. Gujarat shares that shape with Tamil Nadu and very few other states. Gujarat is also not one of the three states where profession tax registration goes through SPICe+ (only Maharashtra, Karnataka and West Bengal), so it is a separate registration afterwards — and the live version of this page did not mention it at all.
Two things we are not printing. The return filing frequency depends on headcount, and the one source we found describing it gives an arrangement that is the inverse of the usual pattern elsewhere in India; we would rather confirm the position for your payroll than publish something we have seen once. And the late-payment interest rate is given as twelve per cent a year by one source and eighteen by another — where sources conflict outright we publish neither. Compare states with our profession tax state finder, or hand it to us through profession tax registration and filing.
Company Registration Across Gujarat
Every address below files with RoC Ahmedabad. What differs is the taluka category, the municipal corporation and the sector licensing.
Ahmedabad
SG Highway, Prahlad Nagar, Bodakdev — corporate offices, professional services, technology.
RoC Ahmedabad · AMC profession tax
GIFT City, Gandhinagar
The International Financial Services Centre — banking, funds, insurance, aircraft leasing, fintech.
RoC Ahmedabad · IFSCA-regulated
Surat
Diamonds, textiles and a fast-growing services economy — and its own municipal profession tax collection.
RoC Ahmedabad · SMC profession tax
Vadodara
Engineering, petrochemicals, power equipment and a deep technical workforce.
RoC Ahmedabad · VMC profession tax
Rajkot & Morbi
Engineering, castings, bearings — and at Morbi, the world's second-largest ceramics cluster.
RoC Ahmedabad · GIDC estates
Bharuch, Ankleshwar & Dahej
India's densest chemicals and petrochemicals belt. Pollution control consents are the binding constraint.
RoC Ahmedabad · GPCB consents
Sanand
Automotive, electronics and semiconductors — one of the few genuinely successful greenfield clusters built in India this century.
RoC Ahmedabad · GIDC estate
Kutch & Mundra
Port-led industry, power, cement and salt. Large land parcels, and a very different incentive position from the metros.
RoC Ahmedabad · check the taluka
Jamnagar
Refining at world scale, plus the brass parts cluster.
RoC Ahmedabad · GIDC estates
We have deliberately not labelled these with taluka categories. Category is assigned at taluka level, not city level, and several districts are split across categories — so a label on a city card would be wrong as often as it was right. We check the taluka for your actual address instead.
Why Gujarat, and Where It Is Genuinely Strong
Chemicals and petrochemicals at national scale
The Bharuch–Ankleshwar–Dahej belt supplies the rest of the country. If you are in specialty chemicals, dyes, intermediates or agrochemicals, the vendor base and effluent infrastructure already exist.
The longest coastline in India, and ports that work
Mundra, Kandla, Pipavav, Hazira. More useful than the berths is the established base of freight forwarders and customs brokers — the difference between having a port and being able to use one.
The only IFSC in India
No other state has an International Financial Services Centre with a unified regulator and a statutory tax regime attached.
An industrial base that is genuinely distributed
Five or six cities with real manufacturing depth, rather than one metro and a long tail. It is the reason Category III covers a fifth of the state.
Land and power that generally work
GIDC estate availability and grid reliability are the two operational things Gujarat is most consistently praised for by companies that have actually built here.
What we will say plainly
Gujarat is not a deep market for senior professional or technology hiring outside Ahmedabad — and GIFT City is not a tax structure for a business selling into India. Both are worth knowing before you commit.
RoC Ahmedabad, Regional Directorate, GST & AO Code
All thirty-three districts, GIFT City and Gandhinagar included. Unchanged by the February 2026 reorganisation.
Rajasthan, Gujarat, Madhya Pradesh and the UT of Dadra and Nagar Haveli.
Every Gujarat GSTIN begins with 24, followed by the company's PAN.
Nil up to ₹12,000 a month. Collected by your corporation, not the state, and not through SPICe+.
119, 76 and 56 talukas. Assigned at taluka level, not district or city level.
Plot allotment and transfer approvals; GPCB consent to establish then to operate, before construction.
Statutory positions change from time to time. Confirm current jurisdiction, rates and fees with us on your free call before you rely on them for a filing.
Instant Cost Estimator — Pvt Ltd in Gujarat
Get an indicative professional-fee estimate based on your company structure. Government fees (ROC, stamp duty, DSC tokens) are charged at actuals and confirmed on your free call.
Setting up an Indian subsidiary for an overseas parent? Use our foreign subsidiary set-up cost estimator instead — the cost structure is different, and different again for an IFSC unit.
Stamp Duty on MoA & AoA in Gujarat
Stamp duty on the Memorandum and Articles is a state levy collected when SPICe+ is filed, and in Gujarat it is linked to authorised share capital.
We do not publish a fixed table here, deliberately. Two states moved theirs in the last two years — Karnataka raised its incorporation duty fivefold in February 2024, and Maharashtra increased its Articles rate by half in October 2024. A figure printed on a website eighteen months ago is exactly how a founder ends up with a budget wrong by an order of magnitude. We quote Gujarat duty against your actual authorised capital and confirm it before filing. Compare states with our stamp duty calculator, and estimate the central fee with our MCA fee calculator.
Do not confuse this with the ten-year state stamp duty exemption available in the IFSC to aircraft leasing, financing and insurance businesses, with the exemption on IFSC exchange transactions, or with any stamp duty concession attaching to industrial land under the state's incentive scheme. Those are activity- or location-specific reliefs. The duty above is on your incorporation documents and is payable anywhere in Gujarat.
Step-by-Step Registration Procedure
Settle the taluka, and the municipal corporation
Your Registrar is the same wherever you are in Gujarat, so there is no jurisdiction risk to manage. What matters is the taluka — which sets your incentive category — and the municipal corporation, which sets your profession tax counter. Neither follows from a postal address.
Digital Signature Certificate (DSC)
A Class 3 DSC for every proposed director, through Aadhaar OTP or video KYC. For a foreign director the route is passport-based with notarisation and apostille, usually the longest item on the critical path.
Director Identification Number (DIN)
Allotted through SPICe+ itself for first-time directors. At least one director must be resident in India.
Name reservation and approval
Two proposed names through SPICe+ Part A. Check first with our company name availability tool. Names implying banking, financial services or insurance attract additional scrutiny, and where the activity is regulated may need the regulator's comfort before approval.
Drafting MoA and AoA
Objects, share classes, reserved matters, transfer restrictions and board composition, aligned to any shareholders' agreement. For a manufacturing project the objects clause will later be read by GIDC and by whoever processes your incentive claim; for an IFSC unit, by IFSCA against your permitted activity.
Filing SPICe+ with RoC Ahmedabad
SPICe+ Part B with AGILE-PRO-S (INC-35) and INC-9 — the same route for a GIFT City company as for one in Rajkot. Note that in Gujarat AGILE-PRO-S will not carry profession tax; that is a separate municipal registration afterwards.
Certificate of Incorporation, PAN and TAN
Issued with the CIN, naming RoC Ahmedabad. Gujarat stamp duty is collected at this stage.
Post-incorporation setup
Current account activation, GST registration, municipal profession tax, shops and establishments, Udyam registration — and, for an IFSC unit, IFSCA registration and SEZ unit approval, which run on their own timelines.
Documents Required for Registration
For Indian directors and shareholders
- PAN card (mandatory for Indian nationals)
- Aadhaar card
- Passport-size photograph
- Identity proof — Voter ID, Passport or Driving Licence
- Address proof — bank statement or utility bill, not older than two months
- Email ID and mobile number linked to Aadhaar
For a foreign parent or foreign director
- Passport and address proof, notarised and apostilled in the home country
- Board resolution of the parent authorising the Indian investment and naming the authorised signatory
- Certificate of incorporation and charter documents of the parent, apostilled
- Proof of the registered office — utility bill, NOC from the owner, and the rental or lease agreement
A residential address is valid, and co-working works where the agreement and a utility bill in the provider's name are available. For a GIDC plot or a GIFT City unit, the allotment or lease documentation supports the registered-office proof and should be in place before the address goes into the MoA.
Timeline & Cost Overview
| Stage | Typical time | What decides it |
|---|---|---|
| DSC for all directors | 1–2 working days | Same day for Indian directors with Aadhaar OTP; several days if a foreign director needs apostilled documents |
| Name approval (SPICe+ Part A) | 1–3 working days | Distinctiveness, and extra scrutiny for names implying regulated financial activity |
| Drafting and signing MoA, AoA, INC-9 | 1–2 working days | Longer where a shareholders' agreement or an IFSCA-facing objects clause has to be reflected |
| SPICe+ Part B, AGILE-PRO-S processing | 3–5 working days | Registrar queue and whether the file attracts a resubmission |
| Total, clean file | 7–10 working days | A resubmission typically adds three to five working days |
| With a foreign parent | Usually 3–6 weeks | Driven almost entirely by the apostille, not the Indian filing |
| IFSCA registration and SEZ approval | Separate exercise, separate timeline | Runs after incorporation, on the regulator's schedule |
FDI, FEMA and the Filings That Follow Incorporation
Gujarat takes a large share of India's manufacturing foreign investment, and GIFT City exists precisely to attract cross-border financial business. Incorporation is the easy half; the filings that follow are time-bound and the penalties for missing them are real.
Entry route
Most sectors permit 100% foreign investment under the automatic route with no prior approval. Some need government approval, and financial services activity in the IFSC additionally sits under IFSCA's framework. Sector and activity are checked before the objects clause is drafted.
Entity Master and the Single Master Form
Before the first FC-GPR the company registers on the RBI's FIRMS portal through the Entity Master. Companies routinely discover this when the FC-GPR is already due.
Pricing and valuation
Shares issued to a non-resident cannot be priced below fair value on an internationally accepted methodology, certified by a merchant banker or chartered accountant. Section 56(2)(viib) and rule 11UA also apply on the income-tax side.
Form FC-GPR
Filed within 30 days of allotment. Allotment must happen within 60 days of receiving the money, failing which it is refundable within 15 days. FC-GPR filing →
Annual FLA return
The Foreign Liabilities and Assets return is due by 15 July each year for every company holding foreign investment, including years when nothing new came in.
FC-TRS on transfers
Any transfer of shares between a resident and a non-resident is reported in FC-TRS within 60 days. Secondary transfers are missed far more often than fresh issues.
Where there is a foreign parent there will usually be international transactions with associated enterprises, bringing transfer pricing documentation and Form 3CEB, and outward remittances requiring Form 15CA and 15CB. Services exporters should check their STPI registration and Softex filing position. If the structure is a branch, liaison or project office rather than a subsidiary, see branch office, liaison office and project office registration, or our foreign subsidiary company service.
Licences & Registrations Applicable in Gujarat
Applies to almost every Gujarat company
- Profession tax — with your municipal corporation, not through SPICe+
- Gujarat Shops and Establishments registration
- GST registration — on crossing the threshold, or immediately for inter-state supply, e-commerce and exports
- Udyam (MSME) registration — free, and it unlocks the 45-day payment protection
- EPFO and ESIC — applied for through AGILE-PRO-S; obligations bite at the statutory headcounts
- POSH — an internal committee is mandatory at ten or more employees
Sector and project-specific
- GIDC plot allotment and transfer approvals
- GPCB consent to establish, then consent to operate — before construction, not after, and the binding constraint in the chemicals belt
- Incentive registration and eligibility for the taluka category applicable to your site
- IFSCA registration and SEZ unit approval for a GIFT City unit
- Factories Act licence and labour department approvals
- Import Export Code and AD Code for anything crossing a customs frontier
- FSSAI, drug licence, PESO and sector registrations as applicable
- Trademark registration — in the company's name, not a founder's
Why Choose TAXAJ for Your Gujarat Company
We check the taluka, not the city
Gujarat assigns incentive category at taluka level and several districts are split across categories. A city-level answer is wrong as often as it is right, so we check the actual address.
We verify that our own lists close
The classification on this page adds to exactly 251 talukas, each appearing once. That is how we satisfied ourselves it was complete rather than a partial list copied from elsewhere.
We will tell you if GIFT City is wrong for you
Supplies from the IFSC into the domestic market are treated as imports. If your customers are Indian, a Gandhinagar address is an office, not a tax structure — better said before you sign a lease.
We set up the municipal profession tax
Gujarat's is collected by your corporation rather than the state and is not in SPICe+ — which is exactly why new companies miss it. The live version of this page did not mention it at all.
India entry, end to end
Apostille chains, entry route, valuation, Entity Master, FC-GPR, FLA, FC-TRS and transfer pricing — the work that decides whether a subsidiary runs cleanly.
CA, CS and lawyer in one team
Incorporation, tax, GST, ROC, FEMA and legal drafting handled by one accountable team instead of four vendors who each blame the others.
TAXAJ does not have an office in Gujarat. We serve clients across the state from our offices in Delhi, Bengaluru, Bihar and Goa, and the entire incorporation is online — DSC by video KYC, documents by secure upload, filings through the MCA portal. We say this plainly because a firm that invents a local address on its website is telling you something about how it will handle yours.
Post-Incorporation Compliances
Immediate — first 30 to 180 days
- Bank account activation and deposit of subscription money
- Form INC-20A declaration of commencement of business within 180 days
- First board meeting within 30 days of incorporation

- Municipal profession tax registration — separately, since SPICe+ does not carry it in Gujarat
- Shops and Establishments registration
- FC-GPR within 30 days of allotment, if foreign money has come in
Annual
- AOC-4 — financial statements, within 30 days of the AGM
- MGT-7 or MGT-7A — annual return, within 60 days of the AGM
- DIR-3 KYC for every director, by 30 September
- Income tax return and, where applicable, tax audit and Form 3CEB
- FLA return by 15 July where there is foreign investment

An IFSC unit files everything in both columns — the regime changes what it pays, not what it files. See our full annual compliance guide for private limited companies.

Frequently Asked Questions
Which Registrar of Companies handles Gujarat?
RoC Ahmedabad, for all thirty-three districts — including GIFT City and Gandhinagar. Gujarat does not appear in the February 2026 MCA reorganisation notification, so the position is exactly as it was.
Do I need a Regional Director's order to move my registered office within Gujarat?
No. The proviso to section 12(5) only bites when you move from one Registrar's jurisdiction to another within the same state, and Gujarat has a single Registrar. Any move inside the state is a plain INC-22 — Ahmedabad to Mundra, Surat to Rajkot, GIFT City to a GIDC estate in Bharuch.
How does Gujarat classify areas for industrial incentives?
The Gujarat Industrial Policy 2020 sorts all 251 talukas across 33 districts into three categories: Category I — 119 talukas, industrially less developed and backward, which receive the best incentives; Category II — 76 talukas; and Category III — 56 talukas, well developed industrially plus municipal areas, which receive the least. Incentives to MSMEs are given as capital and interest subsidy on term loans by reference to that category.
How do I know that classification is complete?
By arithmetic. 119 + 76 + 56 is 251 — every taluka in Gujarat, appearing once. That is the same check that worked for Maharashtra's 36 districts, Uttar Pradesh's 75 and Tamil Nadu's 38, and the same check that failed for Karnataka, which is why our Karnataka page deliberately declines to rely on its taluk counts.
Is Gujarat's incentive map different from other states'?
Materially, yes, and it is the most interesting thing about it. In Tamil Nadu the least-favoured category is four districts; in Karnataka it is Bengaluru Urban and Rural only; in Maharashtra it is the Mumbai and Pune metropolitan regions and nowhere else. In Gujarat, Category III is 56 talukas — about twenty-two per cent of the state. Gujarat is the first state in this series whose developed classification is genuinely distributed rather than a ring around one city, which reflects an industrial base spread across Ahmedabad, Surat, Vadodara, Rajkot, Bharuch, Jamnagar and Kutch.
What are the actual subsidy percentages by category?
We have not published them, because we could not verify current rates against a source we would stand behind. The categorisation's shape is stable and genuinely useful for deciding where to build; the rates should be confirmed against the operative scheme before they go into a business plan. We do that for your specific project rather than quoting a percentage that may have moved.
Is a GIFT City company registered somewhere different?
No. A company in GIFT IFSC is an Indian company under the Companies Act 2013, registered with RoC Ahmedabad, with a CIN, filing AOC-4, MGT-7, ADT-1 and DIR-3 KYC, under the same Regional Director as the rest of Gujarat. What changes is the regulator — IFSCA — and the tax position: a 100% deduction on specified income under section 80LA for ten consecutive years out of fifteen, a 9% MAT/AMT rate, and exemptions on IFSC exchange transactions. The regime changes what you pay, not what you file.
Can I use GIFT City to reduce tax if my customers are Indian?
No. Supplies from the SEZ into the Domestic Tariff Area are treated as imports and attract GST. Section 80LA relief attaches to a registered IFSC unit carrying on permitted activity under IFSCA's framework, not to any company with an address there. If IFSCA does not regulate your activity, GIFT City is an office location with good infrastructure — a reasonable thing to want, but not a tax structure.
Does Gujarat charge profession tax?
Yes, and the live version of this page did not mention it at all. Two slabs: nil up to ₹12,000 a month, ₹200 above, effective 24 May 2022, annual maximum ₹2,500. It is collected by your municipal corporation — Ahmedabad, Surat and Vadodara each run their own — rather than by the state, and Gujarat is not one of the three states where profession tax registration goes through SPICe+, so it is a separate registration afterwards.
How often do I file Gujarat profession tax returns?
Frequency depends on headcount, and we are deliberately not printing a schedule. The one source we found describing it gives an arrangement that is the inverse of the usual pattern elsewhere in India, and the other source we checked did not carry the point. We confirm the position for your payroll instead. We take the same approach to the late-payment interest rate, which our two sources give as twelve and eighteen per cent respectively.
How much is stamp duty on incorporation in Gujarat?
It is linked to authorised share capital and the schedule is amended from time to time, so we quote it against your actual capital rather than publishing a table. This is separate from the IFSC stamp duty reliefs and from any concession attaching to industrial land under the state's incentive scheme.
Do I need to be in Gujarat to register a company there?
No. The whole process is online — DSC through Aadhaar OTP or video KYC, documents by secure upload, and filing through the MCA portal. TAXAJ has no Gujarat office; we serve clients across the state from Delhi, Bengaluru, Bihar and Goa. You will need a genuine registered-office address in the state, which the Registrar can and does verify.
