A Correction, and a Distinction Worth More Than the Correction

Chhattisgarh Has Not Abolished Profession Tax. It Exempted Salaried Employees.

Until this rewrite, this page carried a block headed "Professional Tax Slabs in Chhattisgarh", saying that once you hire staff, Chhattisgarh profession tax applies per certain annual income bands — nil up to ₹1,50,000, and above that "up to ₹2,500 per year (by income band)". It then offered to set up your Chhattisgarh profession tax registration and filings. The same claim sat in the page's structured data, where search engines read it.

Two things were wrong with that, and they are wrong in different ways.

It offered something a normal employer does not need

Salaried employees in Chhattisgarh have been exempt since 1 April 2011. A company hiring staff in Chhattisgarh does not deduct profession tax from salaries, so an offer to arrange the employer-and-employee registration was an offer of work that is not required.

And it was the shape of a table with nothing in it

"Above ₹1,50,000 — up to ₹2,500 per year (by income band)" tells a reader precisely nothing. It has the appearance of a slab table without containing one. Publishing the shape of a figure you do not actually have is worse than publishing nothing, because the layout reads as authority.

But the correction is not the interesting part. This is.

Chhattisgarh did not repeal its profession tax law. The Chhattisgarh Professional Tax Act 1995 — the Vritti Kar Adhiniyam — remains in force, and its slabs remain on the statute book. What happened in 2011 is that the State Government exempted a class of persons by notification, using a power contained in the Act itself.

Repealed, Never Levied, or Exempted — Three Different Legal Worlds

"There is no profession tax in that state" is one sentence that describes at least three quite different situations. Across these state pages we have now met all three, and the difference is not academic — it decides how durable the position is and what it would take to change it.

PositionStatesInstrumentWhat it would take to change
Never leviedRajasthan, Delhi, Haryana, Uttar Pradesh—A new Act of the legislature
Act repealedOdisha, from 1 April 2026Ordinance 02 of 2026 — primary legislation, with a savings clause preserving past duesFresh primary legislation
Act in force, class exemptedChhattisgarh, from 1 April 2011A notification, issued under a power in the Act itselfAnother notification. No legislature required.

The practical consequence. A payroll configuration, a compliance register or a due-diligence note that records "no profession tax in Chhattisgarh" in the same terms as "no profession tax in Rajasthan" has quietly lost a real distinction. One position is structural. The other rests on an executive act that the same executive can revisit. We are not predicting that it will be revisited — we have no basis for that and neither does anyone else. The point is narrower and more useful: know which kind of "no" you are relying on.

There is a second edge to it. The exemption is expressed for salaried employees. That is not the same as a statement that no person falling under the Act owes anything. If a client has a limb that is not salary — a profession, trade or calling assessed in its own right — that should be checked rather than assumed away.

How firmly we are standing behind this, stated exactly.

The instrument is reported as Notification No. F-10/22/2011/CT/V(22), dated 31 March 2011, effective 1 April 2011, issued under section 6 of the 1995 Act — the provision empowering the State Government to exempt any class of persons or employers from the operation of all or any of the Act's provisions. Two independent payroll sources agree on the notification number, and one gives the date and the section. We were not able to reach the bare Act itself — the State commercial tax department's copy and the India Code copy both failed to load when we checked — so we present the section 6 basis as reported rather than as our own reading of the statute. Where this position is load-bearing for a client, we verify it against the notification on file rather than against a website, and we would expect any adviser to do the same.

One Statute, One State, Two Answers

Madhya Pradesh and Chhattisgarh were a single state until 1 November 2000. Both inherited the same law — the 1995 Vritti Kar Adhiniyam of undivided Madhya Pradesh. Twenty-five years later they have arrived at opposite places from the same starting point.

On our Madhya Pradesh page we made the point that the two halves of the old state now take Regional Director matters to opposite corners of India — Gujarat for Bhopal, Telangana for Raipur. This is the same divergence in the tax layer. Company-law geography, tax administration and political geography are three separate maps, and time pulls them apart. It is a good argument against inferring anything about one state from what you know about its neighbour, however closely related.

The Profession Tax Map

The amount is capped at ₹2,500 a year in every state by Article 276 of the Constitution, so the money is never the interesting part. The administration is, and it differs far more than most payroll teams expect.

How it is administeredStatesWhat breaks a copied payroll template
Monthly salary slabs, levied by the stateMaharashtra, Karnataka, Telangana, GoaDeadlines differ — Telangana is due by the 10th, the earliest of any major state

If you run payroll across several of these, the honest summary is that there is no such thing as a national profession tax setting. Each state is its own machine.

Your Registrar Is at Bilaspur, Not Raipur

RoC Bilaspur has jurisdiction over the whole of Chhattisgarh — Raipur, Naya Raipur, Bhilai, Durg, Korba, Raigarh, Rajnandgaon, Jagdalpur and everywhere else. Chhattisgarh does not appear in the February 2026 reorganisation of Registrars, so nothing about that position has changed.

Bilaspur is not the capital; Raipur is. What Bilaspur is, is the seat of the High Court of Chhattisgarh. That is the same shape we found in Odisha, where the Registrar sits at Cuttack — the seat of the Orissa High Court — rather than at Bhubaneswar.

It is tempting to call that a rule. It is not one, and we would rather say so.

In Odisha and Chhattisgarh the Registrar sits in the High Court city rather than the capital. But Madhya Pradesh's Registrar is at Gwalior, which is a High Court bench seat while the principal seat is Jabalpur. And Uttar Pradesh's principal Registrar is at Kanpur, which is neither the Allahabad High Court's principal seat at Prayagraj nor its bench at Lucknow. The Registrar tracks judicial and administrative geography more often than it tracks the capital — but not reliably enough to infer from. Look it up; never assume it is in the capital, and never assume it is where the court is either.

One Registrar, So One Fewer Thing to Go Wrong

Because a single Registrar covers the entire state, a question that causes genuine difficulty elsewhere cannot arise in Chhattisgarh at all.

The proviso to section 12(5) of the Companies Act 2013, read with rule 28 of the Companies (Incorporation) Rules 2014, requires confirmation by the Regional Director in Form INC-23 when a company shifts its registered office from one Registrar's jurisdiction to another within the same state. That needs two Registrars inside one state. Chhattisgarh has one.

In Chhattisgarh

  • Raipur to Bilaspur — plain INC-22
  • Bhilai to Korba — plain INC-22
  • Raigarh to Jagdalpur, right across the state — plain INC-22
  • No Regional Director, no INC-23, no hearing, however far you move inside the state

Where it does bite

  • Maharashtra — four Registrars inside one state
  • Tamil Nadu — a 50 km move can cross a line while a 700 km move does not
  • Uttar Pradesh — more than one jurisdiction inside the state
  • Anywhere a Registrar's territory is defined by naming districts, a reorganisation can create a mismatch — as it did in Delhi

And Your Regional Director Sits in Telangana

Under the reorganisation of Regional Directorates effective 16 February 2026, Chhattisgarh falls in the South-Eastern Region, with its directorate at Hyderabad, covering Andhra Pradesh, Chhattisgarh, Odisha and Telangana.

For a Raipur company that is a long way to go — but it only matters when something needs a hearing: a compounding application after a missed filing, a condonation of delay, or a scheme of arrangement under section 233. Routine work never touches it. SPICe+ is filed online, the certificate arrives by email, and annual filings require no travel at all.

We quote the four-state allocation from the notification itself. That Chhattisgarh previously sat with the North-Western Region at Ahmedabad, alongside Madhya Pradesh, is our reading of the same table rather than a quotation — and it is the change that separated the two halves of the old state.

The Industrial Policy, and Why We Publish No Percentages

Chhattisgarh's Industrial Development Policy 2024-30 is operative from 1 November 2024 to 31 March 2030. It sorts the state into three tiers for the purpose of targeting incentives — Group 1, Group 2 and Group 3 — with the least-developed areas attracting the strongest support, the same broad logic every state uses.

We publish no figures

The source we could verify names the groups and the policy period but does not give the number of blocks in each group, and we could not verify current subsidy percentages against a primary source. So we name the framework and publish no numbers — the same position we take on Telangana, Gujarat and Madhya Pradesh. A percentage you cannot rely on is worse than none.

Chhattisgarh classifies development blocks

Not districts. That matters more than it sounds. Tamil Nadu, Madhya Pradesh and Uttar Pradesh classify districts; Gujarat classifies talukas; Karnataka works in taluks and zones; Chhattisgarh works in development blocks. A single district can straddle more than one group, which is precisely why a city-level incentive label is wrong about as often as it is right — and why we do not put one on our city cards.

Stamp Duty on MoA & AoA in Chhattisgarh

Stamp duty on the Memorandum and Articles is a state levy, collected automatically when SPICe+ is filed, and in Chhattisgarh it is linked to authorised share capital.

We do not publish a rate here, and that is deliberate. The schedule is amended from time to time, a table published today goes quietly out of date, and a founder who budgets from a stale figure finds out at the filing stage. We quote Chhattisgarh duty against your actual authorised capital and confirm it before filing. There is a planning point in this too: where duty scales with capital there is a real cost to setting authorised capital higher than you presently need — and no advantage, since it can be increased later when there is a reason to.

The MCA charges no government filing fee on authorised capital up to ₹15 lakh. Estimate the rest with our MCA fee calculator and company stamp duty calculator.

Step-by-Step Registration Procedure

1

Digital Signature Certificate (DSC)

Every proposed director and subscriber needs a Class 3 DSC. Indian nationals with Aadhaar complete video KYC the same day; a foreign director needs a passport-based application and usually an apostilled or consularised document set. 1–2 working days for a domestic file.

2

Director Identification Number (DIN)

Allotted inside SPICe+ for up to three first directors, so there is no separate DIR-3 for a standard incorporation. An existing DIN is reused — a director does not collect a second one.

3

Name reservation and approval

Through SPICe+ Part A or RUN. This is where most delay actually happens, not at the Registrar. A name is refused if it resembles an existing company or a registered trademark, or uses a restricted word. We check the MCA index and the trademark register before filing, and we file two options. 1–3 working days.

4

Drafting MoA and AoA

The objects clause should describe what the company will actually do, including what it may do in two years. The Articles decide share transfers, board control and how disputes resolve — a template becomes expensive at exactly the moment it matters.

5

Filing SPICe+ with RoC Bilaspur

SPICe+ Part B with linked forms — eMoA (INC-33), eAoA (INC-34), AGILE-PRO-S (INC-35) and INC-9. PAN, TAN, EPFO, ESIC and a bank account are applied for in the same filing, and Chhattisgarh stamp duty is collected at this stage. Note that profession tax registration through AGILE-PRO-S covers only three states — Maharashtra, Karnataka and West Bengal — and in Chhattisgarh salaried employees have been exempt by notification since 1 April 2011, so there is no profession tax deduction to configure.

6

Certificate of Incorporation, PAN and TAN

The certificate issues with the CIN, and PAN and TAN follow electronically. GST is a separate application once you have the certificate and a registered-office proof.

7

Post-incorporation setup

Bank account activation, deposit of subscription money, INC-20A within 180 days, first board meeting within 30 days, and auditor appointment in ADT-1 within 30 days. Where foreign money is coming in, the FEMA clock starts here rather than later.

Documents Required for Registration

For Indian directors and shareholders

  • PAN card — mandatory, and the name must match everywhere
  • Aadhaar, plus passport, voter ID or driving licence
  • Bank statement, or electricity, mobile or telephone bill, not older than two months
  • Passport-size photograph
  • Email address and mobile linked to Aadhaar for OTP

For a foreign parent or foreign director

  • Passport — apostilled (Hague Convention countries) or consularised
  • Proof of address, similarly apostilled or consularised
  • Board resolution of the overseas parent authorising the subscription and naming its authorised signatory
  • Certificate of incorporation and charter documents of the parent
  • Certified translation where documents are not in English

For the registered office in Chhattisgarh

  • Latest electricity or utility bill for the premises
  • Rent agreement, where rented
  • No-objection certificate from the owner
  • Sale deed or property document, where owned

The address must be one at which you can actually receive statutory correspondence — the Registrar can and does verify it, in person, under rule 25B of the Companies (Incorporation) Rules 2014.

FDI, FEMA and the Filings That Follow Incorporation

If any part of the shareholding is foreign, incorporation is the beginning of a compliance sequence rather than the end of one. This is where most subsidiaries quietly accumulate defaults.

Entry route

Most sectors are on the automatic route, needing no prior approval. Some require government approval and some carry conditions on the activity itself. Establish this before the money moves — restructuring afterwards is expensive.

Entity Master and the Single Master Form

The company registers on the RBI’s FIRMS portal, files the Entity Master and reports through the Single Master Form. Nothing else can be filed until this exists.

Pricing and valuation

Shares issued to a non-resident must be at or above fair value, supported by a valuation certificate under the prescribed methodology.

Form FC-GPR

Filed within 30 days of allotment, with the valuation certificate and the company secretary’s certificate. The deadline most often missed.

Annual FLA return

Due by 15 July every year for any company with foreign investment on its books — including years with no new investment.

Form FC-TRS on transfers

Any transfer of shares between a resident and a non-resident is reported in FC-TRS within 60 days, including transfers between existing shareholders.

Related: foreign subsidiary company setup, Form FC-GPR, FLA return and transfer pricing. STPI registration and Softex filing are relevant for the IT and services base at Raipur and Naya Raipur. If the structure is a branch, liaison or project office rather than a subsidiary, see branch office registration.

Licences & Registrations Applicable in Chhattisgarh

Applies to almost every Chhattisgarh company

  • No profession tax deduction from salaries — exempt by notification since 1 April 2011, though the 1995 Act itself remains in force
  • Chhattisgarh Shops and Establishments registration for any commercial premises with staff
  • GST registration — above the threshold, and immediately for inter-state supply, e-commerce and exports
  • Udyam (MSME) registration — free, and it unlocks the 45-day payment protection
  • EPFO and ESIC — applied for through AGILE-PRO-S; obligations bite at the statutory headcounts
  • POSH — an internal committee is mandatory at ten or more employees

Sector and project-specific

  • CSIDC plot allotment and transfer approvals
  • State incentive registration and eligibility certification under the Industrial Development Policy 2024-30
  • Mining and mineral concessions, where the activity touches them — a real feature of this state rather than a footnote
  • Consent to establish, then consent to operate from the State Pollution Control Board — before construction, not after
  • Factories Act licence and labour department approvals
  • Import Export Code and AD Code for anything crossing a customs frontier
  • FSSAI, drug licence, PESO and sector registrations as applicable
  • Trademark registration — in the company’s name, not a founder’s

Why Choose TAXAJ for Your Chhattisgarh Company

📜

We distinguish a repeal from an exemption

Chhattisgarh's salaried profession tax exemption rests on a notification issued under a power in an Act that is still on the statute book. Odisha's rests on a repeal. Those are different kinds of "no", and a compliance file should record which one it is relying on.

✏️

We correct our own pages in public

This page opens by setting out what we previously published here and why it was wrong, rather than deleting it quietly. How a firm behaves when it finds it was wrong is worth knowing before you engage it.

🗺️

We tell you where your file actually sits

Your Registrar is at Bilaspur and your Regional Director is at Hyderabad. Neither matters month to month, and both matter enormously the day something needs a hearing.

🏭

We sequence around the project, not the paperwork

In a state where much of the investment is steel, power, minerals and agri-processing, the consents and the land allotment drive the timetable. The company should be built around that, not the other way round.

🌐

India entry, end to end

Apostille chains, entry route, valuation, Entity Master, FC-GPR, FLA, FC-TRS and transfer pricing — the work that decides whether a subsidiary runs cleanly or accumulates a backlog.

📑

We label what we have verified

You will find figures across these pages that we declined to publish because sources conflicted or we could not reach a primary one. On this page we tell you exactly which parts we read ourselves and which we are reporting. We work the same way on a file.

TAXAJ does not have an office in Chhattisgarh. We serve clients across the state from our offices in Delhi, Bengaluru, Darbhanga and Porvorim, and the entire incorporation is online — DSC by video KYC, documents by secure upload, filings through the MCA portal. We say this plainly because a firm that invents a local address on its website is telling you something about how it will handle yours.

Frequently Asked Questions

What is the profession tax in Chhattisgarh?

There is no deduction from salaries. Salaried employees in Chhattisgarh have been exempt since 1 April 2011. But the answer is more precise than "Chhattisgarh has no profession tax": the Chhattisgarh Professional Tax Act 1995 remains in force and its slabs remain on the statute book. What was granted in 2011 was an exemption for a class of persons, by notification, not a repeal. An earlier version of this page published a slab table and offered to arrange the registration — that was wrong, and we have replaced it rather than quietly deleted it.

What is the difference between an exemption and a repeal, in practice?

Durability, and what it would take to change. A repeal removes the Act, and reinstating the levy needs fresh primary legislation — that is Odisha's position since 1 April 2026. An exemption by notification switches off part of an Act that is still standing, using a power in the Act itself, and it can in principle be revisited by another notification without the legislature. We are not predicting that will happen in Chhattisgarh, and nobody has a basis to. The point is simply that a compliance file should record which kind of position it is relying on.

Which notification granted the exemption?

It is reported as Notification No. F-10/22/2011/CT/V(22), dated 31 March 2011, effective 1 April 2011, issued under section 6 of the 1995 Act — the power to exempt any class of persons or employers from all or any of the Act's provisions. Two independent payroll sources agree on the notification number and one gives the date and the section. We were not able to reach the bare Act itself when we checked, so we present the section 6 basis as reported rather than as our own reading. Where the position is load-bearing, we verify it against the notification on file.

Does the exemption cover everyone under the Act?

It is expressed for salaried employees, which is what makes it decisive for a company running payroll. That is not the same as a statement that no person falling under the Act owes anything. Where a client has a limb assessed in its own right rather than as salary, that should be checked rather than assumed away.

Which Registrar of Companies handles Chhattisgarh?

RoC Bilaspur, for the whole state — Raipur, Naya Raipur, Bhilai, Durg, Korba, Raigarh, Rajnandgaon, Jagdalpur and everywhere else. Chhattisgarh does not appear in the February 2026 MCA reorganisation of Registrars, so the position is unchanged.

Why is the Registrar at Bilaspur rather than Raipur, the capital?

Bilaspur is the seat of the High Court of Chhattisgarh. The same shape appears in Odisha, where the Registrar sits at Cuttack, the seat of the Orissa High Court, rather than at Bhubaneswar. It is tempting to call that a rule, but it does not hold everywhere — Madhya Pradesh's Registrar is at Gwalior, a High Court bench seat rather than the principal seat at Jabalpur, and Uttar Pradesh's is at Kanpur, which is neither. The Registrar tracks judicial and administrative geography more often than it tracks the capital, but not reliably enough to infer from.

Who is a Chhattisgarh company's Regional Director?

The South-Eastern Region directorate at Hyderabad, covering Andhra Pradesh, Chhattisgarh, Odisha and Telangana under the reorganisation effective 16 February 2026.

Is Madhya Pradesh treated the same way?

No, and the contrast is striking given the two were one state until 1 November 2000. Madhya Pradesh has its own Registrar at Gwalior and its Regional Director is in the North-Western Region at Ahmedabad. So a Raipur company takes Regional Director matters to Telangana while a Bhopal company takes the same matters to Gujarat. The two halves of the old state also diverged on profession tax — Madhya Pradesh kept and applies the shared 1995 Act; Chhattisgarh exempted its salaried class in 2011.

Can I move my registered office within Chhattisgarh later?

Yes, easily. With a single Registrar for the entire state, any move inside Chhattisgarh is a plain INC-22 — Raipur to Bilaspur, Bhilai to Korba, Raigarh to Jagdalpur. The proviso to section 12(5) of the Companies Act 2013, which requires Regional Director confirmation in Form INC-23 under rule 28, only bites when you cross from one Registrar's jurisdiction to another within a state. In Chhattisgarh that cannot happen.

What incentives does Chhattisgarh offer?

The Industrial Development Policy 2024-30, operative from 1 November 2024 to 31 March 2030, offers capital, interest and power-related benefits, targeted by sorting the state into Group 1, Group 2 and Group 3. We publish no percentages, because we could not verify current entitlements against a primary source — and note that Chhattisgarh classifies development blocks rather than districts, so a single district can straddle more than one group. Your eligibility depends on your block, your sector and your investment size, and should be established before you commit to a site.

How long does incorporation take in Chhattisgarh?

Typically 7 to 10 working days once documents are complete — DSC in a day or two, name approval in one to three working days, and the certificate with PAN and TAN following the SPICe+ filing. Delays almost always come from name rejections, mismatched address proof or apostille chains on foreign documents, not from RoC Bilaspur.

Do I need to be in Chhattisgarh to register a company there?

No. The whole process is online — DSC through Aadhaar OTP or video KYC, documents by secure upload and filing through the MCA portal. TAXAJ has no Chhattisgarh office; we serve clients across the state from Delhi, Bengaluru, Darbhanga and Porvorim. You will need a genuine registered-office address in Chhattisgarh, which the Registrar can and does verify, and it must be an address at which you can actually receive statutory correspondence.
