Private Limited Company Registration in Rajasthan
Register your Pvt Ltd company anywhere in Rajasthan with a CA-led team — SPICe+ filing, DSC, DIN, name approval, MoA & AoA drafting, PAN, TAN and GST. Rajasthan has one Registrar for the whole state, levies no profession tax at all, and has redrawn its district map twice in two years. This page explains what each of those means for a company — including which layer stayed still while everything else moved.
- One Registrar — no jurisdiction risk
- No profession tax in Rajasthan
- DSC & DIN for all directors
- PAN, TAN & CIN included
- RIPS 2024 position checked
- FDI & FEMA practice in-house
The District Map Moved Twice. The Company Law Layer Never Did.
In the space of eighteen months Rajasthan added nineteen districts and then took nine of them away again. It is one of the more dramatic administrative reversals in recent Indian state government, and it is worth setting out precisely, because a great deal of business paperwork is keyed to district names.
| When | What happened | Districts | Divisions |
|---|---|---|---|
| Before 2023 | The long-standing position | 33 | 7 |
| 2023 | The previous government created 19 new districts and 3 new divisions | 50 | 10 |
| 31 December 2024 | The current government dissolved 9 districts and 3 divisions | 41 | 7 |
The nine dissolved
Dudu, Kekri, Shahpura, Neem Ka Thana, Gangapur City, Jaipur Rural, Jodhpur Rural, Anupgarh and Sanchore. The abolished divisions were Pali, Sikar and Banswara.
The High-Level Committee that reviewed them found the new districts unviable — no infrastructure, no office buildings and insufficient administrative resources more than a year after they had been created.
The eight that survived
Balotra, Beawar, Deeg, Didwana-Kuchaman, Kotputli-Behror, Khairthal-Tijara, Phalodi and Salumbar — kept on grounds of administrative necessity.
Khairthal-Tijara is the one most often relevant to industrial clients, since it takes in part of the Delhi-facing belt.
Now the part that matters for a company, and it is genuinely reassuring. Through all of that — nineteen districts created, nine abolished, three divisions gone — the company law layer did not move at all.
Rajasthan has one Registrar for the entire state. There is no district line inside RoC Jaipur's territory for a boundary change to disturb. So no CIN changed. No question arose under the proviso to section 12(5). Nobody filed a Form INC-23 because of it. A company incorporated in 2022 has exactly the same Registrar, the same Regional Director and the same filing obligations today as it had before either reorganisation.
What did move was everything underneath. Trade licences, shops and establishments registrations, dealings with the District Industries Centre, addresses on agreements and certificates, and any incentive claim keyed to a district name. If your paperwork predates 2025 and names a district, it is worth checking that the district still exists — nine of them do not.
The transferable lesson, which applies well beyond Rajasthan: a district name is not a stable identifier to build compliance on. Where a form gives you the choice, the state and the Registrar are the durable facts. Our Delhi page documents what happens when a Registrar's jurisdiction is defined by naming districts and those districts are then redrawn, and our Telangana page covers a commission reviewing that state's districts as we write. Rajasthan is the completed case of all three.
One Registrar for Forty-One Districts
The proviso to section 12(5) of the Companies Act 2013 bars a company from moving its registered office from one Registrar's jurisdiction to another within the same state without confirmation by the Regional Director — a special resolution, Form MGT-14, an application in Form INC-23 under rule 28, an order, then INC-28 and INC-22. It is the running story on most of the state pages we maintain.
| State | Registrars | Can an intra-state office move need a Regional Director's order? |
|---|---|---|
| Maharashtra | 4 | Yes — frequently |
| Tamil Nadu | 2 | Yes — Chennai against Coimbatore |
| Uttar Pradesh | 2 | Yes — Kanpur against Noida |
| Rajasthan | 1 | No. Never. |
A registered-office move anywhere inside Rajasthan is a plain INC-22 — Jaipur to Jodhpur, Udaipur to Bhiwadi, Kota to Bikaner. Rajasthan is the largest state in India by area, and you can move a registered office from one end of it to the other on a single form. That is the same feature that made it immune to the district reorganisation, seen from a different angle.
Your Regional Director Sits in Gujarat
Rajasthan does not appear in the Ministry of Corporate Affairs reorganisation notified as S.O. 4850(E), so RoC Jaipur is unchanged. The level above it is worth knowing, because it is not in Rajasthan.
With effect from 16 February 2026, the North-Western Region directorate at Ahmedabad covers Rajasthan, Gujarat, Madhya Pradesh and the Union Territory of Dadra and Nagar Haveli. So the applications a growing company eventually files — compounding of offences after a missed filing, condonation of delay, shifting a registered office from one state to another, certain name-change directions and fast-track mergers under section 233 — are heard by a Regional Director sitting in another state's capital.
That is common enough in India and it is not a problem in itself. It affects how a matter is run rather than whether it succeeds, and it is better known in advance than discovered when you need a compounding application heard. Note also that Chhattisgarh does not appear in the North-Western Region and now sits under the South-Eastern Region at Hyderabad — the current allocation is quoted from the notification, while the transfer is our reading of the table rather than something we have seen documented.
The Best Thing About Rajasthan for an EmployerThere Is No Profession Tax in Rajasthan
We have spent much of this year documenting how profession tax works across India, state by state, and it is a genuinely messy area. Rajasthan's answer is that it does not apply.
| State | How profession tax works there |
|---|---|
| Maharashtra & Karnataka | State tax, registered through SPICe+ at incorporation |
| Tamil Nadu | A local body tax on half-yearly income — no single state rate exists |
| Telangana | Due by the 10th of the month — the earliest deadline in India |
| Gujarat | Collected by your municipal corporation, not the state |
| Goa | Levied — despite a number of published lists saying otherwise |
| Rajasthan | Not levied at all |
Rajasthan is in the same position as Delhi, Haryana and Uttar Pradesh. For an employer that means one fewer registration at incorporation, one fewer deduction to configure, one fewer return to file and one fewer deadline to miss — for every employee, permanently. The money is modest, capped at ₹2,500 a year by Article 276 of the Constitution wherever it is levied. It is the administrative saving that people underrate.
One practical warning, because we see it go wrong. If you run payroll for a group with entities in more than one state, the absence of profession tax in Rajasthan is a configuration difference, not a default. A payroll template copied from a Maharashtra, Karnataka or Gujarat entity will happily deduct profession tax from Rajasthan salaries that owe none — and recovering an over-deduction from an employee months later is an unpleasant conversation to have. Compare positions with our profession tax state finder.
RIPS 2024 — What the State Puts on the Table
Rajasthan's headline incentive framework is the Rajasthan Investment Promotion Scheme 2024, covering manufacturing, IT, tourism and agri-processing among other sectors.
| Head | Reported position |
|---|---|
| SGST reimbursement | Up to 75% over 7–10 years, the period depending on investment size and sector |
| Capital subsidy | Up to ₹15 crore on eligible fixed capital investment |
| Stamp duty | 75% exemption plus 25% reimbursement on land and lease documentation |
| Electricity duty | 100% exemption for 7 years for eligible industrial units |
| Interest subsidy | An additional 0.5% to 2% on term loans for qualifying MSMEs |
| Location | Backward areas receive higher benefits |
How to read that table, and why we have labelled it. The structure — which heads of assistance exist, that they run for several years, and that location changes the answer — is solid and worth planning around. The numbers come from published summaries rather than from the scheme document itself, which we have not read end to end, so we call them reported rather than presenting them as verified. Before any of them goes into a business plan we confirm them against the operative scheme for your sector, investment size and location.
A scheme is also only as good as its disbursal record. RIPS is reported to have paid out ₹765.78 crore in FY 2024-25, which at least tells you it is a live scheme rather than a brochure — a distinction not every state's headline package survives.
The stamp duty line above is relief on industrial land and lease documents under the incentive scheme. It is a different thing entirely from the stamp duty payable on your Memorandum and Articles at incorporation, dealt with below, which is payable anywhere in Rajasthan. The two are regularly run together, usually to a founder's disappointment.

Company Registration Across Rajasthan
Every address below files with RoC Jaipur. What differs is the industrial area, the sector ecosystem and — for a project claiming incentives — the location classification.

Why Rajasthan, and Where It Is Genuinely Strong
No profession tax
One fewer registration, deduction, return and deadline for every employee, permanently. Small per head, meaningful across a payroll, and free.
The Delhi-facing industrial belt
Bhiwadi, Neemrana and Khushkhera sit close enough to the National Capital Region to serve it while being priced like Rajasthan — which is the entire point of them, and why the Japanese cluster settled there.
The best solar resource in India
And transmission that has largely followed it. For anything energy-intensive or renewables-adjacent that is a real input advantage rather than a slogan.
Gems, jewellery and handicrafts
Jaipur for coloured stones, Jodhpur for furniture and handicrafts — export ecosystems with valuers, certifiers, freight and customs brokers that would take a decade to replicate.
Tourism and hospitality depth
An operator, supplier and staffing market few states can match, and a sector RIPS 2024 covers explicitly.
What we will say plainly
Rajasthan is the largest state in India by area and its industrial centres are a long way apart. Outside Jaipur and the NCR fringe it is not a deep market for senior technology or professional hiring. If your business needs a dense specialist labour pool, be honest about that before you commit.

Stamp Duty on MoA & AoA in Rajasthan
Stamp duty on the Memorandum and Articles is a state levy collected when SPICe+ is filed, and in Rajasthan it is linked to authorised share capital.
We do not publish a fixed table here, deliberately. Two states moved theirs in the last two years — Karnataka raised its incorporation duty fivefold in February 2024, and Maharashtra increased its Articles rate by half in October 2024. A figure printed on a website eighteen months ago is exactly how a founder ends up with a budget wrong by an order of magnitude. We quote Rajasthan duty against your actual authorised capital and confirm it before filing. Compare states with our stamp duty calculator, and estimate the central fee with our MCA fee calculator.
Where duty scales with authorised capital there is a real cost to setting capital higher than you need at incorporation. Most companies are better off starting low and increasing it at the round, when there is money to pay for it and a reason to.
Step-by-Step Registration Procedure
If you already trade here, check the district on your paperwork
Nine districts were dissolved on 31 December 2024. Your Registrar is unaffected; your licences, registrations and agreements may name a district that no longer exists.
Digital Signature Certificate (DSC)
A Class 3 DSC for every proposed director, through Aadhaar OTP or video KYC. For a foreign director the route is passport-based with notarisation and apostille, usually the longest item on the critical path.
Director Identification Number (DIN)
Allotted through SPICe+ itself for first-time directors. At least one director must be resident in India.
Name reservation and approval
Two proposed names through SPICe+ Part A. Check first with our company name availability tool, and run a trademark search alongside — names drawing on Rajasthan's heritage and jewellery associations collide more often than founders expect.
Drafting MoA and AoA
Objects, share classes, reserved matters, transfer restrictions and board composition, aligned to any shareholders' agreement. For a project intending to claim under RIPS, the objects clause will later be read against your eligibility — worth drafting broadly enough at the outset.
Filing SPICe+ with RoC Jaipur
SPICe+ Part B with AGILE-PRO-S (INC-35) and INC-9. The profession tax field in AGILE-PRO-S applies only to Maharashtra, Karnataka and West Bengal, so for a Rajasthan company it is simply left alone.
Certificate of Incorporation, PAN and TAN
Issued with the CIN, naming RoC Jaipur. Rajasthan stamp duty is collected at this stage.
Post-incorporation setup
Current account activation, GST registration, shops and establishments, Udyam registration, RIICO and RIPS registrations where relevant, and — if foreign money is coming in — the time-bound FC-GPR filing. There is no profession tax step.
Documents Required for Registration
For Indian directors and shareholders
- PAN card (mandatory for Indian nationals)
- Aadhaar card
- Passport-size photograph
- Identity proof — Voter ID, Passport or Driving Licence
- Address proof — bank statement or utility bill, not older than two months
- Email ID and mobile number linked to Aadhaar
For a foreign parent or foreign director
- Passport and address proof, notarised and apostilled in the home country
- Board resolution of the parent authorising the Indian investment and naming the authorised signatory
- Certificate of incorporation and charter documents of the parent, apostilled
- Proof of the registered office — utility bill, NOC from the owner, and the rental or lease agreement
A residential address is valid anywhere in the state, and co-working works where the agreement and a utility bill in the provider's name are available. For a RIICO plot, confirm the allotment position and permitted use before the address goes into the MoA.
Timeline & Cost Overview
| Stage | Typical time | What decides it |
|---|---|---|
| DSC for all directors | 1–2 working days | Same day for Indian directors with Aadhaar OTP; several days if a foreign director needs apostilled documents |
| Name approval (SPICe+ Part A) | 1–3 working days | Distinctiveness, including against existing marks |
| Drafting and signing MoA, AoA, INC-9 | 1–2 working days | Longer where a shareholders' agreement or a RIPS-facing objects clause has to be reflected |
| SPICe+ Part B, AGILE-PRO-S processing | 3–5 working days | Registrar queue and whether the file attracts a resubmission |
| Total, clean file | 7–10 working days | A resubmission typically adds three to five working days |
| With a foreign parent | Usually 3–6 weeks | Driven almost entirely by the apostille, not the Indian filing |
FDI, FEMA and the Filings That Follow Incorporation
Rajasthan's Delhi-facing belt has drawn a good deal of Japanese and European manufacturing investment, and the renewables sector attracts international capital of its own. Incorporation is the easy half; the filings that follow are time-bound and the penalties for missing them are real.
Entry route
Most sectors permit 100% foreign investment under the automatic route with no prior approval. Some — defence, broadcasting, print media, multi-brand retail — need government approval. Sector and activity are checked against the FDI Policy before the objects clause is drafted.
Entity Master and the Single Master Form
Before the first FC-GPR the company registers on the RBI's FIRMS portal through the Entity Master. Companies routinely discover this when the FC-GPR is already due.
Pricing and valuation
Shares issued to a non-resident cannot be priced below fair value on an internationally accepted methodology, certified by a merchant banker or chartered accountant. Section 56(2)(viib) and rule 11UA also apply on the income-tax side.
Form FC-GPR
Filed within 30 days of allotment. Allotment must happen within 60 days of receiving the money, failing which it is refundable within 15 days. FC-GPR filing →
Annual FLA return
The Foreign Liabilities and Assets return is due by 15 July each year for every company holding foreign investment, including years when nothing new came in.
FC-TRS on transfers
Any transfer of shares between a resident and a non-resident is reported in FC-TRS within 60 days. Secondary transfers are missed far more often than fresh issues.
Where there is a foreign parent there will usually be international transactions with associated enterprises, bringing transfer pricing documentation and Form 3CEB, and outward remittances requiring Form 15CA and 15CB. Services exporters should check their STPI registration and Softex filing position. If the structure is a branch, liaison or project office rather than a subsidiary, see branch office, liaison office and project office registration, or our foreign subsidiary company service.
Licences & Registrations Applicable in Rajasthan
Applies to almost every Rajasthan company
- Rajasthan Shops and Establishments registration
- GST registration — on crossing the threshold, or immediately for inter-state supply, e-commerce and exports
- Udyam (MSME) registration — free, and it unlocks the 45-day payment protection
- EPFO and ESIC — applied for through AGILE-PRO-S; obligations bite at the statutory headcounts
- POSH — an internal committee is mandatory at ten or more employees
- No profession tax registration — Rajasthan does not levy it
Sector and project-specific
- RIICO plot allotment and transfer approvals
- RIPS 2024 registration and eligibility certification
- RSPCB consent to establish, then consent to operate — before construction, not after
- Factories Act licence and labour department approvals
- Import Export Code and AD Code — essential for the gems, handicrafts and furniture export trades
- FSSAI, mining leases, PESO and sector registrations as applicable
- Trademark registration — in the company's name, not a founder's
Why Choose TAXAJ for Your Rajasthan Company
We know which districts still exist
Nine were dissolved on 31 December 2024 and eight of the 2023 creations survived. If your paperwork predates 2025 we reconcile it rather than leave you to discover the problem at a renewal.
We configure payroll to Rajasthan, not to a template
No profession tax here. A template copied from a Maharashtra or Gujarat entity will deduct it anyway, and unwinding an over-deduction from an employee is an unpleasant conversation.
We label what we have verified
The RIPS table on this page is marked as reported figures rather than presented as gospel, because we have not read the scheme document end to end. We confirm the numbers for your project before they reach a business plan.
India entry, end to end
Apostille chains, entry route, valuation, Entity Master, FC-GPR, FLA, FC-TRS and transfer pricing — the work that decides whether a subsidiary runs cleanly.
CA, CS and lawyer in one team
Incorporation, tax, GST, ROC, FEMA and legal drafting handled by one accountable team instead of four vendors who each blame the others.
We will tell you not to
If your business needs a dense senior technology or professional hiring market, Rajasthan outside Jaipur and the NCR fringe is thin. Better said before you incorporate than after you try to hire.
TAXAJ does not have an office in Rajasthan. We serve clients across the state from our offices in Delhi, Bengaluru, Bihar and Goa, and the entire incorporation is online — DSC by video KYC, documents by secure upload, filings through the MCA portal. We say this plainly because a firm that invents a local address on its website is telling you something about how it will handle yours.
Post-Incorporation Compliances
Immediate — first 30 to 180 days
- Bank account activation and deposit of subscription money
- Form INC-20A declaration of commencement of business within 180 days

Frequently Asked Questions
Which Registrar of Companies handles Rajasthan?
RoC Jaipur, for all forty-one districts. Rajasthan does not appear in the February 2026 MCA reorganisation notification, so the position is exactly as it was.
Rajasthan changed its districts twice. Did that affect my company?
No, and it could not have. Rajasthan has one Registrar for the entire state, so there is no district line inside RoC Jaipur's territory for a boundary change to disturb. Through nineteen districts being created in 2023 and nine dissolved on 31 December 2024, no CIN changed, no question arose under the proviso to section 12(5), and nobody filed a Form INC-23 because of it. What did move was everything underneath — trade licences, registrations, addresses on agreements and anything keyed to a district name.
How many districts does Rajasthan have now?
Forty-one districts and seven divisions, down from fifty and ten. The nine dissolved on 31 December 2024 were Dudu, Kekri, Shahpura, Neem Ka Thana, Gangapur City, Jaipur Rural, Jodhpur Rural, Anupgarh and Sanchore; the abolished divisions were Pali, Sikar and Banswara. Eight of the 2023 creations were retained: Balotra, Beawar, Deeg, Didwana-Kuchaman, Kotputli-Behror, Khairthal-Tijara, Phalodi and Salumbar.
Why were the new districts abolished?
The High-Level Committee that reviewed them found them unviable — no infrastructure, no office buildings and insufficient administrative resources more than a year after they had been created. Eight were kept on grounds of administrative necessity.
Does Rajasthan charge profession tax?
No — Rajasthan does not levy profession tax at all, in the same position as Delhi, Haryana and Uttar Pradesh. No registration at incorporation, no deduction to configure, no return to file and no deadline to miss, for every employee, permanently. It is capped at ₹2,500 a year elsewhere by Article 276 of the Constitution, so the money is modest — the administrative saving is the real one.
My payroll is deducting profession tax from Rajasthan salaries. Is that right?
No. If you run payroll for a group with entities in several states, a template copied from a Maharashtra, Karnataka or Gujarat entity will deduct profession tax from Rajasthan salaries that owe none. Recovering an over-deduction from an employee months later is an unpleasant conversation, so the configuration is worth checking rather than assuming.
Who is my Regional Director?
The North-Western Region directorate at Ahmedabad, covering Rajasthan, Gujarat, Madhya Pradesh and the Union Territory of Dadra and Nagar Haveli — so a Rajasthan company's Regional Director sits in another state's capital. That is common in India and not a problem in itself, but it affects how a matter is run and is better known before you need a compounding application heard.
Can I move my registered office within Rajasthan later?
Yes, and easily. With a single Registrar for the state, any move inside Rajasthan is a plain INC-22 — Jaipur to Jodhpur, Kota to Bikaner, however far. Rajasthan is the largest state in India by area and you can move a registered office from one end of it to the other on a single form.
What does RIPS 2024 offer?
Reported terms are SGST reimbursement of up to 75% over 7–10 years depending on investment size and sector; capital subsidy up to ₹15 crore; 75% exemption plus 25% reimbursement on stamp duty for land and lease documents; 100% electricity duty exemption for 7 years; and an interest subsidy of 0.5% to 2% for qualifying MSMEs, with higher benefits in backward areas. Those figures come from published summaries rather than the scheme document, so we label them as reported and confirm them against the operative scheme before anything goes into a business plan. RIPS is reported to have disbursed ₹765.78 crore in FY 2024-25.
How much is stamp duty on incorporation in Rajasthan?
It is linked to authorised share capital and the schedule is amended from time to time, so we quote it against your actual capital rather than publishing a table. This is entirely separate from the stamp duty relief on industrial land and lease documents under RIPS — the two are regularly confused.
Can a foreign company own 100% of a Rajasthan subsidiary?
In most sectors yes, under the automatic route with no prior government approval. Some sectors need approval and a few are prohibited, so the activity is checked against the FDI Policy before the objects clause is drafted. You will need at least one director resident in India.
Do I need to be in Rajasthan to register a company there?
No. The whole process is online — DSC through Aadhaar OTP or video KYC, documents by secure upload, and filing through the MCA portal. TAXAJ has no Rajasthan office; we serve clients across the state from Delhi, Bengaluru, Bihar and Goa. You will need a genuine registered-office address in the state, which the Registrar can and does verify.
