Private Limited Company Registration in Odisha
Register your Pvt Ltd company anywhere in Odisha with a CA-led team — SPICe+ filing, DSC, DIN, name approval, MoA & AoA drafting, PAN, TAN and GST, filed with RoC Cuttack for all 30 districts. This page opens with a correction to our own earlier version, because Odisha repealed profession tax with effect from 1 April 2026 and the table we used to publish here was out of date in more ways than one.
- Filed with RoC Cuttack
- No profession tax from April 2026
- DSC & DIN for all directors
- PAN, TAN & CIN included
- Pre-April dues position checked
- FDI & FEMA practice in-house
We Had a Profession Tax Table on This Page. It Was Wrong Three Ways.
Until this rewrite, this page carried a short block headed "Professional Tax Slabs in Odisha". It said that once you hire staff, Odisha profession tax applies per certain annual income bands — nil up to ₹1,60,000, ₹1,500 a year from ₹1,60,001 to ₹3,00,000, and ₹2,500 a year above ₹3,00,000, described as ₹200 a month. It then offered to set up your Odisha profession tax registration and filings.
Every one of those sentences had a problem, and we would rather set them out than quietly delete them.
1. It was the right table for the wrong people
Those annual bands were the schedule for self-employed persons. Salaried employees were assessed on monthly salary bands — nil up to about ₹13,304 a month, ₹125 between roughly ₹13,305 and ₹25,000, and ₹200 above ₹25,000. The block began "once you hire staff" and then printed the schedule that did not apply to staff.
2. The arithmetic never closed
It said ₹2,500 a year, and ₹200 a month. ₹200 × 12 = ₹2,400. The two figures cannot both be right, and a firm of chartered accountants should have noticed that before publishing it. What Odisha actually did is set out below, and it is more interesting than the error.
3. The levy no longer exists
Odisha repealed profession tax with effect from 1 April 2026. So the page was offering to arrange a registration for a tax that had already been abolished — the single worst kind of error a professional services website can make, because it is an offer rather than an observation.
And the fourth, which is invisible on screen
The same claim sat in the page's FAQ structured data, not just its visible copy. So it was not merely printed for readers — it was being handed to search engines as a machine-readable answer to "what is the professional tax in Odisha". Fixing the paragraph without fixing the schema would have left the wrong answer in circulation.
The general point, and the reason we are leading a state pillar with it.
On Indian incorporation sites the profession tax block is the most copied and least revisited thing on the page. It gets written once, lifted from state to state with the numbers swapped, dropped into structured data, and then never looked at again — while the underlying law moves. We are not exempt from that, as this page demonstrates. The honest response is not to claim we never get it wrong; it is to say what we found, how we found it, and what we changed.
What Odisha's Profession Tax Actually Was — and Why the Months Did Not Add Up
The Odisha State Tax on Professions, Trades, Callings and Employments Act, 2000 governed the levy until its repeal. For salaried employees it worked on monthly salary bands, and the top band produced an annual liability of ₹2,500 — the ceiling set for every state by Article 276 of the Constitution.
₹2,500 does not divide evenly into twelve. So Odisha did what a drafter has to do: it collected ₹200 for eleven months and ₹300 in one month, which sums exactly to ₹2,500. That structure is confirmed by two independent sources.
One thing we are deliberately not telling you: which month carried the ₹300.
Our sources agree on the eleven-plus-one structure and disagree on which month took the higher deduction. Since the levy is repealed and the question is now historical, publishing a confident month would add a risk without adding any use. Where sources conflict outright we publish neither — the same approach we take to Gujarat's profession tax filing frequency and late-payment interest, and for the same reason. If you need the position for a specific closed year, we will establish it against the assessment record rather than against a website.
Odisha and Madhya Pradesh: One Problem, Two Solutions
This is worth a moment if you run payroll in more than one state, because it explains a class of error that never shows up until year end.
Both Odisha and Madhya Pradesh fixed an annual profession tax liability of ₹2,500. Both therefore ran into the same arithmetic: twelve equal monthly deductions cannot produce ₹2,500. They solved it in opposite ways.
| Madhya Pradesh | Odisha (until 31 March 2026) | |
|---|---|---|
| Where the remainder goes | Spread across the months | Loaded into one month |
| What a payslip shows | A monthly figure that varies — roughly ₹166–174, or ₹208–212 | ₹200 for eleven months, then ₹300 once |
| How the error looks if you use a flat figure | A small drift in every month | Eleven correct months and one badly wrong one |
| When it surfaces | Year end, in both — which is exactly why it survives so long | |
The lesson generalises past these two states. Where a profession tax liability is fixed annually, the monthly deduction is a derived number, not an input. A payroll system that treats it as an input will be wrong, and the shape of the wrongness depends on drafting choices made in a state secretariat years ago. Our own former table on this page was an example of exactly that: we recorded the derived monthly figure and lost the annual total it was supposed to reconcile to.
The Repeal, in Full
The instrument is Odisha Ordinance 02 of 2026 — the Odisha State Tax on Professions, Trades, Callings and Employments (Repeal) Ordinance, 2026 — promulgated on 20 April 2026 and published in the Odisha Gazette on 21 April 2026, operating with effect from 1 April 2026, back to the start of the financial year. It was announced in the State Budget for 2026-27; reported revenue forgone is around ₹320 crore a year.
The repeal is prospective, and the Ordinance carries a savings clause. This is the half that matters on a live file.
The repeal does not affect the Act's "previous operation or anything duly done or action taken including orders passed, returns submitted, notices issued, assessments made, taxes paid and arrear of tax", nor any accrued right, obligation or liability. Any "investigation, legal proceeding or remedy in respect of any such right, obligation or liability" may be "instituted, continued or enforced as if the said Act had not been repealed".
In plain terms: nothing owed for a period up to 31 March 2026 has gone away. An arrear is still recoverable, a pending assessment still proceeds, and a notice already issued still has to be answered. If you are closing an Odisha profession tax registration, close the old years properly — do not assume the repeal closed them for you.
What an Odisha employer should actually do
Going forward
- Stop the deduction from April 2026 salaries onwards
- Remove the profession tax component from payroll — do not leave it at zero inside a live rule that someone re-enables later
- If April was already processed with a deduction, refund it through a subsequent payroll run
- Drop the profession tax field from the salary structure in offer letters and CTC breakups
- From FY 2026-27 there is no section 16(iii) deduction to claim against salary income in Odisha, because no profession tax is paid
Looking backwards
- Reconcile every period up to 31 March 2026 before closing anything
- File the final return for FY 2025-26 in the ordinary way
- Settle arrears — the savings clause keeps them fully recoverable
- Answer any notice already issued; the repeal is not a defence
- Retain the registration records; assessments for closed years can still proceed
- Check the eleven-plus-one arithmetic for the closed years, because a flat monthly figure will have short-deducted
On the government side, Finance Department Letter No. 10676 dated 22 April 2026, addressed to all Departments of Government and all Heads of Department, directed drawing and disbursing officers to discontinue the deduction from the April 2026 salary bills and to adjust in subsequent bills where a deduction had already been made. That letter is addressed to government DDOs and not to private employers — but a private employer that ran April payroll before the news reached it faces exactly the same arithmetic, and the same refund.
The Profession Tax Map, Redrawn
Across this series of state pages we have built a comparison of how profession tax is actually administered, because the amount is capped at ₹2,500 a year everywhere and is therefore never the interesting part. Odisha has just moved from one row of that table to another — the only state to change category while we have been writing these pages.
| How it is administered | States | What breaks a copied payroll template |
|---|---|---|
| Monthly salary slabs, levied by the state | Maharashtra, Karnataka, Telangana, Goa | Deadlines differ — Telangana is due by the 10th, the earliest of any major state |
| Half-yearly income, levied by the local body | Tamil Nadu | There is no monthly deduction to configure at all |
| Monthly, collected by the municipal corporation | Gujarat | You register with a corporation, not the state |
| Annual liability, uneven monthly deductions | Madhya Pradesh | A flat monthly figure will not reconcile at year end |
| Not levied at all | Rajasthan, Delhi, Haryana, Uttar Pradesh — and now Odisha | A template copied from another state will deduct tax that is not owed |
Every levying state caps at ₹2,500 a year under Article 276. The money is never the issue; the machinery is. And the machinery moves — which is the argument for treating a compliance page as something with a maintenance obligation rather than a publication date.
One Registrar, in Odisha's Former Capital
RoC Cuttack has jurisdiction over the whole of Odisha — all 30 districts, from Bhubaneswar and Cuttack to Rourkela, Sambalpur, Berhampur, Angul, Jharsuguda and Paradip. Odisha does not appear in the February 2026 reorganisation of Registrars, so nothing about that position has changed.
The Registrar is not in the capital. Cuttack was Odisha's capital until 1948, when Bhubaneswar replaced it; the office was established when the administrative weight sat at Cuttack and it never moved. Cuttack also remains the seat of the Orissa High Court, so the legal centre of gravity genuinely still sits there — this is not simply an office left behind.
| State | Capital | Where the Registrar sits |
|---|---|---|
| Odisha | Bhubaneswar | Cuttack — capital until 1948 |
| Madhya Pradesh | Bhopal | Gwalior — the state's fourth-largest city |
| Uttar Pradesh | Lucknow | Kanpur — the principal Registrar |
The observation worth carrying away: Registrar locations are historical artefacts. They mark where administrative weight sat when the office was created, not where a state governs or trades today. Never infer your jurisdiction from what feels geographically natural — look it up.
Why a Single Registrar Makes Odisha Simple
Because one Registrar covers the entire state, a question that causes real trouble elsewhere cannot arise in Odisha at all.
The proviso to section 12(5) of the Companies Act 2013, read with rule 28 of the Companies (Incorporation) Rules 2014, requires confirmation by the Regional Director in Form INC-23 when a company shifts its registered office from the jurisdiction of one Registrar to another within the same state. That needs two Registrars inside one state. Odisha has one.
In Odisha
- Bhubaneswar to Rourkela — plain INC-22
- Cuttack to Berhampur — plain INC-22
- Angul to Jharsuguda — plain INC-22
- Any move inside the state, however far — no Regional Director, no INC-23, no hearing
Where it does bite
- Maharashtra — four Registrars inside one state
- Tamil Nadu — Chennai and Coimbatore, so a 50 km move can cross a line while a 700 km move does not
- Uttar Pradesh — Kanpur and a second jurisdiction
- Anywhere the Registrar's territory is defined by naming districts, a district reorganisation can create a mismatch
And Your Regional Director Sits in Telangana
Under the reorganisation of Regional Directorates effective 16 February 2026, Odisha falls in the South-Eastern Region, with its directorate at Hyderabad, covering Andhra Pradesh, Chhattisgarh, Odisha and Telangana.
So an Odisha company's Regional Director is roughly 1,200 km away, in another state's capital. Day to day this changes nothing — SPICe+ is filed online, the certificate arrives by email, and annual filings never require travel. It becomes real when something needs a hearing: a compounding application after a missed filing, a condonation of delay, or a scheme of arrangement under section 233. Knowing in advance means you can plan and budget for it rather than discover it.
We quote the four-state allocation from the notification itself. That Odisha was previously administered from Kolkata is our reading of the same table, not a quotation — we distinguish the two throughout these pages, and you are entitled to know which is which.

Repealed from 1 April 2026. No registration, no deduction, no return — for periods from that date onwards.
State agencies
IDCO for industrial land and estates, IPICOL for investment promotion, OSPCB for pollution consents.
Odisha's Single Window Is Legislated, Not a Brochure
Odisha's clearance machinery rests on the Odisha Industries (Facilitation) Act 2004, with the Odisha Industries (Facilitation) Rules 2005 and the 2015 Amendment Rules. The operating system is GO-SWIFT — the Government of Odisha Single Window for Investor Facilitation and Tracking — built around a Combined Application Form which all departments and authorities are mandated to accept, rather than each running its own intake.
Clearance authority is tiered by the size of the project:
| Authority | Project investment | Chaired / run by |
|---|---|---|
| District Level Single Window Clearance Authority | Below ₹50 crore | District Industries Centres as nodal agency |
| State Level Single Window Clearance Authority | ₹50 crore to ₹1,000 crore | Chief Secretary, with IPICOL as technical secretariat |
| High Level Clearance Authority | Above ₹1,000 crore | Chief Minister |
The framework also provides for deemed approvals where a department does not respond within the prescribed period, and for monthly meetings at which applications are taken up. That combination — a statutory basis, a mandated common form, and deemed approval as the backstop — is a stronger design than a portal alone.
How firmly we are standing behind that, stated precisely.
The description above is drawn from the State Government's own investment portal. We have not read the Odisha Industries (Facilitation) Act 2004 section by section, and so we do not quote section numbers for the deemed-approval provision or the timelines. On our Telangana page we do cite section numbers for the TS-iPASS Act, because there we read the bare Act on India Code. The difference between those two pages is deliberate, and it is the difference between "the state says this" and "we have checked this". A site that presents both with equal confidence is not telling you something you need to know.
Company Registration Across Odisha
Every one of these files with the same Registrar, on the same form, to the same timetable. The differences are commercial, not procedural.
Bhubaneswar
The capital, and the state's services and technology base — Infocity and Info Valley, an unusual concentration of institutions, and the largest professional talent pool in Odisha.
Cuttack
The commercial and legal centre, seat of the Orissa High Court and of your Registrar. Twenty-odd kilometres from Bhubaneswar and functionally part of the same economy.
Paradip
A major east-coast port with petrochemicals, refining and fertiliser alongside it. The natural base for anything import-led, export-led or bulk.
Rourkela & Kalinganagar
Steel, at national scale, with the downstream engineering and fabrication ecosystem that grows around it.
Angul & Jharsuguda
Aluminium and power. Energy-intensive processing goes here for reasons that are structural rather than promotional.
Sambalpur & Berhampur
Regional commercial centres serving western and southern Odisha — trading, agri-processing, distribution and services.
Where Odisha Is Genuinely Strong
No profession tax from April 2026
The money saved is small — ₹2,500 per employee a year at most. What actually goes is a registration, a monthly deduction, a return and a deadline, permanently, for every employee. That is the real saving.
Minerals and metals at national scale
Iron ore, bauxite, chromite and coal, with steel and aluminium capacity built around them. For downstream and ancillary businesses this is a genuine locational advantage rather than a slogan.
An east-coast port position
Paradip, Dhamra and Gopalpur give the state real maritime capacity, with South-East Asian routes shorter from here than from the west coast.
A statutory single window
The Odisha Industries (Facilitation) Act 2004, GO-SWIFT, a mandated common application form and deemed approvals — a framework with a legal basis, not only a portal.
A services base with a cost advantage
Bhubaneswar offers office and salary costs well below the metros with a steady supply of engineering and management graduates.
What we will say plainly
Odisha's Industrial Policy Resolution 2022 offers capital, interest and land benefits. We publish no percentages, because we could not verify current entitlements against a primary source — and a number you cannot rely on is worse than no number.
Instant Cost Estimator — Pvt Ltd in Odisha
Get an indicative professional-fee estimate based on your company structure. Government fees (ROC, stamp duty, DSC tokens) are charged at actuals and confirmed on your free call.
Setting up an Indian subsidiary for an overseas parent? Use our foreign subsidiary set-up cost estimator instead — the cost structure is different.
Stamp Duty on MoA & AoA in Odisha
Stamp duty on the Memorandum and Articles is a state levy collected when SPICe+ is filed, and in Odisha it is linked to authorised share capital.
We do not publish a fixed table here, deliberately. Two states moved theirs in the last two years — Karnataka raised its incorporation duty fivefold in February 2024, and Maharashtra increased its Articles rate by half in October 2024. A figure printed on a website eighteen months ago is exactly how a founder ends up with a budget wrong by an order of magnitude. We quote Odisha duty against your actual authorised capital and confirm it before filing. Compare states with our stamp duty calculator, and estimate the central fee with our MCA fee calculator.
Where duty scales with authorised capital there is a real cost to setting capital higher than you need at incorporation. Most companies are better off starting low and increasing it at the round. This is also a different thing from any stamp duty concession attaching to industrial land under the state's incentive schemes.
Step-by-Step Registration Procedure
Digital Signature Certificate (DSC)
A Class 3 DSC for every proposed director, through Aadhaar OTP or video KYC. For a foreign director the route is passport-based with notarisation and apostille, usually the longest item on the critical path.
Director Identification Number (DIN)
Allotted through SPICe+ itself for first-time directors. At least one director must be resident in India.
Name reservation and approval
Two proposed names through SPICe+ Part A. Check first with our company name availability tool, and run a trademark search alongside it rather than after.
Drafting MoA and AoA
Objects, share classes, reserved matters, transfer restrictions and board composition, aligned to any shareholders' agreement. For an IDCO project the objects clause will later be read by whoever processes your allotment and any incentive claim — worth drafting broadly enough at the outset.
Filing SPICe+ with RoC Cuttack
SPICe+ Part B with AGILE-PRO-S (INC-35) and INC-9 — filed online, so wherever in the state you are, the distance to Cuttack is irrelevant at this stage. Note that Odisha abolished profession tax with effect from 1 April 2026, so there is no profession tax field to complete and no registration to take.
Certificate of Incorporation, PAN and TAN
Issued with the CIN, naming RoC Cuttack. Odisha stamp duty is collected at this stage.
Post-incorporation setup
Current account activation, GST registration, shops and establishments, Udyam registration, and — if foreign money is coming in — the time-bound FC-GPR filing.
Documents Required for Registration
For Indian directors and shareholders
- PAN card (mandatory for Indian nationals)
- Aadhaar card
- Passport-size photograph
- Identity proof — Voter ID, Passport or Driving Licence
- Address proof — bank statement or utility bill, not older than two months
- Email ID and mobile number linked to Aadhaar
For a foreign parent or foreign director
- Passport and address proof, notarised and apostilled in the home country
- Board resolution of the parent authorising the Indian investment and naming the authorised signatory
- Certificate of incorporation and charter documents of the parent, apostilled
- Proof of the registered office — utility bill, NOC from the owner, and the rental or lease agreement
A residential address is valid, and co-working works where the agreement and a utility bill in the provider's name are available. For an IDCO plot anywhere in the state, confirm the allotment position and permitted use before the address goes into the MoA.
Timeline & Cost Overview
| Stage | Typical time | What decides it |
|---|---|---|
| DSC for all directors | 1–2 working days | Same day for Indian directors with Aadhaar OTP; several days if a foreign director needs apostilled documents |
| Name approval (SPICe+ Part A) | 1–3 working days | Distinctiveness, including against existing marks |
| Drafting and signing MoA, AoA, INC-9 | 1–2 working days | Longer where a shareholders' agreement or a manufacturing objects clause has to be reflected |
| SPICe+ Part B, AGILE-PRO-S processing | 3–5 working days | Registrar queue and whether the file attracts a resubmission |
| Total, clean file | 7–10 working days | A resubmission typically adds three to five working days |
| With a foreign parent | Usually 3–6 weeks | Driven almost entirely by the apostille, not the Indian filing |
FDI, FEMA and the Filings That Follow Incorporation
Odisha’s metals, mining and port sectors have drawn international investment for decades, and Paradip’s petrochemical base has its own long-standing foreign participation. Incorporation is the easy half; the filings that follow are time-bound and the penalties for missing them are real.
Entry route
Most sectors permit 100% foreign investment under the automatic route with no prior approval. Some — defence, broadcasting, print media, multi-brand retail — need government approval. Sector and activity are checked against the FDI Policy before the objects clause is drafted.
Entity Master and the Single Master Form
Before the first FC-GPR the company registers on the RBI's FIRMS portal through the Entity Master. Companies routinely discover this when the FC-GPR is already due.
Pricing and valuation
Shares issued to a non-resident cannot be priced below fair value on an internationally accepted methodology, certified by a merchant banker or chartered accountant. Section 56(2)(viib) and rule 11UA also apply on the income-tax side.
Form FC-GPR
Filed within 30 days of allotment. Allotment must happen within 60 days of receiving the money, failing which it is refundable within 15 days. FC-GPR filing →
Annual FLA return
The Foreign Liabilities and Assets return is due by 15 July each year for every company holding foreign investment, including years when nothing new came in.
FC-TRS on transfers
Any transfer of shares between a resident and a non-resident is reported in FC-TRS within 60 days. Secondary transfers are missed far more often than fresh issues.
Where there is a foreign parent there will usually be international transactions with associated enterprises, bringing transfer pricing documentation and Form 3CEB, and outward remittances requiring Form 15CA and 15CB. Services exporters should check their STPI registration and Softex filing position — relevant for the Infocity and Info Valley cluster at Bhubaneswar. If the structure is a branch, liaison or project office rather than a subsidiary, see branch office, liaison office and project office registration, or our foreign subsidiary company service.
Licences & Registrations Applicable in Odisha

- Udyam (MSME) registration — free, and it unlocks the 45-day payment protection
- EPFO and ESIC — applied for through AGILE-PRO-S; obligations bite at the statutory headcounts

Sector and project-specific
- IDCO plot allotment and transfer approvals

- FSSAI, drug licence, PESO and sector registrations as applicable
- Trademark registration — in the company's name, not a founder's
Why Choose TAXAJ for Your Odisha Company
We read the ordinance, not the headline
Odisha repealed profession tax from 1 April 2026. Most coverage stopped at that sentence. The savings clause keeps every pre-April assessment, notice, return and arrear alive and recoverable — and that is the half that decides what you owe.
We correct our own pages in public
This page opens by setting out three errors in a table we ourselves published, rather than deleting it quietly. You are entitled to know how a firm behaves when it finds it was wrong, because that is how it will behave on your file.
We reconcile payroll to the annual total
Where a profession tax liability is fixed annually, the monthly figure is derived, not chosen. That is what broke the old table on this page, and it is what breaks payroll systems in Madhya Pradesh and broke them in Odisha.
We tell you where your file actually sits
Your Registrar is at Cuttack and your Regional Director is at Hyderabad. Neither matters much month to month, and both matter enormously the day something needs a hearing.
India entry, end to end
Apostille chains, entry route, valuation, Entity Master, FC-GPR, FLA, FC-TRS and transfer pricing — the work that decides whether a subsidiary runs cleanly or quietly accumulates a backlog.
CA, CS and lawyer in one team
Incorporation, tax, GST, ROC, FEMA and legal drafting handled by one accountable team instead of four vendors who each blame the others.
TAXAJ does not have an office in Odisha. We serve clients across the state from our offices in Delhi, Bengaluru, Darbhanga and Porvorim, and the entire incorporation is online — DSC by video KYC, documents by secure upload, filings through the MCA portal. We say this plainly because a firm that invents a local address on its website is telling you something about how it will handle yours.
Post-Incorporation Compliances
Immediate — first 30 to 180 days
- Bank account activation and deposit of subscription money
- Form INC-20A declaration of commencement of business within 180 days
- First board meeting within 30 days of incorporation
- Auditor appointed within 30 days, in Form ADT-1
- No profession tax registration — there is nothing left to register for in Odisha from 1 April 2026
- Registration under the Odisha Shops and Commercial Establishments Act
- FC-GPR within 30 days of allotment, if foreign money has come in

Frequently Asked Questions
What is the profession tax in Odisha?
There is none. Odisha repealed profession tax with effect from 1 April 2026, by Odisha Ordinance 02 of 2026. An earlier version of this page answered this question with a slab table, and that answer was wrong — both because the levy had been repealed and because the table shown was the schedule for self-employed persons rather than the monthly salary bands that applied to employees. We have replaced it rather than quietly deleted it.
Does the repeal wipe out profession tax dues from earlier years?
No — and this is the part that matters professionally. The Ordinance carries a savings clause. The repeal does not affect the Act's "previous operation or anything duly done or action taken including orders passed, returns submitted, notices issued, assessments made, taxes paid and arrear of tax", nor any accrued right, obligation or liability, and proceedings may be "instituted, continued or enforced as if the said Act had not been repealed". So a pre-April-2026 arrear is still recoverable and a pending assessment still proceeds.
We deducted profession tax from April 2026 salaries before we knew. What now?
Refund it through a subsequent payroll run. The repeal operates from 1 April 2026, so a deduction from an April salary was not owed. On the government side, Finance Department Letter No. 10676 dated 22 April 2026 directed drawing and disbursing officers to stop the deduction from April 2026 salary bills and adjust where one had already been made. That letter is addressed to government departments rather than private employers, but the arithmetic and the remedy are the same.
What were the Odisha profession tax slabs before the repeal?
For salaried employees, monthly salary bands: nil up to about ₹13,304 a month, ₹125 between roughly ₹13,305 and ₹25,000, and ₹200 above ₹25,000. For self-employed persons, annual income bands: nil up to ₹1,60,000, ₹1,500 a year from ₹1,60,001 to ₹3,00,000, and ₹2,500 above ₹3,00,000. The annual ceiling of ₹2,500 is set for every state by Article 276 of the Constitution.
Why does ₹200 a month not add up to ₹2,500 a year?
Because it does not, and that is the point. ₹200 × 12 = ₹2,400. Odisha collected ₹200 for eleven months and ₹300 in one month, which sums exactly to ₹2,500. Our sources agree on that structure and disagree on which month carried the top-up, so we do not name it — the levy is repealed and the question is now historical, and a confident wrong month would help nobody. If you need the position for a specific closed year, we will establish it against the assessment record.
Which Registrar of Companies handles Odisha?
RoC Cuttack, for the whole state and all 30 districts — Bhubaneswar, Cuttack, Rourkela, Sambalpur, Berhampur, Angul, Jharsuguda, Paradip and everywhere else. Odisha does not appear in the February 2026 MCA reorganisation of Registrars, so the position is unchanged.
Why is the Registrar at Cuttack rather than Bhubaneswar, the capital?
Because Cuttack was Odisha's capital until 1948, when Bhubaneswar replaced it, and the office never moved. Cuttack also remains the seat of the Orissa High Court. This is a pattern rather than an oddity — Madhya Pradesh's Registrar is at Gwalior rather than Bhopal, and Uttar Pradesh's principal Registrar is at Kanpur rather than Lucknow. Registrar locations are historical artefacts.
Who is an Odisha company's Regional Director?
The South-Eastern Region directorate at Hyderabad, covering Andhra Pradesh, Chhattisgarh, Odisha and Telangana under the reorganisation effective 16 February 2026 — roughly 1,200 km away, in another state's capital.
Can I move my registered office within Odisha later?
Yes, easily. With a single Registrar for the entire state, any move inside Odisha is a plain INC-22. The proviso to section 12(5) of the Companies Act 2013, which requires Regional Director confirmation in Form INC-23 under rule 28, only bites when you cross from one Registrar's jurisdiction to another within a state. In Odisha that cannot happen.
Does Odisha have a single-window clearance system?
Yes, and it has a statutory basis — the Odisha Industries (Facilitation) Act 2004, operated through GO-SWIFT with a Combined Application Form that all departments are mandated to accept. Clearance authority is tiered: District Level below ₹50 crore, State Level between ₹50 crore and ₹1,000 crore under the Chief Secretary, and a High Level Clearance Authority chaired by the Chief Minister above ₹1,000 crore, with deemed approvals where a department does not respond. We describe this from the State Government's own investment portal; unlike our Telangana page, we have not read this Act section by section and so we quote no section numbers.
How much is stamp duty on incorporation in Odisha?
It is linked to authorised share capital and the schedule is amended from time to time, so we quote it against your actual capital rather than publishing a table that goes stale. The practical point is that where duty scales with capital, there is a real cost to setting authorised capital higher than you presently need.
Do I need to be in Odisha to register a company there?
No. The whole process is online — DSC through Aadhaar OTP or video KYC, documents by secure upload and filing through the MCA portal. TAXAJ has no Odisha office; we serve clients across the state from Delhi, Bengaluru, Darbhanga and Porvorim. You will need a genuine registered-office address in Odisha, which the Registrar can and does verify, and it must be an address at which you can actually receive statutory correspondence.
