Private Limited Company Registration in Kolkata
Register your Pvt Ltd company online in Kolkata with a CA-led team — SPICe+ filing, DSC, DIN, name approval, MoA & AoA drafting, PAN, TAN and GST. Since 16 February 2026 there is no single "RoC Kolkata". Your Registrar is now Kolkata-I or Kolkata-II depending on which district your registered office sits in — and for a great many Kolkata businesses, including everyone in Salt Lake and New Town, the answer is not the one they assume.
- We confirm your Registrar first
- Expert MoA & AoA drafting
- DSC & DIN for all directors
- PAN, TAN & CIN included
- Filed with the correct office
- PTRC & PTEC handled
How Pvt Ltd Company Registration Works in Kolkata
Something changed in Kolkata in February 2026 that almost nobody has written about properly, and it affects which government office processes your company. For decades every company in West Bengal — a Park Street trading house, a Sector V software firm, a Howrah foundry — filed with one Registrar of Companies at Kolkata. That office has been split in two, and the dividing line is the district boundary, not the city.
Kolkata district is the smallest district in West Bengal at just over 206 square kilometres. It contains the city proper and stops there. Salt Lake is not in it. New Town is not in it. Howrah is not in it. If your business address is in one of those places, your Registrar is not the one the address on your letterhead suggests.
The filing itself is entirely online through the MCA's SPICe+ form, so this changes no step of the process. It changes which office your Certificate of Incorporation names and where every ROC form you ever file goes. If you want the underlying process end to end, read our guide to private limited company registration in India.
There is no longer a single "RoC Kolkata"
The MCA reorganisation effective 16 February 2026 split the Kolkata Registrar into two offices, worded geographically in the notification:
RoC Kolkata-I — jurisdiction: the District of Kolkata.
RoC Kolkata-II — jurisdiction: the State of West Bengal except the district of Kolkata.
Both are physically in Kolkata, and West Bengal's Regional Directorate is unchanged — still the Eastern Region at Kolkata, covering West Bengal, Bihar and Jharkhand. Existing companies were allocated across the two and need not re-file. But if an advisor is still saying "RoC Kolkata" without asking which district you are in, they have not read the notification.
Salt Lake and New Town Are Not in Kolkata District
This is the practical consequence, and it catches out almost everybody. Four addresses that any founder would call "Kolkata" now sit under two different Registrars:
| Where your registered office is | District | Your Registrar |
|---|---|---|
| BBD Bagh, Park Street, Esplanade | Kolkata | RoC Kolkata-I |
| Ballygunge, Alipore, Bhowanipore | Kolkata | RoC Kolkata-I |
| Tollygunge, Jadavpur, Behala | Kolkata | RoC Kolkata-I |
| Shyambazar, Burrabazar, Beliaghata | Kolkata | RoC Kolkata-I |
| Salt Lake / Bidhannagar, including Sector V | North 24 Parganas | RoC Kolkata-II |
| New Town / Rajarhat | North 24 Parganas | RoC Kolkata-II |
| Howrah | Howrah | RoC Kolkata-II |
| Dum Dum, Barrackpore, Barasat | North 24 Parganas | RoC Kolkata-II |
Read that again if you work in IT. Sector V and New Town — where most of Kolkata's technology industry physically sits — are in North 24 Parganas, which means RoC Kolkata-II. The Bengal Silicon Valley Tech Hub on Biswa Bangla Sarani, where Reliance Jio, TCS, Cognizant, LTIMindtree, Adani Enterprises and NTT Global Data Centres have all taken land, is on the Kolkata-II side of the line. So is every foundry in Howrah.
A caution worth stating: the Kolkata Municipal Corporation area and Kolkata district are largely coterminous, but the KMC has absorbed areas at its margins over the years, so edge cases exist near the boundary. We confirm the district against your specific address before filing rather than working from the postal address, and we would rather do that on a fifteen-minute call than have a form rejected.
Why Kolkata is a Serious Place to Incorporate
Kolkata is an old commercial city that spent a long time being written off and has quietly rebuilt around services, technology and trade. The honest case is not nostalgia — it is cost, talent and a genuine eastern-India catchment.
Bengal Silicon Valley
Roughly 250 acres at New Town developed by WBHIDCO, with Reliance Jio, TCS, Cognizant, LTIMindtree, Adani Enterprises and NTT Global Data Centres among those holding land.
Deep Talent, Low Cost
Jadavpur, Calcutta University, IIM Calcutta, ISI and a large engineering graduate pool — at salary and rental levels far below Bengaluru or the NCR.
Port & Eastern Trade
India's oldest operating port, plus road and rail links into the North East, Nepal, Bhutan and Bangladesh.
An Old Corporate Registry
Kolkata holds one of India's largest and oldest company registries — which is precisely why the Registrar needed splitting.
Real Industrial Hinterland
Jute, leather at Bantala, engineering at Howrah, tea from north Bengal and a manufacturing belt through Durgapur and Asansol.
Expanding Metro
India's oldest metro system, now extending across the river and out towards the airport and New Town.
Best Businesses to Start in Kolkata
Sectors where Kolkata has a genuine structural advantage — an existing cluster, a talent pool, a port or an eastern-India catchment — rather than a generic list.
IT Services & SaaS
Sector V and New Town offer engineering talent at a fraction of Bengaluru cost — note that both file with Kolkata-II.
Data Centres
Adani Enterprises and NTT have taken land at New Town; eastern India's capacity is being built now.
Global Capability Centres
A credible low-cost alternative to the southern metros for finance, analytics and back-office delivery.
Leather & Footwear
The Bantala leather complex is one of India's largest, with real export capability.
Tea Trading & Export
Kolkata remains a centre of the tea trade, with north Bengal's gardens feeding it — see our Siliguri page for the auction side.
Logistics & Eastern Distribution
The staging point for the North East, and for trade with Bangladesh, Nepal and Bhutan.
Healthcare & Diagnostics
The referral centre for eastern India, drawing patients from Bihar, Jharkhand, the North East and beyond.
Media, Publishing & Creative
A long publishing and film tradition with a cost base that supports independent production.
EdTech & Training
A large student population and a strong tradition of academic content.
Company Registration Across Kolkata & the Metropolitan Area
We register companies across the whole metropolitan area — BBD Bagh, Park Street, Ballygunge, Alipore, Tollygunge, Jadavpur, Behala and Shyambazar in Kolkata district, and Salt Lake Sector V, New Town, Rajarhat, Dum Dum and Howrah outside it — filing each with the correct Registrar. Pick your city to begin:
Benefits of Private Limited Company Registration
Limited Liability
Your personal assets stay separate from business debts and claims.
Separate Legal Identity
The company can own assets, sign contracts and sue in its own name.
Easier Fundraising
The structure banks, NBFCs, angel investors and VCs expect to see.
ESOPs
How a Sector V or New Town technology team is actually retained against southern-metro offers.
Export Readiness
An entity that can hold an IEC, register an AD code and take a letter of credit — the practical gate for leather, tea and engineering exporters.
Tender & Buyer Credibility
Government tenders, PSU vendor registration and enterprise buyers all prefer an incorporated counterparty.
Instant Cost Estimator — Pvt Ltd in Kolkata
Get an indicative professional-fee estimate based on your company structure. Government fees (ROC, stamp duty, DSC tokens) are charged at actuals and confirmed on your free call.
Step-by-Step Registration Procedure
The process is governed by the Ministry of Corporate Affairs and completed online through the MCA portal. Which Registrar processes your file depends on your registered office district — RoC Kolkata-I for Kolkata district, RoC Kolkata-II for everywhere else in West Bengal.
Confirm your district first
Not a step you will find on other pages, and the one that now matters most in Kolkata. Before anything else we check which district your proposed registered office actually falls in, because it decides which Registrar the whole file goes to.
Digital Signature Certificate (DSC)
A Class 3 DSC is issued for every proposed director through Aadhaar OTP or video KYC — mandatory for signing MCA filings.
Director Identification Number (DIN)
DIN is allotted through the SPICe+ form itself for first-time directors, so there is no separate application for a new company.
Name Reservation & Approval
Two proposed names go through SPICe+ Part A. Check availability first with our company name availability tool. Kolkata has a very long corporate history, so older trading names are more likely than usual to collide with an existing company or mark.
Drafting MoA & AoA
The objects clause is drafted around what you will actually do — services, trading, manufacturing, export — because a vague objects clause causes trouble later with banks, IEC and licensing.
Filing SPICe+ with the correct Registrar
SPICe+ Part B goes in with AGILE-PRO-S (INC-35) and INC-9, covering incorporation, PAN, TAN, GSTIN, EPFO, ESIC and bank account opening in one integrated form. The Shops and Establishments component of AGILE-PRO-S is available only for Delhi, so West Bengal registration is applied for separately.
Certificate of Incorporation, PAN & TAN
On approval the RoC issues the Certificate of Incorporation carrying the CIN, with PAN and TAN allotted alongside. From 2026 that certificate names Kolkata-I or Kolkata-II, not simply "Kolkata".
Post-Incorporation Setup
Current account activation, GST registration, West Bengal shops and establishments registration, professional tax — both PTRC and PTEC, Udyam registration and the first-year compliance calendar.
Documents Required for Registration
For Directors & Shareholders
- PAN card (mandatory for Indian nationals)
- Aadhaar card
- Passport-size photograph
- Identity proof — Voter ID, Passport or Driving Licence
- Address proof — bank statement or utility bill, not older than two months
- Email ID and mobile number linked to Aadhaar
- For foreign nationals: notarised and apostilled passport and address proof
For the Registered Office in Kolkata
- Latest electricity or utility bill for the premises
- Rent agreement or lease, if the premises are rented
- No-Objection Certificate from the owner
- Property tax receipt or ownership proof, if owned
- Photograph of the premises with the proposed signage
A residential address is acceptable as a registered office anywhere in the metropolitan area. Two Kolkata-specific points: older buildings frequently have the utility bill in a long-deceased owner's name or in an undivided family's name, which needs sorting before filing; and the address determines your Registrar, so a Salt Lake flat and a Ballygunge flat send the same company to different offices.
Timeline & Cost Overview
Indicative Timeline
- District and Registrar confirmation — same day
- DSC issue — 1 working day
- Name approval through SPICe+ Part A — 1 to 3 working days
- Drafting and signing MoA / AoA — 1 to 2 working days
- SPICe+ Part B filing and processing — 3 to 5 working days
- Certificate of Incorporation with PAN and TAN — typically 7 to 10 working days end to end
Timelines assume complete documents and a clean name. Registered-office proof is the usual local delay in Kolkata, for the reasons set out above.
What Determines Your Cost
- Number of directors — each additional director means another DSC
- Authorised share capital — drives both MCA fee and state stamp duty
- Stamp duty on MoA and AoA as applicable in West Bengal
- Whether you add GST registration and first-year compliance
- Professional tax registration — both PTRC and PTEC for a new company
Under the Companies (Registration Offices and Fees) Rules, the MCA filing fee is nil for authorised capital up to ₹15 lakh. Estimate with our MCA fee calculator.
Your Registrar, PAN & TAN AO Code and GST State Code
Jurisdiction is the District of Kolkata. New office from 16 February 2026.
Jurisdiction is the State of West Bengal except the district of Kolkata — including Salt Lake, New Town and Howrah.
Every West Bengal GSTIN begins with 19, on both sides of the district line. Apply for GST →
West Bengal's Regional Directorate is unchanged — the Eastern Region at Kolkata, covering West Bengal, Bihar and Jharkhand, which handles inter-state shifting of a registered office, compounding of offences, condonation of delay and fast-track mergers. Your PAN and TAN AO code is assigned from your registered-office jurisdiction — find your AO code here.
Why the split happened, and what it means in practice
Kolkata holds one of India's oldest and largest company registries — a legacy of a century and a half as the country's commercial capital. Splitting the office was a workload decision, not a policy one, and the government chose the cleanest possible dividing line: one district on one side, the rest of the state on the other.
For a new incorporation, the procedure is identical either way; SPICe+ is online and you never visit either office. What changes is the Registrar named on your Certificate of Incorporation and on every subsequent ROC form. For an existing company, files were allocated across — nothing needs re-filing, but correspondence and pending matters now sit with whichever of the two offices holds your file. If you are unsure which that is, we can check.
Statutory positions change from time to time. Confirm current jurisdiction, rates and fees with us on your free call before you rely on them for a filing.
Professional Tax in West Bengal
West Bengal levies professional tax under the West Bengal Tax on Profession, Trade, Callings and Employment Act, 1979. Unlike Delhi, Haryana or Uttar Pradesh — which do not levy it at all — a Kolkata employer has a monthly deduction to make from the first payroll run.
| Monthly gross salary (₹) | Professional tax per month (₹) |
|---|---|
| Up to 10,000 | Nil |
| 10,001 – 15,000 | 110 |
| 15,001 – 25,000 | 130 |
| 25,001 – 40,000 | 150 |
| Above 40,000 | 200 |
The annual liability per person cannot exceed ₹2,500, the constitutional ceiling. Two registrations are involved and they are routinely confused: a PTRC — the registration certificate the employer holds in order to deduct and deposit from salaries — and a PTEC, the enrolment certificate under which the company itself pays its own liability. A new company generally needs both. Enrolment payment falls due by 31 July each year, and late enrolment or payment attracts interest.
If your team is spread beyond West Bengal
Professional tax follows where the employee works, not where the company is registered. A Kolkata company with engineers in Bengaluru or a sales office in Mumbai needs registration in Karnataka or Maharashtra too — while staff placed in Delhi, Haryana or Uttar Pradesh attract none at all. Check any state with our professional tax state finder.
West Bengal Incentive Scheme 2026 Starts on 1 October 2026
If you are planning a manufacturing unit anywhere in West Bengal, the timing of this matters more than almost anything else on this page. The state approved the West Bengal Incentive Scheme 2026 in July 2026. On the terms reported, it takes effect on 1 October 2026 and runs five years to 30 September 2031, applying to new manufacturing MSMEs holding Udyam registration that begin commercial production on or after 1 October 2026.
The date cuts both ways
A unit that starts commercial production on or before 30 September 2026 falls outside the new scheme. If you are close to commissioning and the difference is a few weeks, that is a decision to take deliberately with the numbers in front of you — not one to discover afterwards. Talk to us before you certify a production start date.
| Instrument | Zone A | Zones B & C |
|---|---|---|
| Interest subsidy on term loans (micro & small, 5 years) | 25% of annual interest | 35% of annual interest |
| Electricity duty waiver | 50% | 75% |
| Electricity duty — women and SC/ST entrepreneurs | 100%, capped at ₹10 lakh a year | |
| Quality certification (ISI, BIS, ISO, HACCP) | 50% reimbursed — up to ₹5 lakh micro/small, ₹10 lakh medium | |
| Cluster infrastructure support | Capped at ₹5 crore | |
We are not going to tell you which zone Kolkata is in, because the zone map has not been published. The difference between Zone A and Zones B and C is ten percentage points of interest subsidy and twenty-five points of electricity duty — material enough that a guess is worse than useless. We confirm the classification with the District Industries Centre and through the state's Silpasathi single-window portal before a client builds a business case on it.
Scheme terms above are as reported at approval; the full scheme text and rules may differ or be amended. Eligibility is assessed case by case by the Government of West Bengal.
Stamp Duty on MoA & AoA in West Bengal
West Bengal charges stamp duty on the Memorandum and Articles of Association with reference to your authorised share capital, collected electronically through SPICe+ at incorporation. It is a state levy, so it is the one part of your incorporation cost that genuinely differs between Kolkata and, say, Bengaluru or Chennai — and it does not change between Kolkata-I and Kolkata-II, because both are in the same state.
Because the rate depends on your capital structure and the schedule is amended from time to time, we do not publish a fixed figure here — we quote it against your actual authorised capital and confirm it before filing. Use our stamp duty calculator for an indicative number.

Why Choose TAXAJ for Your Kolkata Company
We Confirm Your Registrar First
Kolkata-I or Kolkata-II depends on your exact district, not your postal address. We settle that before anything else — most advisors still say "RoC Kolkata" and stop there.
Built for Sector V and New Town
Software export documentation, Softex filing, LUT and the fact that both addresses file with Kolkata-II rather than Kolkata-I.
PTRC and PTEC, Both
West Bengal professional tax needs two registrations and new companies routinely take only one. We set up both and run the monthly deduction properly.
We Watch the Incentive Clock
The West Bengal Incentive Scheme 2026 turns on a commercial-production date. We raise that before you commission, not after.
CA, CS and Lawyer in One Team
Incorporation, tax, GST, ROC and legal drafting handled by one accountable team instead of three vendors.
Beyond Incorporation
Bookkeeping, GST returns, TDS, payroll, export documentation and annual ROC filing under one engagement.
Serving Kolkata from Darbhanga
Being straight with you: TAXAJ does not have a branch in Kolkata. Our nearest office is in Darbhanga, Bihar, with further branches in Delhi, Bengaluru and Goa. For the incorporation itself that makes no practical difference — SPICe+ is an entirely online filing, DSC is issued by Aadhaar OTP or video KYC, and both Kolkata Registrars process everything electronically, so nobody visits either office. Where a longer conversation helps — settling which Registrar you fall under, planning around the incentive scheme's start date, or structuring an export business — we do that by video call.

Frequently Asked Questions
Which ROC handles company registration in Kolkata?
It depends on your district, which is new. Until 16 February 2026 all West Bengal companies filed with a single Registrar at Kolkata. The MCA reorganisation split it into RoC Kolkata-I, whose jurisdiction is the District of Kolkata, and RoC Kolkata-II, whose jurisdiction is the State of West Bengal except the district of Kolkata. Both offices are physically in Kolkata. If your registered office is in the city proper you file with Kolkata-I; if it is in Salt Lake, New Town, Howrah or anywhere else in the state, you file with Kolkata-II.
Is Salt Lake Sector V in Kolkata district?
No. Bidhannagar, better known as Salt Lake, including Sector V, is in North 24 Parganas district, not Kolkata district. That means a company with a registered office in Sector V files with RoC Kolkata-II, not Kolkata-I. This surprises most people, because everybody calls it Kolkata — but the notification draws the line by district, and Kolkata district is only about 206 square kilometres, the smallest in West Bengal.
What about New Town and Rajarhat?
Most of New Town is also in North 24 Parganas district, so it too falls under RoC Kolkata-II. That includes the Bengal Silicon Valley Tech Hub on Biswa Bangla Sarani, where Reliance Jio, TCS, Cognizant, LTIMindtree, Adani Enterprises and NTT Global Data Centres have taken land. In other words, most of Kolkata's technology industry physically sits on the Kolkata-II side of the line.
Which areas are in Kolkata district and therefore Kolkata-I?
Broadly the city proper — BBD Bagh, Esplanade, Park Street, Ballygunge, Alipore, Bhowanipore, Tollygunge, Jadavpur, Behala, Kasba, Beliaghata, Shyambazar and Burrabazar. Kolkata district is bounded by North 24 Parganas to the north and east, South 24 Parganas to the south and Howrah across the Hooghly to the west. One caution: the Kolkata Municipal Corporation area and Kolkata district are largely coterminous but the KMC has absorbed areas at its margins, so edge cases exist near the boundary. We confirm the district against your specific address rather than the postal address.
Did the split change my Regional Directorate?
No. West Bengal remains under the Regional Directorate (Eastern Region) at Kolkata, which also covers Bihar and Jharkhand and handles inter-state shifting of a registered office, compounding of offences, condonation of delay and fast-track mergers. Only the Registrar changed.
I already have a Kolkata company. Do I need to do anything?
No re-filing is required. Existing files were allocated between the two offices, so correspondence and pending matters now sit with whichever of Kolkata-I or Kolkata-II holds your file. What is worth doing is confirming which one that is before your next ROC filing or any RD application, so that forms and petitions are addressed correctly. We can check it for you.
Is there professional tax in West Bengal?
Yes, under the West Bengal Tax on Profession, Trade, Callings and Employment Act, 1979. Monthly rates run from nil for salaries up to ₹10,000, then ₹110, ₹130, ₹150 and ₹200 for the higher bands, with an annual ceiling of ₹2,500 per person. Employers need a PTRC to deduct and deposit from salaries, and the company also needs a PTEC for its own liability — new companies frequently take only one of the two. Enrolment payment falls due by 31 July each year.
When does the West Bengal Incentive Scheme 2026 start, and does the date matter?
It matters a great deal. The scheme was approved in July 2026 and, on the terms reported, takes effect on 1 October 2026 and runs to 30 September 2031. It applies to new manufacturing MSMEs with Udyam registration that begin commercial production on or after 1 October 2026 — so a unit that starts on or before 30 September 2026 falls outside it. If you are near commissioning, take that decision deliberately rather than discovering it afterwards.
Which zone is Kolkata in under that scheme?
We do not know, and we are not going to guess. The scheme differentiates between Zone A and Zones B and C — the difference is ten percentage points of interest subsidy and twenty-five points of electricity duty waiver — but the zone map has not been published. We confirm the classification with the District Industries Centre and through the state's Silpasathi single-window portal before a client builds a business case on it.
How long does Pvt Ltd registration take in Kolkata?
Typically 7 to 10 working days from complete documents to the Certificate of Incorporation, assuming the proposed name clears without resubmission. Registered-office proof is the most common local delay — Kolkata has a great deal of older property where the utility bill sits in a deceased owner's or an undivided family's name, and that has to be sorted before filing.
What does it cost to register a private limited company in Kolkata?
Professional fees start at ₹11,999. On top of that you pay government fees at actuals — stamp duty on the MoA and AoA as applicable in West Bengal, and DSC token costs. The MCA filing fee itself is nil for authorised capital up to ₹15 lakh. The cost does not differ between Kolkata-I and Kolkata-II; both are in the same state.
What is the GST state code for Kolkata?
19, the code for West Bengal — on both sides of the district line. Every GSTIN issued to a business registered in Kolkata, Salt Lake, New Town or Howrah begins with 19, because GST follows the state, not the district. Only your Registrar changes with the district.
Can I use my home address in Kolkata as the registered office?
Yes. A residential address is acceptable for incorporation, with the latest utility bill, a No-Objection Certificate from the owner, and the rent agreement if rented. Just remember that the address decides your Registrar: a flat in Salt Lake and a flat in Ballygunge send the same company to two different offices.
Can NRIs or foreign nationals be directors of a Kolkata company?
Yes. NRIs and foreign nationals can be directors and shareholders, but at least one director must be a resident of India. Their passport and address proof must be notarised and apostilled, and foreign shareholding brings FEMA reporting obligations — an FC-GPR filing through the Reserve Bank of India's Single Master Form once shares are allotted, and an annual FLA return thereafter.
