Key ROC Compliance Rules — What Every Company Must Know

📅 AOC-4 — Financial Statements

File financial statements (Balance Sheet, P&L, Director's Report, Auditor's Report) within 30 days of AGM. OPC: within 180 days of FY end (27 Sep 2026 for FY 2025-26). Penalty: ₹100/day with no cap. Requires DSC of director and practicing CA/CS signature on auditor's report. XBRL format mandatory for listed and prescribed class of companies.

📋 MGT-7 / MGT-7A — Annual Return

Annual return disclosing shareholding, directors, registered office, and other statutory information. Filed within 60 days of AGM (29 Nov 2026 if AGM on 30 Sep). MGT-7A for OPCs and small companies (simplified form). Requires a geo-tagged photograph of registered office as attachment from FY 2024-25 onwards. Penalty: ₹50,000 minimum + ₹100/day.

💰 ₹100/Day — No Cap Penalty

Since 1 July 2018, the penalty for late filing of AOC-4 and MGT-7 is ₹100 per day per form with no maximum cap. For both forms combined: ₹200/day. Over 3 years: ₹2.19 lakh. Over 5 years: ₹3.65 lakh. Directors face disqualification under Section 164(2) after 3 consecutive years of non-filing — banned from being director in any company for 5 years.

✅ CCFS-2026 — 90% Late Fee Waiver

Companies Compliance Facilitation Scheme 2026 (General Circular 01/2026) offers 90% waiver on accumulated late fees for pending filings. Pay only 10% of total additional fees. Valid: 15 April to 15 July 2026. Covers AOC-4, MGT-7, ADT-1, FC-3, FC-4, and legacy forms. LLPs are excluded. Companies with final strike-off notice are ineligible. After 15 July: full penalties resume.

Form 11 (Annual Return): within 60 days of FY end = 30 May 2026. Form 8 (Accounts & Solvency): within 30 days of 6 months from FY end = 30 Oct 2026. File Form 11 before Form 8 — MCA portal enforces sequence. Audit mandatory if turnover >₹40 lakh or contribution >₹25 lakh. CCFS-2026 does NOT apply to LLPs. Penalty: ₹100/day per form.

🔑 DIR-3 KYC — Now Triennial

MCA changed DIR-3 KYC from annual to triennial filing from FY 2025-26. Directors who filed KYC for FY 2025-26: next due FY 2027-28 (by 30 June 2028). Any changes in mobile number, email, or address must be reported within 30 days via DIR-3 KYC-Web. Missed KYC: DIN deactivated + ₹5,000 flat penalty. Deactivated DIN blocks all other company filings.

⚠️ Director Disqualification Under Section 164(2)

If a company fails to file financial statements (AOC-4) or annual return (MGT-7) for any 3 consecutive financial years, every director of the company is disqualified from being appointed/continuing as director in any company for 5 years. The DIN shows "Disqualified" on the MCA portal. Disqualification can only be removed by NCLT order after clearing all defaults + filing petition (cost: ₹30,000–₹70,000, timeline: 3–6 months). Act before it's too late — use CCFS-2026 now.

For FY 2025-26 (financial year ending 31 March 2026), assuming the AGM is held on the last possible date of 30 September 2026: AOC-4 (Financial Statements) is due within 30 days of AGM = 30 October 2026. MGT-7/7A (Annual Return) is due within 60 days of AGM = 29 November 2026. ADT-1 (Auditor appointment) is due within 15 days of AGM = 15 October 2026. If the AGM is held earlier, all deadlines move forward accordingly. Late filing: ₹100/day per form with no cap.
For LLPs with FY ending 31 March 2026: LLP Form 11 (Annual Return) is due by 30 May 2026 — within 60 days of FY end. LLP Form 8 (Statement of Accounts and Solvency) is due by 30 October 2026 — within 30 days of 6 months from FY end. Form 11 must be filed before Form 8 — the MCA portal enforces this sequence. Yes. Every company registered under the Companies Act 2013 must file annual ROC returns, regardless of business activity, turnover, or profitability. Even if a company has zero revenue, zero employees, and zero transactions, it must file AOC-4 (financial statements showing nil figures) and MGT-7 (annual return) every year. Similarly, every LLP must file Form 11 and Form 8 annually. Non-filing companies risk: ₹100/day penalty, director disqualification after 3 years, and ultimately strike-off under Section 248. Apply for Dormant Company status (Section 455) if you want reduced compliance — this requires separate filing.
Under Section 164(2) of the Companies Act 2013, if a company fails to file financial statements (AOC-4) or annual return (MGT-7) for any 3 consecutive financial years, every person who is or has been a director of the company becomes disqualified. This disqualification: prevents appointment as director in any company for 5 years, applies to all existing directorships in other companies too, shows on the MCA portal (DIN status = "Disqualified"), and can only be reversed by NCLT order after clearing all pending filings. MSME-1 (Outstanding Dues to MSMEs): Filed half-yearly. H2 (Oct–Mar): due 30 April 2026. H1 (Apr–Sep): due 31 October 2026. Only for companies with outstanding dues to MSME vendors exceeding 45 days. Penalty: ₹20,000 + ₹1,000/day on directors.
