Private Limited Company Registration in Karnataka
Register your Pvt Ltd company anywhere in Karnataka with a CA-led team working from a real office in Bengaluru — SPICe+ filing, DSC, DIN, name approval, MoA & AoA drafting, PAN, TAN, GST and Karnataka profession tax. Karnataka has a single Registrar for all 31 districts, which makes it one of the simplest states in India to incorporate in — and one where the question that actually matters is which zone your taluk is in.
- One Registrar — no jurisdiction risk
- Zone check before you commit
- DSC & DIN for all directors
- PAN, TAN & CIN included
- Karnataka PT via AGILE-PRO-S
- Real Bengaluru office
This Page Was Right About the Registrar. It Was Still Out of Date.
Most of our state pages needed correcting this year because the February 2026 reorganisation of the Ministry of Corporate Affairs moved their Registrar. This one did not. Karnataka does not appear in notification S.O. 4850(E) at all, and the sentence this page has always carried — that RoC Bangalore handles all private limited company incorporations for Karnataka — is as true today as it was last year.
And the page was still out of date, because what changed for Karnataka was not the Registrar. It was the level above it.
Unchanged — your Registrar
RoC Bangalore continues to handle every incorporation, name approval and ROC filing for all thirty-one districts of Karnataka. Nothing about your CIN, your filings or your annual compliance calendar changed on 16 February 2026.
New — your Regional Directorate
From 16 February 2026 the MCA created a Regional Directorate (South-Western Region) at Bengaluru, covering Karnataka, Kerala and Lakshadweep. Karnataka companies previously took Regional Director matters to Hyderabad. They now go to Bengaluru.
Most founders never think about the Regional Director until they need one, and then it matters a great deal. The Regional Director sits above the Registrar and decides the applications a growing company eventually files: shifting a registered office from one state to another, compounding an offence after a missed filing, condonation of delay, certain name-change directions, and fast-track mergers under section 233. For a Karnataka company those used to mean dealing with an office in another state. From February 2026 they sit in Bengaluru. Our Bengaluru page goes into what that means for a city company in more detail.
One Registrar for the Whole State Is Worth More Than It Sounds
Karnataka has a single Registrar of Companies covering all thirty-one districts. After February 2026 that is unusual, and it removes an entire class of problem that companies in the larger states now have to manage.
| State | Registrars | Regional Directorates | Can an intra-state move need a Regional Director's order? |
|---|---|---|---|
| Maharashtra | 4 | 2 | Yes — frequently |
| Uttar Pradesh | 2 | 1 | Yes — if you cross the Kanpur–Noida line |
| Delhi | 2 | 1 | Yes — Delhi-I and Delhi-II are separate |
| West Bengal | 2 | 1 | Yes — Kolkata district against the rest |
| Karnataka | 1 | 1 — new, at Bengaluru | No. Never. |
The proviso to section 12(5) of the Companies Act 2013 bars a company from moving its registered office from the jurisdiction of one Registrar to another within the same State without confirmation by the Regional Director — a special resolution, Form MGT-14, an application in Form INC-23 under rule 28, an order, then INC-28 and INC-22. It is the running story on almost every state page we maintain.
In Karnataka it cannot arise. With one Registrar for the entire state, a registered-office move anywhere inside Karnataka is a plain INC-22. Bengaluru to Mysuru, Bengaluru to Mangaluru, Bengaluru to Kalaburagi — six hundred kilometres, still a single form. A company that starts in the city and later moves its registered office to a plant in North Karnataka to capture the zone incentives does not need anybody's confirmation to do it. In Maharashtra the equivalent move needs a Regional Director's order; here it does not. That is a genuine structural advantage of incorporating in Karnataka, and it becomes more valuable the more seriously you take the zone map below.
Karnataka's Zone Map Is the Sharpest in India — and It Is Drawn Around One City
Because the Registrar question never arises in Karnataka, the location decision is almost entirely an incentive decision. The Karnataka Industrial Policy 2025–30 divides the state into three zones by industrial development, and the shape of that division is striking: Zone 3 — the "developed" zone, which receives the least — is Bengaluru and its immediate ring. Effectively the rest of Karnataka is Zone 1 or Zone 2.
| Enterprise size | Zone 1 — least developed | Zone 2 | Zone 3 — Bengaluru & ring |
|---|---|---|---|
| Micro | 30% of fixed assets, max ₹30 lakh | 25%, max ₹25 lakh | 10%, max ₹10 lakh |
| Small | 25%, max ₹2 crore | 20%, max ₹1.5 crore | 10%, max ₹50 lakh |
| Medium | 25%, max ₹10 crore | 20%, max ₹8 crore | 10%, max ₹4 crore |
| Large | 25% | 20% | 10% |
| Stamp duty exemption | 100%, all sizes | 100%, all sizes | None — 75% reported for MSMEs in special categories only |
| Land conversion fee | 100% reimbursed | 100% reimbursed | No concession |
Read the bottom two rows first, because they are the ones that move a capital budget. A project in Zone 1 or Zone 2 pays no stamp duty on its industrial land and has its land conversion fee reimbursed in full. The same project in Zone 3 pays both. On the capital subsidy, a small enterprise in Zone 1 can claim up to ₹2 crore against ₹50 lakh in Zone 3 — four times as much, on a higher percentage.
The policy's stated targets are ₹7.5 lakh crore of investment, 20 lakh new jobs by 2030 and 12 per cent annual manufacturing growth. Very little of that is meant to land in Bengaluru.
Where we have to be careful, and we would rather say so. Published summaries of the policy differ on how the Bengaluru Urban taluks are treated — one lists nine of them inside Zone 3 alongside Bengaluru Rural's four, while a summary of the policy document itself describes Zone 3 as limited to Bengaluru Rural. The reported taluka counts do not fully reconcile either: 199 talukas in Zone 1 and 32 in Zone 2 against the roughly 236 taluks Karnataka is commonly said to have. The qualitative finding is robust on any reading — Zone 3 is Bengaluru and its ring, and almost everything else in the state is eligible for materially more — but the exact classification of a specific taluk is worth several crores on a real project, so we confirm it against the operative schedule for your site before it goes into a business plan rather than printing a list we have not verified line by line.
Every Big State Penalises Its Own Commercial Capital. Karnataka Does It Hardest.
We have now read the industrial incentive schedules of Maharashtra, Uttar Pradesh and Karnataka against their notifications, taluka annexure by taluka annexure. The same pattern turns up in all three, and it is worth seeing side by side before you choose a state.
| State | The region that gets the least | How much less |
|---|---|---|
| Maharashtra | Group A — the Mumbai and Pune Metropolitan Regions, and nowhere else in the state | The ceiling table carries a dash against Group A. Vidarbha and Marathwada get 80% |
| Uttar Pradesh | Gautam Buddh Nagar and Ghaziabad | 50% stamp duty exemption on industrial land against 100% in Purvanchal and Bundelkhand |
| Karnataka | Zone 3 — Bengaluru and its ring | 10% capital subsidy against 25–30%, and no stamp duty exemption at all against 100% |
And in all three states the capital keeps going to the penalised region anyway. Uttar Pradesh's data centres went to Gautam Buddh Nagar despite the lowest band in the state. Maharashtra's services economy stays in the two metropolitan regions that receive nothing. Karnataka's startups stay in Bengaluru.
Karnataka adds a twist the other two do not have. In the same period the state's industrial policy is pushing investment out of Bengaluru, the company-law administration moved into it — the new Regional Directorate for Karnataka, Kerala and Lakshadweep now sits in the city rather than in Hyderabad. One arm of government maps the state by where it wants industry to go; another maps it by where the companies actually are. Both maps are real and they point in opposite directions. This is an observation about where economic activity sits, not a criticism of either decision.
So how should you read it?
If you are building something physical, the zone gradient is the whole conversation
A hundred per cent stamp duty exemption, full land conversion reimbursement and up to ₹2 crore of capital subsidy for a small enterprise are not marginal. For a manufacturing project in Karnataka the zone is very often the single largest line in the model.
If you are a software or services business, most of the gradient does not reach you
The capital subsidy is a percentage of fixed assets. A SaaS company leasing an office and paying salaries has very few fixed assets to claim against, which is precisely why the incentive map has never pulled Bengaluru's software industry anywhere. For that kind of business the relevant instruments are the Startup Policy 2025–30 and the Beyond Bengaluru programme below, not the industrial zones.
And remember you can move later without permission
This is where Karnataka's single Registrar earns its keep. Incorporate in Bengaluru now, register the plant's address in Zone 1 later, and the registered-office change is a plain INC-22 — no special resolution to the Regional Director, no Form INC-23, no order to wait for. In Maharashtra that same sequence is a filing programme.
Beyond Bengaluru: The State's Answer for Companies Without Fixed Assets
Karnataka has recognised that an industrial incentive built around fixed capital does nothing for a software company, and has built a separate route for the rest of the state.
Cluster Seed Fund
A ₹75 crore fund for growth-stage startups outside the capital — ₹20 crore for 2024–25 and ₹55 crore for 2025–26.
Three clusters
Mysuru, Mangaluru and Hubballi–Dharwad. The state innovation agency's stated ambition is 10,000 startups across these clusters by 2030.
Startup Policy 2025–30
Approved November 2025 with a ₹518.27 crore outlay and a target of 25,000 new startups, including PF and ESI reimbursement of ₹3,000 per employee per month, up to ₹12 lakh per firm, in the first two years.
Named priority sectors
AI, semiconductors, quantum and blockchain, alongside healthtech and agritech — with Centre of Excellence and R&D support attached.
The honest read on Beyond Bengaluru: the cluster cities are real places with real engineering colleges and materially lower salary and rent costs, and the state is putting money behind them. They do not yet have Bengaluru's investor density or its depth of experienced senior hiring. For a capital-efficient business with a remote-first team the trade can work well; for one that needs to hire fifty experienced engineers in a quarter it usually does not. We will work through which one you are rather than tell you in advance.

Why Karnataka, and Where the State Is Genuinely Strong
The deepest capital pool in India
The largest concentration of angels, micro-VCs and institutional funds in the country sits in Bengaluru — all of whom expect a private limited company with a clean cap table before they will look at a term sheet.
Your Regional Director is now in the state
From February 2026, compounding, condonation, inter-state office shifts and section 233 mergers for Karnataka companies are handled at Bengaluru rather than another state.
One Registrar, no jurisdiction risk
No divisional boundary to check, no risk of filing at the wrong office, and no Regional Director's order needed to move a registered office anywhere within the state.
An incentive map that rewards leaving the capital
Full stamp duty exemption and land conversion reimbursement across Zones 1 and 2, with capital subsidy ceilings up to four times the Zone 3 figure.
Global Capability Centres
The GCC density that makes Bengaluru both a natural first customer and a natural talent source for anything B2B.
Genuine research depth
India's largest biotech cluster, a serious aerospace and defence base, and named state priority sectors in AI, semiconductors and quantum with Centre of Excellence support attached.

Budget For This Before You FileKarnataka Stamp Duty on MoA & AoA Went Up Sharply in 2024
Karnataka used to be one of the cheapest states in India to incorporate in, and a great deal of published guidance still says so. It is out of date.
The Karnataka Stamp (Amendment) Act, 2023, notified on 3 February 2024, raised the stamp duty on the Memorandum and Articles of Association to ₹5,000, up from ₹1,000 — and the Articles additionally scale with authorised share capital.
The practical effect catches founders out. The MCA's own incorporation fee is nil up to ₹15 lakh of authorised capital. So for a Karnataka company the state stamp duty is now typically the largest single line in your government cost — ahead of the central fee entirely. A founder budgeting from an old blog post that says "Karnataka: ₹500 flat" will be out by an order of magnitude.
Because the computation depends on your capital structure and the schedule is amended from time to time, we do not publish a fixed table here — we quote it against your actual authorised capital and confirm it before filing. Use our stamp duty calculator for an indicative comparison.
One structuring point worth raising on the call. Because the Articles duty scales with authorised capital, there is a real cost to setting authorised capital higher than you need at incorporation. Most Karnataka companies should start low and increase it at the round.
Do not confuse this with the stamp duty exemption on industrial land under the industrial policy. That exemption — 100% in Zones 1 and 2, nil in Zone 3 — is on the land conveyance. The duty above is on your incorporation documents and is payable everywhere in Karnataka.
Karnataka Profession Tax — and the 2025 Change That Helps Most Payrolls
Karnataka levies profession tax under the Karnataka Tax on Professions, Trades, Callings and Employments Act. Like Maharashtra and West Bengal — and unlike most of India — the registration is applied for through the SPICe+ incorporation form itself, for companies incorporated in Karnataka with effect from 8 October 2020.
PTEC — enrolment
What the company itself pays for the privilege of carrying on business. Every company needs one from day one, employees or not.
PTRC — registration
The certificate under which the company deducts profession tax from employees' salaries and pays it over. Needed once you have salaried employees above the threshold.
The change worth knowing. Karnataka raised its profession tax exemption to salaries up to ₹24,999 a month with effect from 1 April 2025. Most junior payrolls now fall outside it entirely — which for an early-stage company with a young team can mean the PTRC deduction applies to only a handful of people, or none at all. The PTEC obligation on the company is unaffected.

Step-by-Step Registration Procedure
Settle the taluk — not just the city
The Registrar is the same wherever you are in Karnataka, so there is no jurisdiction risk to manage. What there is, for anything with fixed assets, is a zone classification worth up to 100% of stamp duty on land and four times the capital subsidy ceiling. We check it before we draft.
Digital Signature Certificate (DSC)
A Class 3 DSC for every proposed director, through Aadhaar OTP or video KYC. For a foreign director the route is passport-based with notarisation and apostille, usually the longest item on the critical path.
Director Identification Number (DIN)
Allotted through SPICe+ itself for first-time directors. At least one director must be resident in India.
Name reservation and approval
Two proposed names through SPICe+ Part A. Check first with our company name availability tool. Karnataka carries one of India's largest and most crowded registries, so near-identical names are refused more often here than in most states.
Drafting MoA and AoA
Objects, share classes, reserved matters, transfer restrictions and board composition, aligned to any shareholders' agreement. If you expect to raise, this is the document a term sheet will be read against — worth getting right rather than getting cheap.
Filing SPICe+ with RoC Bangalore
SPICe+ Part B with AGILE-PRO-S (INC-35) and INC-9. In Karnataka that form also carries your profession tax registration — one of only three states where this is built into incorporation.
Certificate of Incorporation, PAN and TAN
Issued with the CIN. Karnataka stamp duty is collected at this stage and, as set out above, is usually the largest government line.
Post-incorporation setup
Current account activation, GST registration if not taken through AGILE-PRO-S, Udyam registration, Karnataka Shops and Commercial Establishments registration within 30 days, and — if foreign money is coming in — the time-bound FC-GPR filing.
Documents Required for Registration
For Indian directors and shareholders
- PAN card (mandatory for Indian nationals)
- Aadhaar card
- Passport-size photograph
- Identity proof — Voter ID, Passport or Driving Licence
- Address proof — bank statement or utility bill, not older than two months
- Email ID and mobile number linked to Aadhaar
For a foreign parent or foreign director
- Passport and address proof, notarised and apostilled in the home country
- Board resolution of the parent authorising the Indian investment and naming the authorised signatory
- Certificate of incorporation and charter documents of the parent, apostilled
- Proof of the registered office — utility bill, NOC from the owner, and the rental or lease agreement
A residential address is valid anywhere in the state, and co-working works where the agreement and a utility bill in the provider's name are available — both are common for Bengaluru incorporations. For a KIADB or industrial plot, confirm the allotment position and permitted use before the address goes into the MoA.
Timeline & Cost Overview
| Stage | Typical time | What decides it |
|---|---|---|
| DSC for all directors | 1–2 working days | Same day for Indian directors with Aadhaar OTP; several days if a foreign director needs apostilled documents |
| Name approval (SPICe+ Part A) | 1–3 working days | Distinctiveness against a very crowded registry |
| Drafting and signing MoA, AoA, INC-9 | 1–2 working days | Longer where a shareholders' agreement or ESOP pool has to be reflected |
| SPICe+ Part B, AGILE-PRO-S processing | 3–5 working days | Registrar queue and whether the file attracts a resubmission |
| Total, clean file | 7–10 working days | A resubmission typically adds three to five working days |
FDI, FEMA and the Filings That Follow Incorporation
Karnataka attracts more venture and strategic foreign capital than any other Indian state outside Maharashtra, and Bengaluru is where most of the funds and their counsel sit. Incorporation is the easy half; the filings that follow are time-bound and the penalties for missing them are real.
Entry route
Most sectors permit 100% foreign investment under the automatic route with no prior approval. Some — defence, broadcasting, print media, multi-brand retail — need government approval. Sector and activity are checked against the FDI Policy before the objects clause is drafted.
Entity Master and the Single Master Form
Before the first FC-GPR the company registers on the RBI's FIRMS portal through the Entity Master. Companies routinely discover this only when the FC-GPR is already due.
Pricing and valuation
Shares issued to a non-resident cannot be priced below fair value on an internationally accepted methodology, certified by a merchant banker or chartered accountant. Section 56(2)(viib) and rule 11UA also apply on the income-tax side.
Form FC-GPR
Filed within 30 days of allotment. Allotment must happen within 60 days of receiving the money, failing which it is refundable within 15 days. FC-GPR filing →
Annual FLA return
The Foreign Liabilities and Assets return is due by 15 July each year for every company holding foreign investment, including years when nothing new came in.
FC-TRS on transfers
Any transfer of shares between a resident and a non-resident is reported in FC-TRS within 60 days. Secondary transfers — including founder or ESOP exits in a round — are missed far more often than fresh issues.
Where there is a foreign parent there will usually be international transactions with associated enterprises, bringing transfer pricing documentation and Form 3CEB, and outward remittances requiring Form 15CA and 15CB. Karnataka software exporters should also check their STPI registration and Softex filing position. If the structure is a branch, liaison or project office rather than a subsidiary, see branch office, liaison office and project office registration, or our foreign subsidiary company service.
Licences & Registrations Applicable in Karnataka
Applies to almost every Karnataka company
- PTEC — profession tax enrolment, from day one
- PTRC — once you have salaried employees above ₹24,999 a month
- Karnataka Shops and Commercial Establishments registration within 30 days
- GST registration — on crossing the threshold, or immediately for inter-state supply, e-commerce and exports
- Udyam (MSME) registration — free, and it unlocks the 45-day payment protection
- EPFO and ESIC — applied for through AGILE-PRO-S; obligations bite at the statutory headcounts
Sector and project-specific
- KIADB or KSSIDC plot allotment and transfer approvals
- KSPCB consent to establish, then consent to operate — before construction, not after
- Zone classification confirmation and incentive registration with the District Industries Centre
- Factories Act licence and labour department approvals
- Import Export Code for anything crossing a customs frontier
- FSSAI, drug licence, PESO and sector registrations as applicable
- POSH — an internal committee is mandatory at ten or more employees
- Trademark registration — in the company's name, not a founder's
Why Choose TAXAJ for Your Karnataka Company
We are actually here
TAXAJ has a working office in J.P. Nagar, Bengaluru. Document collection, notarisation, registered-office proofs and follow-ups with RoC Bangalore are handled locally, not from another state.
We read the policy, not the summaries
The zone tables on this page come from the industrial policy document itself. Where published summaries disagree with each other — as they do on the Bengaluru Urban taluks — we publish the disagreement rather than pick the convenient answer.
We will tell you about the stamp duty first
The 2024 increase makes Karnataka stamp duty the largest line in most incorporation budgets. We quote it against your actual authorised capital before you commit, and advise on setting capital at the right level.
India entry, end to end
Apostille chains, entry route, valuation, Entity Master, FC-GPR, FLA, FC-TRS, STPI and transfer pricing — the work that decides whether a subsidiary runs cleanly.
The funding-stage work most firms stop before
ESOP schemes and pools, registered valuer and merchant banker reports, term sheet review, cap table and due diligence readiness. Incorporation is where we start, not where we finish.
CA, CS and lawyer in one team
Incorporation, tax, GST, ROC, FEMA and legal drafting handled by one accountable team instead of four vendors who each blame the others.

Frequently Asked Questions
Which Registrar of Companies handles Karnataka?
RoC Bangalore, for all thirty-one districts. Karnataka does not appear in the February 2026 reorganisation notification, S.O. 4850(E), at all — unlike Maharashtra, Uttar Pradesh, Delhi, Haryana and West Bengal, its Registrar was not split or moved. There is one Registrar for the whole state and there always has been.
So what actually changed for Karnataka in February 2026?
The level above the Registrar. From 16 February 2026 the MCA created a Regional Directorate (South-Western Region) at Bengaluru, covering Karnataka, Kerala and Lakshadweep. Karnataka companies previously took Regional Director matters — inter-state office shifts, compounding of offences, condonation of delay, certain name-change directions and fast-track mergers under section 233 — to Hyderabad. Those now sit in Bengaluru.
Do I need a Regional Director's order to move my registered office within Karnataka?
No — and this is a real advantage of the state. The proviso to section 12(5) only bites when you move from one Registrar's jurisdiction to another within the same state. Karnataka has a single Registrar, so any move inside the state is a plain INC-22. Bengaluru to Mysuru, Bengaluru to Hubballi, Bengaluru to Kalaburagi — no special resolution to the Regional Director, no Form INC-23, no order to wait for. In Maharashtra, which now has four Registrars, the equivalent move is a filing programme.
Which parts of Karnataka get the best industrial incentives?
Under the Karnataka Industrial Policy 2025–30 the state is divided into three zones, and Zone 3 — which receives the least — is Bengaluru and its immediate ring. Zones 1 and 2, which cover the overwhelming majority of the state, get 100% stamp duty exemption on industrial land and full land conversion fee reimbursement, against nil in Zone 3. On capital subsidy a small enterprise can claim up to ₹2 crore in Zone 1 against ₹50 lakh in Zone 3. The policy's stated targets are ₹7.5 lakh crore of investment and 20 lakh jobs by 2030.
Is Bengaluru Urban inside Zone 3 or outside the policy altogether?
Published summaries differ, and we would rather say so than guess. One lists nine Bengaluru Urban taluks inside Zone 3 alongside Bengaluru Rural's four; a summary of the policy document itself describes Zone 3 as limited to Bengaluru Rural. The reported taluka counts do not fully reconcile either. The qualitative position is the same on any reading — Zone 3 is Bengaluru and its ring, and the rest of Karnataka is eligible for materially more — but for a specific site we confirm the classification against the operative schedule before it goes into a business plan.
I am building a software company. Do the zone incentives help me?
Very little, and it is worth being clear about why. The capital subsidy is a percentage of fixed assets, and a software business leasing an office has almost none to claim against. The instruments that do reach you are the Karnataka Startup Policy 2025–30 — approved November 2025 with a ₹518.27 crore outlay, targeting 25,000 startups, including PF and ESI reimbursement of ₹3,000 per employee per month up to ₹12 lakh per firm in the first two years — and the Beyond Bengaluru cluster programme.
What is Beyond Bengaluru?
The state's programme for building startup ecosystems outside the capital, centred on Mysuru, Mangaluru and Hubballi–Dharwad. It includes a ₹75 crore Cluster Seed Fund for growth-stage startups — ₹20 crore for 2024–25 and ₹55 crore for 2025–26 — with a stated ambition of 10,000 startups across the clusters by 2030. The cluster cities have real engineering talent and materially lower costs; they do not yet have Bengaluru's investor density or depth of senior hiring.
How much is stamp duty on incorporation in Karnataka?
More than most published guidance says. The Karnataka Stamp (Amendment) Act, 2023, notified on 3 February 2024, raised the duty on the Memorandum and Articles to ₹5,000 from ₹1,000, and the Articles additionally scale with authorised share capital. Because the MCA's own incorporation fee is nil up to ₹15 lakh of authorised capital, the state stamp duty is now typically the largest single line in your government cost. Anyone quoting "Karnataka: ₹500 flat" is out by an order of magnitude. We quote it against your actual capital before filing.
Should I set a high authorised capital at incorporation?
Usually not, in Karnataka specifically. Because the Articles duty scales with authorised share capital, setting it higher than you need has a direct and immediate cost. Most Karnataka companies are better off starting low and increasing it at the round, when there is money to pay for it and a reason to.
Does Karnataka charge profession tax?
Yes, under the Karnataka Tax on Professions, Trades, Callings and Employments Act, and the registration is applied for through the SPICe+ form itself — Karnataka is one of only three states where this is built into incorporation, with Maharashtra and West Bengal. Your company needs a PTEC from day one and a PTRC once you have salaried employees. The exemption was raised to salaries up to ₹24,999 a month from 1 April 2025, so most junior payrolls now fall outside it entirely.
Do I need to be in Karnataka to register a company there?
No — the whole process is online, with DSC through Aadhaar OTP or video KYC, documents by secure upload and filing through the MCA portal. That said, Karnataka is one of the states where we are not filing remotely: TAXAJ has a working office at 17th B Main Road, J.P. Nagar, Bengaluru, so if you would rather sit across a table for the structuring conversation you can. You will need a genuine registered-office address in the state, which the Registrar can and does verify.
How long does incorporation take in Karnataka?
Seven to ten working days for a clean file — one to two days for DSCs, one to three for name approval, one to two for drafting and signing, and three to five for SPICe+ Part B processing. A resubmission typically adds three to five working days. The most common cause of delay is a foreign director's apostilled documents, which is worth starting first.
