Private Limited Company Registration in Ahmedabad
Register your Pvt Ltd company in Ahmedabad with a CA-led team — SPICe+ filing, DSC, DIN, name approval, MoA & AoA drafting, PAN, TAN and GST. Ahmedabad is the only Indian city with an International Financial Services Centre on its doorstep, and the single most common misunderstanding we meet here is what GIFT City actually changes about your company. This page answers that first.

Your Registrar Did Not Change. Two Things Around It Did.
Gujarat does not appear in the Ministry of Corporate Affairs reorganisation notified as S.O. 4850(E). The Registrar of Companies, Ahmedabad continues to handle every incorporation, name approval and ROC filing for the whole state, exactly as before. There is nothing to correct there.
What this page has never told you is what sits either side of that — the Regional Directorate above it, and the fact that Gujarat levies a profession tax at all.
| Position | |
|---|---|
| Your Registrar | RoC Ahmedabad, for the whole of Gujarat — unchanged |
| Your Regional Director | North-Western Region, at Ahmedabad — Rajasthan, Gujarat, Madhya Pradesh and the UT of Dadra and Nagar Haveli |
Ahmedabad's Regional Directorate is a four-jurisdiction office covering the whole of India's north-west. One thing worth noticing: Chhattisgarh does not appear in it, and now sits under the South-Eastern Region directorate at Hyderabad. We should be precise about what that is — the current allocation is quoted from the notification; that Chhattisgarh moved from Ahmedabad is our reading of the table, not a transfer we have seen documented. And we are not going to tell you what any of it has done to disposal times, because the change is six months old and there is no published data.
The Regional Director decides what a growing company eventually needs: compounding of offences after a missed filing, condonation of delay, shifting a registered office from one state to another, certain name-change directions, and fast-track mergers under section 233. For a Gujarat company those are heard in Ahmedabad — locally, which most companies in India cannot say.
The Question Every Ahmedabad Founder Eventually AsksGIFT City Is a Tax and Regulatory Regime. It Is Not a Separate Company-Law Jurisdiction.
This is the single most common misunderstanding we meet in Gujarat, and clearing it up usually saves a founder several weeks of confused planning.
What GIFT City does not change
A company in the GIFT International Financial Services Centre is still an Indian company incorporated under the Companies Act 2013. It is still registered with RoC Ahmedabad. It still has a CIN, still files AOC-4 and MGT-7, still appoints an auditor in ADT-1, still does DIR-3 KYC, and its Regional Director is still North-Western Region at Ahmedabad.
There is no separate Registrar for GIFT City. There is no separate incorporation route.
What it does change
Your regulator and your tax position. Within the IFSC, the International Financial Services Centres Authority (IFSCA) is the unified regulator for financial activity — a single authority in place of the several that would otherwise apply. And a registered IFSC unit gets a materially different tax treatment, set out below.
What an IFSC unit actually gets
| Head | Position |
|---|---|
| Income tax — section 80LA | 100% deduction on specified income for 10 consecutive years out of 15, for an eligible IFSC unit |
| MAT / AMT | Reduced rate of 9% |
| Transactions on IFSC exchanges | Exempt from securities transaction tax, commodities transaction tax and stamp duty |
| State stamp duty | Exempt for ten years for aircraft leasing, financing and insurance businesses |
| Regulator | IFSCA — unified, for financial activity within the IFSC |
| Supplies into the domestic market | Treated as imports and subject to GST — the one that catches people out |
Read that last row before you plan anything. A unit in the SEZ supplying into the Domestic Tariff Area is treated as making an import, and GST applies. So a business whose customers are largely Indian does not simply get a tax holiday by moving its address to GIFT City — the structure only works when the revenue genuinely comes from outside the domestic market or from within the IFSC. We have seen this assumption made in earnest, and it is an expensive one to unwind.
And one thing we deliberately are not telling you. We could not verify, from the sources we checked, the precise FEMA treatment of an IFSC unit — how it is regarded for exchange control purposes relative to the rest of India. That matters a great deal to how capital moves in and out, so rather than repeat a general claim we will confirm it against the operative regulations for your specific structure. Our foreign subsidiary and FEMA practice does this work routinely.
Eligibility is the real gate. Section 80LA relief attaches to a registered IFSC unit carrying on permitted activity under IFSCA's framework, not to any company with a Gandhinagar address. If your business is not one IFSCA regulates, GIFT City is simply an office location with good infrastructure — which is a perfectly reasonable thing to want, but it is not a tax structure. We will tell you which of the two you are looking at before you commit to a lease.
Levied by Your Municipal Corporation, Not the StateGujarat Profession Tax — the Simplest Slab Table in India
Gujarat levies profession tax under the Gujarat State Tax on Professions, Trades, Callings and Employments Act, 1976, and the current structure could not be much simpler:
| Monthly salary or wage | Profession tax per month | Per year |
|---|---|---|
| Up to ₹12,000 | Nil | — |
| Above ₹12,000 | ₹200 | ₹2,400 |
Two slabs, and that is the whole table. The ₹12,000 exemption threshold took effect on 24 May 2022, and the annual maximum of ₹2,500 is the ceiling Article 276 of the Constitution places on taxes on professions, trades, callings and employments. Further exemptions are reported for persons with a disability certificate and for senior citizens aged sixty-five and above.
The structural point matters more than the rate. In Gujarat, profession tax is collected by the municipal corporation — Ahmedabad, Surat and Vadodara each run their own collection — rather than by the state government. There is no single state counter, and the corporation your registered office sits in is the one you deal with. Gujarat shares that shape with Tamil Nadu and very few other states.
Gujarat is also not one of the three states where profession tax registration goes through SPICe+ — only Maharashtra, Karnataka and West Bengal have it built into the incorporation form. So for an Ahmedabad company it is a separate registration afterwards, and it is regularly missed. The live version of this page did not mention profession tax at all.
Two things we are not going to print. The return filing frequency in Gujarat depends on your headcount, and the one source we found describing it gives an arrangement that is the inverse of the usual pattern elsewhere in India — we would rather confirm the position for your payroll than publish a schedule we have seen once. And the interest rate on late payment is given as twelve per cent a year by one source and eighteen by another; where sources conflict outright we publish neither. Compare states with our profession tax state finder, or hand it to us through profession tax registration and filing.

Why Ahmedabad, and Where Gujarat Is Genuinely Strong
The only IFSC in India
Whatever else is true of Gujarat, no other state has an International Financial Services Centre with a unified regulator and a statutory tax regime attached. For fund management, aircraft leasing, reinsurance and cross-border fintech, that is genuinely unique.
Chemicals and pharmaceuticals at national scale
A dyes, intermediates, agrochemicals and formulations base that supplies the rest of the country. If you are in specialty chemicals, the vendor and effluent infrastructure already exists.
Sanand, and what it proved
One of the few genuinely successful greenfield automotive clusters built in India this century, now extending into electronics and semiconductors.
Ports and the longest coastline in India
Mundra, Kandla and a working private port ecosystem. For an export business the logistics competence around Gujarat's ports is a real, measurable advantage.
Land and power that generally work
Industrial land availability and grid reliability are the two operational things Gujarat is most consistently praised for by companies that have actually built there.
What we will say plainly
GIFT City is not a tax structure for a business whose customers are Indian — supplies into the domestic market are treated as imports. And Ahmedabad's professional services market is competitive on price, so be clear whether you are buying advice or paperwork.
Instant Cost Estimator — Pvt Ltd in Ahmedabad
Get an indicative professional-fee estimate based on your company structure. Government fees (ROC, stamp duty, DSC tokens) are charged at actuals and confirmed on your free call.
Setting up an Indian subsidiary for an overseas parent? Use our foreign subsidiary set-up cost estimator instead — the cost structure is different, and different again for an IFSC unit.
Stamp Duty on MoA & AoA in Gujarat
Stamp duty on the Memorandum and Articles is a state levy collected when SPICe+ is filed, and in Gujarat it is linked to authorised share capital.
We do not publish a fixed table here, deliberately. Two states moved theirs in the last two years — Karnataka raised its incorporation duty fivefold in February 2024, and Maharashtra increased its Articles rate by half in October 2024. A figure printed on a website eighteen months ago is exactly how a founder ends up with a budget wrong by an order of magnitude. We quote Gujarat duty against your actual authorised capital and confirm it before filing. Compare states with our stamp duty calculator, and estimate the central fee with our MCA fee calculator.
Do not confuse this with the ten-year state stamp duty exemption available in the IFSC to aircraft leasing, financing and insurance businesses, or with the exemption on transactions executed on IFSC exchanges. Those are activity-specific reliefs inside the IFSC. The duty above is on your incorporation documents and is payable anywhere in Gujarat.
Step-by-Step Registration Procedure
Decide whether you are an IFSC business or a Gujarat business
These are different structures with different regulators, different tax outcomes and different customer bases. Settling it before drafting saves rework — and the honest answer is often that GIFT City is not the right home, which we would rather say at this stage.
Digital Signature Certificate (DSC)
A Class 3 DSC for every proposed director, through Aadhaar OTP or video KYC. For a foreign director the route is passport-based with notarisation and apostille, usually the longest item on the critical path.
Director Identification Number (DIN)
Allotted through SPICe+ itself for first-time directors. At least one director must be resident in India.
Name reservation and approval
Two proposed names through SPICe+ Part A. Check first with our company name availability tool. Note that names implying banking, financial services or insurance attract additional scrutiny and, where the activity is regulated, may need the regulator's comfort before approval.
Drafting MoA and AoA
Objects, share classes, reserved matters, transfer restrictions and board composition, aligned to any shareholders' agreement. For an IFSC unit the objects clause will later be read by IFSCA against your permitted activity — worth drafting with that in mind rather than retrofitting.
Filing SPICe+ with RoC Ahmedabad
SPICe+ Part B with AGILE-PRO-S (INC-35) and INC-9 — the same route for a GIFT City company as for one on SG Highway. Note that in Gujarat AGILE-PRO-S will not carry profession tax; that is a separate municipal registration afterwards.
Certificate of Incorporation, PAN and TAN
Issued with the CIN, naming RoC Ahmedabad. Gujarat stamp duty is collected at this stage.
Then the sequence that actually matters
Current account activation, GST registration, municipal profession tax, shops and establishments, Udyam registration — and, for an IFSC unit, IFSCA registration and SEZ unit approval, which are separate exercises from incorporation and run on their own timelines.
Documents Required for Registration
For Indian directors and shareholders
- PAN card (mandatory for Indian nationals)
- Aadhaar card
- Passport-size photograph
- Identity proof — Voter ID, Passport or Driving Licence
- Address proof — bank statement or utility bill, not older than two months
- Email ID and mobile number linked to Aadhaar
For a foreign parent or foreign director
- Passport and address proof, notarised and apostilled in the home country
- Board resolution of the parent authorising the Indian investment and naming the authorised signatory
- Certificate of incorporation and charter documents of the parent, apostilled
- Proof of the registered office — utility bill, NOC from the owner, and the rental or lease agreement
A residential address is valid, and co-working works where the agreement and a utility bill in the provider's name are available. For a GIDC plot or a GIFT City unit, the allotment or lease documentation is what supports the registered-office proof, and it should be in place before the address goes into the MoA.
Timeline & Cost Overview
| Stage | Typical time | What decides it |
|---|---|---|
| DSC for all directors | 1–2 working days | Same day for Indian directors with Aadhaar OTP; several days if a foreign director needs apostilled documents |
| Name approval (SPICe+ Part A) | 1–3 working days | Distinctiveness — and additional scrutiny for names implying regulated financial activity |
| Drafting and signing MoA, AoA, INC-9 | 1–2 working days | Longer where a shareholders' agreement or IFSCA-facing objects clause has to be reflected |
| SPICe+ Part B, AGILE-PRO-S processing | 3–5 working days | Registrar queue and whether the file attracts a resubmission |
| Total, clean file | 7–10 working days | A resubmission typically adds three to five working days |
| With a foreign parent | Usually 3–6 weeks | Driven almost entirely by the apostille, not the Indian filing |
| IFSCA registration and SEZ approval | Separate exercise, separate timeline | Runs after incorporation, on the regulator's schedule, and depends on the activity applied for |
FDI, FEMA and the Filings That Follow Incorporation
Gujarat takes a large share of India's manufacturing foreign investment, and GIFT City exists precisely to attract cross-border financial business. Incorporation is the easy half; the filings that follow are time-bound and the penalties for missing them are real.
Entry route
Most sectors permit 100% foreign investment under the automatic route with no prior approval. Some — defence, broadcasting, print media, multi-brand retail — need government approval, and financial services activity in the IFSC sits under IFSCA's own framework as well. Sector and activity are checked before the objects clause is drafted.
Entity Master and the Single Master Form
Before the first FC-GPR the company registers on the RBI's FIRMS portal through the Entity Master. Companies routinely discover this when the FC-GPR is already due.
Pricing and valuation
Shares issued to a non-resident cannot be priced below fair value on an internationally accepted methodology, certified by a merchant banker or chartered accountant. Section 56(2)(viib) and rule 11UA also apply on the income-tax side.
Form FC-GPR
Filed within 30 days of allotment. Allotment must happen within 60 days of receiving the money, failing which it is refundable within 15 days. FC-GPR filing →
Annual FLA return
The Foreign Liabilities and Assets return is due by 15 July each year for every company holding foreign investment, including years when nothing new came in.
FC-TRS on transfers
Any transfer of shares between a resident and a non-resident is reported in FC-TRS within 60 days. Secondary transfers are missed far more often than fresh issues.
Where there is a foreign parent there will usually be international transactions with associated enterprises, bringing transfer pricing documentation and Form 3CEB, and outward remittances requiring Form 15CA and 15CB. Services exporters should check their STPI registration and Softex filing position. If the structure is a branch, liaison or project office rather than a subsidiary, see branch office, liaison office and project office registration.
Licences & Registrations Applicable in Gujarat
Applies to almost every Gujarat company
- Profession tax — with your municipal corporation, not through SPICe+
- Gujarat Shops and Establishments registration
- GST registration — on crossing the threshold, or immediately for inter-state supply, e-commerce and exports
- Udyam (MSME) registration — free, and it unlocks the 45-day payment protection
- EPFO and ESIC — applied for through AGILE-PRO-S; obligations bite at the statutory headcounts
- POSH — an internal committee is mandatory at ten or more employees
Sector and project-specific
- IFSCA registration and SEZ unit approval for a GIFT City unit
- GIDC plot allotment and transfer approvals
- GPCB consent to establish, then consent to operate — before construction, not after, and the binding constraint in the chemicals belt
- Factories Act licence and labour department approvals
- Import Export Code and AD Code for anything crossing a customs frontier
- FSSAI, drug licence, PESO and sector registrations as applicable
- Trademark registration — in the company's name, not a founder's
Why Choose TAXAJ for Your Ahmedabad Company
We will tell you if GIFT City is wrong for you
Supplies from the IFSC into the domestic market are treated as imports. If your customers are Indian, a Gandhinagar address is an office, not a tax structure — and we would rather say that before you sign a lease than after.
We separate fact from inference
You will notice this page says which parts are quoted from the notification and which are our reading of it, and declines to print figures where sources conflict. We work the same way on a file.
We set up the municipal profession tax
Gujarat's is collected by your corporation rather than the state and is not in SPICe+ — which is exactly why new companies miss it. The live version of this page did not mention it at all.
India entry, end to end
Apostille chains, entry route, valuation, Entity Master, FC-GPR, FLA, FC-TRS and transfer pricing — the work that decides whether a subsidiary runs cleanly.
CA, CS and lawyer in one team
Incorporation, tax, GST, ROC, FEMA and legal drafting handled by one accountable team instead of four vendors who each blame the others.
We check the things nobody checks
Which Regional Directorate you now sit under, whether your objects clause will survive a regulator reading it, and whether the incentive you were promised still exists.
TAXAJ does not have an office in Gujarat. We serve clients across the state from our offices in Delhi, Bengaluru, Bihar and Goa, and the entire incorporation is online — DSC by video KYC, documents by secure upload, filings through the MCA portal. We say this plainly because a firm that invents a local address on its website is telling you something about how it will handle yours.

Frequently Asked Questions
Which Registrar of Companies handles Ahmedabad?
RoC Ahmedabad, with jurisdiction over the whole of Gujarat — including companies in the GIFT International Financial Services Centre. Gujarat does not appear in the February 2026 MCA reorganisation notification, so the position is exactly as it was.
Is a GIFT City company registered somewhere different?
No, and this is the most common misunderstanding we meet in Gujarat. A company in GIFT IFSC is an Indian company incorporated under the Companies Act 2013 and registered with RoC Ahmedabad, exactly like a company on SG Highway. It has a CIN, files AOC-4 and MGT-7, appoints an auditor in ADT-1 and does DIR-3 KYC. There is no separate Registrar and no separate incorporation route. What GIFT City changes is your regulator and your tax position, not your company law.
What are the actual tax benefits of a GIFT IFSC unit?
For an eligible registered unit: a 100% deduction on specified income under section 80LA for ten consecutive years out of fifteen; a reduced MAT/AMT rate of 9%; exemption from securities transaction tax, commodities transaction tax and stamp duty on transactions executed on IFSC exchanges; and a ten-year state stamp duty exemption for aircraft leasing, financing and insurance businesses. The unified regulator is IFSCA.
Can I move to GIFT City to avoid tax if my customers are in India?
No — and this is the assumption that costs people money. Supplies from the SEZ into the Domestic Tariff Area are treated as imports and attract GST. The IFSC structure works when revenue genuinely comes from outside the domestic market or from within the IFSC itself. If your customers are Indian, a Gandhinagar address gives you good infrastructure and nothing more. Section 80LA relief also attaches to a registered IFSC unit carrying on permitted activity under IFSCA's framework, not to any company with an address there.
How is an IFSC unit treated under FEMA?
We are not going to give you a general answer to that, because we could not verify the precise position from the sources we checked and it materially affects how capital moves in and out of the structure. We confirm it against the operative regulations for your specific case. Treat any website that answers this in one confident line with some caution.
Does an IFSC unit have lighter compliance?
Not on the company law side. It files everything a Gujarat company files — AOC-4, MGT-7, ADT-1, DIR-3 KYC — plus IFSCA reporting for the registered unit. The regime changes what you pay, not what you file.
Which Regional Directorate covers Gujarat?
The North-Western Region directorate at Ahmedabad, covering Rajasthan, Gujarat, Madhya Pradesh and the Union Territory of Dadra and Nagar Haveli. Chhattisgarh does not appear in it and now sits under the South-Eastern Region at Hyderabad — though we should be precise: the current allocation is quoted from the notification, while the transfer is our reading of the table rather than something we have seen documented.
Does Gujarat charge profession tax?
Yes — and the live version of this page did not mention it at all. Gujarat levies it under the Gujarat State Tax on Professions, Trades, Callings and Employments Act 1976, with the simplest table in India: nil up to ₹12,000 a month, ₹200 above, effective 24 May 2022, with an annual maximum of ₹2,500. It is collected by your municipal corporation — Ahmedabad, Surat and Vadodara each run their own — not by the state, and it is not available through SPICe+, so it is a separate registration after incorporation.
How often do I file Gujarat profession tax returns?
Frequency depends on your headcount, and we are deliberately not printing a schedule. The one source we found describing it gives an arrangement that is the inverse of the usual pattern elsewhere in India, and the other source we checked did not carry the point at all. Rather than publish something we have seen once, we confirm the position for your payroll before setting it up. We take the same approach to the late-payment interest rate, which our two sources give as twelve per cent and eighteen per cent respectively.
How much is stamp duty on incorporation in Gujarat?
It is linked to authorised share capital and the schedule is amended from time to time, so we quote it against your actual capital rather than publishing a table. Two states moved theirs recently — Karnataka raised its incorporation duty fivefold in February 2024, Maharashtra increased its Articles rate by half in October 2024. This is separate from the IFSC stamp duty reliefs, which are activity-specific.
Can a foreign company own 100% of a Gujarat subsidiary?
In most sectors yes, under the automatic route with no prior government approval. Some sectors need approval, and financial services activity inside the IFSC additionally sits under IFSCA's own framework. You will need at least one director resident in India, which for a wholly foreign-owned company is usually the first constraint to solve.
Do I need to be in Ahmedabad to register a company there?
No. The whole process is online — DSC through Aadhaar OTP or video KYC, documents by secure upload, and filing through the MCA portal. TAXAJ has no Gujarat office; we serve clients across the state from Delhi, Bengaluru, Bihar and Goa. You will need a genuine registered-office address in the state, which the Registrar can and does verify.
