How Pvt Ltd Company Registration Works in Mumbai
Every Mumbai incorporation page on the internet — including, until today, our own — tells you the same thing: your company will be registered with the Registrar of Companies, Mumbai. That office, in the form everyone describes, stopped existing on 16 February 2026.
On that date the Ministry of Corporate Affairs brought into force a reorganisation notified as S.O. 4850(E) on 23 October 2025. The old RoC Mumbai, which covered twenty-eight of Maharashtra's thirty-six districts, was broken into three offices. Maharashtra now has four Registrars of Companies, not two.
The filing itself is unchanged. It is still SPICe+ on the MCA portal, still entirely online, still seven to ten working days when the paperwork is clean. What changed is which office issues your Certificate of Incorporation, where every ROC form you file for the life of the company goes — and, as we will show below, what it now takes to move your registered office across the harbour.
If you want the underlying process end to end, read our guide to private limited company registration in India. This page is about what is specific to Mumbai.
The Change Nobody Told You AboutMumbai Now Has Two Registrars — and Only One of Them Is in Mumbai
Here is the operative allocation, quoted from the notification itself.
| Office | Seated at | Jurisdiction, as notified |
|---|---|---|
| Registrar of Companies, Mumbai-I | Mumbai | Districts of Mumbai and Mumbai Suburban |
| Registrar of Companies, Mumbai-II | Navi Mumbai | Districts of Aurangabad, Dhule, Jalgaon, Nandurbar, Nashik, Palghar, Raigad and Thane |
| Registrar of Companies, Nagpur | Nagpur | Akola, Amravati, Beed, Bhandara, Buldhana, Chandrapur, Gadchiroli, Gondia, Hingoli, Jalna, Latur, Nagpur, Nanded, Osmanabad, Parbhani, Wardha, Washim and Yavatmal |
| Registrar of Companies, Pune | Pune | Unchanged — Ahmednagar, Kolhapur, Pune, Ratnagiri, Sangli, Satara, Sindhudurg and Solapur |
RoC Pune does not appear in the February 2026 notification at all, which is how we know its eight districts were left alone. The arithmetic confirms it: 2 districts with Mumbai-I, 8 with Mumbai-II, 18 with Nagpur and 8 with Pune is 36 — every district in Maharashtra, accounted for exactly once.
Read the Mumbai-I row again. It is two districts. Mumbai City is about 157 square kilometres and Mumbai Suburban about 446. Together they run from Colaba to Dahisar in the west, to Mulund in the east and to Mankhurd on the harbour — and that is the whole of it. Cross the creek or the Thane border and you are with a different Registrar.
The Part That Is Sharper StillThe Regional Director Moved Too — and Mumbai Kept Its Own
The Registrar is the first level of company administration. The second is the Regional Director, who decides compounding applications, most registered-office shifts, and a range of approvals under the Companies Act. That level was reorganised on the same date, and almost nobody is writing about it.
Regional Director, Western Region-I — at Mumbai
Now covers only the districts of Mumbai and Mumbai Suburban, the State of Goa and the Union Territory of Daman and Diu.
Regional Director, Western Region-II — at Navi Mumbai (new)
Covers all districts of Maharashtra other than Mumbai and Mumbai Suburban — so Thane, Navi Mumbai, Raigad, Palghar, Nashik, Pune and Nagpur all report here now.
Put the two changes together and you get a fact worth stating plainly: Mumbai City and Mumbai Suburban are the only part of Maharashtra that kept both its Registrar and its Regional Director. Everywhere else in the state moved at least one level, and the whole of the Mumbai Metropolitan Region outside those two districts moved both.
Why this matters more than it sounds. A company in Andheri and a company in Airoli are eleven kilometres apart, often in the same industry, sometimes in the same group. Since 16 February 2026 they file with different Registrars, answer to different Regional Directors, and — as the next section explains — cannot move from one to the other without a special resolution and a formal order.
Which Registrar Covers Your Mumbai Address?
Founders do not know which revenue district their office sits in. They know the locality on the rent agreement. So here is the lookup the other way round — the addresses people actually give us, mapped to the district and the Registrar.
| If your registered office is at… | District | Registrar since 16 Feb 2026 | Regional Director |
|---|---|---|---|
| Fort, Nariman Point, Ballard Estate, Colaba, Churchgate | Mumbai City | Mumbai-I | WR-I, Mumbai |
| Lower Parel, Worli, Dadar, Byculla, Mahalaxmi, Prabhadevi | Mumbai City | Mumbai-I | WR-I, Mumbai |
| Bandra Kurla Complex (BKC), Bandra, Santacruz, Khar | Mumbai Suburban | Mumbai-I | WR-I, Mumbai |
| Andheri East and West, SEEPZ, MIDC Andheri, Jogeshwari, Goregaon, Malad, Kandivali, Borivali, Dahisar | Mumbai Suburban | Mumbai-I | WR-I, Mumbai |
| Powai, Vikhroli, Ghatkopar, Chembur, Kurla, Bhandup, Mulund, Mankhurd | Mumbai Suburban | Mumbai-I | WR-I, Mumbai |
| Navi Mumbai — Vashi, Belapur, Airoli, Ghansoli, Turbhe, Nerul, Kharghar, Kamothe | Thane / Raigad | Mumbai-II | WR-II, Navi Mumbai |
| Thane city, Wagle Estate, Ghodbunder Road, Kalyan, Dombivli, Ambernath, Ulhasnagar, Bhiwandi | Thane | Mumbai-II | WR-II, Navi Mumbai |
| Panvel, Taloja, Ulwe, Uran, JNPA / Nhava Sheva, Khopoli, Alibaug | Raigad | Mumbai-II | WR-II, Navi Mumbai |
| Mira Road, Bhayandar, Vasai, Virar, Nalasopara, Boisar, Palghar, Tarapur | Palghar | Mumbai-II | WR-II, Navi Mumbai |
| Nashik, Sinnar, Igatpuri, Malegaon | Nashik | Mumbai-II | WR-II, Navi Mumbai |
| Pune, Pimpri-Chinchwad, Hinjawadi, Chakan, Talegaon | Pune | Pune (unchanged) | WR-II, Navi Mumbai |
The rule of thumb, and it is a clean one: if the address is on Salsette Island south of the Dahisar and Mulund municipal boundary, it is Mumbai-I. Everything across the creek, up the Ghodbunder Road or beyond the Vasai Creek is Mumbai-II. Because Mumbai City and Mumbai Suburban are the only two districts on the Mumbai-I side, this is one of the few jurisdiction questions in India that can be answered from a pin code with confidence — but we still confirm it against the address on the utility bill before filing.
Mira Road and Bhayandar catch people out. They are contiguous with Dahisar, share the Western Line, and everyone calls them Mumbai. They are in Palghar district, so they are Mumbai-II. Vasai and Virar likewise. If your rent agreement says Mira Road, your Certificate of Incorporation will say Navi Mumbai.
Moving From Mumbai to Thane or Navi Mumbai Is No Longer a Simple Form
This is the practical part, and it is the reason we would rather you read this page before you incorporate than after.
Moving a registered office within the same city is an INC-22 and a board resolution. Straightforward. Moving it from the jurisdiction of one Registrar to another Registrar in the same state is a different animal. The proviso to section 12(5) of the Companies Act 2013 says a company shall not change the place of its registered office from the jurisdiction of one Registrar to the jurisdiction of another Registrar within the same State unless the change is confirmed by the Regional Director on an application made in the prescribed manner.
Until 15 February 2026 that proviso almost never bit in the Mumbai Metropolitan Region, because Mumbai, Thane, Navi Mumbai, Panvel and Vasai were all one Registrar's territory. Since 16 February 2026 they are not.
What the move now takes
Board resolution and special resolution
Board meeting to approve the shift and convene the general meeting; then a special resolution of the members. The registered-office clause of the MoA is altered where required.
Form MGT-14
The special resolution is filed with the Registrar within thirty days.
Form INC-23 to the Regional Director
Application under rule 28 of the Companies (Incorporation) Rules 2014, with declarations that there is no default in payment of dues to workmen, that creditors' consent has been obtained or their dues provided for, and that the change will not prejudice the jurisdiction of any pending prosecution.
The Regional Director's order
Rule 28 requires the order approving or rejecting the application to be passed within fifteen days of receipt of an application complete in all respects. In practice a query on the application restarts the clock, which is why the file needs to be right first time.
Forms INC-28 and INC-22
The certified copy of the order is filed in INC-28 within thirty days, and the new address in INC-22 with the usual address proof, utility bill and no-objection from the owner.
One piece of good news worth knowing: the 2017 amendment to rule 28 removed the earlier requirement to advertise the proposed shift in newspapers and to serve individual notices on every creditor and debtor. The creditor position is now handled by declaration rather than by publication, which is why this is a matter of weeks rather than months when the file is clean.
The practical advice. If there is any realistic chance you will move the office across the creek in the next two or three years — and in the MMR, where a Navi Mumbai or Thane desk costs a fraction of a Lower Parel one, that chance is high — decide now, at incorporation, which side you want to be on. Getting it right on day one costs nothing. Getting it wrong costs a special resolution, three forms and a Regional Director's order.
The same logic runs the other way. A company that starts in Thane or Navi Mumbai to keep costs down, and later wants a Mumbai City registered office for the address on its letterhead, faces exactly the same procedure in reverse.
Why Mumbai Is Still Worth the Rent
We will make the honest case rather than the brochure one, because most of what is written about incorporating in Mumbai is written by people selling office space.
The regulators are here
The Reserve Bank of India and the Securities and Exchange Board of India are headquartered in Mumbai, as are both stock exchanges and the head offices of most scheduled commercial banks. If your business needs a regulator to say yes to something, the people who decide are in this city.
Where the money actually sits
Institutional investors, most domestic funds, the merchant banking desks and the AD Category-I bank branches that will process your inward remittance are concentrated here. For a company raising capital, proximity is not sentiment — it is meeting density.
The Bombay High Court and the Mumbai NCLT
Commercial disputes, insolvency, oppression and mismanagement, scheme sanctions — all of it runs through benches sitting in Mumbai, with a bar that specialises in it. For a company likely to litigate or restructure, this is a real, unglamorous advantage.
Two ports and, now, two airports
JNPA at Nhava Sheva is India's largest container port. Chhatrapati Shivaji Maharaj International has been joined by Navi Mumbai International Airport, which began commercial operations on 25 December 2025 with a phase-one capacity of about 20 million passengers a year.
Sectors with genuine depth
Financial services, media and entertainment, advertising, pharmaceuticals, gems and jewellery, logistics and, increasingly, fintech and D2C. Depth matters more than breadth when you are hiring your fifth employee.
The default address for an India entry
Overseas parents setting up an Indian subsidiary choose Mumbai more often than anywhere else, largely because banking, legal and regulatory counterparties are all in one time zone and one taxi ride.
And the honest counterweight. Mumbai is expensive, congested, and — as the incentives section below sets out — gets the least state support of anywhere in Maharashtra. If your business is manufacturing, or if it is remote-first and does not need a room full of bankers, there are better answers in this state. We will tell you so.
Businesses That Genuinely Suit a Mumbai Private Limited
Fintech, NBFC and payments
Anything that will eventually need an RBI licence, authorisation or no-objection benefits from being registered where the regulator is.
Media, film and advertising
Production houses, post-production, talent management, agencies. The private limited structure matters here because of the IP: copyright and trademarks should sit in the company, not in a founder's name.
Financial and investment advisory
Research analysts, investment advisers, portfolio managers and distributors — all with SEBI registration requirements that assume a corporate entity with net worth and a compliance officer.
Pharma, API trading and formulations
Concentrated across the MMR and the Palghar–Tarapur belt, with CDSCO, drug licensing and export documentation running through Mumbai offices.
Logistics, freight forwarding and customs broking
Built around JNPA and the Mumbai customs zones. Note that a Nhava Sheva address is in Raigad, so the file goes to Mumbai-II.
Gems, jewellery and exports
SEEPZ in Andheri remains one of India's densest export clusters, and it is squarely in Mumbai Suburban — so Mumbai-I.
A word about what a private limited company cannot do. Practice as an advocate, a chartered accountant or a company secretary cannot be carried on through a private limited company — the Advocates Act and the ICAI and ICSI regulations restrict practice to individuals, partnerships and LLPs. What a Mumbai professional firm often needs is a two-entity structure: the practice in its own permitted form, and a separate private limited company for consultancy, technology or support services. We set these up regularly and we will tell you where the line is.

Benefits of Private Limited Company Registration
Limited liability
Shareholders' exposure is limited to unpaid amounts on their shares. Personal assets are not on the hook for the company's debts, subject to the usual exceptions for fraud and personal guarantees.
The only structure investors will fund
Equity, convertible instruments, ESOPs and priced rounds all assume a company with share capital. An LLP cannot issue shares, which ends the conversation with most investors.
Perpetual succession
The company survives changes in shareholders and directors. Shares transfer; the entity, its PAN, its GSTIN and its contracts continue.
FDI on the automatic route
Most sectors permit 100% foreign investment without prior approval. A private limited company is the structure the FEMA framework is built around.
Credibility with banks and counterparties
A CIN, filed financials and a public register make credit assessment and vendor onboarding straightforward in a way a proprietorship never manages.
Clean ownership of IP
Trademarks, copyright and code assigned to the company rather than held personally — the single most common thing we have to fix during a due diligence.
Instant Cost Estimator — Pvt Ltd in Mumbai
Get an indicative professional-fee estimate based on your company structure. Government fees (ROC, stamp duty, DSC tokens) are charged at actuals and confirmed on your free call.
Setting up an Indian subsidiary for an overseas parent? Use our foreign subsidiary set-up cost estimator instead — the cost structure is different.
Step-by-Step Registration Procedure
The process runs entirely online through the MCA portal. Which Registrar processes your file depends on the district of your registered office — Mumbai-I for Mumbai City and Mumbai Suburban, Mumbai-II at Navi Mumbai for Thane, Raigad, Palghar, Nashik and the rest of its territory.
Confirm the district before anything else
Not a step you will find on other Mumbai pages, and since February 2026 the one that matters most. We check which revenue district your proposed registered office falls in, because it decides the Registrar, the Regional Director, and how hard it will be to move later.
Digital Signature Certificate (DSC)
A Class 3 DSC for every proposed director, issued through Aadhaar OTP or video KYC. For a foreign director the route is passport-based with notarisation and apostille, and it is usually the longest item on the critical path.
Director Identification Number (DIN)
Allotted through SPICe+ itself for first-time directors. At least one director must be resident in India — the point that most often delays a wholly foreign-owned subsidiary.
Name reservation and approval
Two proposed names through SPICe+ Part A. Check first with our company name availability tool. Mumbai carries one of India’s largest company registries, so name collisions are common — and a name suggesting a connection with a regulator, an exchange or the government will not clear.
Drafting MoA and AoA
For a subsidiary or an investor-backed company this is not a template exercise. Objects, share classes, reserved matters, transfer restrictions and board composition all have to line up with the shareholders' agreement.
Filing SPICe+ with the correct Registrar
SPICe+ Part B goes in with AGILE-PRO-S (INC-35) and INC-9. In Maharashtra that single form also carries your profession tax registration — see the section below, because it is one of only three states where this is built into incorporation.
Certificate of Incorporation, PAN and TAN
On approval the Registrar issues the Certificate of Incorporation carrying the CIN, with PAN and TAN allotted alongside. From 2026 that certificate names Mumbai-I or Mumbai-II — not simply "Mumbai".
Post-incorporation setup
Current account activation, GST registration if not taken through AGILE-PRO-S, Udyam registration, the shops and establishments intimation or registration, and — if foreign money is coming in — the time-bound FC-GPR filing through the RBI's Single Master Form.
Documents Required for Registration
For Indian directors and shareholders
- PAN card (mandatory for Indian nationals)
- Aadhaar card
- Passport-size photograph
- Identity proof — Voter ID, Passport or Driving Licence
- Address proof — bank statement or utility bill, not older than two months
- Email ID and mobile number linked to Aadhaar
For a foreign parent or foreign director
- Passport and address proof, notarised and apostilled in the home country
- Board resolution of the parent authorising the Indian investment and naming the authorised signatory
- Certificate of incorporation and charter documents of the parent, apostilled
- Proof of the registered office — utility bill, NOC from the owner, and the leave and licence agreement
A residential flat in Mumbai is acceptable as a registered office. Co-working works where the agreement and a utility bill in the provider's name are available. A pure virtual-office address is riskier: the Registrar can carry out physical verification, and in Mumbai a GST registration at a shared address regularly attracts a site visit. Note also that many co-operative housing societies restrict commercial use — check the society's position before you commit the address to the MoA.
Timeline & Cost Overview
| Stage | Typical time | What decides it |
|---|---|---|
| DSC for all directors | 1–2 working days | Same day for Indian directors with Aadhaar OTP; several days if a foreign director needs apostilled documents |
| Name approval (SPICe+ Part A) | 1–3 working days | Distinctiveness. Mumbai's registry is one of the largest in India, so near-identical names are refused more often here |
| Drafting and signing MoA, AoA, INC-9 | 1–2 working days | Straightforward for a standard company; longer where a shareholders' agreement has to be reflected |
| SPICe+ Part B, AGILE-PRO-S processing | 3–5 working days | Registrar queue and whether the file attracts a resubmission |
| Total, clean file | 7–10 working days | A resubmission typically adds three to five working days |
On cost, the honest breakdown is: professional fees, MCA filing fees, DSC tokens, and Maharashtra stamp duty, which is the item that varies most and which is set out in its own section below. We quote government charges at actuals and show them separately — anyone advertising a single all-inclusive Mumbai figure without asking your authorised capital is guessing.
Know Before You FileYour Registrar, PAN & TAN AO Code and GST State Code
The island city and the suburbs, Colaba to Dahisar and Mulund. Regional Director: Western Region-I at Mumbai.
Seated at Navi Mumbai. New office from 16 February 2026. Regional Director: Western Region-II at Navi Mumbai.
Every Maharashtra GSTIN begins with 27, on both sides of the Registrar line. Apply for GST →
Your PAN and TAN AO code is assigned from the jurisdiction of your registered office — find your AO code here. Note that income-tax jurisdiction, GST jurisdiction and company-law jurisdiction are three separate maps that do not align with each other; the Registrar split of February 2026 changed only the third.
Four Registrars in one state
Maharashtra now has more Registrars of Companies than any other state. Here is the whole picture in one place.
| Where the registered office is | Registrar | Regional Director | GST code |
|---|---|---|---|
| Mumbai City, Mumbai Suburban | Mumbai-I | WR-I, Mumbai | 27 |
| Thane, Navi Mumbai, Raigad, Palghar, Nashik, Dhule, Jalgaon, Nandurbar, Chhatrapati Sambhajinagar | Mumbai-II, Navi Mumbai | WR-II, Navi Mumbai | 27 |
| Nagpur, Amravati and the rest of Vidarbha and Marathwada | Nagpur | WR-II, Navi Mumbai | 27 |
| Pune, Ahmednagar, Kolhapur, Ratnagiri, Sangli, Satara, Sindhudurg, Solapur | Pune | WR-II, Navi Mumbai | 27 |
Two things follow from this table. First, the GST code is 27 everywhere — a supply from Andheri to Airoli is an intra-state supply attracting CGST and SGST, exactly as before, because the Registrar split has no GST consequence whatsoever. Second, and less comfortably: a Mumbai company and a Thane company are in the same state for tax, the same city for practical purposes, and in different jurisdictions for company law.
Maharashtra's Real Incorporation DifferenceProfession Tax Comes With Your Incorporation in Maharashtra
Most states leave profession tax to be sorted out after incorporation. Maharashtra does not. Under MCA's own service list, profession tax registration is applied for through SPICe+ itself for new companies incorporated in Maharashtra — with effect from 23 February 2020. Only two other states have this: Karnataka (from 8 October 2020) and West Bengal (from 12 March 2020).
The AGILE-PRO-S form covers both certificates, and the difference between them catches out almost every first-time founder:
PTEC — Profession Tax Enrolment Certificate
The tax the company itself pays for the privilege of carrying on business, and which each director pays in a personal capacity. A flat ₹2,500 a year per certificate.
Every company needs a PTEC, whether or not it has a single employee.
PTRC — Profession Tax Registration Certificate
The certificate under which the company deducts profession tax from employees' salaries and pays it over. Needed once you have salaried employees above the threshold.
A company with no employees yet needs PTEC but not PTRC.
What is actually deducted
| Monthly salary or wage | Profession tax per month |
|---|---|
| Up to ₹7,500 | Nil |
| ₹7,501 to ₹10,000 | ₹175 |
| Above ₹10,000 | ₹200, and ₹300 in February — ₹2,500 for the year |
| Women, up to ₹25,000 a month | Nil — exempt since 1 April 2023 |
The February figure is not an error. Maharashtra collects ₹200 for eleven months and ₹300 in the twelfth so that the annual total lands exactly on the ₹2,500 ceiling that Article 276 of the Constitution sets for taxes on professions, trades, callings and employments. Payroll software configured for a flat ₹200 will under-deduct every February.
Diary note for 2026. An amendment to rule 11(3) effective 28 February 2026 moved the Maharashtra profession tax due dates onto the 15th — replacing the older month-end, 31 March and 30 June references. PTEC for the year is due by 15 June where enrolment was before 15 May. PTRC is annual, due by 15 March, where the previous year's liability was under ₹50,000, and monthly by the 15th above that. A company in its first year of PTRC files monthly regardless of the amount.
Shops & Establishments in Mumbai: You Probably Do Not Need a Licence
This section corrects something the internet gets wrong about Mumbai more consistently than almost anything else in this field.
The governing law is the Maharashtra Shops and Establishments (Regulation of Employment and Conditions of Service) Act, 2017, which replaced the 1948 Act. It draws a line at ten workers, and the two sides of that line are completely different obligations:
Ten or more workers — section 6
- Apply online for registration within 60 days of commencing business
- Fees, self-declaration and self-certified documents
- The Facilitator issues a registration certificate and a Labour Identification Number
- Valid for the period you ask for, up to a maximum of ten years; renewal applied for at least 30 days before expiry
Fewer than ten workers — section 7
- No registration at all. You give an intimation to the Facilitator within 60 days
- Online, with self-declaration and self-certified documents
- You receive a receipt of intimation, not a licence
- Penalty for not doing it: ₹1,000
- If headcount later reaches ten, section 6 registration becomes due
Most newly incorporated Mumbai companies are on the section 7 side on day one. They do not need the "Gumasta licence" that a great many websites will happily sell them — they need an intimation and a receipt, and they should keep the receipt.
On doing it through SPICe+: MCA's published service list states that the first-time Shops and Establishments registration number is provided for companies incorporated in Delhi, with effect from 7 June 2021, and names no other state. However, the INC-35 form itself carries a second declaration block headed "Shops and Establishment (Mumbai)", referring to the Maharashtra Act of 2017 — which suggests the Maharashtra route exists or is intended. We do not assert either position: we check what the form actually offers on the day we file, and where it is not available we handle the intimation or registration separately. Anyone telling you with certainty which it is has not looked at the form.
Stamp Duty on MoA & AoA in Maharashtra
Stamp duty is a state subject, it is paid through the MCA portal as part of the SPICe+ filing, and in Maharashtra it went up materially in 2024. Founders comparing quotes across states should know this.
| Instrument | Article | Rate |
|---|---|---|
| Memorandum of Association | Article 39, Maharashtra Stamp Act 1958 | Flat ₹1,000 |
| Articles of Association | Article 10, Maharashtra Stamp Act 1958 | 0.3% of authorised share capital, subject to a maximum of ₹1 crore |
The 2024 increase, which many quote sheets have not caught up with. The Maharashtra Stamp (Amendment) Ordinance took effect on 14 October 2024 and raised Article 10 from 0.2% of share capital, capped at ₹50 lakh, to 0.3%, capped at ₹1 crore. That is a fifty per cent increase in the rate. The same ordinance raised the stamp on an affidavit and on an Article 5(h) agreement from ₹100 to ₹500 — worth knowing, because affidavits turn up throughout the incorporation and post-incorporation process.
Two practical consequences. First, on ₹10 lakh of authorised capital the Articles now attract ₹3,000 rather than ₹2,000; on ₹1 crore, ₹30,000 rather than ₹20,000. Second, the same 0.3% applies when you later increase authorised capital through Form SH-7, on the increase. So incorporating with a modest authorised capital and raising it when you actually need it does not save duty — but nor does it cost extra, which is the more useful way round to think about it. Set authorised capital to what the next eighteen months genuinely require.
Comparing states? Our stamp duty calculator for private limited companies sets out the position across India.
Do Not Choose Mumbai for the Subsidies
We could write this section the way most agencies do, listing every Maharashtra scheme as though a Nariman Point company could claim it. Here is what is actually true.
Maharashtra's industrial incentives run through the Maharashtra Industries, Investment and Services Policy 2025, notified on 31 December 2025 and running to 30 December 2030, with a stated target of ₹70.5 lakh crore of investment and around 50 lakh jobs. Like every Maharashtra incentive policy before it, it allocates benefits by taluka classification — Groups A, B, C, D and D+, plus special categories for Vidarbha, Marathwada, Ratnagiri, Sindhudurg, the no-industry districts, naxalism-affected areas and aspirational districts. The less developed the taluka, the larger the capital subsidy, the stamp duty exemption on industrial land, the electricity duty exemption and the interest subsidy. Published analyses of the 2025 policy report that it carries over the area classification from the Package Scheme of Incentives 2019 rather than notifying a new one.
We have read the taluka annexure to the predecessor policy, the Package Scheme of Incentives 2019, and it is unambiguous: Greater Mumbai is Group A, as are Thane, Kalyan, Ulhasnagar, Ambernath, Vasai, Palghar, Panvel and Uran. Here is what Group A is worth under that scheme's own Table 3.
| Taluka classification | Ceiling on the basket of incentives, as % of fixed capital investment | Eligibility period |
|---|---|---|
| Group A — including Greater Mumbai | Nil — the table carries a dash | — |
| Group B | 30% | 7 years |
| Group C | 40% | 7 years |
| Group D | 50% | 10 years |
| Group D+ | 60% | 10 years |
| Vidarbha, Marathwada, Ratnagiri, Sindhudurg, Dhule | 80% | 10 years |
| No-industry districts, naxalism-affected and aspirational districts | 100% | 10 years |
A Group A unit is not shut out of everything — the additional incentives at paragraph 4.8, for technology upgradation, quality certification, cleaner production and patent registration, are expressly extended to Group A and Group B. But those are small sums measured in lakhs. The basket of incentives that actually moves a business case — capital subsidy, interest subsidy, electricity duty — is a dash for Greater Mumbai.
The one place Mumbai is not written out: services
MIISP 2025 is, as its name says, an Industries, Investment and Services policy, and the services chapter is where the MMR gets a look in. It is reported to cover IT and ITeS, tourism and hospitality, medical value travel, transport and logistics, financial services and education, with rental and lease subsidies, EPF reimbursement, skilling subsidies, an R&D fund and stamp duty and electricity duty relief — and Groups A and B are inside it, not excluded.
The catch is the threshold. Group A and B carry the highest employment bars in the state — reported at around 350 employees for an MSME-category services unit and 750 for a special large-scale unit, against materially lower numbers in the less developed groups. So the services incentives are real in Mumbai, but they are built for scale, not for a company that has just incorporated.
How to read all of this, carefully. The figures above come from published analyses of the 2025 policy rather than from the government resolution itself, which we have not read end to end, so treat the thresholds as indicative and confirm them before anything is committed to a business plan. The direction of travel is not in doubt: Maharashtra's manufacturing incentives are designed to move industry away from Mumbai, and its services incentives reward employment at a scale a new company does not yet have. If a state subsidy is central to your case, the answer is Vidarbha, Marathwada or a Group D taluka. If you want the classification for a specific address, ask us and we will check it rather than guess.
None of which is an argument against Mumbai. It is an argument for choosing Mumbai for the reasons Mumbai is actually good — regulators, capital, courts, customers and talent — rather than for a subsidy that is not there yet.
FDI, FEMA and the Filings That Follow Incorporation
More Indian subsidiaries of foreign parents are registered in Mumbai than anywhere else in the country, and it is where we do most of this work. Incorporation is the easy half. The filings that follow are time-bound, and the penalties for missing them are real.
Entry route
Most sectors permit 100% foreign investment under the automatic route with no prior approval. Some — defence, broadcasting, print media, multi-brand retail — need government approval, and a few are prohibited outright. Sector and activity are checked against the FDI Policy before the objects clause is drafted, not after.
Entity Master and the Single Master Form
Before the first FC-GPR, the company registers on the RBI's FIRMS portal through the Entity Master. Companies routinely discover this only when the FC-GPR is due, and by then the clock has already been running.
Pricing and valuation
Shares issued to a non-resident cannot be priced below fair value determined by an internationally accepted methodology, certified by a merchant banker or a chartered accountant. Section 56(2)(viib) and rule 11UA also have to be satisfied on the income-tax side.
Form FC-GPR
Filed within 30 days of allotment. Allotment itself must happen within 60 days of receiving the money, failing which the money is refundable within 15 days. FC-GPR filing →
Annual FLA return
The Foreign Liabilities and Assets return is due by 15 July each year for every company holding foreign investment — including in years when nothing new came in. It is one of the most commonly missed FEMA filings.
FC-TRS on transfers
Any transfer of shares between a resident and a non-resident is reported in FC-TRS within 60 days. Secondary transfers are missed far more often than fresh issues.
On the tax side, a company with a foreign parent will usually have international transactions with associated enterprises, which brings transfer pricing documentation and Form 3CEB, and outward remittances that require Form 15CA and 15CB. If your structure is a branch, liaison or project office rather than a subsidiary, the routes differ — see branch office, liaison office and project office registration, or our foreign subsidiary company service.

Why Choose TAXAJ for Your Mumbai Company
We confirm your Registrar first
Since February 2026 this is the question that decides where your file goes and how hard it is to move later. We check the district against your actual address before we draft anything.
India entry, end to end
Apostille chains, entry route, valuation, Entity Master, FC-GPR through the Single Master Form, FLA, FC-TRS and transfer pricing — the work that decides whether a subsidiary runs cleanly.
Maharashtra payroll compliance from day one
PTEC, PTRC, the February ₹300 deduction, the 2026 due-date change and the shops and establishments position — set up correctly at incorporation rather than corrected in year two.
CA, CS and lawyer in one team
Incorporation, tax, GST, ROC, FEMA and legal drafting handled by one accountable team instead of four vendors who each blame the others.
Beyond incorporation
Bookkeeping, GST returns, TDS, payroll, transfer pricing documentation and annual ROC filing under one engagement.
We will tell you not to
If Mumbai is the wrong registered office for your business — because the subsidies are elsewhere, or because your people are in Thane — we will say so before you file, not after.
TAXAJ does not have an office in Mumbai. We serve Mumbai clients from our offices in Delhi, Bengaluru, Bihar and Goa, and the entire incorporation is online — DSC by video KYC, documents by secure upload, filings through the MCA portal. We say this plainly because a firm that invents a Mumbai address on its website is telling you something about how it will handle yours.

Frequently Asked Questions
Which Registrar will my Mumbai company be registered with?
If your registered office is in Mumbai City or Mumbai Suburban district — anywhere from Colaba to Dahisar and Mulund — it is RoC Mumbai-I, seated in Mumbai. If it is in Thane, Navi Mumbai, Panvel, Mira Road, Vasai, Virar or Nashik, it is RoC Mumbai-II, seated at Navi Mumbai. The split took effect on 16 February 2026 under notification S.O. 4850(E).
Is Navi Mumbai part of Mumbai for company registration?
No, and this is the single most common misunderstanding. Navi Mumbai sits in Thane and Raigad districts, not in Mumbai City or Mumbai Suburban. Since 16 February 2026 a Navi Mumbai registered office files with RoC Mumbai-II and answers to the Regional Director for Western Region-II — a different Registrar and a different Regional Director from a Nariman Point company eighteen kilometres away.
What about Thane, Mira Road, Vasai and Virar?
All RoC Mumbai-II. Thane city and the Kalyan–Dombivli belt are in Thane district. Mira Road, Bhayandar, Vasai, Virar and Nalasopara are in Palghar district. They are all contiguous with Mumbai and everyone calls them Mumbai, but for company law they are on the other side of the line.
Can I move my registered office from Mumbai to Thane later?
Yes, but since 16 February 2026 it is no longer a simple address change. Because it crosses from one Registrar's jurisdiction to another within the same state, the proviso to section 12(5) of the Companies Act 2013 requires confirmation by the Regional Director. In practice: board resolution, special resolution, MGT-14, an application in INC-23 under rule 28, the Regional Director's order, then INC-28 and INC-22. The 2017 amendment removed the newspaper advertisement and individual creditor notices, so it is weeks rather than months — but it is a real filing, and it is why we recommend settling the registered office at incorporation.
Does the Registrar split change my GST registration?
No. GST is a state-level registration and Maharashtra's state code is 27 on both sides of the line. A supply from Andheri to Airoli remains an intra-state supply attracting CGST and SGST. Income-tax jurisdiction is a third, separate map. Only company-law jurisdiction changed.
Do I have to register for profession tax in Mumbai?
Yes. Maharashtra levies profession tax, and it is one of only three states — with Karnataka and West Bengal — where registration is applied for through the SPICe+ incorporation form itself. Your company needs a PTEC from day one at ₹2,500 a year, and each director enrols personally. You need a PTRC once you have salaried employees above the threshold. Deduction is ₹200 a month above ₹10,000 of salary, with ₹300 in February; women earning up to ₹25,000 a month are fully exempt.
Do I need a Gumasta licence for a new Mumbai company?
Probably not, at first. Under the Maharashtra Shops and Establishments Act 2017, an establishment with fewer than ten workers does not register at all — it gives an intimation to the Facilitator within 60 days under section 7 and receives a receipt of intimation. Registration under section 6, with a Labour Identification Number and a certificate valid up to ten years, applies at ten or more workers. Many websites sell a "Gumasta licence" to companies that need only the intimation.
How much is stamp duty on incorporation in Maharashtra?
The Memorandum attracts a flat ₹1,000 under Article 39. The Articles attract 0.3% of authorised share capital under Article 10, capped at ₹1 crore. That rate was raised from 0.2%, with a ₹50 lakh cap, by the Maharashtra Stamp (Amendment) Ordinance effective 14 October 2024 — so quotes prepared against the old rate understate the cost by a third.
Are there state subsidies for a company registered in Mumbai?
Realistically, no. Maharashtra's incentives are allocated by taluka classification and are designed to draw industry away from the developed belt. Under the previous Package Scheme of Incentives 2019, Group A and B areas — which included Mumbai, Mumbai Suburban, Thane, Kalyan, Ulhasnagar and Ambernath — were not eligible for MSME incentives at all. The Maharashtra Industries, Investment and Services Policy 2025 keeps the same architecture. We check the current taluka annexure against a specific address rather than assume.
Can I use my home address as the registered office?
Yes. A residential address is valid, and many Mumbai companies start that way. You need the electricity bill, a no-objection from the owner, and the leave and licence agreement if rented. Two Mumbai-specific cautions: many co-operative housing societies restrict commercial use, so check the society's byelaws; and a purely virtual office is risky, because the Registrar can carry out physical verification and GST registration at a shared address frequently attracts a site visit.
How long does incorporation take in Mumbai?
Seven to ten working days for a clean file with Indian directors. A foreign director or corporate shareholder adds time for notarisation and apostille of documents abroad, which is almost always the longest item on the critical path. A resubmission from the Registrar typically adds three to five working days.
Do I need to be physically present in Mumbai to register?
No. The whole process is online — DSC through Aadhaar OTP or video KYC, documents by secure upload, and filing through the MCA portal. TAXAJ has no Mumbai office; we serve Mumbai clients from Delhi, Bengaluru, Bihar and Goa, and none of the process requires you or us to be in the city.
