How Pvt Ltd Company Registration Works in Noida

Noida is where a great deal of India's electronics manufacturing, IT services, media and — increasingly — data-centre capacity actually sits, and it has spent two decades filing its company paperwork three hundred kilometres away in Kanpur. That ended in February 2026. Noida now has its own Registrar, in Noida.

The filing itself is entirely online through the MCA's SPICe+ form, so the change does not alter a single step of the process. What it alters is which office your Certificate of Incorporation names, where your ROC forms go, and — for anyone who has ever had to physically chase a filing — how far away the people handling it are. If you want the underlying process end to end, read our guide to private limited company registration in India.

Noida stopped filing with RoC Kanpur on 16 February 2026 — and got its own Registrar

The MCA carved 17 western Uttar Pradesh districts out of RoC Kanpur into a new Registrar of Companies at Noida: Agra, Aligarh, Baghpat, Bulandshahr, Etah, Firozabad, Gautam Buddh Nagar, Ghaziabad, Hapur, Hathras, Kasganj, Mainpuri, Mathura, Meerut, Muzaffarnagar, Saharanpur and Shamli. Noida sits in Gautam Buddh Nagar, so it is one of them.

What makes Noida unusual: the new Registrar is headquartered at Noida itself. Meerut, Ghaziabad, Agra and the rest of the seventeen now file into Noida. Uttar Pradesh's Regional Directorate did not change — it remains the Northern Region at New Delhi. If an advisor or a website still tells you your Noida company files with RoC Kanpur, they are working from pre-2026 information.

What Changed This Year

Noida International Airport Opened on 15 June 2026

The second-biggest change to Noida's commercial case in 2026 is not regulatory. After years of delay, Noida International Airport at Jewar began commercial flights on 15 June 2026 under the IATA code DXN, operated by Yamuna International Airport Private Limited, a wholly owned subsidiary of Zurich Airport International AG.

Phase 1 Capacity
12 million passengers a year

Rising to a planned 70 million a year by the 2040s at Phase 4.

Project Cost
₹29,560 crore

Revised in March 2026, with Phase 1 at a reported ₹11,282 crore.

From Noida Sector 18
Roughly 60–70 km

About 40 km from Pari Chowk in Greater Noida.

IndiGo flew from day one to Lucknow, Bengaluru, Amritsar, Hyderabad and Jammu, with Akasa Air following on 16 June to Bengaluru and Navi Mumbai. For a Noida business the practical significance is cargo and connectivity rather than convenience: an international airport inside your own district changes the arithmetic for electronics, pharmaceuticals, precision components and anything else that moves by air.

Why Noida is a Serious Place to Incorporate

Noida's case is not that it is cheap or heavily subsidised. As the sections further down set out honestly, it is neither. Its case is that it is where the infrastructure, the customers and the workforce already are.

Step-by-Step Registration Procedure

The process is governed by the Ministry of Corporate Affairs and completed online through the MCA portal. Companies with a registered office in Gautam Buddh Nagar are processed by the Registrar of Companies at Noida, which verifies documents, approves the name and issues the Certificate of Incorporation.

1

Digital Signature Certificate (DSC)

A Class 3 DSC is issued for every proposed director through Aadhaar OTP or video KYC. For a foreign director the route is passport-based with notarisation and apostille, and it is usually the longest item on the critical path.

2

Director Identification Number (DIN)

DIN is allotted through the SPICe+ form itself for first-time directors. At least one director must be resident in India — a point that catches out wholly foreign-owned subsidiaries every week.

3

Name Reservation & Approval

Two proposed names go through SPICe+ Part A. Check availability first with our company name availability tool. If you are using a parent company's global brand, have a board resolution or no-objection from the parent ready — the Registrar will ask.

4

Drafting MoA & AoA

For a subsidiary or an investor-backed company this is not a template exercise. Objects, share classes, reserved matters, transfer restrictions and board composition all have to line up with the shareholders' agreement.

5

Filing SPICe+ with RoC Noida

SPICe+ Part B goes in with AGILE-PRO-S (INC-35) and INC-9, covering incorporation, PAN, TAN, GSTIN, EPFO, ESIC and bank account opening in one integrated form. Shops and establishments registration through AGILE-PRO-S is available only for Delhi, so the UP registration is applied for separately.

6

Certificate of Incorporation, PAN & TAN

On approval the RoC issues the Certificate of Incorporation carrying the CIN, with PAN and TAN allotted alongside. From 2026 that certificate names Noida, not Kanpur.

7

Post-Incorporation Setup

Current account activation, GST registration, UP shops and establishments registration, Udyam registration, and — if foreign money is coming in — the time-bound FC-GPR filing through the RBI's Single Master Form.

Documents Required for Registration

For Indian Directors & Shareholders

  • PAN card (mandatory for Indian nationals)
  • Aadhaar card
  • Passport-size photograph
  • Identity proof — Voter ID, Passport or Driving Licence
  • Address proof — bank statement or utility bill, not older than two months
  • Email ID and mobile number linked to Aadhaar

For a Foreign Parent or Foreign Director

  • Passport and address proof, notarised and apostilled in the home country
  • Board resolution of the parent authorising the Indian investment and naming the authorised signatory
  • Certificate of incorporation and charter documents of the parent, apostilled
  • Proof of the registered office in Noida — utility bill, NOC from the owner, and the lease

A residential address in Noida is acceptable as a registered office. Co-working space with a proper agreement and a utility bill in the provider's name generally works too. A pure virtual-office address is riskier — the Registrar can carry out physical verification, and GST registration in UP frequently attracts a site visit.

Timeline & Cost Overview

Indicative Timeline

  • DSC issue — 1 working day for Indian directors; longer where apostille is involved
  • Name approval through SPICe+ Part A — 1 to 3 working days
  • Drafting and signing MoA / AoA — 1 to 2 working days
  • SPICe+ Part B filing and RoC Noida processing — 3 to 5 working days
  • Certificate of Incorporation with PAN and TAN — typically 7 to 10 working days end to end

For a wholly foreign-owned subsidiary, plan on longer: the binding constraint is almost never the Registrar, it is document legalisation abroad.

What Determines Your Cost

  • Number of directors — each additional director means another DSC
  • Authorised share capital — drives both MCA fee and state stamp duty
  • Stamp duty on MoA and AoA as applicable in Uttar Pradesh
  • Whether a foreign parent is involved — apostille, valuation and FC-GPR add to it
  • Whether you add GST registration and first-year compliance

Under the Companies (Registration Offices and Fees) Rules, the MCA filing fee is nil for authorised capital up to ₹15 lakh. Estimate with our MCA fee calculator.

Only the Registrar changed — and only for half the state

The reorganisation split Uttar Pradesh, it did not move the whole state. Seventeen western districts now file with RoC Noida. Everything east of that line — Lucknow, Kanpur, Varanasi, Prayagraj, Gorakhpur, Bareilly — continues with RoC Kanpur exactly as before. Uttar Pradesh's Regional Directorate did not change at all: it remains the Northern Region at New Delhi, which handles inter-state shifting of a registered office, compounding of offences, condonation of delay and fast-track mergers.

For a new incorporation nothing about the procedure changes — SPICe+ is online. For an existing Noida company, files were transferred; nothing needs re-filing, but correspondence and pending matters now sit with Noida rather than Kanpur.

Statutory positions change from time to time. Confirm current jurisdiction, rates and fees with us on your free call before you rely on them for a filing.

Uttar Pradesh Levies No Professional Tax

Professional tax is a state levy on salaried employees and professionals, capped constitutionally at ₹2,500 per person per year. Maharashtra, Karnataka, West Bengal, Tamil Nadu, Gujarat, Telangana, Andhra Pradesh, Puducherry and Bihar all levy it. Uttar Pradesh does not — and nor do Delhi, Haryana, Punjab or Himachal Pradesh, so across the NCR this is a level playing field rather than an advantage over Gurugram or Delhi.

Where it counts is against the southern and western tech hubs. For a Noida company with a few hundred engineers on the payroll, it means no PTRC registration, no PTEC enrolment, no monthly deduction, no return and no penalty exposure — against an identical team in Bengaluru, Pune or Hyderabad.

The exception that catches multi-state employers

Professional tax follows where the employee works, not where the company is registered. A Noida company with a development centre in Bengaluru or a sales office in Mumbai still needs professional tax registration in Karnataka or Maharashtra. Check any state's position with our professional tax state finder.

The Honest Answer to a Fair Question

Noida Gets Uttar Pradesh's Smallest Incentives. Here Is Why People Still Build Here.

We would rather tell you this than have you discover it after signing. On two separate Uttar Pradesh policies at once, Gautam Buddh Nagar sits in the least-favoured band in the state.

PolicyNoida / Gautam Buddh NagarBest band in UP
IIEPP 2022 — stamp duty exemption on industrial land50%100% (Purvanchal, Bundelkhand)
Data Centre Policy — land subsidy25%50% (Purvanchal, Bundelkhand)

And yet. Under the 2021 data centre policy, which used the same 50%-versus-25% split, every one of the seven data centres that actually became operational — out of a reported ₹21,343 crore of approved projects — was built in Noida or Greater Noida, where the subsidy was the lower figure.

The reason, on the analysis, is that the subsidised input is the cheap one. Land is a small share of the cost of building a data centre — of the order of 1 to 3 per cent — while utilities drive something closer to 30 per cent of the variation in operating cost. A 25-percentage-point land subsidy in a district with constrained groundwater and patchy industrial power does not compensate for the thing that actually determines whether the facility runs. Noida has the grid, the fibre, the water and the people.

The same logic applies well beyond data centres. If you are choosing between Noida and a more heavily subsidised UP district, the honest question is not "which subsidy is bigger" — it is "which input does the subsidy actually reduce, and is that the input my business is sensitive to?" For a land-hungry, power-light operation the eastern districts may genuinely win. For anything utility-intensive, talent-intensive or logistics-intensive, Noida usually still wins on total cost even after paying more for the land.

That is a calculation, not a slogan, and it is different for every project. We will run it with you rather than tell you the answer in advance.

The 1–3% and 30% figures above are drawn from published industry analysis, not from a government notification, and are offered as an explanation of observed behaviour rather than a projection for your project. Policy terms are as reported; the operative scheme documents govern.

Uttar Pradesh Data Centre Policy 2026

The state approved a new Data Centre Policy on 13 July 2026, succeeding the 2021 framework. On the terms reported it targets an additional 2 GW of capacity and more than ₹2 lakh crore of investment, with around 50,000 indirect jobs. What is genuinely new is the orientation towards artificial intelligence:

What the new policy adds

  • Special incentives for GPU-based data centres serving AI and machine-learning workloads
  • An AI Compute Booster incentive and green and sustainable operations incentives
  • Support for AI research centres and high-performance computing infrastructure
  • Tier III and Tier IV certification expectations, with a 50% renewable energy target by 2030

What has not changed

  • Land subsidy remains banded, with Bundelkhand and Purvanchal favoured over the NCR districts
  • The 2021 policy's record stands: seven operational facilities, all in Noida or Greater Noida
  • Eligibility still turns on a registered entity with a formal investment record — which is why the entity structure matters before the application does

If a data centre, an AI compute facility or a colocation venture is what you are incorporating for, the structure and the timing of the application interact. Talk to us before you file, not after.

Policy terms are as reported at approval and the operative scheme document and rules govern. Eligibility is assessed case by case by the Government of Uttar Pradesh.

Stamp Duty on MoA & AoA in Uttar Pradesh

Uttar Pradesh charges stamp duty on the Memorandum and Articles of Association with reference to your authorised share capital, collected electronically through SPICe+ at incorporation. Because the rate depends on your capital structure and the schedule is amended from time to time, we do not publish a fixed figure — we quote it against your actual authorised capital and confirm it before filing. Use our stamp duty calculator for an indicative number.

Do not confuse this with the stamp duty exemption on industrial land under IIEPP 2022 — that relief applies to land and premises, and in Gautam Buddh Nagar it is set at the state's lowest band of 50%. They are two different levies and only one of them is banded by district.

How We Work With Noida Clients

Serving Noida from Dwarka, Delhi

Being straight with you: TAXAJ does not have a branch in Noida. Our nearest office is in Dwarka, Delhi, with further branches in Bengaluru, Darbhanga and Goa. For the incorporation itself that makes no practical difference — SPICe+ is an entirely online filing and DSC is issued by Aadhaar OTP or video KYC. And for the first time, if something ever does need to be taken up with the Registrar in person, that office is now in Noida rather than in Kanpur. Where a face-to-face conversation earns its keep — an India-entry structuring session, a shareholders' agreement discussion, a data centre project plan — Dwarka is a straightforward drive.

Frequently Asked Questions

Which ROC handles company registration in Noida?

The Registrar of Companies at Noida. Until 16 February 2026 every Uttar Pradesh company filed with RoC Kanpur. On that date the MCA carved 17 western UP districts out of Kanpur into a new Registrar seated at Noida, and Gautam Buddh Nagar — which contains Noida and Greater Noida — is one of them. Filing remains online through SPICe+. If an advisor still says RoC Kanpur, they are working from pre-2026 information.

Is the new Registrar actually located in Noida?

Yes — that is what makes Noida unusual among the seventeen districts. The new Registrar of Companies is seated at Noida itself, so Meerut, Ghaziabad, Agra, Mathura and the rest of western Uttar Pradesh now file into Noida. For a Noida company it means the office handling your file is in your own city rather than three hundred kilometres away in Kanpur.

Did Uttar Pradesh's Regional Directorate change too?

No. Only the Registrar changed, and only for the seventeen western districts. Uttar Pradesh remains under the Regional Directorate (Northern Region) at New Delhi, which handles inter-state shifting of a registered office, compounding of offences, condonation of delay and fast-track mergers. The rest of the state — Lucknow, Kanpur, Varanasi, Prayagraj, Bareilly — continues to file with RoC Kanpur.

Is there professional tax in Uttar Pradesh?

No. Uttar Pradesh does not levy professional tax, so a Noida company has no PTRC registration, no PTEC enrolment, no monthly salary deduction and no professional tax returns. Delhi, Haryana, Punjab and Himachal Pradesh also do not levy it, so this is a level playing field across the NCR — the saving is against Karnataka, Maharashtra, Telangana and West Bengal. Professional tax follows where the employee works, so a development centre in Bengaluru triggers registration there.

Does Noida get good state incentives?

No — and we would rather say so. Gautam Buddh Nagar sits in Uttar Pradesh's least-favoured band on two policies at once: 50% stamp duty exemption on industrial land under IIEPP 2022 against 100% in Purvanchal and Bundelkhand, and a 25% data centre land subsidy against 50% in those same regions. Noida's case is infrastructure, talent and connectivity, not subsidy.

If Noida's subsidies are lower, why do data centres still get built there?

Because the subsidised input is the cheap one. Under the 2021 data centre policy, which used the same split, all seven facilities that actually became operational — from a reported ₹21,343 crore of approved projects — were built in Noida or Greater Noida at the lower 25% subsidy. On published industry analysis, land is only around 1 to 3 per cent of the cost of building a data centre, while utilities drive roughly 30 per cent of the variation in operating cost. A larger land subsidy in a district with constrained groundwater and less reliable industrial power does not offset that. The general lesson is worth applying to any location decision: ask which input the subsidy actually reduces, and whether your business is sensitive to that input.

What is in the Uttar Pradesh Data Centre Policy 2026?

The UP Cabinet approved it on 13 July 2026, succeeding the 2021 framework. On the terms reported it targets an additional 2 GW of capacity and more than ₹2 lakh crore of investment with around 50,000 indirect jobs, and adds a distinctly AI-oriented layer: special incentives for GPU-based data centres, an AI Compute Booster incentive, support for AI research and high-performance computing, Tier III and Tier IV certification expectations, and a 50% renewable energy target by 2030. Land subsidy remains banded in favour of Bundelkhand and Purvanchal.

Has Noida International Airport actually opened?

Yes. Commercial flights began on 15 June 2026 under the IATA code DXN, operated by Yamuna International Airport Private Limited, a wholly owned subsidiary of Zurich Airport International AG. Phase 1 is built for 12 million passengers a year against an ultimate plan of 70 million by the 2040s, at a total project cost revised to a reported ₹29,560 crore. IndiGo flew from day one to Lucknow, Bengaluru, Amritsar, Hyderabad and Jammu, with Akasa Air following the next day. It is roughly 60 to 70 km from Noida Sector 18 and about 40 km from Pari Chowk.

How long does Pvt Ltd registration take in Noida?

Typically 7 to 10 working days from complete documents to the Certificate of Incorporation, assuming the proposed name clears without resubmission. For a subsidiary of a foreign parent, plan on longer — the binding constraint is usually notarisation and apostille of the parent's documents abroad, not the Registrar.

What does it cost to register a private limited company in Noida?

Professional fees start at ₹11,999. On top of that you pay government fees at actuals — stamp duty on the MoA and AoA as applicable in Uttar Pradesh, and DSC token costs. The MCA filing fee itself is nil for authorised capital up to ₹15 lakh. A foreign-parent subsidiary costs more because of apostille, valuation and FC-GPR work.

Can I use a co-working or virtual office in Noida as my registered office?

A co-working desk with a proper agreement, a No-Objection Certificate and a utility bill in the provider's name is generally acceptable. A pure virtual-office address is riskier: the Registrar can carry out physical verification of the registered office, and GST registration in Uttar Pradesh frequently attracts a site visit. If nobody can receive a notice at the address, do not use it.

What is the GST state code for Noida?

09, the code for Uttar Pradesh. Every GSTIN issued to a business registered in Noida begins with 09. A supply from Noida to a customer in Delhi or Gurugram is an inter-state supply attracting IGST, even across a few kilometres.

Can a foreign company own 100% of a Noida subsidiary?

In most sectors, yes, under the automatic route — but the sector and entry route should be confirmed before the money is remitted, not after. At least one director must be resident in India. Once shares are allotted you must file Form FC-GPR through the RBI's Single Master Form, supported by a valuation report, having registered on the Entity Master first. An annual FLA return follows for as long as the foreign investment remains.
