Private Limited Company Registration in Ghaziabad
Register your Pvt Ltd company online in Ghaziabad with a CA-led team — SPICe+ filing, DSC, DIN, name approval, MoA & AoA drafting, PAN, TAN and GST. Since 16 February 2026 Ghaziabad files with the new Registrar of Companies at Noida, not RoC Kanpur. Uttar Pradesh levies no professional tax — and if you are running boilers or furnaces, there is an NCR emission deadline on 1 October 2026 you need to know about.
- Name check & approval
- Expert MoA & AoA drafting
- DSC & DIN for all directors
- PAN, TAN & CIN included
- Filed with the new RoC Noida
- NCR emission & fuel compliance
How Pvt Ltd Company Registration Works in Ghaziabad
Ghaziabad is the oldest industrial city in western Uttar Pradesh and, at the same time, one of the most tightly regulated places in India to run a factory. Both facts are true, and any honest page about incorporating here has to hold them together. The engineering base in Sahibabad, Site IV, Meerut Road and Loni is genuinely deep. It also sits inside the Delhi-NCR airshed, which means the Commission for Air Quality Management sets rules here that do not apply a hundred kilometres east.
The filing itself is entirely online through the MCA's SPICe+ form. What is location-specific is jurisdiction — which changed in February 2026 — and, if you are manufacturing, an environmental regime that decides projects. If you want the underlying process end to end, read our guide to private limited company registration in India.
Ghaziabad stopped filing with RoC Kanpur on 16 February 2026
The MCA carved 17 western Uttar Pradesh districts out of RoC Kanpur into a new Registrar of Companies at Noida: Agra, Aligarh, Baghpat, Bulandshahr, Etah, Firozabad, Gautam Buddh Nagar, Ghaziabad, Hapur, Hathras, Kasganj, Mainpuri, Mathura, Meerut, Muzaffarnagar, Saharanpur and Shamli. Ghaziabad is one of them, and the new Registrar is seated at Noida — a short drive rather than the 400-odd kilometres to Kanpur.
Uttar Pradesh's Regional Directorate did not change: it remains the Northern Region at New Delhi. If an advisor or a website still tells you your Ghaziabad company files with RoC Kanpur, they are working from pre-2026 information.
⏳ If you run a boiler, thermic fluid heater or metal furnace: 1 October 2026
CAQM Direction No. 98, notified on 20 February 2026, cut the permitted particulate matter limit for identified industrial categories across Delhi-NCR from 80 to 50 mg/Nm³. CAQM subsequently issued an amendment extending the compliance timeline for industries under Clause 21(i) to 1 October 2026. That is weeks away, and non-compliance exposes a unit to closure orders and penalties under the CAQM Act 2021. The detail is set out further down this page — but if this is you, do not read the rest first. Ask us to check your position today.
Why Ghaziabad is a Serious Place to Incorporate
Ghaziabad's case is not subsidy — like Noida, it sits in Uttar Pradesh's lowest incentive band. Its case is that the engineering ecosystem, the labour, the testing infrastructure and now the transport are all already here, thirty minutes from Delhi.
ODOP: Engineering Products
Industrial machinery, machine components, automotive parts, electrical equipment and precision-engineered products — with metal products and textiles also listed for the district.
Testing Infrastructure On Site
Three Common Facility Centres and several NABL-accredited laboratories in the district — which matters more than usual right now, as the next section explains.
Namo Bharat, Complete
The full 82 km Delhi–Meerut RRTS corridor was inaugurated on 22 February 2026, with stations at Sahibabad, Ghaziabad, Guldhar, Duhai, Muradnagar and Modinagar.
Two Delhi Metro Lines
The Red Line into Ghaziabad and the Blue Line at Vaishali, alongside the Delhi–Meerut Expressway and the Eastern Peripheral Expressway.
No Professional Tax
Uttar Pradesh does not levy it — no PTRC, no PTEC, no monthly deduction and no return, whatever the size of your shop-floor payroll.
Your Registrar Moved Closer
From Kanpur to Noida — for the first time, the office handling your filings is inside the NCR.
Best Businesses to Start in Ghaziabad
Sectors where Ghaziabad has a genuine structural advantage — an existing cluster, testing infrastructure, transport or NCR proximity — rather than a generic list.
Engineering & Machine Components
The district's ODOP designation and its deepest cluster, with an established Tier-2 and Tier-3 supplier base.
Auto Components
Feeding the NCR and Manesar OEM ecosystem from inside the delivery radius.
Emission Control & Environmental Services
The clearest new opportunity on this page: every covered unit in NCR needs air pollution control equipment, stack testing and compliance support before October.
Testing, Calibration & Certification
CAQM itself has cited limited assessment and laboratory capacity. Accredited testing is a service in visible short supply across the NCR.
Textiles & Apparel
A listed district product with an established base, and a natural fit for cleaner-fuel conversion.
Logistics & Warehousing
The Eastern Peripheral Expressway, the Delhi–Meerut Expressway and a rail freight base make Ghaziabad a genuine distribution node.
Building Materials & Fabrication
Serving NCR construction, with the caveat that fuel choice and dust control now shape what is permitted.
IT & Business Services
Indirapuram, Vaishali and Raj Nagar Extension offer NCR access at a fraction of Gurugram or Noida cost — and none of the emission exposure.
Healthcare & Diagnostics
A large and growing residential population across Indirapuram, Vasundhara and Raj Nagar Extension.
Company Registration Across Ghaziabad District
We register companies for founders across the district — Sahibabad, Site IV, Meerut Road industrial area, Loni, Bulandshahr Road, Indirapuram, Vaishali, Vasundhara, Raj Nagar Extension, Modinagar, Muradnagar and Hapur Road — all filed through the new RoC Noida with full post-incorporation support. Pick your city to begin:
Benefits of Private Limited Company Registration
Limited Liability
Your personal assets stay separate from business debts and claims.
The FDI Vehicle
Foreign investment under the automatic route flows into a private limited company — the standard structure for a subsidiary or capability centre.
Investor-Ready Structure
What VCs, PE funds and an overseas parent all expect — priced rounds, preference shares, standard documentation.
ESOPs
The Ghaziabad tech and product market runs on equity. Only a company issues it cleanly.
Enterprise Onboarding
Vendor registration at a large corporate or a government buyer almost always requires an incorporated counterparty.
Policy Eligibility
UP's data centre, electronics and industrial schemes are built around registered entities with formal investment records.
Instant Cost Estimator — Pvt Ltd in Ghaziabad
Get an indicative professional-fee estimate based on your company structure. Government fees (ROC, stamp duty, DSC tokens) are charged at actuals and confirmed on your free call.
Setting up an Indian subsidiary for an overseas parent? Use our foreign subsidiary set-up cost estimator instead — the cost structure is different.
Step-by-Step Registration Procedure
The process is governed by the Ministry of Corporate Affairs and completed online through the MCA portal. Companies with a registered office in Ghaziabad district are processed by the Registrar of Companies at Noida, which verifies documents, approves the name and issues the Certificate of Incorporation.
Digital Signature Certificate (DSC)
A Class 3 DSC is issued for every proposed director through Aadhaar OTP or video KYC. For a foreign director the route is passport-based with notarisation and apostille, and it is usually the longest item on the critical path.
Director Identification Number (DIN)
DIN is allotted through the SPICe+ form itself for first-time directors. At least one director must be resident in India — a point that catches out wholly foreign-owned subsidiaries every week.
Name Reservation & Approval
Two proposed names go through SPICe+ Part A. Check availability first with our company name availability tool. If you are using a parent company's global brand, have a board resolution or no-objection from the parent ready — the Registrar will ask.
Drafting MoA & AoA
For a subsidiary or an investor-backed company this is not a template exercise. Objects, share classes, reserved matters, transfer restrictions and board composition all have to line up with the shareholders' agreement.
Filing SPICe+ with RoC Noida
SPICe+ Part B goes in with AGILE-PRO-S (INC-35) and INC-9, covering incorporation, PAN, TAN, GSTIN, EPFO, ESIC and bank account opening in one integrated form. Shops and establishments registration through AGILE-PRO-S is available only for Delhi, so the UP registration is applied for separately.
Certificate of Incorporation, PAN & TAN
On approval the RoC issues the Certificate of Incorporation carrying the CIN, with PAN and TAN allotted alongside. From 2026 that certificate names Noida, not Kanpur.
Post-Incorporation Setup
Current account activation, GST registration, UP shops and establishments registration, Udyam registration, and — if foreign money is coming in — the time-bound FC-GPR filing through the RBI's Single Master Form.
Documents Required for Registration
For Indian Directors & Shareholders
- PAN card (mandatory for Indian nationals)
- Aadhaar card
- Passport-size photograph
- Identity proof — Voter ID, Passport or Driving Licence
- Address proof — bank statement or utility bill, not older than two months
- Email ID and mobile number linked to Aadhaar
For a Foreign Parent or Foreign Director
- Passport and address proof, notarised and apostilled in the home country
- Board resolution of the parent authorising the Indian investment and naming the authorised signatory
- Certificate of incorporation and charter documents of the parent, apostilled
- Proof of the registered office in Ghaziabad — utility bill, NOC from the owner, and the lease
A residential address in Ghaziabad is acceptable as a registered office. Co-working space with a proper agreement and a utility bill in the provider's name generally works too. A pure virtual-office address is riskier — the Registrar can carry out physical verification, and GST registration in UP frequently attracts a site visit.
Timeline & Cost Overview
Indicative Timeline
- DSC issue — 1 working day
- Name approval through SPICe+ Part A — 1 to 3 working days
- Drafting and signing MoA / AoA — 1 to 2 working days
- SPICe+ Part B filing and RoC Noida processing — 3 to 5 working days
- Certificate of Incorporation with PAN and TAN — typically 7 to 10 working days end to end
Incorporation is the fast part. For a Ghaziabad plant, the environmental approvals below — not the Registrar — set the real project timeline.
What Determines Your Cost
- Number of directors — each additional director means another DSC
- Authorised share capital — drives both MCA fee and state stamp duty
- Stamp duty on MoA and AoA as applicable in Uttar Pradesh
- Whether you add GST registration and first-year compliance
- For a manufacturing unit: consent, fuel conversion and emission control capex
Under the Companies (Registration Offices and Fees) Rules, the MCA filing fee is nil for authorised capital up to ₹15 lakh. Estimate with our MCA fee calculator.
RoC Noida, PAN & TAN AO Code and GST State Code
New office from 16 February 2026, seated at Noida, covering Ghaziabad and 16 other western UP districts.
Unchanged. Uttar Pradesh stayed with the Northern Region Directorate at New Delhi.
Your PAN and TAN AO code is assigned from your Ghaziabad registered-office jurisdiction — find your AO code here.
Only the Registrar changed — and only for half the state
The reorganisation split Uttar Pradesh; it did not move the whole state. Seventeen western districts now file with RoC Noida. Everything east of that line — Lucknow, Kanpur, Varanasi, Prayagraj, Gorakhpur, Bareilly — continues with RoC Kanpur exactly as before. For a new incorporation nothing about the procedure changes. For an existing Ghaziabad company, files were transferred; nothing needs re-filing, but correspondence and pending matters now sit with Noida.
Statutory positions change from time to time. Confirm current jurisdiction, rates and fees with us on your free call before you rely on them for a filing.
The Most Urgent Thing On This PageCAQM Direction No. 98 — the 1 October 2026 Emission Deadline
If your Ghaziabad unit runs an industrial boiler, a thermic fluid heater or a metal furnace, this is the compliance item that should be at the top of your list right now — ahead of anything on this page about incorporation.
What changed
- Direction No. 98 was notified by the Commission for Air Quality Management on 20 February 2026
- It cuts the permitted particulate matter limit from 80 to 50 mg/Nm³ for identified industrial categories across the whole of Delhi-NCR
- Coverage extends to the 17 highly polluting categories identified by the CPCB and to red-category medium and large air-polluting units
- In practice that captures food, textile, metal and chemical units with boilers, heaters or furnaces
- Ghaziabad is squarely inside the NCR and squarely inside the direction
The deadline, and why it moved
- CAQM issued an amendment extending the compliance timeline for industries under Clause 21(i) to 1 October 2026
- The reasons CAQM gave are themselves worth reading: long procurement lead times for air pollution control devices, limited availability of assessment agencies, and laboratory capacity constraints
- All other provisions of the original direction stand
- Non-compliance exposes a unit to closure orders and penalties under the CAQM Act, 2021
Read the extension carefully and it tells you something useful: the regulator itself accepts that equipment, assessors and labs are the bottleneck. That means the units that leave this to September will be competing for the same scarce capacity as everybody else. Ghaziabad has an advantage here that most NCR districts do not — the district portal lists several NABL-accredited testing laboratories and three Common Facility Centres locally. If you act early, you can use them.
Direction terms are summarised from the Commission's own release. The operative direction and its amendment govern, and the position should be confirmed against your unit's specific category before you act on it. We will do that with you.
The Constraint That Decides ProjectsYou Cannot Burn Coal in Ghaziabad
This is the single most important thing to understand before planning a manufacturing unit anywhere in the National Capital Region, and it is routinely discovered too late.
From 1 January 2023, the Commission for Air Quality Management directed that industries and commercial establishments in Delhi-NCR using unapproved fuels, including coal, be closed down straightaway — explicitly without a prior show-cause notice — with maximum environmental compensation assessed under CPCB guidelines. Roughly 1.7 million tonnes a year of industrial coal consumption across the NCR was affected.
The approved-fuel carve-outs that remain are narrow and mostly not industrial: low-sulphur coal in thermal power plants for power generation; firewood and biomass briquettes for religious purposes and cremation; wood or bamboo charcoal for tandoors and grills in hotels and restaurants with emission controls, and for cloth ironing. For a factory, the practical position is that your thermal energy comes from piped natural gas or another approved route, and the capital and operating cost of that has to be in your project model from the start.
What this means when you are choosing where to set up
A process that is viable on coal in eastern Uttar Pradesh may simply not be viable in Ghaziabad — not because of cost, but because the fuel is prohibited. Conversely, a unit that is already gas-fired or electric carries no such penalty and gets the NCR's market access, labour pool and logistics for nothing extra. The honest question is not "where are the incentives biggest", it is "can my process legally run here at all, and at what energy cost". That is a modelling exercise, and we would rather do it with you before you buy land than explain it afterwards.
Ghaziabad's Incentive Position — Stated Honestly
Like Gautam Buddh Nagar, Ghaziabad sits in Uttar Pradesh's lowest incentive band. Under the Industrial Investment and Employment Promotion Policy 2022, stamp duty exemption on industrial land runs:
| Region | Stamp duty exemption on industrial land |
|---|---|
| Purvanchal | 100% |
| Bundelkhand | 100% |
| Madhyanchal | 75% |
| Paschimanchal (rest) | 75% |
| Ghaziabad & Gautam Buddh Nagar | 50% |
So on land cost and stamp duty relief, Ghaziabad is the least-favoured part of Uttar Pradesh, and it carries the country's tightest air-quality regime on top. What it gives back is proximity: Delhi thirty minutes away, an engineering supplier base built over sixty years, accredited testing infrastructure in the district, two metro lines, two expressways and a completed Namo Bharat corridor.
Whether that trade is worth it depends entirely on what your business is sensitive to. For a utility-light, logistics-heavy or market-facing operation it usually is. For a thermal-energy-intensive process it very often is not. We will run that comparison against your actual numbers rather than tell you the answer in advance.
Incentive eligibility is assessed case by case and administered by Invest UP and the Department of Industries. Treat this as an indication of where to look, not a confirmation of entitlement.
Ghaziabad's ODOP: Engineering Products
Under Uttar Pradesh's One District One Product programme, Ghaziabad is designated for engineering products — industrial machinery, machine components, automotive parts, electrical equipment, fabricated components and precision-engineered products. The district also carries other metal products and textile and apparel as listed categories, and the district portal records three Common Facility Centres along with multiple NABL-accredited testing laboratories.
One caution carried across our other pages: India runs more than one ODOP mapping. The Uttar Pradesh state list, which feeds the DPIIT Districts as Export Hubs initiative, is a different exercise from the Ministry of Food Processing Industries' PMFME list, and the two name different products for the same district. Applications get rejected because a founder quotes one list to a scheme run off the other. Confirm which programme you are applying under before building a case around an ODOP designation.
Stamp Duty on MoA & AoA in Uttar Pradesh
Uttar Pradesh charges stamp duty on the Memorandum and Articles of Association with reference to your authorised share capital, collected electronically through SPICe+ at incorporation. Because the rate depends on your capital structure and the schedule is amended from time to time, we do not publish a fixed figure — we quote it against your actual authorised capital and confirm it before filing. Use our stamp duty calculator for an indicative number.
Do not confuse this with the stamp duty exemption on industrial land under IIEPP 2022 in the table above. They are two different levies, and only one of them is banded by district.

Frequently Asked Questions
Which ROC handles company registration in Ghaziabad?
The Registrar of Companies at Noida. Until 16 February 2026 every Uttar Pradesh company filed with RoC Kanpur. On that date the MCA carved 17 western UP districts out of Kanpur into a new Registrar seated at Noida, and Ghaziabad is one of them. Filing remains online through SPICe+, so no visit is required — but the office handling your file is now inside the NCR rather than four hundred kilometres away.
Did Uttar Pradesh's Regional Directorate change too?
No. Only the Registrar changed, and only for the seventeen western districts. Uttar Pradesh remains under the Regional Directorate (Northern Region) at New Delhi, which handles inter-state shifting of a registered office, compounding of offences, condonation of delay and fast-track mergers. Lucknow, Kanpur, Varanasi, Prayagraj and Bareilly continue to file with RoC Kanpur.
What is CAQM Direction No. 98 and does it apply to my Ghaziabad unit?
Direction No. 98 was notified by the Commission for Air Quality Management on 20 February 2026 and cuts the permitted particulate matter limit from 80 to 50 mg/Nm³ for identified industrial categories across Delhi-NCR. It covers the 17 highly polluting categories identified by the CPCB and red-category medium and large air-polluting units — in practice, food, textile, metal and chemical units running boilers, thermic fluid heaters or metal furnaces. Ghaziabad is inside the NCR and inside the direction. CAQM later issued an amendment extending the compliance timeline for industries under Clause 21(i) to 1 October 2026.
What happens if I miss the 1 October 2026 emission deadline?
Non-compliance exposes a unit to closure orders and penalties under the Commission for Air Quality Management Act, 2021. Worth noting why the deadline was extended in the first place: CAQM cited long procurement lead times for air pollution control devices, limited availability of assessment agencies and laboratory capacity constraints. Units that leave this until September will be competing for the same scarce capacity as everyone else, so early action is not merely prudent, it is practically necessary.
Can I use coal in a factory in Ghaziabad?
No. From 1 January 2023 the Commission for Air Quality Management directed that industries and commercial establishments in Delhi-NCR using unapproved fuels, including coal, be closed down straightaway — explicitly without a prior show-cause notice — with maximum environmental compensation assessed under CPCB guidelines. The remaining approved-fuel carve-outs are narrow and largely non-industrial. For a factory, the practical position is that thermal energy comes from piped natural gas or another approved route, and that capital and operating cost has to be in your project model from the start.
Is there professional tax in Uttar Pradesh?
No. Uttar Pradesh does not levy professional tax, so a Ghaziabad company has no PTRC registration, no PTEC enrolment, no monthly salary deduction and no professional tax returns. Delhi, Haryana, Punjab and Himachal Pradesh also do not levy it, so the saving is against Karnataka, Maharashtra, Telangana and West Bengal rather than against the rest of the NCR. Professional tax follows where the employee works.
Does Ghaziabad get good state incentives?
No — and we would rather say so plainly. Under the Industrial Investment and Employment Promotion Policy 2022, Ghaziabad and Gautam Buddh Nagar sit in Uttar Pradesh's lowest band at 50% stamp duty exemption on industrial land, against 100% in Purvanchal and Bundelkhand and 75% elsewhere. Ghaziabad's case is proximity, an engineering supplier base built over sixty years, accredited testing infrastructure and transport — not subsidy.
What is Ghaziabad's ODOP product?
Engineering products — industrial machinery, machine components, automotive parts, electrical equipment, fabricated components and precision-engineered products. The district also carries other metal products and textile and apparel as listed categories, with three Common Facility Centres and multiple NABL-accredited testing laboratories recorded on the district portal. Note that the Uttar Pradesh state ODOP list, which feeds the DPIIT Districts as Export Hubs initiative, is a different exercise from the Ministry of Food Processing Industries' PMFME list, and the two name different products for the same district.
Has the Namo Bharat corridor reached Ghaziabad?
Yes, and the full corridor is complete. The 82 km Delhi–Meerut Regional Rapid Transit System was inaugurated on 22 February 2026, running Sarai Kale Khan to Modipuram in about 58 minutes in normal revenue service. Ghaziabad district carries several stations including Sahibabad, Ghaziabad, Guldhar, Duhai, Muradnagar and Modinagar, alongside the Delhi Metro Red Line and the Blue Line at Vaishali.
How long does Pvt Ltd registration take in Ghaziabad?
Typically 7 to 10 working days from complete documents to the Certificate of Incorporation, assuming the proposed name clears without resubmission. For a manufacturing project, incorporation is the fast part — pollution consent, fuel arrangements, factory licence and emission testing set the real timeline, and they should run in parallel rather than in sequence.
What does it cost to register a private limited company in Ghaziabad?
Professional fees start at ₹11,999. On top of that you pay government fees at actuals — stamp duty on the MoA and AoA as applicable in Uttar Pradesh, and DSC token costs. The MCA filing fee itself is nil for authorised capital up to ₹15 lakh, so a standard two-director company is inexpensive at the government end.
Can I use my home address in Ghaziabad as the registered office?
Yes. A residential address is acceptable for incorporation, with the latest utility bill, a No-Objection Certificate from the owner, and the rent agreement if rented. What it will not do is support a factory licence or pollution consent — those need the actual industrial premises, which can be added later as an additional place of business. Note that the Registrar can carry out physical verification and GST registration in UP frequently attracts a site visit.
What is the GST state code for Ghaziabad?
09, the code for Uttar Pradesh. Every GSTIN issued to a business registered in Ghaziabad begins with 09. A supply from Ghaziabad to a customer in Delhi or Noida is an inter-state supply attracting IGST, even across a few kilometres.
Can NRIs or foreign nationals be directors of a Ghaziabad company?
Yes. NRIs and foreign nationals can be directors and shareholders, but at least one director must be a resident of India. Their passport and address proof must be notarised and apostilled, and foreign shareholding brings FEMA reporting obligations — an FC-GPR filing through the Reserve Bank of India's Single Master Form once shares are allotted, and an annual FLA return thereafter.
