Prayagraj files with the Registrar of Companies, Kanpur — it did not move to the new RoC Noida in February 2026 — and because Uttar Pradesh levies no professional tax, your ongoing payroll compliance stays light.

How Pvt Ltd Company Registration Works in Prayagraj

Prayagraj is an administrative, legal and education city before it is an industrial one, and any honest page about registering a company here has to start there. The Allahabad High Court sits in Prayagraj. So do a state university, a national institute of technology and an IIIT, and one of India's densest concentrations of competitive-exam coaching. What that produces is a city full of service businesses, professional practices, training ventures and publishing houses — and those have structuring questions that a generic incorporation page never answers.

The filing itself is entirely online through the MCA's SPICe+ form, so working from Prayagraj rather than Noida or Lucknow does not slow anything down. What is location-specific is jurisdiction: which Registrar processes your file, which GST state code you get, and which state levies apply afterwards. If you want the underlying process end to end, read our guide to private limited company registration in India.

Two things have changed the commercial picture here recently, and both are genuinely new: the Ganga Expressway opened on 29 April 2026 with Prayagraj as its eastern terminus, and the Union Cabinet approved a national industrial corridor node at Prayagraj in August 2024. Neither has filtered into most of what you will read about the city.

Did Prayagraj move to the new RoC Noida in February 2026?

No. The MCA reorganisation effective 16 February 2026 carved a new RoC Noida out of RoC Kanpur, but it covers 17 western Uttar Pradesh districts — Agra, Aligarh, Baghpat, Bulandshahr, Etah, Firozabad, Gautam Buddh Nagar, Ghaziabad, Hapur, Hathras, Kasganj, Mainpuri, Mathura, Meerut, Muzaffarnagar, Saharanpur and Shamli. Prayagraj is not among them and continues to file with the Registrar of Companies, Kanpur. Uttar Pradesh's Regional Directorate also stayed put, in the Northern Region at New Delhi. If you already have a Prayagraj company, nothing about your filing changes.

Why Prayagraj is a Serious Place to Incorporate

Let us be straight about what Prayagraj is and is not. It is not, today, a manufacturing city with deep industrial estates — pages that tell you it has "strong industrial zones and expanding IT parks" are recycling the same paragraph they use for every district. What Prayagraj actually has is an institutional base that no other city in eastern Uttar Pradesh comes close to, a cost structure far below Noida or Lucknow, and — for the first time in a long while — infrastructure and industrial policy moving in its favour at the same time.

⚖️

India's Largest High Court

The Allahabad High Court, established in 1866, sits here with a sanctioned strength of 160 judges — the highest of any high court in India — plus a permanent bench at Lucknow.

🛣️

Eastern End of the Ganga Expressway

Opened 29 April 2026. Six lanes, 594 km, twelve districts. Meerut to Prayagraj is now a 6–7 hour drive instead of 10–12.

🏭

A National Industrial Corridor Node

One of twelve nodes approved by the Union Cabinet in August 2024 under the National Industrial Corridor Development Programme — roughly 352 acres next to Saraswati Hi-Tech City.

🎓

Deep Talent Pool

University of Allahabad, MNNIT and IIIT Allahabad, plus a coaching ecosystem that pulls graduates in from across the Hindi belt.

🏗️

Saraswati Hi-Tech City, Naini

UPSIDA's roughly 1,140-acre development, with a PepsiCo bottling plant and an IRCTC packaged-water unit already on the ground.

🧺

ODOP: Moonj Products

GI-tagged moonj grass craft made largely by rural women artisans, with food processing listed alongside it — both eligible for ODOP support.

Where the Opportunity Is

Best Businesses to Start in Prayagraj

Sectors where Prayagraj has a real structural advantage — an institution, a catchment, a policy instrument or a cost gap — rather than a generic list that would fit any city.

📚

EdTech & Test Preparation

The obvious one, and the one most often structured wrongly. Read the GST section below before you price a single course.

🧑‍⚖️

LegalTech & Litigation Support

Research, drafting support, e-discovery, case management and court-data products — a company works here, unlike practice itself.

🖨️

Academic Publishing & Content

Prayagraj has printed and sold study material for generations; the margin now sits in digital rights and distribution.

🥫

Food & Agri Processing

ODOP-listed, with guava, pulses and grain from the surrounding districts and an expressway to move finished goods west.

📦

Logistics & Warehousing

The single sector most changed by the expressway. Prayagraj is now a credible eastern break-bulk point rather than a spur off the corridor.

🏨

Hospitality & Event Services

A pilgrimage city with an annual Magh Mela and a periodic Kumbh — demand is seasonal but very large, and formal entities win the tenders.

🏥

Healthcare & Diagnostics

Prayagraj is the referral centre for a wide rural catchment across eastern and central UP.

💻

IT & Business Services

Engineering graduates on tap and costs a fraction of Noida — workable for services, back-office and support operations.

🧺

Moonj Craft & Handicraft Export

A GI-tagged, ODOP-listed craft with an artisan base; the gap is a formal entity that can hold an IEC and take export orders.

Benefits of Private Limited Company Registration

🛡️

Limited Liability

Your personal assets stay separate from business debts and claims.

🏢

Separate Legal Identity

The company can own assets, sign contracts and sue in its own name.

💰

Easier Fundraising

The structure banks, NBFCs, angel investors and VCs expect to see — and the only practical one for an edtech raising outside money.

📜

ESOPs & Shares

Issue equity and ESOPs — how a content or technology team in a low-cost city is actually retained.

🤝

Tender & Institutional Credibility

Government training contracts, Kumbh and Mela tenders and institutional buyers all prefer an incorporated counterparty.

🌍

Export Readiness

An entity that can hold an IEC, open an EEFC account and take a letter of credit — the practical gate for moonj and handicraft exporters.

Step-by-Step Registration Procedure

The process is governed by the Ministry of Corporate Affairs and completed online through the MCA portal. Companies with a registered office in Prayagraj district are processed by the Registrar of Companies, Kanpur, which verifies documents, approves the name and issues the Certificate of Incorporation.

1

Digital Signature Certificate (DSC)

A Class 3 DSC is issued for every proposed director through Aadhaar OTP or video KYC — mandatory for signing MCA filings, and doable from Prayagraj without travelling.

2

Director Identification Number (DIN)

DIN is allotted through the SPICe+ form itself for first-time directors, so there is no separate application for a new company.

3

Name Reservation & Approval

Two proposed names go through SPICe+ Part A. Check availability first with our company name availability tool. One Prayagraj-specific trap: names built on words like Allahabad, Sangam, Kumbh or a university's name attract closer scrutiny, and anything implying an official, judicial or academic connection will be rejected.

4

Drafting MoA & AoA

The objects clause is drafted around what you will actually do. For a Prayagraj services business this matters more than usual — see the section below on what a company may and may not carry on.

5

Filing SPICe+ with RoC Kanpur

SPICe+ Part B goes in with AGILE-PRO-S (INC-35) and INC-9, covering incorporation, PAN, TAN, GSTIN, EPFO, ESIC and bank account opening in one integrated form.

6

Certificate of Incorporation, PAN & TAN

On approval the RoC issues the Certificate of Incorporation carrying the CIN, with PAN and TAN allotted alongside.

7

Post-Incorporation Setup

Current account activation, GST registration if not taken through AGILE-PRO-S, registration under the UP Shops and Commercial Establishments Act with the state labour department — that one is not covered by AGILE-PRO-S outside Delhi — Udyam registration, and the first-year compliance calendar.

Documents Required for Registration

For Directors & Shareholders

  • PAN card (mandatory for Indian nationals)
  • Aadhaar card
  • Passport-size photograph
  • Identity proof — Voter ID, Passport or Driving Licence
  • Address proof — bank statement or utility bill, not older than two months
  • Email ID and mobile number linked to Aadhaar
  • For foreign nationals: notarised and apostilled passport and address proof

For the Registered Office in Prayagraj

  • Latest electricity or utility bill for the premises
  • Rent agreement, if the premises are rented
  • No-Objection Certificate from the owner
  • Property tax receipt or ownership proof, if owned
  • Photograph of the premises with the proposed signage

A residential address in Prayagraj is acceptable as a registered office. A commercial address is not required at incorporation — useful if you are running a coaching or content business from home while you formalise. Do check the tenancy, because a great many Prayagraj lettings near the university and civil-lines areas are informal and the owner's NOC is the piece that goes missing.

Timeline & Cost Overview

Indicative Timeline

  • DSC issue — 1 working day
  • Name approval through SPICe+ Part A — 1 to 3 working days
  • Drafting and signing MoA / AoA — 1 to 2 working days
  • SPICe+ Part B filing and RoC Kanpur processing — 3 to 5 working days
  • Certificate of Incorporation with PAN and TAN — typically 7 to 10 working days end to end

Timelines assume documents are complete and the proposed name is clean. Registered-office proof is the usual local delay.

What Determines Your Cost

  • Number of directors — each additional director means another DSC
  • Authorised share capital — drives both MCA fee and state stamp duty
  • Stamp duty on MoA and AoA as applicable in Uttar Pradesh
  • Whether you add GST registration and first-year compliance
  • Professional fee for drafting, filing and follow-up

Under the Companies (Registration Offices and Fees) Rules, the MCA filing fee is nil for authorised capital up to ₹15 lakh — so a standard Prayagraj startup pays stamp duty and professional fees, not MCA fees. Estimate with our MCA fee calculator.

Why founders keep asking about this

The MCA's reorganisation of February 2026 was widely reported, and much of the reporting said "Uttar Pradesh gets a new Registrar" without saying which half of the state it applies to. It applies to seventeen western districts, which now file with the new RoC Noida. Everything east of that line — Prayagraj, Varanasi, Lucknow, Kanpur, Gorakhpur, Bareilly and the rest — continues with the Registrar of Companies, Kanpur, exactly as before.

So if you already have a Prayagraj company: nothing changes. Your CIN is unaffected, your files did not move, your ROC forms go where they always went. If you are incorporating now, your Certificate of Incorporation will name RoC Kanpur. The only Prayagraj founders affected are those with a second registered office in one of the seventeen western districts — Meerut, Noida, Ghaziabad and the rest.

Statutory positions change from time to time. Confirm current jurisdiction, rates and fees with us on your free call before you rely on them for a filing.

Uttar Pradesh Levies No Professional Tax

Professional tax is a state levy on salaried employees and professionals, capped constitutionally at ₹2,500 per person per year. Maharashtra, Karnataka, West Bengal, Tamil Nadu, Gujarat, Telangana, Andhra Pradesh and Bihar all levy it. Uttar Pradesh does not — and nor do Delhi, Haryana, Punjab or Himachal Pradesh, so across the northern belt this is a level playing field rather than an advantage over neighbouring states.

For a Prayagraj company it means no PTRC registration, no PTEC enrolment for the company, no monthly deduction from salaries, no monthly or annual professional tax return, and no penalty exposure on any of it. For a coaching or content business running a large faculty and support payroll, that is a real administrative saving against an equivalent operation in Maharashtra or Karnataka.

The exception that catches multi-state employers

Professional tax follows where the employee works, not where the company is registered. A Prayagraj company with a sales team in Mumbai or engineers in Bengaluru still needs professional tax registration in Maharashtra or Karnataka. The Structuring Mistake Prayagraj Founders Make Most Often

This is the single most useful thing on this page, and no other Prayagraj company-registration page says it. In a city built around the largest High Court in India and a dense professional community, a great many people arrive wanting to incorporate a private limited company to carry on a professional practice. You cannot. And finding that out after the Certificate of Incorporation has issued is expensive and embarrassing.

What a company cannot do

  • Legal practice. Under the Advocates Act and the Bar Council of India's rules, only enrolled advocates may practise law. Advocates practise individually, in partnership, or through an LLP subject to Bar Council rules — not through a private limited company, and non-advocates cannot own or control a practice.
  • Chartered Accountancy practice. Attest and audit work is restricted under the ICAI framework to individual practitioners, firms and LLPs of members. A company cannot sign an audit report.
  • Company Secretary practice. The same restriction applies under the ICSI framework for practising Company Secretaries.
  • Anything implying an official or judicial connection. A proposed name suggesting a link with a court, a regulator or a university will not clear name approval.

What a company is exactly right for

  • LegalTech and litigation support — research, drafting support, e-discovery, case-tracking software, court-data products, transcription and process outsourcing
  • Compliance and advisory support services delivered to firms rather than practised as a member
  • Training, coaching and edtech in every form
  • Publishing — study material, journals, digital content and rights
  • Business process and knowledge process outsourcing for law firms and accountancy firms elsewhere
  • Any trading, manufacturing or service venture that is not a regulated profession

The practical answer for most professionals in Prayagraj is a two-entity structure: the practice stays where the regulator requires it — sole practitioner, partnership or LLP — and a separate private limited company holds the technology, the content, the training arm or the support services. Done properly, with clean inter-company agreements and transfer pricing that stands up, that is entirely legitimate and it is how most serious professional groups are organised. Done casually, it produces exactly the sort of related-party mess that surfaces in an assessment three years later. We draft both sides of it.

This is a structuring summary, not an opinion on your specific facts, and the regulators named set their own rules independently. Take it as the question to ask on your free call, not as the answer.

If You Are Building a Coaching or EdTech Business, Read This First

Prayagraj is one of India's competitive-exam capitals, so this comes up on nearly every call — and it is nearly always misunderstood. Founders assume education is exempt from GST. Commercial coaching is not.

The exemption for education services applies to an "educational institution" as defined in the GST exemption notification — broadly, one delivering pre-school to higher secondary education or a qualification recognised by law, or an approved vocational course. A coaching centre, test-prep institute or online course platform does not meet that definition, however good it is and however many students it teaches. The advance-ruling authorities have said so repeatedly, including in a ruling published as recently as April 2026 that held even school-supplementary coaching taxable.

What this means in practice

  • Coaching and test-prep services are taxable at 18% GST
  • Register once you cross the turnover threshold — and earlier if you supply across state lines or through an online platform
  • Online course sales to students in other states are inter-state supplies, with the place-of-supply rules deciding IGST versus CGST and SGST
  • Input tax credit is available on rent, technology, marketing and professional fees — which is a real offset most coaching businesses never claim
  • Hostel, mess and transport supplied alongside coaching have their own treatment and cannot simply be assumed exempt

Where the structure actually matters

  • A genuine school or a degree-awarding institution is a different animal — that is usually a society, trust or Section 8 company, not a private limited company
  • A commercial coaching or edtech venture that wants outside investment should be a private limited company, priced with 18% GST built in from day one
  • Mixing the two — running commercial coaching inside a charitable shell — is the fastest route to losing the exemption and the registration together
  • See our guidance on starting and managing an educational institution and on education law

Get the rate and classification for your exact offering with our HSN and SAC rate finder, and talk to us before you publish a fee schedule — retro-fitting GST onto prices already advertised to a year's intake is painful.

Stamp Duty on MoA & AoA in Uttar Pradesh

Uttar Pradesh charges stamp duty on the Memorandum and Articles of Association with reference to your authorised share capital, collected electronically through SPICe+ at incorporation. It is a state levy, so it is the one part of your incorporation cost that genuinely differs between Prayagraj and, say, Bengaluru or Chennai.

Because the rate depends on your capital structure and the schedule is amended from time to time, we do not publish a fixed figure here — we quote it against your actual authorised capital and confirm it before filing. Use our stamp duty calculator for an indicative number.

Do not confuse this with the stamp duty exemption on industrial land under UP's industrial policy — that relief applies to land and premises, not to your incorporation documents. Both are worth having; they are different things, and the second one is covered next.

UP Incentives — And the One Thing to Confirm for Prayagraj

Uttar Pradesh's framework is the Industrial Investment and Employment Promotion Policy 2022, administered through Invest UP alongside the MSME Promotion Policy 2022. The instruments include capital and interest subsidy, electricity duty exemption, EPF reimbursement, land and infrastructure support and — the headline one for a project buying land — stamp duty exemption.

The stamp duty exemption is banded by region, and the bands are wide:

RegionStamp duty exemption on industrial land
Purvanchal100%
Bundelkhand100%
Madhyanchal75%
Paschimanchal75%
Gautam Buddh Nagar & Ghaziabad50%

Here is the honest part. Prayagraj sits close to the boundary between the Purvanchal and Madhyanchal groupings, and the policy assigns districts to regions through an annexure rather than in the headline text. The difference between the two — 100% against 75% — is large enough on an industrial land purchase to be worth getting right, and small enough to be glossed over in a brochure. We do not publish a figure for Prayagraj here, because we would be guessing. We confirm the district's classification against the policy annexure with the District Industries Centre before a client commits to land, and we would rather tell you that than print a number that costs you money.

Incentive eligibility is assessed case by case against region, sector, enterprise size and investment quantum, and is administered by Invest UP and the Department of Industries. Treat the above as an indication of where to look, not as a confirmation of entitlement.

What Actually Changed

Prayagraj's Industrial Story is Being Written Right Now

For most of the last three decades the honest answer to "should I set up a manufacturing unit in Prayagraj?" was "probably not — go west." Two decisions have made that answer worth revisiting.

🛣️

The Ganga Expressway, open since April 2026

594 km of six-lane expressway from Meerut to Prayagraj, built at a reported ₹36,230 crore across twelve districts and inaugurated on 29 April 2026. Prayagraj is the eastern terminus. Meerut to Prayagraj now runs 6 to 7 hours against 10 to 12 before. A Phase-2 spur onward to Varanasi and Ballia has been approved and is in pre-construction.

🏭

A national industrial corridor node

On 28 August 2024 the Union Cabinet approved twelve industrial nodes under the National Industrial Corridor Development Programme, with a total outlay reported at ₹28,602 crore. Agra and Prayagraj are the two Uttar Pradesh nodes. The Prayagraj node is reported at roughly 352 acres adjoining Saraswati Hi-Tech City, targeting e-mobility, food processing, leather, readymade garments, cycles and packaging.

🏗️

Saraswati Hi-Tech City, Naini

UPSIDA's development of roughly 1,140 acres near the Sangam, on the highway and within reach of the airport and Naini station. A PepsiCo bottling plant and an IRCTC packaged-drinking-water unit are already operating there, which is the difference between a masterplan and a location.

What that adds up to, honestly: Prayagraj is not yet a manufacturing city, but for the first time it has a highway that reaches the western markets in a working day, land with an industrial designation attached, and a central-government programme committed to it. If you are choosing between an eastern UP location and paying Noida land prices, this is the moment that comparison starts to shift — and the stamp-duty band question above is worth settling before you buy.

After Incorporation

Licences & Registrations Applicable in Prayagraj

Common to Most Companies

Prayagraj-Specific, by Sector

  • Coaching, hostel and mess operations — fire safety clearance, building use, and FSSAI for any mess or canteen
  • FSSAI licensing and UPPCB consent for food and agri processing units
  • Import Export Code and LUT for moonj, handicraft and agri exporters
  • Handicraft and export council registration for ODOP-listed moonj products
  • Copyright registration for study material, question banks and course content — routinely pirated in this market and rarely protected
  • Legal Metrology registration for packaged commodities

Frequently Asked Questions

Which ROC handles company registration in Prayagraj?

The Registrar of Companies, Kanpur. Prayagraj was not affected by the MCA reorganisation of 16 February 2026, which created a new RoC Noida covering seventeen western Uttar Pradesh districts. Prayagraj is not among those seventeen and continues with RoC Kanpur. Filing is online through SPICe+, so no visit to Kanpur is required.

Did Prayagraj move to the new RoC Noida in 2026?

No. The seventeen districts that moved are Agra, Aligarh, Baghpat, Bulandshahr, Etah, Firozabad, Gautam Buddh Nagar, Ghaziabad, Hapur, Hathras, Kasganj, Mainpuri, Mathura, Meerut, Muzaffarnagar, Saharanpur and Shamli. Prayagraj is in eastern Uttar Pradesh and stayed with RoC Kanpur. Uttar Pradesh's Regional Directorate also remained in the Northern Region at New Delhi. Existing Prayagraj companies need do nothing.

Is there professional tax in Uttar Pradesh?

No. Uttar Pradesh does not levy professional tax, so a Prayagraj company has no PTRC registration, no PTEC enrolment, no monthly salary deduction and no professional tax returns. One caveat: professional tax follows where the employee actually works, so staff posted in Maharashtra, Karnataka, West Bengal or Andhra Pradesh will trigger registration in those states even though the company sits in Prayagraj.

How long does Pvt Ltd registration take in Prayagraj?

Typically 7 to 10 working days from complete documents to the Certificate of Incorporation, assuming the proposed name clears without resubmission. Registered-office proof is the most common local delay, particularly where the premises are let informally and the owner's No-Objection Certificate has to be chased.

What does it cost to register a private limited company in Prayagraj?

Professional fees start at ₹11,999. On top of that you pay government fees at actuals — stamp duty on the MoA and AoA as applicable in Uttar Pradesh, and DSC token costs. The MCA filing fee itself is nil for authorised capital up to ₹15 lakh, so a standard two-director company is inexpensive at the government end.

Can I run my law practice through a private limited company in Prayagraj?

No. Under the Advocates Act and Bar Council of India rules, only enrolled advocates may practise law, and they may do so individually, in partnership or through an LLP subject to those rules — not through a private limited company, and non-advocates cannot own or control a practice. The same restriction applies to Chartered Accountancy and Company Secretary practice under the ICAI and ICSI frameworks. A private limited company is the right vehicle for legaltech, research and drafting support, publishing, training and process outsourcing. Many professionals in Prayagraj run a two-entity structure: the practice in the form the regulator requires, and a separate company for the technology, content or support arm.

Is coaching exempt from GST?

No. Commercial coaching is taxable at 18%. The GST exemption for education services applies to an "educational institution" as defined in the exemption notification — broadly pre-school to higher secondary education, or a qualification recognised by law, or an approved vocational course. A coaching centre, test-prep institute or online course platform does not meet that definition, and advance-ruling authorities have confirmed this repeatedly, including in a ruling published in April 2026 on school-supplementary coaching. Price your courses with GST built in, and claim the input tax credit available on rent, technology and marketing.

Should my education venture be a company or a society?

It depends on what you are actually running. A genuine school or degree-awarding institution is normally a society, trust or Section 8 company, because affiliation and recognition frameworks expect a not-for-profit form. A commercial coaching, test-prep or edtech venture that wants to take outside investment and issue ESOPs should be a private limited company. Running commercial coaching inside a charitable shell is the fastest way to lose both the exemption and the registration.

What is the GST state code for Prayagraj?

09, the code for Uttar Pradesh. Every GSTIN issued to a business registered in Prayagraj begins with 09.

Can I use my home address in Prayagraj as the registered office?

Yes. A residential address is acceptable for incorporation. You need the latest utility bill, a No-Objection Certificate from the owner, and the rent agreement if the premises are rented. The NOC is where Prayagraj filings most often stall, because a lot of accommodation around the university and Civil Lines is let without written documentation.

What stamp duty exemption applies to industrial land in Prayagraj?

Uttar Pradesh's Industrial Investment and Employment Promotion Policy 2022 gives 100% stamp duty exemption in Purvanchal and Bundelkhand, 75% in Madhyanchal and Paschimanchal, and 50% in Gautam Buddh Nagar and Ghaziabad. Prayagraj sits near the boundary between the Purvanchal and Madhyanchal groupings, and the policy assigns districts to regions through an annexure. Because the difference between 100% and 75% is material on a land purchase, we confirm the district's classification with the District Industries Centre rather than quoting a figure. Note this relief applies to industrial land, not to stamp duty on your incorporation documents.

What is Prayagraj's ODOP product?

Moonj products — GI-tagged eco-friendly items handwoven from moonj grass found in the district's riverine areas, made largely by rural women artisans, with food processing listed alongside as a second line. ODOP status feeds into district export planning and into state support schemes for the mapped product, and the Allahabad Surkha guava separately carries a Geographical Indication.

Has the Ganga Expressway made a difference to businesses in Prayagraj?

It is too early for hard evidence, but the change is structural rather than marginal. The 594 km six-lane expressway from Meerut to Prayagraj was inaugurated on 29 April 2026 and cuts the drive from 10 to 12 hours down to 6 to 7. Prayagraj is the eastern terminus, which matters most for logistics, warehousing and any manufacturer selling into western Uttar Pradesh and Delhi NCR. A Phase-2 spur onward to Varanasi and Ballia has been approved and is in pre-construction.

Can NRIs or foreign nationals be directors of a Prayagraj company?

Yes. NRIs and foreign nationals can be directors and shareholders, but at least one director must be a resident of India. Their passport and address proof must be notarised and apostilled, and foreign shareholding brings FEMA reporting obligations — an FC-GPR filing with the Reserve Bank of India once shares are allotted.
