- DSC & DIN for all directors
- PAN, TAN & CIN included
- PTRC & PTEC both set up

How Pvt Ltd Company Registration Works in West Bengal
For most of the last century, every company in West Bengal filed with one office: the Registrar of Companies at Kolkata, holder of one of the oldest and largest corporate registries in India. In February 2026 that office was split in two, and the state's company-law map was redrawn along a single line — the boundary of Kolkata district.
That line matters more than it sounds, because Kolkata district is the smallest district in West Bengal. If your business is anywhere other than the city proper — Siliguri, Durgapur, Asansol, Howrah, Salt Lake, New Town, Kharagpur, Malda — you now file with a different Registrar than a Park Street trading house does.
The filing itself is entirely online through the MCA's SPICe+ form, so none of this changes a step of the process. It changes which office your Certificate of Incorporation names and where every ROC form you ever file goes. If you want the underlying process end to end, read our guide to private limited company registration in India.
There is no longer a single "RoC Kolkata"
The MCA reorganisation effective 16 February 2026 split the Kolkata Registrar into two offices, worded geographically in the notification:
RoC Kolkata-I — jurisdiction: the District of Kolkata.
RoC Kolkata-II — jurisdiction: the State of West Bengal except the district of Kolkata.
Both offices are physically in Kolkata, and West Bengal's Regional Directorate is unchanged — still the Eastern Region at Kolkata, covering West Bengal, Bihar and Jharkhand. Existing companies were allocated between the two and need not re-file. But an advisor still saying "RoC Kolkata" without asking which district you are in has not read the notification.
Most of West Bengal Now Files With Kolkata-II
Kolkata district covers just over 206 square kilometres — the city proper, and nothing else. Every other district in the state, all twenty-two of them, falls under RoC Kolkata-II. So does a great deal of what people casually call Kolkata:
| Where your registered office is | District | Your Registrar |
|---|---|---|
| BBD Bagh, Park Street, Ballygunge, Tollygunge, Behala | Kolkata | RoC Kolkata-I |
| Salt Lake / Bidhannagar, including Sector V | North 24 Parganas | RoC Kolkata-II |
| New Town / Rajarhat | North 24 Parganas | RoC Kolkata-II |
| Howrah | Howrah | RoC Kolkata-II |
| Siliguri | Darjeeling / Jalpaiguri | RoC Kolkata-II |
| Durgapur, Asansol | Paschim Bardhaman | RoC Kolkata-II |
| Kharagpur, Malda, Krishnanagar, Barrackpore | Various | RoC Kolkata-II |
Read the second and third rows again if you are in technology. Salt Lake Sector V and New Town — where most of West Bengal's IT industry physically sits — are in North 24 Parganas, which means Kolkata-II, not Kolkata-I. The Bengal Silicon Valley Tech Hub at New Town falls on that side of the line too. In practice, the overwhelming majority of West Bengal companies file with Kolkata-II; Kolkata-I is the smaller, older, city-centre registry.
A caution worth stating: the Kolkata Municipal Corporation area and Kolkata district are largely coterminous, but the KMC has absorbed areas at its margins over the years, so edge cases exist near the boundary. We confirm the district against your specific address before filing rather than working from the postal address.
Watch item: five new districts have been announced but not yet notified
In the state budget presented on 22 June 2026, the creation of five further districts was announced — Kolkata, Sundarbans (from South 24 Parganas), Arambagh (from Hooghly), Jangipur (from Murshidabad) and Basirhat (from North 24 Parganas). These are announcements, not yet formal notifications, and West Bengal's operative district count remains 23.
On what has been announced, none of this changes the Registrar position. The Kolkata item concerns revenue administration — Kolkata has been a police district without a district magistrate and is to become a full revenue district with one — rather than a redrawing of the district's boundary. Salt Lake and New Town would remain in North 24 Parganas, and a Basirhat district carved from the north-east of North 24 Parganas would in any case still sit outside the district of Kolkata, and so still with Kolkata-II. We are watching for the notifications and will revisit this page if they change anything.
Why West Bengal is a Serious Place to Incorporate
West Bengal is not the cheapest state to build in, nor the most heavily subsidised. What it has is depth — an old commercial capital, a genuine technology cluster, an industrial belt, a port, and land borders with three countries.
A Real Technology Cluster
Sector V and New Town hold the eastern region's largest IT and ITeS concentration, with the Bengal Silicon Valley hub still filling out.
Deep Talent, Low Cost
Jadavpur, Calcutta University, IIT Kharagpur, IIM Calcutta and ISI — engineering and analytical talent at a fraction of southern-metro salary levels.
Three International Borders
Nepal, Bhutan and Bangladesh are all reachable overland, with the Siliguri corridor as the gateway to the North East.
An Industrial Belt That Still Works
Steel, engineering and chemicals through Durgapur and Asansol; leather at Bantala; jute along the Hooghly.
Tea, Agri and Food Processing
North Bengal's Darjeeling, Terai and Dooars gardens, plus one of India's largest fish, rice and potato economies.
A New Incentive Scheme Opening
The West Bengal Incentive Scheme 2026 opens on 1 October 2026 — and, as set out below, the start date is a decision you have to take deliberately.
Company Registration Across All 23 West Bengal Districts
We register companies statewide — from the Kolkata metropolitan area and the Hooghly industrial belt to north Bengal, the Sundarbans delta and the western districts. Pick your city to begin, or ask for anywhere not listed:
Benefits of Private Limited Company Registration
Limited Liability
Your personal assets stay separate from business debts and claims.
Separate Legal Identity
The company can own land, plant and leases, sign contracts and sue in its own name.
Easier Fundraising
The structure banks, NBFCs, angel investors and VCs expect to see.
ESOPs
How a Sector V or New Town technology team is actually retained against southern-metro offers.
Export Readiness
An entity that can hold an IEC, register an AD code and take a letter of credit — the practical gate for tea, leather, engineering and cross-border trade.
Incentive Eligibility
The West Bengal Incentive Scheme 2026 is built around registered entities holding Udyam registration.

Step-by-Step Registration Procedure
The process is governed by the Ministry of Corporate Affairs and completed online through the MCA portal. Which Registrar processes your file depends on your registered office district — RoC Kolkata-I for Kolkata district, RoC Kolkata-II for every other district in West Bengal.
Confirm your district first
Not a step you will find on other pages, and the one that now matters most in West Bengal. Before anything else we check which district your proposed registered office actually falls in, because it decides which Registrar the whole file goes to.
Digital Signature Certificate (DSC)
A Class 3 DSC is issued for every proposed director through Aadhaar OTP or video KYC — mandatory for signing MCA filings, and doable from anywhere in the state.
Director Identification Number (DIN)
DIN is allotted through the SPICe+ form itself for first-time directors. At least one director must be resident in India.
Name Reservation & Approval
Two proposed names go through SPICe+ Part A. Check availability first with our company name availability tool. West Bengal has a very long corporate history, so older trading names collide with existing companies and marks more often than in newer states — and note that Darjeeling is a registered Geographical Indication for tea, not a free descriptor.
Drafting MoA & AoA
The objects clause is drafted around what you will actually do — services, trading, manufacturing, export — because a vague objects clause causes trouble later with banks, IEC, licensing and incentive applications.
Filing SPICe+ with the correct Registrar
SPICe+ Part B goes in with AGILE-PRO-S (INC-35) and INC-9, covering incorporation, PAN, TAN, GSTIN, EPFO, ESIC and bank account opening in one integrated form. The Shops and Establishments component of AGILE-PRO-S is available only for Delhi, so West Bengal registration is applied for separately.
Certificate of Incorporation, PAN & TAN
On approval the RoC issues the Certificate of Incorporation carrying the CIN, with PAN and TAN allotted alongside. From 2026 that certificate names Kolkata-I or Kolkata-II, not simply "Kolkata".
Post-Incorporation Setup
Current account activation, GST registration, West Bengal shops and establishments registration, professional tax — both PTRC and PTEC, Udyam registration, and — for a manufacturing unit — registration on the Silpasathi single-window portal.
Documents Required for Registration
For Directors & Shareholders
- PAN card (mandatory for Indian nationals)
- Aadhaar card
- Passport-size photograph
- Identity proof — Voter ID, Passport or Driving Licence
- Address proof — bank statement or utility bill, not older than two months
- Email ID and mobile number linked to Aadhaar
- For foreign nationals: notarised and apostilled passport and address proof
For the Registered Office in West Bengal
- Latest electricity or utility bill for the premises
- Rent agreement or lease, if the premises are rented
- No-Objection Certificate from the owner
- Property tax receipt or ownership proof, if owned
- Photograph of the premises with the proposed signage
A residential address is acceptable anywhere in the state. Two West Bengal points worth knowing: a great deal of older property, particularly in Kolkata and Howrah, has the utility bill in a deceased owner's or an undivided family's name and that needs sorting before filing; and the address decides your Registrar, so it is worth settling before you sign a lease.
Timeline & Cost Overview
Indicative Timeline
- District and Registrar confirmation — same day
- DSC issue — 1 working day
- Name approval through SPICe+ Part A — 1 to 3 working days
- Drafting and signing MoA / AoA — 1 to 2 working days
- SPICe+ Part B filing and processing — 3 to 5 working days
- Certificate of Incorporation with PAN and TAN — typically 7 to 10 working days end to end
Timelines assume complete documents and a clean name. Registered-office proof is the usual local delay.
What Determines Your Cost
- Number of directors — each additional director means another DSC
- Authorised share capital — drives both MCA fee and state stamp duty
- Stamp duty on MoA and AoA as applicable in West Bengal
- Whether you add GST registration and first-year compliance
- Professional tax registration — both PTRC and PTEC for a new company
Under the Companies (Registration Offices and Fees) Rules, the MCA filing fee is nil for authorised capital up to ₹15 lakh. Estimate with our MCA fee calculator.
Your Registrar, PAN & TAN AO Code and GST State Code
Jurisdiction is the District of Kolkata — the city proper only.
Jurisdiction is the State of West Bengal except the district of Kolkata — twenty-two districts.
Every West Bengal GSTIN begins with 19, in every district. Apply for GST →
West Bengal's Regional Directorate is unchanged — the Eastern Region at Kolkata, covering West Bengal, Bihar and Jharkhand. The Registrar processes your incorporation and every subsequent ROC form; the Regional Directorate sits above it and handles inter-state shifting of a registered office, compounding of offences, condonation of delay and fast-track mergers. Your PAN and TAN AO code is assigned from your registered-office jurisdiction — find your AO code here.
Why the split happened, and what it means in practice
Kolkata holds one of India's oldest and largest company registries, a legacy of a century and a half as the country's commercial capital. Splitting the office was a workload decision rather than a policy one, and the government chose the cleanest available dividing line: one district on one side, the rest of the state on the other.
For a new incorporation the procedure is identical either way — SPICe+ is online and you never visit either office. What changes is the Registrar named on your Certificate of Incorporation and on every subsequent form. For an existing company, files were allocated across; nothing needs re-filing, but correspondence and pending matters now sit with whichever office holds your file. If you are not sure which that is, we can check it.
Statutory positions change from time to time. Confirm current jurisdiction, rates and fees with us on your free call before you rely on them for a filing.
Professional Tax in West Bengal
West Bengal levies professional tax under the West Bengal Tax on Profession, Trade, Callings and Employment Act, 1979. Unlike Delhi, Haryana or Uttar Pradesh — which do not levy it at all — a West Bengal employer has a monthly deduction to make from the first payroll run.
| Monthly gross salary (₹) | Professional tax per month (₹) |
|---|---|
| Up to 10,000 | Nil |
| 10,001 – 15,000 | 110 |
| 15,001 – 25,000 | 130 |
| 25,001 – 40,000 | 150 |
| Above 40,000 | 200 |
The annual liability per person cannot exceed ₹2,500, the constitutional ceiling. Two registrations are involved and they are routinely confused: a PTRC — the registration certificate the employer holds in order to deduct and deposit from salaries — and a PTEC, the enrolment certificate under which the company itself pays its own liability. A new company generally needs both, and new companies frequently take only one. Enrolment payment falls due by 31 July each year, and late enrolment or payment attracts interest.
If your team is spread beyond West Bengal
Professional tax follows where the employee works, not where the company is registered. A West Bengal company with engineers in Bengaluru or a sales office in Mumbai needs registration in Karnataka or Maharashtra too — while staff placed in Delhi, Haryana or Uttar Pradesh attract none at all. Siliguri distributors placing field staff across the North East should check each state separately. Use our professional tax state finder.
West Bengal Incentive Scheme 2026 Starts on 1 October 2026
If you are planning a manufacturing unit anywhere in West Bengal, the timing of this matters more than almost anything else on this page. The state approved the West Bengal Incentive Scheme 2026 in July 2026. On the terms reported, it takes effect on 1 October 2026 and runs five years to 30 September 2031, applying to new manufacturing MSMEs holding Udyam registration that begin commercial production on or after 1 October 2026.
The date cuts both ways
A unit that starts commercial production on or before 30 September 2026 falls outside the new scheme. If you are close to commissioning and the difference is a few weeks, that is a decision to take deliberately with the numbers in front of you — not one to discover afterwards. Talk to us before you certify a production start date.
| Instrument | Zone A | Zones B & C |
|---|---|---|
| Interest subsidy on term loans (micro & small, 5 years) | 25% of annual interest | 35% of annual interest |
| Electricity duty waiver | 50% | 75% |
| Electricity duty — women and SC/ST entrepreneurs | 100%, capped at ₹10 lakh a year | |
| Quality certification (ISI, BIS, ISO, HACCP) | 50% reimbursed — up to ₹5 lakh micro/small, ₹10 lakh medium | |
| Cluster infrastructure support | Capped at ₹5 crore | |
We are not going to tell you which zone your district is in, because the zone map has not been published. The difference between Zone A and Zones B and C is ten percentage points of interest subsidy and twenty-five points of electricity duty — material enough that a guess is worse than useless. We confirm the classification with the District Industries Centre and through the state's Silpasathi single-window portal before a client builds a business case on it.
Scheme terms above are as reported at approval; the full scheme text and rules may differ or be amended. Eligibility is assessed case by case by the Government of West Bengal.
Stamp Duty on MoA & AoA in West Bengal
West Bengal charges stamp duty on the Memorandum and Articles of Association with reference to your authorised share capital, collected electronically through SPICe+ at incorporation. It is a state levy, so it is the one part of your incorporation cost that genuinely differs between West Bengal and, say, Karnataka or Tamil Nadu — and it does not differ between Kolkata-I and Kolkata-II, because both are in the same state.
Because the rate depends on your capital structure and the schedule is amended from time to time, we do not publish a fixed figure here — we quote it against your actual authorised capital and confirm it before filing. Use our stamp duty calculator for an indicative number.

Why Choose TAXAJ for Your West Bengal Company
We Confirm Your Registrar First
Kolkata-I or Kolkata-II is decided by your district, not your city. We settle that before anything else — most advisors still say "RoC Kolkata" and stop there.
PTRC and PTEC, Both
West Bengal professional tax needs two registrations and new companies routinely take only one. We set up both and run the monthly deduction properly.
We Watch the Incentive Clock
The West Bengal Incentive Scheme 2026 turns on a commercial-production date. We raise that before you commission, not after.
Cross-Border Trade Set Up Properly
IEC, AD code at the right land customs station, LUT, SAFTA certificates and the correct GST treatment for Nepal and Bhutan.
CA, CS and Lawyer in One Team
Incorporation, tax, GST, ROC and legal drafting handled by one accountable team instead of three vendors.
Beyond Incorporation
Bookkeeping, GST returns, TDS, payroll, export documentation and annual ROC filing under one engagement, across all 23 districts.
Serving All of West Bengal from Darbhanga
Being straight with you: TAXAJ does not have a branch in West Bengal. Our nearest office is in Darbhanga, Bihar, with further branches in Delhi, Bengaluru and Goa. For the incorporation itself that makes no practical difference — SPICe+ is an entirely online filing, DSC is issued by Aadhaar OTP or video KYC, and both Kolkata Registrars process everything electronically, so nobody visits either office. Where a longer conversation earns its keep — settling which Registrar you fall under, planning around the incentive scheme's start date, or structuring a cross-border trading business — we do that by video call.

Frequently Asked Questions
Which ROC handles company registration in West Bengal?
It depends on your district, which is new. Until 16 February 2026 all West Bengal companies filed with a single Registrar at Kolkata. The MCA reorganisation split it into RoC Kolkata-I, whose jurisdiction is the District of Kolkata, and RoC Kolkata-II, whose jurisdiction is the State of West Bengal except the district of Kolkata. Both offices are physically in Kolkata. Because Kolkata district is the smallest in the state, twenty-two of West Bengal's twenty-three districts file with Kolkata-II.
Is Salt Lake Sector V in Kolkata district?
No. Bidhannagar, better known as Salt Lake, including Sector V, is in North 24 Parganas district, so it files with RoC Kolkata-II rather than Kolkata-I. Most of New Town and Rajarhat is also in North 24 Parganas. This surprises most people, because everybody calls those places Kolkata — but the notification draws the line by district, and Kolkata district covers only the city proper at just over 206 square kilometres.
Did the split change my Regional Directorate?
No. West Bengal remains under the Regional Directorate (Eastern Region) at Kolkata, which also covers Bihar and Jharkhand and handles inter-state shifting of a registered office, compounding of offences, condonation of delay and fast-track mergers. Only the Registrar changed.
I already have a West Bengal company. Do I need to do anything?
No re-filing is required. Existing files were allocated between the two offices, so correspondence and pending matters now sit with whichever of Kolkata-I or Kolkata-II holds your file. What is worth doing is confirming which one that is before your next ROC filing or any Regional Director application, so forms and petitions are addressed correctly. We can check it for you.
How many districts does West Bengal have?
Twenty-three notified districts, across five divisions. In the state budget presented on 22 June 2026, the creation of five further districts was announced — Kolkata, Sundarbans from South 24 Parganas, Arambagh from Hooghly, Jangipur from Murshidabad and Basirhat from North 24 Parganas. Those are announcements rather than formal notifications, and the operative count remains twenty-three.
Will the new districts change which Registrar I file with?
On what has been announced, no. The Kolkata item concerns revenue administration — Kolkata has been a police district without a district magistrate and is to become a full revenue district with one — rather than a redrawing of the district boundary. Salt Lake and New Town would remain in North 24 Parganas, and a Basirhat district carved from the north-east of North 24 Parganas would in any case still sit outside the district of Kolkata, and so still with Kolkata-II. We are watching for the notifications and will revisit if they change anything.
Is there professional tax in West Bengal?
Yes, under the West Bengal Tax on Profession, Trade, Callings and Employment Act, 1979. Monthly rates run from nil for salaries up to ₹10,000, then ₹110, ₹130, ₹150 and ₹200 for the higher bands, with an annual ceiling of ₹2,500 per person. Employers need a PTRC to deduct and deposit from salaries, and the company also needs a PTEC for its own liability — new companies frequently take only one of the two. Enrolment payment falls due by 31 July each year.
When does the West Bengal Incentive Scheme 2026 start, and does the date matter?
It matters a great deal. The scheme was approved in July 2026 and, on the terms reported, takes effect on 1 October 2026 and runs to 30 September 2031. It applies to new manufacturing MSMEs with Udyam registration that begin commercial production on or after 1 October 2026 — so a unit that starts on or before 30 September 2026 falls outside it. If you are near commissioning, take that decision deliberately rather than discovering it afterwards.
Which zone is my district in under that scheme?
We do not know, and we are not going to guess. The scheme differentiates between Zone A and Zones B and C — the difference is ten percentage points of interest subsidy and twenty-five points of electricity duty waiver — but the zone map has not been published. We confirm the classification with the District Industries Centre and through the state's Silpasathi single-window portal before a client builds a business case on it.
How long does Pvt Ltd registration take in West Bengal?
Typically 7 to 10 working days from complete documents to the Certificate of Incorporation, assuming the proposed name clears without resubmission. Registered-office proof is the most common local delay — a great deal of older property, particularly in Kolkata and Howrah, has the utility bill in a deceased owner's or an undivided family's name, and that has to be sorted before filing.
What does it cost to register a private limited company in West Bengal?
Professional fees start at ₹11,999. On top of that you pay government fees at actuals — stamp duty on the MoA and AoA as applicable in West Bengal, and DSC token costs. The MCA filing fee itself is nil for authorised capital up to ₹15 lakh. The cost does not differ between Kolkata-I and Kolkata-II; both are in the same state.
What is the GST state code for West Bengal?
19. Every GSTIN issued to a business registered anywhere in the state begins with 19, in every district and on both sides of the Registrar line, because GST follows the state rather than the district. A supply from Kolkata to Sikkim or Bihar is an inter-state supply attracting IGST.
Can NRIs or foreign nationals be directors of a West Bengal company?
Yes. NRIs and foreign nationals can be directors and shareholders, but at least one director must be a resident of India. Their passport and address proof must be notarised and apostilled, and foreign shareholding brings FEMA reporting obligations — an FC-GPR filing through the Reserve Bank of India's Single Master Form once shares are allotted, supported by a valuation report, and an annual FLA return thereafter.
