Private Limited Company Registration in Goa
Register your Pvt Ltd company in Goa with a CA-led team working from a real office in Porvorim — SPICe+ filing, DSC, DIN, name approval, MoA & AoA drafting, PAN, TAN and GST. Goa is where a large share of India-entry structures, NRI holdings and hospitality companies are formed, and those need FEMA and foreign-investment work alongside the incorporation. That is the part we are here for.

- FEMA & India-entry in-house
- DSC & DIN for all directors
- PAN, TAN & CIN included

Goa's Registrar Did Not Change in 2026. Its Regional Directorate Did — Dramatically.
The Ministry of Corporate Affairs reorganised company-law jurisdictions with effect from 16 February 2026. Goa is not mentioned in the notification, and the Registrar of Companies, Goa, Daman and Diu, at Panaji continues to handle every incorporation, name approval and ROC filing for the state exactly as before.
What changed sits one level up, and for a Goa company it is worth understanding — because it is unambiguously in your favour.
| Before 16 February 2026 | Now | |
|---|---|---|
| Your Registrar | RoC Goa, Daman and Diu, at Panaji | Unchanged |
| Your Regional Director | Western Region, at Mumbai — covering all 36 districts of Maharashtra, plus Goa, plus Daman and Diu | Western Region-I, at Mumbai — covering Mumbai, Mumbai Suburban, Goa and Daman & Diu. Four jurisdictions. |
Read that second row carefully. Goa used to queue behind the whole of Maharashtra. The February 2026 reorganisation created a new Regional Directorate, Western Region-II at Navi Mumbai, which took over all districts of Maharashtra other than Mumbai and Mumbai Suburban — thirty-four districts, including Pune, Thane, Nashik and Nagpur. What was left behind in Western Region-I is Mumbai City, Mumbai Suburban, Goa and Daman & Diu.
So on 16 February 2026 Goa went from sharing a Regional Director with thirty-six Maharashtra districts to sharing one with two. For the applications that go to a Regional Director — compounding of offences after a missed filing, condonation of delay, shifting a registered office from one state to another, and fast-track mergers under section 233 — Goa now sits in one of the smallest Regional Directorate jurisdictions in the country.
An honest limit on that claim. We can tell you the jurisdiction is dramatically smaller, because that is what the notification says. We cannot yet tell you what it has done to actual disposal times — the change is six months old and we have no published data on it. We are not going to promise you a timeline we cannot evidence. What we can say is that the structural congestion that used to sit behind a Goa application is largely gone.
India Entry, NRIs and Hospitality — What a Goa Incorporation Usually Actually Is
A large share of the companies formed in Goa are not ordinary domestic startups. They are Indian subsidiaries of foreign parents, NRI-owned holding structures, hospitality and F&B ventures with overseas money in them, and increasingly remote-first technology and creative businesses whose founders chose to live here. Each of those has a second layer of work sitting on top of the incorporation, and it is the layer that goes wrong.
The foreign parent's paperwork
Passport, address proof, board resolution, certificate of incorporation and charter documents — all notarised and apostilled in the home country. This is almost always the longest item on the critical path, and it is the one people start last.
Entry route and sector check
Most sectors permit 100% foreign investment under the automatic route. Some need government approval. The sector and the objects clause are checked against the FDI Policy before the MoA is drafted, not after.
Hospitality is not a simple sector
A hotel, restaurant or beach shack venture in Goa carries licensing well beyond incorporation — excise, FSSAI, tourism department registration, local body and, near the coast, planning constraints. The company structure should anticipate them.
Entity Master before FC-GPR
The company must be registered on the RBI's FIRMS portal through the Entity Master before it can file its first FC-GPR. Founders routinely discover this when the FC-GPR is already due.
Valuation, done properly
Shares issued to a non-resident cannot be priced below fair value on an internationally accepted methodology, certified by a merchant banker or chartered accountant — and section 56(2)(viib) with rule 11UA has to be satisfied on the income-tax side too.
NRI and returning-resident structuring
Residential status, repatriation, NRO and NRE flows and DTAA positions interact with how the shareholding is set up. Getting this right at incorporation is far cheaper than unwinding it later.
The time-bound filings that follow, and what they cost to miss
| Filing | When | What it covers |
|---|---|---|
| Form FC-GPR | 30 days of allotment | Reporting the issue of shares to a non-resident. Allotment itself must happen within 60 days of the money arriving, failing which it is refundable within 15 days. FC-GPR → |
| Form FC-TRS | 60 days of transfer | Any transfer of shares between a resident and a non-resident. FC-TRS → Secondary transfers are missed far more often than fresh issues. |
| FLA return | By 15 July each year | Foreign Liabilities and Assets — due every year the company holds foreign investment, including years when nothing new came in. |
| Form 15CA / 15CB | Before remittance | Outward remittances to the parent or any non-resident. 15CA-CB → |
| Form 3CEB | With the tax audit | Transfer pricing, wherever there are international transactions with associated enterprises. |
If the right structure is not a subsidiary at all, we set up branch offices, liaison offices and project offices as well — see our foreign subsidiary company service, and estimate the cost with our foreign subsidiary set-up cost estimator.
New This Year, and Barely ReportedGoa Changed Its Stamp Duty on Mergers and Demergers in March 2026
If your Goa company is, or may become, part of a group that restructures, this one matters and almost nobody has written about it.
The Indian Stamp (Goa Amendment) Ordinance, 2026 was promulgated on 30 March 2026 and came into force at once. It adds a provision to the Indian Stamp Act 1899 as it applies in Goa dealing with conveyances under schemes of amalgamation, demerger and reconstruction approved under the Companies Act 1956 and the Companies Act 2013.
The rate is 5 per cent of the market value or the consideration involved, subject to a maximum of ₹10 crore.
Two practical consequences. First, a scheme that moves Goa property or undertakings between group companies now has a specific, quantified duty attached to it — which needs to be modelled into the scheme before it is filed, not discovered at the sanction stage. Second, the ₹10 crore cap means the duty is bounded, which for a large restructuring is genuinely useful to know in advance.
This sits alongside the ordinary stamp duty payable on the Memorandum and Articles at incorporation. Because state stamp schedules are amended from time to time and Goa has just demonstrated exactly that, we do not publish a fixed incorporation stamp duty table for Goa — we quote it against your actual authorised capital and confirm it before filing. Compare across states with our stamp duty calculator.
A Trap We See RegularlyGoa Does Levy Profession Tax — Whatever You Have Read Elsewhere
A surprising number of published lists put Goa in the "no profession tax" column alongside Delhi, Haryana, Punjab and Rajasthan. That is wrong. Goa levies profession tax under the Goa State Tax on Professions, Trades, Callings and Employments Act, administered by the state's commercial taxes department.
And it is not in SPICe+
Only three states have profession tax registration built into the SPICe+ incorporation form — Maharashtra, Karnataka and West Bengal. Goa is not one of them. So unlike a Mumbai or Bengaluru company, a Goa company must apply for profession tax as a separate post-incorporation registration. This is the single most commonly missed Goa registration we see.
Why we are not printing a slab table
We checked, and the published Goa slab tables contradict each other. One widely cited source gives nil up to ₹7,500, then ₹175, then ₹200 with ₹300 in February — which is precisely Maharashtra's structure and looks copied across. Another gives nil up to ₹15,000, then ₹150, then ₹200 above ₹25,000. Those are materially different, and we could not verify either against a Goa government source.
So here is what we will and will not tell you. We will tell you the liability exists, that it is a separate registration, and that you need it. We will not print a rate table we have not verified — because payroll configured off a wrong slab under-deducts every month and the error compounds quietly until an assessment finds it. We confirm the operative schedule for your payroll before we set it up. Our profession tax state finder covers the states, and profession tax registration and filing is a service we run.
RoC Goa, Regional Directorate, GST & AO Code
Handles all Goa incorporations, name approvals and ROC filings. Unchanged by the February 2026 reorganisation.
Now covering only Mumbai, Mumbai Suburban, Goa and Daman & Diu — down from the whole of Maharashtra.
Every Goa GSTIN begins with 30, followed by the company's PAN.
Assigned from your registered-office address through SPICe+; no separate application.
Not available through SPICe+ in Goa. A separate registration after incorporation.
Registration with the local authority for commercial establishments.
Statutory positions change from time to time — as Goa's own stamp ordinance in March 2026 shows. Confirm current jurisdiction, rates and fees with us on your free call before you rely on them for a filing.

Why Goa, Honestly
A small, accessible jurisdiction
Two districts, one Registrar, and since February 2026 one of the smallest Regional Directorate jurisdictions in India. Administratively, Goa is about as uncongested as company law gets.
Genuine international orientation
A concentration of foreign founders, NRI capital and cross-border structures well beyond what the state's size would suggest — which is why FEMA work here is routine rather than exotic.
Hospitality depth
An established ecosystem of operators, suppliers, licensing consultants and staff. If you are building in hospitality or F&B, the supporting market already exists.
Real industry, not just tourism
Verna and Kundaim carry a serious pharmaceutical and electronics manufacturing base. Goa's economy is considerably less tourism-dependent than its reputation.
A growing remote and creative economy
Technology, design, media and content businesses run by founders who chose to live here. Small, but real, and increasingly well networked.
What Goa is not
It is not a low-cost manufacturing destination, it does not have a deep senior-hiring pool in most functions, and land is constrained and expensive. If your business needs scale labour or cheap industrial land, Goa is the wrong state and we will say so.
On state support: the Goa Investment Promotion and Facilitation Board, chaired by the Chief Minister, operates as the single window for industrial clearances and approvals and liaises with departments on a project's behalf. The Department of Information Technology's published startup schemes cover heads including rental reimbursement, incubation grants, IPR and trademark reimbursement, R&D assistance, co-working and accelerator subsidies, seed capital, skill development and salary reimbursement. We have deliberately not quoted amounts or eligibility thresholds for either, because we could not verify current figures against a primary source — we will check what your specific project qualifies for rather than repeat numbers we cannot stand behind.
Instant Cost Estimator — Pvt Ltd in Goa
Get an indicative professional-fee estimate based on your company structure. Government fees (ROC, stamp duty, DSC tokens) are charged at actuals and confirmed on your free call.
A foreign parent changes the cost structure materially — apostille, valuation and FEMA filings sit on top. Use the foreign subsidiary set-up cost estimator for that case.
Step-by-Step Registration Procedure
If there is foreign money, start the apostille first
Before anything else. The parent's certificate of incorporation, charter documents, board resolution and the foreign director's passport and address proof all need notarisation and apostille in the home country. Everything else can be done in days; this cannot.
Digital Signature Certificate (DSC)
A Class 3 DSC for every proposed director — Aadhaar OTP or video KYC for Indian directors, the passport-based route for foreign ones.
Director Identification Number (DIN)
Allotted through SPICe+ itself for first-time directors. At least one director must be resident in India — for a wholly foreign-owned Goa subsidiary this is the constraint that most often needs solving early.
Name reservation and approval
Two proposed names through SPICe+ Part A. Check first with our company name availability tool. Note that a name echoing an existing brand — common in hospitality — will be refused, and a trademark search is worth doing before you fall in love with one.
Drafting MoA and AoA
Objects, share classes, reserved matters, transfer restrictions and board composition. Where there is a foreign parent or a joint venture partner, the Articles have to reflect the shareholders' agreement — and the objects clause has to match the FDI-permitted activity, not just the business plan.
Filing SPICe+ with RoC Goa
SPICe+ Part B with AGILE-PRO-S (INC-35) and INC-9. Note that in Goa AGILE-PRO-S will not carry your profession tax registration — that comes separately afterwards.
Certificate of Incorporation, PAN and TAN
Issued with the CIN, naming RoC Goa. Goa stamp duty on the Memorandum and Articles is collected at this stage.
Then the part that actually matters
Current account activation and inward remittance, Entity Master registration on FIRMS, FC-GPR within 30 days of allotment, GST registration, profession tax, shops and establishments, Udyam, and any sector licensing.
Documents Required for Registration
For Indian directors and shareholders
- PAN card (mandatory for Indian nationals)
- Aadhaar card
- Passport-size photograph
- Identity proof — Voter ID, Passport or Driving Licence
- Address proof — bank statement or utility bill, not older than two months
- Email ID and mobile number linked to Aadhaar
For a foreign parent or foreign director
- Passport and address proof, notarised and apostilled in the home country
- Board resolution of the parent authorising the Indian investment and naming the authorised signatory
- Certificate of incorporation and charter documents of the parent, apostilled
- Proof of the registered office — utility bill, NOC from the owner, and the leave and licence agreement
A residential address works. Co-working works where the agreement and a utility bill in the provider's name are available — a common and entirely legitimate route for a Goa subsidiary whose team is remote. What does not work is an address you have no documented right to occupy: the Registrar can and does verify.
Timeline & Cost Overview
| Stage | Typical time | What decides it |
|---|---|---|
| Apostille of foreign documents | 1–4 weeks | The home country's notary and apostille authority. Entirely outside our control and outside yours — start it first |
| DSC for all directors | 1–2 working days | Same day for Indian directors with Aadhaar OTP |
| Name approval (SPICe+ Part A) | 1–3 working days | Distinctiveness, and whether the name collides with an existing mark |
| Drafting and signing MoA, AoA, INC-9 | 1–2 working days | Longer where a shareholders' agreement or JV terms have to be reflected |
| SPICe+ Part B, AGILE-PRO-S processing | 3–5 working days | Registrar queue and whether the file attracts a resubmission |
| Total for a domestic company, clean file | 7–10 working days | A resubmission typically adds three to five working days |
| Total with a foreign parent | Usually 3–6 weeks | Driven almost entirely by the apostille, not by the Indian filing |
Licences & Registrations Applicable in Goa
Applies to almost every Goa company
- Profession tax — separate registration, not through SPICe+
- Shops and Establishments under the Goa Act 1973
- GST registration — on crossing the threshold, or immediately for inter-state supply, e-commerce and exports
- Udyam (MSME) registration — free, and it unlocks the 45-day payment protection
- EPFO and ESIC — applied for through AGILE-PRO-S; obligations bite at the statutory headcounts
- POSH — an internal committee is mandatory at ten or more employees
Hospitality, F&B and tourism
- Goa Excise licence — the licensing that most often determines whether a venue opens on time
- FSSAI registration or licence, by turnover and activity
- Department of Tourism registration for accommodation and tourist services
- Local body trade licence, fire NOC and health licence
- Coastal and planning clearances where relevant to the site
- Trademark registration — in the company's name, not a founder's. In hospitality the name is the asset
Why Choose TAXAJ in Goa
We are actually in Goa
TAXAJ has a working office in Porvorim. Document collection, notarisation, registered-office proofs and follow-ups with RoC Goa are handled here, not from a call centre in another state.
FEMA is our core Goa practice
We opened in Goa specifically for international clients entering India, NRIs and foreign company setup. Apostille chains, entry route, valuation, Entity Master, FC-GPR, FC-TRS, FLA and transfer pricing are routine work here, not something we outsource.
We know the hospitality licensing sequence
Excise, FSSAI, tourism registration, trade licence and fire NOC have an order and lead times. Getting the company structure and the licensing plan aligned at the start saves an opening date.
We tell you what we could not verify
You will notice this page declines to print a Goa profession tax slab table and declines to quote incentive amounts. That is deliberate — where sources conflict or we could not reach a primary one, we say so instead of publishing a confident number.
CA, CS and lawyer in one team
Incorporation, tax, GST, ROC, FEMA and legal drafting handled by one accountable team instead of four vendors who each blame the others.
We will tell you if Goa is wrong for you
Goa is not a cheap manufacturing state and it does not have deep senior hiring in most functions. If your business needs either, we will say so before you incorporate rather than after.

Frequently Asked Questions
Which Registrar handles company registration in Goa?
The Registrar of Companies, Goa, Daman and Diu, at Panaji, for the whole state. Goa was not affected by the February 2026 MCA reorganisation — it does not appear in notification S.O. 4850(E) — so the Registrar position is exactly as it was.
Then what did change for Goa in 2026?
The Regional Directorate. Before 16 February 2026 the Western Region Regional Director at Mumbai covered all thirty-six districts of Maharashtra plus Goa and Daman & Diu. From that date a new Regional Directorate, Western Region-II at Navi Mumbai, took over every Maharashtra district except Mumbai and Mumbai Suburban. What remains in Western Region-I is Mumbai, Mumbai Suburban, Goa and Daman & Diu — four jurisdictions instead of thirty-eight.
Does that make Regional Director applications faster for a Goa company?
The jurisdiction is dramatically smaller, which is a matter of record. Whether disposal times have actually improved we cannot yet tell you — the change is six months old and there is no published data on it. We would rather say that than promise a timeline we cannot evidence. What is clear is that the structural backlog that used to sit behind a Goa application is largely gone.
What is the Indian Stamp (Goa Amendment) Ordinance 2026?
An ordinance promulgated on 30 March 2026, in force immediately, adding a provision to the Indian Stamp Act 1899 as applied in Goa for conveyances under schemes of amalgamation, demerger and reconstruction approved under the Companies Act 1956 or 2013. The rate is 5 per cent of market value or consideration, capped at ₹10 crore. If your Goa company may be part of a group restructuring, this needs modelling into the scheme before filing.
Does Goa charge professional tax?
Yes, under the Goa State Tax on Professions, Trades, Callings and Employments Act — despite a number of published lists wrongly placing Goa in the no-profession-tax column. And unlike Maharashtra, Karnataka and West Bengal, Goa is not one of the three states where profession tax registration goes through SPICe+, so it is a separate registration after incorporation. It is the most commonly missed Goa registration we see.
What are the Goa professional tax slabs?
We are not going to print a table, and here is why. The published Goa slab tables contradict each other — one gives nil to ₹7,500, then ₹175, then ₹200 with ₹300 in February, which is Maharashtra's structure and appears copied; another gives nil to ₹15,000, then ₹150, then ₹200 above ₹25,000. We could not verify either against a Goa government source. Payroll configured off a wrong slab under-deducts every month until an assessment finds it, so we confirm the operative schedule before setting up your payroll.
Can a foreign company own 100% of a Goa subsidiary?
In most sectors, yes, under the automatic route with no prior government approval. Some sectors need approval and a few are prohibited, so the activity is checked against the FDI Policy before the objects clause is drafted. You will still need at least one director resident in India, which for a wholly foreign-owned company is usually the first constraint to solve.
How long does it take with a foreign parent?
Usually three to six weeks, against seven to ten working days for a domestic company — and almost all of the difference is the apostille of the parent's documents in its home country, which is outside anyone's control. Start it before anything else. The Indian filing itself is not the bottleneck.
Can I use a co-working space or a residential address as my registered office?
Yes to both, provided you can document your right to occupy — the agreement plus a utility bill in the provider's or owner's name, and a no-objection certificate. This is a common and entirely legitimate route for a Goa subsidiary with a remote team. What will not survive scrutiny is an address you have no documented right to use; the Registrar can and does verify.
What licences does a restaurant or hotel need beyond incorporation?
Considerably more than the company itself. The Goa Excise licence is usually the item that determines whether a venue opens on time, alongside FSSAI, Department of Tourism registration for accommodation and tourist services, a local body trade licence, fire NOC and health licence, plus coastal and planning clearances depending on the site. These have an order and lead times, and they are worth planning alongside the incorporation rather than after it.
Do I need to be in Goa to register a company here?
No — the process is entirely online. But Goa is one of the states where we are not filing remotely: our office is at 775, Alto Betim, Porvorim, so an in-person meeting is available if you want one. Many of our Goa clients are overseas, in which case we work by video and secure upload throughout.
Is Goa a good state for manufacturing?
For pharmaceuticals, electronics and precision engineering there is a real established base at Verna and Kundaim. For anything needing cheap land or large-scale labour, honestly, no — land is constrained and expensive and the labour pool is small. If that is your business, neighbouring states will serve you better and we will tell you so before you incorporate.
