Private Limited Company Registration in Haryana
Register your Pvt Ltd company online anywhere in Haryana with a CA-led team — SPICe+ filing, DSC, DIN, name approval, MoA & AoA drafting, PAN, TAN and GST. Since 16 February 2026 every Haryana company files with the Registrar of Companies, Haryana, at Chandigarh — no longer RoC Delhi — and because Haryana levies no professional tax, your payroll compliance is lighter than in most industrial states.
- All 22 districts covered
- Expert MoA & AoA drafting
- DSC & DIN for all directors
- PAN, TAN & CIN included
- Filed with the new RoC Haryana
- GCC & HEEP incentive guidance
How Pvt Ltd Company Registration Works in Haryana
Haryana is two economies wearing one state's name. There is the NCR belt — Gurugram, Faridabad, Sonipat, Manesar — which runs on services, capability centres, auto components and warehousing. And there is the rest: Karnal's rice trade, Panipat's textiles, Hisar's steel and agriculture, Ambala's scientific instruments, Yamunanagar's plywood. What you need to know before incorporating differs sharply between the two, and this year the state has started deliberately shifting incentives from the first towards the second.
The filing itself is entirely online through the MCA's SPICe+ form, so where in Haryana you sit does not change the process. What it does change is which incentive band you fall into — and, since February 2026, everybody's Registrar changed. If you want the underlying process end to end, read our guide to private limited company registration in India.
Haryana no longer files with RoC Delhi. Both levels moved to Chandigarh.
Until 16 February 2026, every Haryana company filed with the Registrar of Companies, NCT of Delhi and Haryana — a single Delhi office shared with the entire capital. On that date the MCA created a separate Registrar of Companies, Haryana, at Chandigarh, covering all 22 districts. In the same reorganisation Haryana moved out of the Northern Region Directorate at New Delhi into the new Regional Directorate (Northern Region-II) at Chandigarh, alongside Punjab, Himachal Pradesh, Uttarakhand and the Union Territories.
Haryana is the only state in India where both levels changed at once. Existing companies had their files transferred and need not re-file — but a great deal of published guidance, and a great many advisors, still say RoC Delhi.
Haryana Is Now Paying You to Leave Gurugram
This is the most important commercial fact about incorporating in Haryana in 2026, and almost nothing written about the state has caught up with it. On 12 June 2026 Haryana announced a dedicated Global Capability Centres Policy 2026, effective from 27 May 2026 and running five years, targeting more than 100 new GCCs and over 30,000 jobs — and explicitly naming Panchkula and Hisar as emerging destinations. Look at how it bands support:
| Location | CAPEX support | OPEX support |
|---|---|---|
| Gurugram — non-TOD zones | 50% | 50% for 5 years |
| Gurugram — TOD zones | 65% | 65% for 7 years |
| Every other Haryana district | 75% | 65% for 9 years |
Faridabad, Karnal, Panipat, Sonipat, Hisar, Ambala, Panchkula, Rohtak — all of them sit in the top band. Against a non-TOD Gurugram address that is twenty-five percentage points more capital support and four more years of operating support, inside the same state, with the same Registrar, the same GST code and the same absence of professional tax.
The Haryana Enterprises and Employment Policy 2020 works on exactly the same principle for industrial units, banding incentives by block category A to D with the least-developed blocks receiving most. Two policies, one deliberate direction of travel: out of Gurugram, into the rest of the state.
None of that makes Gurugram the wrong answer — the talent, the customers and the airport are still there. It does mean the location decision now has a number attached to it, and that number is large enough to be worth costing properly before a lease is signed.
Policy terms are as reported at announcement, and the operative scheme documents and rules govern. Eligibility is assessed case by case by the Government of Haryana.
Why Haryana is a Serious Place to Incorporate
Its Own Registrar at Last
After decades of sharing a Delhi office with the capital, Haryana has a dedicated Registrar at Chandigarh handling the state alone.
No Professional Tax
Haryana does not levy it — no PTRC, no PTEC, no monthly deduction, no return. On a large payroll that is a real administrative saving.
Two Live Incentive Regimes
The GCC Policy 2026 for capability centres and HEEP 2020 for industry, both currently open and both weighted away from Gurugram.
India's GCC Heartland
The largest concentration of multinational capability centres in the country, with a state policy now built specifically around them.
NCR Logistics
NH-44, NH-48, the Kundli–Manesar–Palwal expressway, the Delhi–Mumbai Expressway corridor and two international airports within reach.
Genuine Industrial Depth
Auto components, textiles, rice milling, steel, plywood, scientific instruments and sports goods — real clusters with real supplier bases.
Company Registration Across All 22 Haryana Districts
Every district in Haryana files with the same Registrar at Chandigarh, so we register companies statewide — from the NCR belt to the northern and western districts. Pick your city to begin, or ask for anywhere not listed:
Benefits of Private Limited Company Registration
Limited Liability
Your personal assets stay separate from business debts and claims.
Separate Legal Identity
The company can own land, plant and leases, sign contracts and sue in its own name.
Incentive Eligibility
Both the GCC Policy 2026 and HEEP 2020 are built around registered entities with formal investment records.
The FDI Vehicle
Foreign investment under the automatic route flows into a private limited company — the standard structure for a capability centre or subsidiary.
Fundraising & Credit
The structure banks, NBFCs and investors expect — and the one that supports machinery finance and working-capital limits.
ESOPs & Succession
Issue equity to retain talent, and settle family succession properly in the Articles rather than informally.

Step-by-Step Registration Procedure
The process is governed by the Ministry of Corporate Affairs and completed online through the MCA portal. Companies with a registered office anywhere in Haryana are processed by the Registrar of Companies, Haryana, at Chandigarh, which verifies documents, approves the name and issues the Certificate of Incorporation.
Digital Signature Certificate (DSC)
A Class 3 DSC is issued for every proposed director through Aadhaar OTP or video KYC. For a foreign director the route is passport-based with notarisation and apostille, and it is usually the longest item on the critical path.
Director Identification Number (DIN)
DIN is allotted through the SPICe+ form itself for first-time directors. At least one director must be resident in India.
Name Reservation & Approval
Two proposed names go through SPICe+ Part A. Check availability first with our company name availability tool.
Drafting MoA & AoA
The objects clause is drafted around what you will actually do — manufacture, job work, services, export, capability-centre delivery — because a vague objects clause causes trouble later with banks, IEC, licensing and incentive applications.
Filing SPICe+ with RoC Haryana
SPICe+ Part B goes in with AGILE-PRO-S (INC-35) and INC-9, covering incorporation, PAN, TAN, GSTIN, EPFO, ESIC and bank account opening in one integrated form. Note that the Shops and Establishments component of AGILE-PRO-S is available only for Delhi, so the Haryana registration is applied for separately.
Certificate of Incorporation, PAN & TAN
On approval the RoC issues the Certificate of Incorporation carrying the CIN, with PAN and TAN allotted alongside.
Post-Incorporation Setup
Current account activation, GST registration, Haryana shops and establishments registration, Udyam registration, and — for a plant — the factory licence and HSPCB consent.
Documents Required for Registration
For Directors & Shareholders
- PAN card (mandatory for Indian nationals)
- Aadhaar card
- Passport-size photograph
- Identity proof — Voter ID, Passport or Driving Licence
- Address proof — bank statement or utility bill, not older than two months
- Email ID and mobile number linked to Aadhaar
- For foreign nationals: notarised and apostilled passport and address proof
For the Registered Office in Haryana
- Latest electricity or utility bill for the premises
- Rent agreement or lease, if the premises are rented
- No-Objection Certificate from the owner
- Property tax receipt or ownership proof, if owned
- Photograph of the premises with the proposed signage
A residential address anywhere in Haryana is acceptable as a registered office. If the premises sit on an HSIIDC allotment, on agricultural land whose use has not been converted, or inside a conservation zone, check the conditions before you declare it — the Registrar can and does verify the address physically.
Timeline & Cost Overview
Indicative Timeline
- DSC issue — 1 working day
- Name approval through SPICe+ Part A — 1 to 3 working days
- Drafting and signing MoA / AoA — 1 to 2 working days
- SPICe+ Part B filing and RoC Haryana processing — 3 to 5 working days
- Certificate of Incorporation with PAN and TAN — typically 7 to 10 working days end to end
Timelines assume complete documents and a clean name. For a plant, the licences that follow set the real project timeline, not the incorporation.
What Determines Your Cost
- Number of directors — each additional director means another DSC
- Authorised share capital — drives both MCA fee and state stamp duty
- Stamp duty on MoA and AoA as applicable in Haryana
- Whether a foreign parent is involved — apostille, valuation and FC-GPR add to it
- Whether you add GST registration and first-year compliance
Under the Companies (Registration Offices and Fees) Rules, the MCA filing fee is nil for authorised capital up to ₹15 lakh. Estimate with our MCA fee calculator.
RoC Haryana, PAN & TAN AO Code and GST State Code
New office from 16 February 2026, covering all 22 districts of Haryana. Previously filed through Delhi.
Also new from 16 February 2026 — Haryana, Punjab, Himachal Pradesh, Uttarakhand, Chandigarh, Ladakh and J&K.
Your PAN and TAN AO code is assigned from your Haryana registered-office jurisdiction — find your AO code here.
What the two changes actually mean
The Registrar is the office that processes your incorporation and every subsequent ROC form — AOC-4, MGT-7, charge filings, director changes. It is the authority named on your Certificate of Incorporation. The Regional Directorate sits above the Registrar and handles the matters a Registrar cannot decide: inter-state shifting of a registered office, compounding of offences, condonation of delay, and fast-track mergers under section 233.
Before 16 February 2026 both of those sat in Delhi for a Haryana company. Both are now at Chandigarh. For a new incorporation nothing about the procedure changes — SPICe+ is online and you never visit either office. For an existing company, files were transferred across; nothing needs re-filing, but correspondence and pending matters now sit with Chandigarh. The practical risk is not the move itself, it is an advisor drafting on the old basis: a petition addressed to the wrong Regional Director, or a form prepared for the wrong Registrar, simply comes back.
Statutory positions change from time to time. Confirm current jurisdiction, rates and fees with us on your free call before you rely on them for a filing.
Haryana Levies No Professional Tax
Professional tax is a state levy on salaried employees and professionals, capped constitutionally at ₹2,500 per person per year. Maharashtra, Karnataka, West Bengal, Tamil Nadu, Gujarat, Telangana, Andhra Pradesh, Puducherry and Bihar all levy it. Haryana does not — and nor do Delhi, Punjab, Himachal Pradesh or Uttar Pradesh, so across the northern belt this is a level playing field rather than an advantage over the immediate neighbours.
Where it counts is against the southern and western industrial states. For a Haryana company it means no PTRC registration, no PTEC enrolment, no monthly deduction from salaries, no monthly or annual return, and no penalty exposure on any of it — against an identical operation in Pune, Bengaluru or Kolkata.
The exception that catches multi-state employers
Professional tax follows where the employee works, not where the company is registered. A Gurugram company with a sales office in Mumbai or an engineering team in Bengaluru still needs professional tax registration in Maharashtra or Karnataka. Check any state's position with our professional tax state finder.
Global Capability Centres Policy 2026 — Full Terms
The band table earlier on this page is the headline. These are the conditions that decide whether you qualify at all.
Eligibility
- A GCC set up by a multinational, or by its subsidiary or affiliate, providing services to the group
- Eligible functions span R&D, IT services, data analytics, finance, procurement, supply chain, legal compliance and HR
- Units commencing operations on or after 1 January 2026
- Existing units also qualify where they undertake expansion of at least 50% additional fixed capital investment
- Combined incentives capped at 100% of fixed capital investment
The instruments
- CAPEX — reimbursed over ten years, capped in the reported range of ₹100–150 crore for owned premises and ₹50–100 crore for leased
- OPEX — capped at around ₹0.75 crore per 100 employees a year, covering utilities, lease, internet and cloud
- Employment subsidy — up to 120% of average gross salary over ten years, linked to local hiring ratios, enhanced for women, SC, Divyang and ex-servicemen
- EPF reimbursement — 100% of the employer contribution for five years, capped at 12% of basic and DA and ₹25,000 per employee a year
- R&D support — 50% of capital and operating cost, up to ₹50 crore for ultra-mega projects
- Internships — 50% stipend reimbursement, up to ₹15,000 per intern per month for six months, up to 50 interns a year
The policy also carries single-window clearances, self-certification and online labour-compliance tracking. Within Gurugram, whether an address falls in a Transit-Oriented Development zone is worth fifteen percentage points of CAPEX support and two extra years of OPEX — a determination we check against the specific address rather than publish as a map, because TOD boundaries are a town-planning matter and they change.
Policy terms are as reported at announcement, and the operative scheme document and rules govern. Eligibility is assessed case by case by the Government of Haryana.
HEEP 2020 — Why Your Block Matters More Than Your District
For industrial units rather than capability centres, the operative framework is the Haryana Enterprises and Employment Policy 2020. Its named instruments include an investment subsidy linked to SGST, interest subsidy on term loans, stamp duty refund on industrial land, electricity duty exemption, support for testing equipment and technology acquisition, an employment generation subsidy, and an External Development Charges waiver.
The point most guides miss, and the single most useful thing we tell Haryana clients: HEEP bands its incentives by block category — A, B, C and D — not by district. D-category blocks, the least developed, receive the most: a 100% External Development Charges exemption, against 75% in a C-category block and 60% in a B-category block, with the other instruments scaled similarly.
Districts contain blocks in different categories. Two units a few kilometres apart, both with the same district on their letterhead, can be entitled to materially different packages. We confirm the block category with the District Industries Centre before a client commits to land, rather than quoting a district-level figure — because there isn't one.
Two different stamp duty reliefs — do not confuse them
The stamp duty refund under HEEP applies to industrial land and premises. The stamp duty on your MoA and AoA, charged at incorporation through SPICe+ against your authorised capital, is a completely separate levy and is not refunded by HEEP. Both are worth getting right; they are not the same thing. Use our stamp duty calculator for an indicative incorporation figure.
Incentive eligibility is assessed case by case against block category, sector, enterprise size and investment quantum, and is administered by the Haryana Department of Industries and Commerce.
The 75% Local Reservation Law — Where It Actually Stands
Every employer setting up in Haryana asks about this, and most of what is online about it is out of date. The position, stated precisely:
What the law required
- The Haryana State Employment of Local Candidates Act, 2020, in force from 15 January 2022
- Applied to employers with 10 or more persons — companies, firms, societies and trusts alike
- Required 75% of roles with monthly gross salary up to ₹30,000 to go to candidates domiciled in Haryana
- Carried registration and reporting obligations on a state portal
Where it stands now
- The Supreme Court set aside the High Court's interim stay on 17 February 2022 and remanded, directing no coercive action against employers meanwhile
- On 17 November 2023 a Division Bench of the Punjab and Haryana High Court struck the Act down as unconstitutional, holding it ineffective from commencement
- Grounds included that the state cannot do indirectly what Article 16(3) prevents it doing directly, and the risk of "artificial walls" between states
- Haryana appealed; the Supreme Court issued notice on 5 February 2024 and the matter is pending
- So the Act is not currently in force — but it is under appeal
Our advice is neither "ignore it" nor "comply anyway". It is to keep hiring records in a shape that would let you demonstrate workforce composition if the position changes. Capturing that prospectively costs nothing; reconstructing it across a large junior headcount after the fact is painful and expensive.
This is a summary of a pending matter, not legal advice on your facts, and the position may change with the Supreme Court's decision.
Haryana's ODOP Products — and the Two-List Trap
A small point that costs founders real time. India runs two separate One District One Product exercises and they name different products for the same district. Under the Ministry of Food Processing Industries' PMFME scheme, Haryana maps as follows:
| District | ODOP (PMFME) | District | ODOP (PMFME) |
|---|---|---|---|
| Ambala | Milk-based products | Kurukshetra | Bakery products |
| Bhiwani | Citrus-fruit products | Mahendragarh | Spices |
| Charkhi Dadri | Milk-based products | Nuh | Tomato-based products |
| Faridabad | Bakery products | Palwal | Milk-based products |
| Fatehabad | Citrus fruits | Panchkula | Ginger-based products |
| Gurugram | Amla-based products | Panipat | Carrot-based products |
| Hisar | Milk-based products | Rewari | Mustard-based products |
| Jhajjar | Milk-based products | Rohtak | Bakery products |
| Jind | Poultry-meat products | Sirsa | Milk-based products |
| Kaithal | Milk-based products | Sonipat | Mushroom-based products |
| Karnal | Milk-based products | Yamunanagar | Bakery products |
That is the food-processing list, and it is the one that matters for micro food-processing support. DPIIT separately runs an ODOP mapping under the Districts as Export Hubs initiative, aimed at export promotion rather than food processing, and it names different products for the same districts. Applications get rejected because a founder quotes one list to a scheme run off the other. Confirm which programme you are applying under before you build a case around an ODOP designation.

Why Choose TAXAJ for Your Haryana Company
Correct Post-2026 Jurisdiction
We file every Haryana incorporation with the new RoC Haryana at Chandigarh, and we know the Regional Directorate moved to Chandigarh in the same month. A great deal of published guidance still says RoC Delhi.
We Cost the District Choice
Twenty-five percentage points of CAPEX support separate Gurugram from the rest of Haryana. We put that on a spreadsheet before you sign a lease.
Block, Not District
HEEP incentives are set at block level. We confirm yours with the District Industries Centre instead of quoting a district figure that does not exist.
India Entry, End to End
Apostille chains, entry route, valuation, FC-GPR through the Single Master Form, FLA and transfer pricing — the work a capability centre actually needs.
CA, CS and Lawyer in One Team
Incorporation, tax, GST, ROC, FEMA and legal drafting handled by one accountable team instead of four vendors.
Beyond Incorporation
Bookkeeping, GST returns, TDS, payroll and annual ROC filing under one engagement across all 22 districts.
Serving All of Haryana from Delhi NCR
Being straight with you: TAXAJ does not have a branch inside Haryana. Our nearest office is in Dwarka, Delhi — closer to Gurugram than most of Delhi is — with further branches in Bengaluru, Darbhanga and Goa. For the incorporation itself that makes no practical difference: SPICe+ is an entirely online filing, DSC is issued by Aadhaar OTP or video KYC, and RoC Haryana processes everything electronically, so nobody travels to Chandigarh. Where a face-to-face conversation earns its keep — an India-entry structuring session, a district-versus-district incentive comparison, a family business conversion — Dwarka is a straightforward drive from the NCR districts and a short flight or drive from the rest.
- RoC Haryana, Chandigarh — all 22 districts
- RD Northern Region-II, Chandigarh — RD-level matters
- GST State Code 06 — Haryana

Frequently Asked Questions
Which ROC handles company registration in Haryana?
The Registrar of Companies, Haryana, at Chandigarh, for all 22 districts. Until 16 February 2026 Haryana companies filed with the Registrar of Companies, NCT of Delhi and Haryana, which sat in Delhi. A separate Haryana Registrar at Chandigarh was created on that date. Filing remains online through SPICe+, so no visit to Chandigarh is required. If an advisor still tells you Haryana files with RoC Delhi, they are working from pre-2026 information.
Did Haryana's ROC jurisdiction change in 2026?
Yes, and uniquely, at two levels. The Registrar moved from Delhi to the new RoC Haryana at Chandigarh, and Haryana's Regional Directorate moved from the Northern Region at New Delhi to the new Regional Directorate (Northern Region-II) at Chandigarh, which also covers Punjab, Himachal Pradesh, Uttarakhand and the Union Territories. Haryana is the only state where both levels changed at once. Existing companies had their files transferred and do not need to re-file.
Which Haryana district gets the best incentives?
Not Gurugram. Under the Global Capability Centres Policy 2026, CAPEX support is 75% and OPEX support runs nine years in every Haryana district except Gurugram, where it is 65% and seven years in Transit-Oriented Development zones and 50% and five years elsewhere in the city. The Haryana Enterprises and Employment Policy 2020 works on the same principle for industrial units, banding by block category A to D with the least developed blocks receiving most. Both policies deliberately push investment out of Gurugram and towards the rest of the state.
What is the Haryana GCC Policy 2026?
A dedicated state policy for global capability centres, announced on 12 June 2026 and effective from 27 May 2026 for five years, targeting more than 100 new GCCs and over 30,000 jobs and naming Panchkula and Hisar as emerging destinations. It offers CAPEX and OPEX support, an employment subsidy of up to 120% of average gross salary over ten years, 100% EPF employer-contribution reimbursement for five years, R&D support and internship stipend reimbursement. Units commencing operations on or after 1 January 2026 qualify, as do existing units expanding by at least 50% additional fixed capital investment, with combined incentives capped at 100% of fixed capital investment.
Why does my block category matter more than my district in Haryana?
Because the Haryana Enterprises and Employment Policy 2020 sets incentives at block level, not district level. A D-category block receives a 100% External Development Charges exemption, against 75% in a C-category block and 60% in a B-category block, with the other instruments scaled similarly. Districts contain blocks of different categories, so two units a few kilometres apart with the same district address can be entitled to materially different packages. The block category should be confirmed with the District Industries Centre before land is committed.
Is there professional tax in Haryana?
No. Haryana does not levy professional tax, so a Haryana company has no PTRC registration, no PTEC enrolment, no monthly salary deduction and no professional tax returns. Delhi, Punjab, Himachal Pradesh and Uttar Pradesh also do not levy it, so this is a level playing field across the northern belt rather than an advantage over the immediate neighbours — the saving is against Maharashtra, Karnataka, West Bengal and the southern states. Note that professional tax follows where the employee works, so staff posted in those states trigger registration there.
Is the 75% local reservation law still in force in Haryana?
No, not currently — but it is under appeal. The Haryana State Employment of Local Candidates Act 2020, which applied from 15 January 2022 and required 75% of roles paying up to ₹30,000 a month to go to Haryana domiciles at employers with ten or more persons, was struck down as unconstitutional by a Division Bench of the Punjab and Haryana High Court on 17 November 2023, with effect from its commencement. Haryana appealed and the Supreme Court issued notice on 5 February 2024; the matter is pending. Prudent employers keep hiring records that would allow them to demonstrate workforce composition if the position changes.
How long does Pvt Ltd registration take in Haryana?
Typically 7 to 10 working days from complete documents to the Certificate of Incorporation, assuming the proposed name clears without resubmission. For a subsidiary of a foreign parent, plan on longer — the binding constraint is usually notarisation and apostille of the parent's documents abroad, not the Registrar. For a manufacturing plant, incorporation is the fast part; the factory licence and pollution consent set the real project timeline.
What does it cost to register a private limited company in Haryana?
Professional fees start at ₹11,999. On top of that you pay government fees at actuals — stamp duty on the MoA and AoA as applicable in Haryana, and DSC token costs. The MCA filing fee itself is nil for authorised capital up to ₹15 lakh, so a standard two-director company is inexpensive at the government end.
What is the GST state code for Haryana?
06. Every GSTIN issued to a business registered anywhere in Haryana begins with 06. A supply from Gurugram or Faridabad to a customer in Delhi is an inter-state supply attracting IGST, even over a few kilometres.
Can I register my company in Haryana but operate from Delhi?
You can, but think carefully before you do. The registered office is the address the Registrar can and does verify physically, and the address to which statutory notices are sent. GST registration in Haryana also frequently attracts a site visit. If nobody can receive a notice at the address and no part of the business actually happens there, it creates problems at exactly the wrong moment. Register where you operate; if you operate in both, an additional place of business is the clean way to reflect that.
What is my district's ODOP product?
It depends which list you mean. Under the Ministry of Food Processing Industries' PMFME scheme the full Haryana mapping is set out in the table above — Faridabad is bakery products, Gurugram amla-based products, Karnal milk-based products, Panipat carrot-based products, and so on. DPIIT separately runs an ODOP mapping under the Districts as Export Hubs initiative aimed at export promotion, which names different products. Applications are rejected when a founder quotes one list to a scheme run off the other.
Can NRIs or foreign nationals be directors of a Haryana company?
Yes. NRIs and foreign nationals can be directors and shareholders, but at least one director must be a resident of India. Their passport and address proof must be notarised and apostilled, and foreign shareholding brings FEMA reporting obligations — an FC-GPR filing through the Reserve Bank of India's Single Master Form once shares are allotted, supported by a valuation report, and an annual FLA return thereafter.
