How Pvt Ltd Company Registration Works in Karnal
Karnal is the rice bowl of Haryana, and that shapes almost every business decision made here. The district runs 221 rice milling units, exports basmati around the world, and supports a further 2,500-odd micro and small industrial units across agricultural implements, textiles, garments, pharmaceuticals and packaging. Most of them start unincorporated, and most of them eventually need to stop being unincorporated — because an export buyer wants an entity that can hold an IEC and take a letter of credit, a bank wants audited company accounts against a working-capital limit, or a state subsidy application requires a registered enterprise.
A private limited company gives you a separate legal identity, limited liability, and a structure that exporters, lenders and government schemes are all built around. The filing itself is entirely online through the MCA's SPICe+ form. What changed for Karnal this year is where that filing goes — and it changed at two levels at once, which no other state in the country experienced. If you want the underlying process end to end, read our guide to private limited company registration in India.
Karnal sits on NH-44 roughly 137 km north of Delhi and about the same distance south of Chandigarh, with Karnal Junction handling around 95 trains a day and a six-lane greenfield ring road under development.
Haryana got its own Registrar in February 2026 — and its own Regional Directorate
Until 16 February 2026, Haryana companies filed with the Registrar of Companies, NCT of Delhi and Haryana, which sat in Delhi. Two things changed on that date. First, a separate Registrar of Companies, Haryana, at Chandigarh was created with jurisdiction over the whole state. Second, Haryana moved from the Northern Region Directorate at New Delhi to the new Regional Directorate (Northern Region-II) at Chandigarh, alongside Punjab, Himachal Pradesh, Uttarakhand and the union territories. Haryana is the only state where both the Registrar and the Regional Directorate moved at the same time. If an advisor is still routing your Karnal filings through Delhi, they are working from pre-2026 information.
What Karnal Gives a New Company
Karnal is not a metro and does not pretend to be. What it has is an unusual combination for a district of 1.5 million people: a genuine export commodity, a concentration of national agricultural research, and a location on the Delhi–Chandigarh corridor with metro access at non-metro costs.
India's Basmati Belt
The "Rice Bowl of Haryana" — 221 rice milling units and established exporters, with nearly 100% of net sown area under assured irrigation.
Three ICAR Institutes
The National Dairy Research Institute (1955, a deemed university), the Indian Institute of Wheat and Barley Research and the Central Soil Salinity Research Institute are all headquartered in Karnal — a research density no comparable district has.
A Broad MSME Base
Over 2,500 micro and small units and 13 medium or large enterprises — 300+ in packaging, 95 in cotton processing, 73 in agricultural implements, 58 each in garments and pharmaceuticals.
NH-44 Corridor
Roughly 137 km from Delhi and a comparable distance from Chandigarh, with Karnal Junction on the Delhi–Ambala–Kalka line and a six-lane ring road in development.
Kalpana Chawla Medical College
Founded in 2017 with 120 MBBS seats a year, named for the district's most famous daughter — anchoring a growing healthcare economy.
No Professional Tax
Haryana does not levy professional tax at all — no PTRC, no PTEC, no monthly deduction, no returns.
Best Businesses to Start in Karnal
Sectors where Karnal has an actual structural advantage — an export commodity, an existing cluster, a research institution or the corridor — rather than a generic list.
Rice Milling & Basmati Export
The district's core trade, and one where a company structure is effectively a prerequisite for export and for bank finance against stock.
Dairy & Dairy Technology
NDRI in the district gives Karnal a real advantage in dairy processing, cultures, testing and product development — and a hiring pipeline for it.
Food Processing & Packaged Foods
Grain, pulses and dairy derivatives into branded, FSSAI-licensed products rather than bulk commodity.
Packaging
300-plus units already here, serving both the food trade and the wider NH-44 manufacturing corridor.
Agricultural Implements
An existing engineering cluster of 73 units, with a modernisation and mechanisation opportunity behind it.
Pharmaceuticals & Nutraceuticals
58 existing units and a medical college — a base for contract manufacturing and formulation.
Textiles & Garments
95 cotton processing and 58 garment units, on the same corridor as the Panipat textile belt.
Logistics & Cold Chain
NH-44, the rail junction and a large agri output — warehousing and cold storage for the northern corridor.
Agritech & Farm Services
Three national ICAR institutes in the district and one of India's most intensively farmed regions — a natural base for seed, soil, dairy and farm-technology ventures.
Company Registration Across Karnal District
We register companies for founders across Karnal district and the wider NH-44 corridor — Karnal city, Taraori, Nilokheri, Gharaunda, Indri, Assandh, Nissing and Munak, plus Panipat, Kurukshetra, Kaithal and Ambala — all filed through the new RoC Haryana at Chandigarh with full post-incorporation support. Benefits of Private Limited Company Registration
Limited Liability
Your personal assets stay separate from business debts and claims — which matters in a commodity trade with real price and stock risk.
Export Readiness
An entity that can hold an IEC, file an LUT and take a letter of credit — the practical gate for a basmati exporter.
Working Capital Access
Rice milling is stock-heavy and seasonal. Banks lend against audited company accounts far more readily than a proprietor's books.
HEEP 2020 Eligibility
Haryana's capital, interest, SGST, stamp duty and electricity duty incentives run through registered, Udyam-recognised enterprises.
Clean Succession
Most Karnal mills and trading houses are family businesses. A company makes succession a share transfer rather than a dispute.
Perpetual Succession
The company continues irrespective of changes in shareholders.

Step-by-Step Registration Procedure
The process is governed by the Ministry of Corporate Affairs and completed online through the MCA portal. Companies with a registered office in Karnal are now processed by the Registrar of Companies, Haryana, at Chandigarh, which verifies documents, approves the name and issues the Certificate of Incorporation.
Digital Signature Certificate (DSC)
A Class 3 DSC is issued for every proposed director through Aadhaar OTP or video KYC — no travel to Chandigarh required.
Director Identification Number (DIN)
DIN is allotted through the SPICe+ form itself for first-time directors, so there is no separate application for a new company.
Name Reservation & Approval
Two proposed names go through SPICe+ Part A. Rice, agri and "basmati" names in this belt are heavily used, so check availability first with our company name availability tool, and run a trademark search in parallel if you are building a consumer rice brand.
Drafting MoA & AoA
For a milling, trading or export business the objects clause needs to cover milling, processing, packing, storage, export and commission agency as applicable. If you are converting a family firm, this is also where the succession and shareholding terms get settled.
Filing SPICe+ with RoC Haryana
SPICe+ Part B goes in with AGILE-PRO-S (INC-35) and INC-9, covering incorporation, PAN, TAN, GSTIN, EPFO, ESIC and bank account opening in one integrated form. Note that Shops and Establishment registration through AGILE-PRO-S is available only for Delhi companies — a Haryana company registers separately.
Certificate of Incorporation, PAN & TAN
On approval the RoC issues the Certificate of Incorporation carrying the CIN, with PAN and TAN allotted alongside.
Post-Incorporation Setup
Current account activation, GST registration if not taken through AGILE-PRO-S, registration under the Haryana Shops and Commercial Establishments Act, Udyam registration, and — for a mill — a Haryana factory licence.
Documents Required for Registration
For Directors & Shareholders
- PAN card (mandatory for Indian nationals)
- Aadhaar card
- Passport-size photograph
- Identity proof — Voter ID, Passport or Driving Licence
- Address proof — bank statement or utility bill, not older than two months
- Email ID and mobile number linked to Aadhaar
- For NRI founders: notarised and apostilled passport and address proof
For the Registered Office in Karnal
- Latest electricity or utility bill for the premises
- Rent agreement, if the premises are rented
- No-Objection Certificate from the owner
- Property tax receipt or ownership proof, if owned
- Photograph of the premises with the proposed signage
A residential address in Karnal is acceptable as a registered office. The local complication is agricultural or mill land — if your premises sit on land whose use has not been converted, or on an HSIIDC plot with allotment conditions, check the terms before nominating that address. It is the one thing here that reliably causes a resubmission.
Timeline & Cost Overview
Indicative Timeline
- DSC issue — 1 working day
- Name approval through SPICe+ Part A — 1 to 3 working days
- Drafting and signing MoA / AoA — 1 to 2 working days
- SPICe+ Part B filing and RoC Haryana processing — 3 to 5 working days
- Certificate of Incorporation with PAN and TAN — typically 7 to 10 working days end to end
Timelines assume documents are complete and the proposed name is clean. Registered-office proof is the usual local delay.
What Determines Your Cost
- Number of directors — each additional director means another DSC
- Authorised share capital — drives both MCA fee and state stamp duty
- Stamp duty on MoA and AoA as applicable in Haryana
- Whether you add GST registration and first-year compliance
- Professional fee for drafting, filing and follow-up
Under the Companies (Registration Offices and Fees) Rules, the MCA filing fee is nil for authorised capital up to ₹15 lakh — so a standard Karnal startup pays stamp duty and professional fees, not MCA fees. Estimate with our MCA fee calculator.
RoC Haryana, PAN & TAN AO Code and GST State Code
New office from 16 February 2026, covering the whole State of Haryana. Previously filed through Delhi.
Also new from 16 February 2026 — Haryana, Punjab, Himachal Pradesh, Uttarakhand and the UTs.
Your PAN and TAN AO code is assigned from your Karnal registered-office jurisdiction — find your AO code here.
Both levels moved, which is unusual
Most states affected by the MCA's February 2026 reorganisation saw one change: a new Registrar, or a new Regional Directorate, or neither. Haryana saw both.
Before 16 February 2026, a Karnal company filed with the Registrar of Companies, NCT of Delhi and Haryana — an office in Delhi shared with every company in the capital. It now files with the Registrar of Companies, Haryana, at Chandigarh, which handles Haryana alone. At the same time Haryana moved out of the Northern Region Directorate at New Delhi into the new Regional Directorate (Northern Region-II) at Chandigarh. The RD is the office above the Registrar — it handles inter-state shifting of a registered office, compounding of offences, condonation of delay and fast-track mergers.
For a new incorporation the procedure is unchanged: SPICe+ is online and you never visit either office. What changes is the Registrar named on your Certificate of Incorporation and on every subsequent ROC form, and where an RD application goes if you ever need one. For existing Karnal companies, files moved across — nothing needs re-filing, but correspondence and pending matters now sit with Chandigarh rather than Delhi.
Statutory positions change from time to time. Confirm current jurisdiction, rates and fees with us on your free call before you rely on them for a filing.
Haryana Levies No Professional Tax
Professional tax is a state levy on salaried employees and professionals, capped constitutionally at ₹2,500 per person per year. Maharashtra, Karnataka, West Bengal, Tamil Nadu, Gujarat, Telangana, Andhra Pradesh and Bihar all levy it. Haryana does not — and nor do Delhi, Punjab, Himachal Pradesh or Uttar Pradesh, so across the northern belt this is a level playing field rather than an advantage over neighbouring states.
For a Karnal company it means no PTRC registration, no PTEC enrolment for the company, no monthly deduction from salaries, no monthly or annual professional tax return, and no penalty exposure on any of it. On a hundred-worker mill payroll that is a meaningful saving against an equivalent operation in Maharashtra or Karnataka, plus the administrative load of filing every month.
The exception that catches multi-state employers
Professional tax follows where the employee works, not where the company is registered. A Karnal company with a sales office in Mumbai or a team in Bengaluru still needs professional tax registration in Maharashtra or Karnataka. Check any state's position with our professional tax state finder.
Stamp Duty on MoA & AoA in Haryana
Haryana charges stamp duty on the Memorandum and Articles of Association with reference to your authorised share capital, collected electronically through SPICe+ at incorporation. It is a state levy, so it is the one part of your incorporation cost that genuinely differs between Karnal and, say, Bengaluru or Chennai.
Because the rate depends on your capital structure and the schedule is amended from time to time, we do not publish a fixed figure here — we quote it against your actual authorised capital and confirm it before filing. Use our stamp duty calculator for an indicative number.
Do not confuse this with the stamp duty refund available under the Haryana Enterprises and Employment Policy — that relief applies to industrial land and premises, not to your incorporation documents. Both are worth claiming; they are different things.

Haryana Incentives — and Why You Must Check Your Block, Not Your District
Haryana's framework is the Haryana Enterprises and Employment Policy 2020. For an MSME the named instruments include an investment subsidy linked to SGST, an interest subsidy on term loans, stamp duty refund, electricity duty exemption, support for testing equipment and technology acquisition, and an employment generation subsidy. External Development Charges are also waived on a sliding scale.
Here is the point most guides get wrong. Haryana bands its incentives by block category — A, B, C and D — not by district. D-category blocks, the least developed, receive the most: for instance a 100% External Development Charges exemption, against 75% in C-category and 60% in B-category blocks. Karnal district contains several blocks, and they do not all sit in the same category. Two units a few kilometres apart, both with a Karnal address, can be entitled to materially different packages.
That is worth checking properly before you finalise where you buy or lease land — because it is one of the few decisions in a project plan that is essentially free to get right and expensive to get wrong. We confirm the block category with the district industries centre rather than quoting a district-level figure, because there isn't one.
Incentive eligibility is assessed case by case against block category, sector, enterprise size and investment quantum, and is administered by the Haryana Department of Industries and Commerce. Treat the above as an indication of where to look, not as a confirmation of entitlement — we will assess your specific case before you commit capital.

Frequently Asked Questions
Which ROC handles company registration in Karnal?
The Registrar of Companies, Haryana, at Chandigarh. Until 16 February 2026 Haryana companies filed with the Registrar of Companies, NCT of Delhi and Haryana, which sat in Delhi. A separate Haryana Registrar at Chandigarh was created on that date with jurisdiction over the whole state. Filing remains online through SPICe+, so no visit is required.
Did Karnal's ROC jurisdiction change in 2026?
Yes, and at two levels. The Registrar moved from Delhi to the new RoC Haryana at Chandigarh, and Haryana's Regional Directorate moved from the Northern Region at New Delhi to the new Regional Directorate (Northern Region-II) at Chandigarh. Haryana is the only state where both changed at once. Existing companies had their files moved across and do not need to re-file.
Is there professional tax in Haryana?
No. Haryana does not levy professional tax, so a Karnal company has no PTRC registration, no PTEC enrolment, no monthly salary deduction and no professional tax returns. Note that professional tax follows where the employee works — staff based in Maharashtra, Karnataka, West Bengal or Andhra Pradesh trigger registration in those states.
How long does Pvt Ltd registration take in Karnal?
Typically 7 to 10 working days from complete documents to Certificate of Incorporation, assuming the proposed name is approved without resubmission. Registered-office proof is the more common local delay, particularly where premises sit on agricultural or mill land.
What does it cost to register a private limited company in Karnal?
Professional fees start at ₹11,999. On top of that you pay government fees at actuals — stamp duty on the MoA and AoA as applicable in Haryana, and DSC token costs. The MCA filing fee itself is nil for authorised capital up to ₹15 lakh.
Can I use my home address in Karnal as the registered office?
Yes. A residential address is acceptable. You need the latest utility bill, a No-Objection Certificate from the owner, and the rent agreement if the premises are rented. If the premises are on agricultural land whose use has not been converted, or on an HSIIDC plot with allotment conditions, check the terms first.
What is the GST state code for Karnal?
06, the code for Haryana. Every GSTIN issued to a business registered in Karnal begins with 06.
What incentives can a Karnal unit claim under HEEP 2020?
The Haryana Enterprises and Employment Policy 2020 offers an investment subsidy linked to SGST, interest subsidy on term loans, stamp duty refund, electricity duty exemption, testing-equipment and technology-acquisition support, employment generation subsidy and an External Development Charges waiver. Crucially, these are banded by block category A to D rather than by district — D blocks receive the most. Karnal district contains several blocks in different categories, so the block, not the district, determines your package.
Why does my block category matter more than my district?
Because Haryana sets incentives at block level. A D-category block receives a 100% External Development Charges exemption, against 75% in a C-category block and 60% in a B-category block, with the other incentives scaled similarly. Two units a few kilometres apart, both with a Karnal address, can be entitled to materially different packages — which makes the block category worth confirming before you buy or lease land.
Do I need a factory licence for a rice mill in Karnal?
Almost certainly, once you cross the worker and power thresholds under the Factories Act. You will also need FSSAI licensing for food handling, Haryana Pollution Control Board consent — husk-fired boilers and milling dust both attract it — and Legal Metrology registration if you sell in packaged form.
Can NRIs or foreign nationals be directors of a Karnal company?
Yes. NRIs and foreign nationals can be directors and shareholders, but at least one director must be a resident of India. Their passport and address proof must be notarised and apostilled.
