Private Limited Company Registration in Gurugram
Register your Pvt Ltd company online in Gurugram with a CA-led team — SPICe+ filing, DSC, DIN, name approval, MoA & AoA drafting, PAN, TAN and GST. Since 16 February 2026 Gurugram files with the Registrar of Companies, Haryana, at Chandigarh — not RoC Delhi — and because Haryana levies no professional tax, your payroll compliance stays light even at scale.
- Name check & approval
- Expert MoA & AoA drafting
- DSC & DIN for all directors
- PAN, TAN & CIN included
- Filed with the new RoC Haryana
- FDI & GCC structuring
How Pvt Ltd Company Registration Works in Gurugram
Gurugram is where foreign companies enter India. Cyber City, Golf Course Road, Udyog Vihar, Sohna Road and the Manesar belt hold one of the country's densest concentrations of multinational head offices and global capability centres, alongside a deep startup and fintech base. The incorporation itself is the easy part — what usually decides whether a Gurugram entity works is everything wrapped around it: the FDI route, the FEMA reporting, the transfer pricing position, and, since this year, which incentive band the office address falls into.
The filing is entirely online through the MCA's SPICe+ form. What is location-specific is jurisdiction — and on that point most of what you will read about Gurugram, including a great deal of professional advice, is now out of date. If you want the underlying process end to end, read our guide to private limited company registration in India.
Gurugram no longer files with RoC Delhi. Both levels moved to Chandigarh.
Until 16 February 2026, a Gurugram company filed with the Registrar of Companies, NCT of Delhi and Haryana — an office in Delhi shared with every company in the capital. On that date the MCA created a separate Registrar of Companies, Haryana, at Chandigarh covering the whole state. At the same time Haryana moved out of the Northern Region Directorate at New Delhi into the new Regional Directorate (Northern Region-II) at Chandigarh. Haryana is the only state where both levels changed at once. If an advisor or a website is still telling you your Gurugram company files with RoC Delhi, they are working from pre-2026 information.
Why Gurugram is a Serious Place to Incorporate
Gurugram does not need selling — it needs explaining. The reasons to incorporate here are real, and so are two counter-intuitive costs that nobody mentions until after the fact.
India's GCC Capital
The default landing point for a multinational setting up an India capability centre — and, since May 2026, the subject of a dedicated state policy with its own incentive bands.
Corporate Density
Cyber City, Golf Course Road, Udyog Vihar, Sohna Road and Manesar — customers, partners, talent and investors are all inside a twenty-kilometre radius.
A Metro Being Built
Gurugram Metro Rail Limited is constructing a 28.5 km network — Millennium City Centre to Cyber City with a spur to the Dwarka Expressway, 27 elevated stations in all.
No Professional Tax
Haryana does not levy it. On a large salaried headcount that is a genuine administrative saving against Maharashtra, Karnataka or West Bengal.
Airport Proximity
Closer to Delhi's international airport than most of Delhi is — the single most underrated reason multinationals pick Gurugram over alternatives.
The Manesar Belt
An automotive and light-manufacturing cluster with an established supplier ecosystem, sitting alongside the services economy rather than competing with it.
And the part nobody tells you: Gurugram receives the smallest incentives in Haryana
Both of Haryana's headline schemes — the GCC Policy 2026 and the Enterprises and Employment Policy 2020 — deliberately give less to Gurugram than to the rest of the state, because the state is trying to push investment outward. That does not make Gurugram the wrong choice; the talent and the customers are here. It does mean you should know what you are paying for it, and it makes the exact address inside Gurugram worth thinking about. Both points are covered in detail below.
Best Businesses to Start in Gurugram
Sectors where Gurugram has a genuine structural advantage — an ecosystem, a policy instrument, a talent pool or a customer base — rather than a generic list.
Global Capability Centres
R&D, analytics, finance, procurement, supply chain, legal and HR delivery for an overseas parent — now with a dedicated state policy behind it.
Fintech & Financial Services
Lending, payments, insurance distribution and wealth platforms, close to both regulators in Delhi and capital in the NCR.
SaaS & Enterprise Software
Selling into the largest concentration of enterprise buyers in north India, with engineering talent to match.
D2C & E-commerce Brands
Warehousing across the NCR, national logistics on the doorstep and a customer base that buys early.
Auto Components & Engineering
The Manesar and IMT belt, with an OEM ecosystem and Tier-1 suppliers already in place.
Healthcare & Health-tech
Tertiary hospitals, diagnostics chains and a payer market that supports digital health models.
Real Estate & Facilities Services
Commercial leasing, fit-out, facilities management and co-working — services the corporate base consumes continuously.
Consulting & Professional Services
Management, technology and HR consulting sold to head offices that sit a few kilometres away.
Logistics & Supply Chain Tech
NH-48, the Dwarka Expressway, the Western Peripheral corridor and the airport — a genuine logistics node, not just an office market.
Company Registration Across Gurugram & South-West NCR
We register companies for founders across the district — Cyber City, Golf Course Road, Udyog Vihar, Sohna Road, MG Road, Sector 44, New Gurugram, Manesar, IMT Manesar, Pataudi and Farrukhnagar — all filed through the new RoC Haryana at Chandigarh with full post-incorporation support. Benefits of Private Limited Company Registration
Limited Liability
Your personal assets stay separate from business debts and claims.
The Only Practical FDI Vehicle
Foreign direct investment under the automatic route flows into a private limited company. An LLP can take FDI but with restrictions that suit very few businesses.
Investor-Ready Structure
What VCs, PE funds and an overseas parent all expect — priced rounds, preference shares, standard documentation.
ESOPs
The Gurugram talent market runs on equity. A private limited company is the only structure that issues it cleanly.
Enterprise Credibility
Vendor onboarding at a large corporate almost always requires an incorporated counterparty with audited accounts.
Policy Eligibility
The Haryana GCC Policy and the state's enterprise incentives are built around registered entities with formal investment records.

Setting up an Indian subsidiary for an overseas parent? The cost structure is different — use our foreign subsidiary set-up cost estimator instead.
Step-by-Step Registration Procedure
The process is governed by the Ministry of Corporate Affairs and completed online through the MCA portal. Companies with a registered office in Gurugram district are processed by the Registrar of Companies, Haryana, at Chandigarh, which verifies documents, approves the name and issues the Certificate of Incorporation.
Digital Signature Certificate (DSC)
A Class 3 DSC is issued for every proposed director through Aadhaar OTP or video KYC. For a foreign director the process is different — passport-based, with notarisation and apostille — and it is usually the longest item on the critical path, so start it first.
Director Identification Number (DIN)
DIN is allotted through the SPICe+ form itself for first-time directors. Remember that at least one director must be resident in India — a point that catches out wholly foreign-owned subsidiaries every week.
Name Reservation & Approval
Two proposed names go through SPICe+ Part A. Check availability first with our company name availability tool. If you are using a parent company's global brand name, be ready with a board resolution or no-objection from the foreign parent — the Registrar will ask.
Drafting MoA & AoA
For a subsidiary or an investor-backed company this is not a template exercise. Objects, share classes, reserved matters, transfer restrictions and board composition all have to line up with the shareholders' agreement — and inconsistencies between the Articles and the SHA are among the most expensive things to fix later.
Filing SPICe+ with RoC Haryana
SPICe+ Part B goes in with AGILE-PRO-S (INC-35) and INC-9, covering incorporation, PAN, TAN, GSTIN, EPFO, ESIC and bank account opening in one integrated form. Shops and establishments registration through AGILE-PRO-S is available only for Delhi, so the Haryana registration is applied for separately.
Certificate of Incorporation, PAN & TAN
On approval the RoC issues the Certificate of Incorporation carrying the CIN, with PAN and TAN allotted alongside.
Post-Incorporation — and, for FDI, the clock starts
Current account activation, GST registration, Haryana shops and establishments, Udyam registration. If foreign money is coming in, the FC-GPR filing through the RBI's Single Master Form and the supporting valuation are time-bound — see the FDI section below.
Documents Required for Registration
For Indian Directors & Shareholders
- PAN card (mandatory for Indian nationals)
- Aadhaar card
- Passport-size photograph
- Identity proof — Voter ID, Passport or Driving Licence
- Address proof — bank statement or utility bill, not older than two months
- Email ID and mobile number linked to Aadhaar
For a Foreign Parent or Foreign Director
- Passport and address proof, notarised and apostilled in the home country (or consularised, where the country is not a Hague Convention signatory)
- Board resolution of the parent authorising the Indian investment and naming the authorised signatory
- Certificate of incorporation and charter documents of the parent, apostilled
- No-objection for use of the group brand name, if applicable
- Proof of the registered office in Gurugram — utility bill, NOC from the owner, and the lease
Apostille turnaround is the single most common cause of a delayed India entry. Begin it before you finalise the name.
Timeline & Cost Overview
Indicative Timeline
- DSC issue — 1 working day for Indian directors; longer where apostille is involved
- Name approval through SPICe+ Part A — 1 to 3 working days
- Drafting and signing MoA / AoA — 1 to 2 working days
- SPICe+ Part B filing and RoC Haryana processing — 3 to 5 working days
- Certificate of Incorporation with PAN and TAN — typically 7 to 10 working days end to end
For a wholly foreign-owned subsidiary, plan on longer: the binding constraint is almost never the Registrar, it is document legalisation abroad.
What Determines Your Cost
- Number of directors — each additional director means another DSC
- Authorised share capital — drives both MCA fee and state stamp duty
- Stamp duty on MoA and AoA as applicable in Haryana
- Whether a foreign parent is involved — apostille, valuation and FC-GPR add to it
- Whether you add GST registration and first-year compliance
Under the Companies (Registration Offices and Fees) Rules, the MCA filing fee is nil for authorised capital up to ₹15 lakh. Estimate with our MCA fee calculator.
RoC Haryana, PAN & TAN AO Code and GST State Code
New office from 16 February 2026, covering the whole State of Haryana. Previously filed through Delhi.
Also new from 16 February 2026 — Haryana, Punjab, Himachal Pradesh, Uttarakhand and the UTs.
Your PAN and TAN AO code is assigned from your Gurugram registered-office jurisdiction — find your AO code here.
Both levels moved, which is unusual — and it matters most in Gurugram
Most states affected by the MCA's February 2026 reorganisation saw one change: a new Registrar, or a new Regional Directorate, or neither. Haryana saw both. Gurugram feels it more than anywhere else in the state, because Gurugram companies had spent two decades filing into Delhi and thinking of themselves as part of the Delhi registry.
The Registrar is the office that processes your incorporation and every subsequent ROC form. The Regional Directorate sits above it and handles inter-state shifting of a registered office, compounding of offences, condonation of delay and fast-track mergers. Both are now at Chandigarh for Haryana. For a new incorporation the procedure is unchanged — SPICe+ is online and you never visit either office. For existing Gurugram companies, files moved across: nothing needs re-filing, but correspondence and pending matters now sit with Chandigarh rather than Delhi.
Statutory positions change from time to time. Confirm current jurisdiction, rates and fees with us on your free call before you rely on them for a filing.
Delhi or Gurugram? An Honest Comparison
Founders in the NCR ask this constantly, and the answer changed in February 2026 when both jurisdictions were reorganised in the same month. Here is the position without a sales pitch attached.
| Gurugram (Haryana) | Delhi | |
|---|---|---|
| Registrar | RoC Haryana, Chandigarh | RoC Delhi-I or Delhi-II, by district |
| Regional Directorate | NR-II, Chandigarh | NR-I, New Delhi |
| GST state code | 06 | 07 |
| Professional tax | Not levied | Not levied |
| Shops & Establishments via SPICe+ | Applied for separately | Available in AGILE-PRO-S |
| GCC / industrial incentives | Haryana GCC Policy 2026 and HEEP 2020 | No equivalent state GCC scheme |
| Corporate income tax | Central — identical | Central — identical |
The honest summary: there is no tax arbitrage between Delhi and Gurugram. Corporate tax is central, GST rates are national, and neither jurisdiction levies professional tax. The genuine differences are stamp duty on your incorporation documents, the availability of Haryana's incentive schemes, and — the one that actually decides it — where your office and your people physically are. Register where you operate. A registered office you do not occupy creates verification problems at exactly the wrong moment, and the address on the Certificate of Incorporation is the one the Registrar will physically check.
New This Year — And Barely Covered AnywhereHaryana Global Capability Centres Policy 2026
Haryana announced a dedicated GCC policy on 12 June 2026, effective from 27 May 2026 and running five years. The state's stated targets are more than 100 new GCCs and over 30,000 new jobs. If you are setting up an India capability centre for an overseas parent, this is the most consequential thing to have happened to that decision in years — and most incorporation advice has not caught up with it at all.
Who qualifies
Eligibility
- A GCC set up by a multinational, or by its subsidiary or affiliate, providing services to the group
- Eligible functions span R&D, IT services, data analytics, finance, procurement, supply chain, legal compliance and HR
- Units commencing operations on or after 1 January 2026
- Existing units also qualify where they undertake expansion of at least 50% additional fixed capital investment
- Combined incentives are capped at 100% of fixed capital investment
The other instruments
- Employment subsidy — up to 120% of average gross salary over ten years, linked to local hiring ratios, enhanced for women, SC, Divyang and ex-servicemen
- EPF reimbursement — 100% of the employer contribution for five years, capped at 12% of basic and DA and ₹25,000 per employee a year
- R&D support — 50% of capital and operating cost, up to ₹50 crore for ultra-mega projects
- Internships — 50% stipend reimbursement, up to ₹15,000 per intern per month for six months, up to 50 interns a year
- Single-window clearances, self-certification and online labour compliance
The zone table — and why your Gurugram address matters
This is the part worth reading twice. The policy deliberately gives Gurugram less than the rest of Haryana, and gives more to Transit-Oriented Development zones within Gurugram than to the rest of the city:
| Location | CAPEX support | OPEX support |
|---|---|---|
| Gurugram — non-TOD zones | 50% | 50% for 5 years |
| Gurugram — TOD zones | 65% | 65% for 7 years |
| Other Haryana districts | 75% | 65% for 9 years |
CAPEX support is reimbursed over ten years, subject to caps reported in the range of ₹100–150 crore for owned premises and ₹50–100 crore for leased. OPEX support is capped at around ₹0.75 crore per 100 employees a year and covers utilities, lease, internet and cloud services.
Read that table again from a founder's point of view. A TOD address inside Gurugram is worth fifteen percentage points of CAPEX support and two extra years of OPEX support over a non-TOD address in the same city. On a centre of any size, that is a large number attached to a decision most companies make on the basis of which building had space.
We will not tell you which parts of Gurugram are TOD zones on a web page, because that is a town-planning determination tied to specific corridors and it is exactly the sort of thing that changes. What we will do is check the classification against the actual address you are considering, before the lease is signed rather than after.
Policy terms above are as reported at announcement, and the operative scheme document and rules govern. Incentive eligibility is assessed case by case by the Government of Haryana. Treat this as the question to raise on your free call, not as a confirmation of entitlement.
If Foreign Money Is Coming InFDI, FEMA and the Filings That Follow Incorporation
Incorporating the company is the visible part. For a Gurugram subsidiary the work that actually carries risk starts the day the money arrives, and it is time-bound.
Getting the money in correctly
- Confirm the sector and entry route — automatic or government approval — before the remittance, not after
- Receive funds through banking channels with the correct FEMA purpose code and obtain the FIRC and KYC from the AD bank
- Obtain a valuation report supporting the issue price — required for pricing compliance
- Allot shares within the statutory period and file Form FC-GPR through the RBI's Single Master Form
- Get the Entity Master registration done first — FC-GPR cannot be filed without it
What follows, every year
- FLA return to the RBI each year where there is foreign investment
- Form FC-TRS on any transfer of shares between a resident and a non-resident
- Transfer pricing documentation on every intra-group transaction — the core compliance for a GCC, which by definition bills its parent
- Form 15CA and 15CB on foreign remittances, with the DTAA rate applied correctly
- Statutory audit, tax audit where applicable, and the annual ROC filings
A capability centre is a transfer-pricing entity before it is anything else: it earns from a related party and nothing else. Getting the cost-plus mark-up, the intercompany agreement and the benchmarking right at the outset is far cheaper than defending them at assessment. If you are still deciding between structures, compare a wholly owned subsidiary, a branch office, a liaison office and a project office before you file anything.
The 75% Local Reservation Law — Where It Actually Stands
Every employer setting up in Gurugram asks about this, and the answers online are a mess of outdated posts. The position, stated precisely:
What the law required
- The Haryana State Employment of Local Candidates Act, 2020, in force from 15 January 2022
- Applied to employers with 10 or more persons — companies, firms, societies and trusts alike
- Required 75% of roles with monthly gross salary up to ₹30,000 to go to candidates domiciled in Haryana
- Carried registration and reporting obligations on a state portal
Where it stands now
- On 17 November 2023 a Division Bench of the Punjab and Haryana High Court struck the Act down as unconstitutional, holding it ineffective from commencement
- The court's grounds included that the state cannot do indirectly what Article 16(3) prevents it doing directly, and the risk of "artificial walls" between states
- Haryana appealed. The Supreme Court issued notice on 5 February 2024 and the matter is pending
- So the Act is not currently in force — but it is under appeal
The practical advice we give Gurugram employers is neither "ignore it" nor "comply anyway". It is to build your hiring records so that you could demonstrate the composition of your workforce if the position changes, because reconstructing that evidence retrospectively across a large junior headcount is painful. That costs nothing to do prospectively and a great deal to do late.
This is a summary of a pending matter, not legal advice on your facts, and the position may change with the Supreme Court's decision. Take it as the question to raise on your free call.
Stamp Duty and Haryana's Enterprise Incentives
Haryana charges stamp duty on the Memorandum and Articles of Association with reference to your authorised share capital, collected electronically through SPICe+ at incorporation. Because the rate depends on your capital structure and the schedule is amended from time to time, we do not publish a fixed figure — we quote it against your actual authorised capital and confirm it before filing. Use our stamp duty calculator for an indicative number.
Separately, the Haryana Enterprises and Employment Policy 2020 offers an investment subsidy linked to SGST, interest subsidy on term loans, stamp duty refund on industrial land, electricity duty exemption, testing and technology support and an employment generation subsidy. Two things about it are worth knowing in Gurugram specifically:
- HEEP incentives are banded by block category A to D, not by district — and Gurugram sits at the developed end of that scale, so it receives the least. The blocks that receive most are in the state's less-developed districts.
- The stamp duty refund under HEEP applies to industrial land and premises — not to the stamp duty on your incorporation documents. They are different things and both are commonly confused.
Incentive eligibility is assessed case by case against block category, sector, enterprise size and investment quantum, and is administered by the Haryana Department of Industries and Commerce.
After IncorporationLicences & Registrations Applicable in Gurugram
Common to Most Companies
- GST registration — on crossing the threshold, and immediately for inter-state or export supply
- Haryana Shops and Commercial Establishments registration
- Udyam (MSME) registration — free, and the gate to most state schemes
- EPFO and ESIC once you cross the employee thresholds — and the basis of the GCC policy's EPF reimbursement
- Startup India / DPIIT recognition for an eligible new venture
- Trademark registration — including defensive filing of a parent's brand in India
Gurugram-Specific, by Sector
- Softex filing and LUT for software and IT-enabled service exporters — which is what most GCCs are
- Haryana factory licence and HSPCB consent for anything manufacturing in the Manesar and IMT belt
- FSSAI licensing for food, beverage, cloud kitchen and canteen operations
- Import Export Code and AD code for goods exporters

Why Choose TAXAJ for Your Gurugram Company
Correct Post-2026 Jurisdiction
We file Gurugram incorporations with the new RoC Haryana at Chandigarh, and we know the Regional Directorate moved to Chandigarh in the same month. A great deal of published guidance still says RoC Delhi.
India Entry, End to End
Apostille chains, entry route, valuation, FC-GPR through the Single Master Form, FLA, FC-TRS and transfer pricing — the work that actually decides whether a subsidiary runs cleanly.
GCC Policy Awareness
We check your address against the GCC Policy 2026 zone bands before the lease is signed, not after — the difference is fifteen points of CAPEX support.
CA, CS and Lawyer in One Team
Incorporation, tax, GST, ROC, FEMA and legal drafting handled by one accountable team instead of four vendors who blame each other.
Employment Law Kept Current
POSH committees, the local-candidates position, EPF and ESIC thresholds — the things a fast-scaling Gurugram team discovers late.
Beyond Incorporation
Bookkeeping, GST returns, TDS, payroll, transfer pricing documentation and annual ROC filing under one engagement.
Serving Gurugram from Dwarka, Delhi
Our nearest office is in Dwarka, Delhi — around 25 km from Cyber City and closer to much of Gurugram than central Delhi is — with further branches in Bengaluru, Darbhanga and Goa. For the incorporation itself location makes no difference: SPICe+ is an entirely online filing, DSC is issued by Aadhaar OTP or video KYC, and RoC Haryana processes everything electronically, so nobody travels to Chandigarh. Where a face-to-face meeting genuinely helps — an India-entry structuring conversation, a shareholders' agreement discussion, or a transfer-pricing planning session — Dwarka is a short drive.
- RoC Haryana, Chandigarh — incorporation and ROC filings
- RD Northern Region-II, Chandigarh — RD-level matters
- GST State Code 06 — Haryana
- Professional Tax — not levied in Haryana

Frequently Asked Questions
Which ROC handles company registration in Gurugram?
The Registrar of Companies, Haryana, at Chandigarh. Until 16 February 2026 Gurugram companies filed with the Registrar of Companies, NCT of Delhi and Haryana, which sat in Delhi. A separate Haryana Registrar at Chandigarh was created on that date with jurisdiction over the whole state. Filing remains online through SPICe+, so no visit to Chandigarh is required. If an advisor still tells you Gurugram files with RoC Delhi, they are working from pre-2026 information.
Did Gurugram's ROC jurisdiction change in 2026?
Yes, and at two levels. The Registrar moved from Delhi to the new RoC Haryana at Chandigarh, and Haryana's Regional Directorate moved from the Northern Region at New Delhi to the new Regional Directorate (Northern Region-II) at Chandigarh. Haryana is the only state where both levels changed at once. Existing Gurugram companies had their files moved across and do not need to re-file.
Is it better to register my company in Delhi or Gurugram?
There is no tax arbitrage between the two. Corporate income tax is central and identical, GST rates are national, and neither Delhi nor Haryana levies professional tax. The genuine differences are stamp duty on incorporation documents, the availability of Haryana's GCC and enterprise incentive schemes, and the fact that Delhi offers shops and establishments registration inside AGILE-PRO-S while Haryana requires a separate application. The deciding factor should be where your office and your people physically are — the registered office address is one the Registrar can and does verify.
What is the Haryana GCC Policy 2026?
A dedicated state policy for global capability centres, announced on 12 June 2026 and effective from 27 May 2026 for five years, targeting more than 100 new GCCs and over 30,000 jobs. It offers CAPEX and OPEX support, an employment subsidy of up to 120% of average gross salary over ten years, 100% EPF employer-contribution reimbursement for five years, R&D support and internship stipend reimbursement. Units commencing operations on or after 1 January 2026 qualify, as do existing units expanding by at least 50% additional fixed capital investment.
Does Gurugram get the best incentives in Haryana?
No — it gets the least, deliberately. Under the GCC Policy 2026, CAPEX support is 50% in Gurugram's non-TOD zones, 65% in Gurugram's Transit-Oriented Development zones, and 75% in other Haryana districts, with OPEX support running five, seven and nine years respectively. The Haryana Enterprises and Employment Policy 2020 works the same way, banding incentives by block category with the least-developed blocks receiving most. The state is deliberately pushing investment outward. That does not make Gurugram the wrong choice, but it does mean a TOD address inside Gurugram is worth fifteen percentage points of CAPEX support over a non-TOD one.
Is the 75% local reservation law still in force in Haryana?
No, not currently — but it is under appeal. The Haryana State Employment of Local Candidates Act 2020, which applied from 15 January 2022 and required 75% of roles paying up to ₹30,000 a month to go to Haryana domiciles at employers with ten or more persons, was struck down as unconstitutional by a Division Bench of the Punjab and Haryana High Court on 17 November 2023, with effect from its commencement. Haryana appealed and the Supreme Court issued notice on 5 February 2024; the matter is pending. Prudent employers keep hiring records that would allow them to demonstrate workforce composition if the position changes.
Is there professional tax in Haryana?
No. Haryana does not levy professional tax, so a Gurugram company has no PTRC registration, no PTEC enrolment, no monthly salary deduction and no professional tax returns. Note that professional tax follows where the employee works — staff based in Maharashtra, Karnataka, West Bengal or Andhra Pradesh trigger registration in those states even though the company sits in Gurugram.
How long does Pvt Ltd registration take in Gurugram?
Typically 7 to 10 working days from complete documents to the Certificate of Incorporation, assuming the proposed name clears without resubmission. For a subsidiary of a foreign parent, plan on longer — the binding constraint is almost never the Registrar, it is notarisation and apostille of the parent's documents abroad. Start that before you finalise the name.
What does it cost to register a private limited company in Gurugram?
Professional fees start at ₹11,999. On top of that you pay government fees at actuals — stamp duty on the MoA and AoA as applicable in Haryana, and DSC token costs. The MCA filing fee itself is nil for authorised capital up to ₹15 lakh. A foreign-parent subsidiary costs more because of apostille, valuation and FC-GPR work; use our foreign subsidiary set-up cost estimator for that case.
Can a foreign company own 100% of a Gurugram subsidiary?
In most sectors, yes, under the automatic route — but the sector and entry route should be confirmed before the money is remitted, not after. At least one director must be resident in India. Once shares are allotted you must file Form FC-GPR through the RBI's Single Master Form, supported by a valuation report, and register on the Entity Master first. An annual FLA return follows for as long as the foreign investment remains.
What compliance does a capability centre have that an ordinary company does not?
Transfer pricing, primarily. A GCC earns from a related party and usually from nothing else, so the intercompany agreement, the cost-plus mark-up and the benchmarking study are its core tax exposure, reported annually in Form 3CEB. On top of that sit the FEMA filings — FC-GPR on allotment, FC-TRS on any resident-to-non-resident share transfer, and the annual FLA return — plus Form 15CA and 15CB on outbound remittances with the correct DTAA rate applied.
Can I use a co-working or virtual office in Gurugram as my registered office?
A co-working desk with a proper agreement, a No-Objection Certificate and a utility bill in the provider's name is generally acceptable. A pure virtual-office address is riskier: the Registrar can and does carry out physical verification of the registered office, and GST registration in Haryana frequently attracts a site visit. If nobody can receive a notice at the address, do not use it.
What is the GST state code for Gurugram?
06, the code for Haryana. Every GSTIN issued to a business registered in Gurugram begins with 06. A supply from Gurugram to a customer in Delhi is an inter-state supply attracting IGST, even though the two are a few kilometres apart.
