Madhya Pradesh and Chhattisgarh Now Answer to Opposite Corners of India

Until 1 November 2000, Madhya Pradesh and Chhattisgarh were one state. Twenty-six years later, the two halves of that state sit about as far apart in company-law terms as it is possible to get.

Madhya PradeshChhattisgarh
Registrar of CompaniesGwaliorBilaspur
Regional DirectorateNorth-Western Region — AhmedabadSouth-Eastern Region — Hyderabad
Direction from the old capitalWestSouth

So a company in Bhopal takes its Regional Director matters to Gujarat, and a company in Raipur — two hundred kilometres from parts of eastern Madhya Pradesh — takes the same matters to Telangana. Two halves of one former state, administered from opposite corners of the country.

This is an observation about how administrative geography drifts, not a criticism of anyone. Registrar and Regional Directorate boundaries are drawn for caseload and administrative convenience, and they were never obliged to follow political history. But it is a useful illustration of something this programme keeps running into: company-law geography and political geography are separate maps, and they diverge over time. The practical consequence is simply that you should never infer your jurisdiction from what feels geographically natural. Check it.

Being precise about sourcing: the current allocation above is quoted from the notification in force from 16 February 2026. That Chhattisgarh moved to Hyderabad — rather than always having been there — is our reading of the same table, not a transfer we have seen separately documented.

One Registrar, and It Is Not in the Capital

Madhya Pradesh has a single Registrar of Companies covering the entire state, and it sits at Gwalior — not Bhopal, the state capital, and not Indore, the commercial capital. Gwalior is the state's fourth-largest city.

That is not unheard of. Uttar Pradesh's principal Registrar sits at Kanpur rather than Lucknow. But combined with a Regional Director in Ahmedabad, it means that for most Madhya Pradesh companies both levels of company-law administration are somewhere other than where the business actually is.

StateRegistrarsCan an intra-state office move need a Regional Director's order?
Maharashtra4Yes — frequently
Tamil Nadu2Yes — Chennai against Coimbatore
Uttar Pradesh2Yes — Kanpur against Noida
Madhya Pradesh1No. Never.

The compensation is real. A registered-office move anywhere inside Madhya Pradesh — Indore to Bhopal, Jabalpur to Gwalior, Singrauli to Ujjain — is a plain INC-22. With one Registrar there is no internal boundary for the proviso to section 12(5) to bite on, so no special resolution to the Regional Director, no Form INC-23 and no order to wait for. In Maharashtra the equivalent move is a filing programme.

And the honest assessment of the distance, in both directions. Day to day it matters very little: SPICe+ is filed online, the certificate arrives by email, and annual filings never require anyone to travel. It starts to matter when something needs a hearing — a compounding application after a missed filing, a condonation of delay, or a scheme under section 233. The point of knowing in advance is that you can budget for it rather than discover it at the worst moment.

The Payroll Structure Specific to This State

Madhya Pradesh Writes Its Profession Tax Slabs Annually

Madhya Pradesh levies profession tax under the Madhya Pradesh State Tax on Professions, Trades, Callings and Employment Act, 1995 — the Vritti Kar Adhiniyam. The rates are ordinary. The structure is not, and it is where payroll systems go wrong.

Annual salaryProfession tax for the yearWorked out monthly
Up to ₹2,25,000Nil—
₹2,25,001 – ₹3,00,000₹1,500₹125
₹3,00,001 – ₹4,00,000₹2,000about ₹166–174, varying by month
Above ₹4,00,000₹2,500about ₹208–212, varying by month

The right-hand column is the whole point. Because the liability is fixed annually and neither ₹2,000 nor ₹2,500 divides evenly into twelve, the monthly deduction is not the same in every month — the figures vary so that they sum to the annual amount. A payroll system set up with one flat monthly number and left to multiply by twelve will not reconcile, and the discrepancy typically surfaces only when someone reconciles the year.

A second point that catches companies with mid-year joiners and leavers: where an individual ceases employment during the year, the liability is reduced proportionately. Straightforward in principle, and a common source of error in practice.

Remittance of the deducted tax is due within ten days after the end of the month — early by national standards, though not as early as Telangana's tenth-of-the-month deadline. And Madhya Pradesh is not one of the three states where profession tax registration goes through SPICe+ — only Maharashtra, Karnataka and West Bengal have it built into the incorporation form — so here it is a separate registration afterwards, and it is regularly missed.

Four different structures, and every one caps at the same number

This is worth seeing whole, because a group operating across several states is dealing with genuinely different machinery in each:

StructureStates
Monthly salary slabs, levied by the stateMaharashtra, Karnataka, Telangana, Goa
Half-yearly income, levied by the local bodyTamil Nadu
Monthly, collected by the municipal corporationGujarat
Annual bands, with uneven monthly deductionsMadhya Pradesh
Not levied at allRajasthan, Delhi, Haryana, Uttar Pradesh

Every one of them caps at ₹2,500 a year, because Article 276 of the Constitution says it must. The money is never the issue. The machinery is — and a payroll template moved from one state to another without adjustment will be wrong in a different way in each of them. Why Madhya Pradesh, and Where It Is Genuinely Strong

📍

Genuine central positioning

Madhya Pradesh sits in the middle of the country by construction. For a distribution, warehousing or all-India service business, being within reasonable road distance of Mumbai, Ahmedabad, Pune, the NCR and Hyderabad is worth real money.

🏭

Pithampur, and land you can still get

Central India's most established automotive and engineering cluster, with plot availability the western metros no longer have.

🎓

An IIT and an IIM in one city

Indore has both, which very few Indian cities do. For a business recruiting technical and management graduates locally, that is structural rather than decorative.

⚡

Power, coal and cement at scale

The Singrauli belt and the Satna cement cluster are national-scale industrial bases with the supply chains that go with them.

💰

A cost base that still works

Salaries and rents materially below Bengaluru, Pune or the NCR, with a graduate pipeline that keeps replenishing. For back-office, engineering services and support functions the arithmetic holds.

🗣️

What we will say plainly

Both your Registrar and your Regional Director are elsewhere, and outside Indore and Bhopal the senior hiring market for specialised technology or finance roles is thin. Neither is a reason not to build here — both are reasons to plan properly.

Stamp Duty on MoA & AoA in Madhya Pradesh

Stamp duty on the Memorandum and Articles is a state levy collected when SPICe+ is filed, and in Madhya Pradesh it is linked to authorised share capital.

We do not publish a fixed table here, deliberately. Two states moved theirs in the last two years — Karnataka raised its incorporation duty fivefold in February 2024, and Maharashtra increased its Articles rate by half in October 2024. A figure printed on a website eighteen months ago is exactly how a founder ends up with a budget wrong by an order of magnitude. We quote Madhya Pradesh duty against your actual authorised capital and confirm it before filing. Compare states with our stamp duty calculator, and estimate the central fee with our MCA fee calculator.

Where duty scales with authorised capital there is a real cost to setting capital higher than you need at incorporation. Most companies are better off starting low and increasing it at the round. This is also a different thing from any stamp duty concession attaching to industrial land under the state's incentive schemes.

Step-by-Step Registration Procedure

1

Digital Signature Certificate (DSC)

A Class 3 DSC for every proposed director, through Aadhaar OTP or video KYC. For a foreign director the route is passport-based with notarisation and apostille, usually the longest item on the critical path.

2

Director Identification Number (DIN)

Allotted through SPICe+ itself for first-time directors. At least one director must be resident in India.

3

Name reservation and approval

Two proposed names through SPICe+ Part A. Check first with our company name availability tool, and run a trademark search alongside it rather than after.

4

Drafting MoA and AoA

Objects, share classes, reserved matters, transfer restrictions and board composition, aligned to any shareholders' agreement. For an MPIDC or Pithampur project the objects clause will later be read by whoever processes your allotment and any incentive claim — worth drafting broadly enough at the outset.

5

Filing SPICe+ with RoC Gwalior

SPICe+ Part B with AGILE-PRO-S (INC-35) and INC-9 — filed online, so wherever in the state you are, the distance to Gwalior is irrelevant at this stage. Note that in Madhya Pradesh AGILE-PRO-S will not carry profession tax; that is a separate registration afterwards.

6

Certificate of Incorporation, PAN and TAN

Issued with the CIN, naming RoC Gwalior. Madhya Pradesh stamp duty is collected at this stage.

7

Post-incorporation setup

Current account activation, GST registration, profession tax registration and payroll configured to the annual slab structure, shops and establishments, Udyam registration, and — if foreign money is coming in — the time-bound FC-GPR filing.

Documents Required for Registration

For Indian directors and shareholders

  • PAN card (mandatory for Indian nationals)
  • Aadhaar card
  • Passport-size photograph
  • Identity proof — Voter ID, Passport or Driving Licence
  • Address proof — bank statement or utility bill, not older than two months
  • Email ID and mobile number linked to Aadhaar

For a foreign parent or foreign director

  • Passport and address proof, notarised and apostilled in the home country
  • Board resolution of the parent authorising the Indian investment and naming the authorised signatory
  • Certificate of incorporation and charter documents of the parent, apostilled
  • Proof of the registered office — utility bill, NOC from the owner, and the rental or lease agreement

A residential address is valid, and co-working works where the agreement and a utility bill in the provider's name are available. For an MPIDC plot anywhere in the state, confirm the allotment position and permitted use before the address goes into the MoA.

Timeline & Cost Overview

StageTypical timeWhat decides it
DSC for all directors1–2 working daysSame day for Indian directors with Aadhaar OTP; several days if a foreign director needs apostilled documents
Name approval (SPICe+ Part A)1–3 working daysDistinctiveness, including against existing marks

SPICe+ Part B, AGILE-PRO-S processing3–5 working daysRegistrar queue and whether the file attracts a resubmission
Total, clean file7–10 working daysA resubmission typically adds three to five working days
With a foreign parentUsually 3–6 weeksDriven almost entirely by the apostille, not the Indian filing

FDI, FEMA and the Filings That Follow Incorporation

Pithampur has drawn international automotive and pharmaceutical investment for decades, and the power and cement belts have their own long-standing foreign participation. Incorporation is the easy half; the filings that follow are time-bound and the penalties for missing them are real.

🚪

Entry route

Most sectors permit 100% foreign investment under the automatic route with no prior approval. Some — defence, broadcasting, print media, multi-brand retail — need government approval. Sector and activity are checked against the FDI Policy before the objects clause is drafted.

🧾

Entity Master and the Single Master Form

Before the first FC-GPR the company registers on the RBI's FIRMS portal through the Entity Master. Companies routinely discover this when the FC-GPR is already due.

📐

Pricing and valuation

Shares issued to a non-resident cannot be priced below fair value on an internationally accepted methodology, certified by a merchant banker or chartered accountant. Section 56(2)(viib) and rule 11UA also apply on the income-tax side.

⏱️

Form FC-GPR

Filed within 30 days of allotment. Allotment must happen within 60 days of receiving the money, failing which it is refundable within 15 days. FC-GPR filing →

📅

Annual FLA return

The Foreign Liabilities and Assets return is due by 15 July each year for every company holding foreign investment, including years when nothing new came in.

🔁

FC-TRS on transfers

Any transfer of shares between a resident and a non-resident is reported in FC-TRS within 60 days. Secondary transfers are missed far more often than fresh issues.

Where there is a foreign parent there will usually be international transactions with associated enterprises, bringing transfer pricing documentation and Form 3CEB, and outward remittances requiring Form 15CA and 15CB. Services exporters should check their STPI registration and Softex filing position — relevant for the Crystal IT Park cluster in Indore. If the structure is a branch, liaison or project office rather than a subsidiary, see branch office, liaison office and project office registration, or our foreign subsidiary company service.

Licences & Registrations Applicable in Madhya Pradesh

Applies to almost every MP company

  • Madhya Pradesh Shops and Establishments registration
  • GST registration — on crossing the threshold, or immediately for inter-state supply, e-commerce and exports
  • Udyam (MSME) registration — free, and it unlocks the 45-day payment protection
  • EPFO and ESIC — applied for through AGILE-PRO-S; obligations bite at the statutory headcounts
  • POSH — an internal committee is mandatory at ten or more employees

Sector and project-specific

  • MPIDC plot allotment and transfer approvals
  • MPPCB consent to establish, then consent to operate — before construction, not after
  • State incentive registration and eligibility certification
  • Factories Act licence and labour department approvals
  • Import Export Code and AD Code for anything crossing a customs frontier
  • FSSAI, drug licence, PESO and sector registrations as applicable
  • Trademark registration — in the company's name, not a founder's

Why Choose TAXAJ for Your Madhya Pradesh Company

📆

We configure payroll to annual slabs

Madhya Pradesh writes its profession tax against annual salary, and the monthly deduction varies so the year adds up. A flat monthly figure multiplied by twelve will not reconcile — we set it up properly rather than leave it to surface at year end.

🗺️

We tell you where your file actually sits

Your Registrar is at Gwalior and your Regional Director is in Ahmedabad. Neither matters much until something needs a hearing, and that is exactly when people wish they had known.

🧾

We know how the neighbouring states differ

Chhattisgarh has a different Registrar and a different Regional Directorate. For a group operating either side of that line, the two entities are administered from opposite corners of the country.

🌐

TAXAJ does not have an office in Madhya Pradesh. We serve clients across the state from our offices in Delhi, Bengaluru, Bihar and Goa, and the entire incorporation is online — DSC by video KYC, documents by secure upload, filings through the MCA portal. We say this plainly because a firm that invents a local address on its website is telling you something about how it will handle yours.

Frequently Asked Questions

Which Registrar of Companies handles Madhya Pradesh?

RoC Gwalior, for the whole state — not Bhopal, the capital, and not Indore, the commercial capital. Madhya Pradesh does not appear in the February 2026 MCA reorganisation notification, so the position is unchanged.

Why is the Registrar at Gwalior rather than Bhopal or Indore?

Registrar locations are historical and administrative rather than tied to a state's capital or its largest city, and Madhya Pradesh is not alone — Uttar Pradesh's principal Registrar sits at Kanpur rather than Lucknow. Gwalior is Madhya Pradesh's fourth-largest city.

Who is a Madhya Pradesh company's Regional Director?

The North-Western Region directorate at Ahmedabad, covering Rajasthan, Gujarat, Madhya Pradesh and the Union Territory of Dadra and Nagar Haveli — so the Regional Director sits in Gujarat.

Is Chhattisgarh treated the same way?

No, and the contrast is striking given the two were one state until 1 November 2000. Chhattisgarh has its own Registrar at Bilaspur and, since 16 February 2026, a different Regional Directorate — South-Eastern Region at Hyderabad. So a Bhopal company takes Regional Director matters to Gujarat while a Raipur company takes the same matters to Telangana. Note that the current allocation is quoted from the notification, while the transfer itself is our reading of the table.

Can I move my registered office within Madhya Pradesh later?

Yes, easily. With a single Registrar for the state, any move inside Madhya Pradesh is a plain INC-22 — Indore to Bhopal, Jabalpur to Gwalior, Singrauli to Ujjain. The proviso to section 12(5) only bites when you cross from one Registrar's jurisdiction to another within a state, which cannot happen here.

Does it matter that both authorities are far from my business?

Day to day, very little — SPICe+ is filed online, the certificate arrives by email, and annual filings never require travel. It matters when something needs a hearing: a compounding application after a missed filing, a condonation of delay, or a scheme under section 233. Knowing in advance means you can budget for it.

Does Madhya Pradesh charge profession tax?

Yes, under the Madhya Pradesh State Tax on Professions, Trades, Callings and Employment Act 1995 — the Vritti Kar Adhiniyam. What makes it unusual is that the slabs are written against annual salary rather than monthly: nil up to ₹2,25,000 a year; ₹1,500 from ₹2,25,001 to ₹3,00,000; ₹2,000 from ₹3,00,001 to ₹4,00,000; and ₹2,500 above ₹4,00,000, which is the Article 276 ceiling.

Why does the monthly deduction change from month to month?

Because the liability is fixed annually and neither ₹2,000 nor ₹2,500 divides evenly into twelve. The monthly amounts vary — roughly ₹166 to ₹174, or ₹208 to ₹212 — so that they sum to the annual figure. A payroll system configured with a single flat monthly number will not reconcile, and the gap usually surfaces only at year end. Where an individual ceases employment during the year the liability is reduced proportionately.

When is it due?

Remittance of the deducted tax is due within ten days after the end of the month. Madhya Pradesh is also not one of the three states where profession tax registration goes through SPICe+ — only Maharashtra, Karnataka and West Bengal — so it is a separate registration after incorporation.

I run payroll across several states. What should I watch?

That the machinery genuinely differs. There are four distinct structures: monthly salary slabs levied by the state (Maharashtra, Karnataka, Telangana, Goa); half-yearly income levied by the local body (Tamil Nadu); monthly but collected by the municipal corporation (Gujarat); and annual bands with uneven monthly deductions (Madhya Pradesh) — plus states that do not levy it at all (Rajasthan, Delhi, Haryana, Uttar Pradesh). Every one caps at ₹2,500 a year. The money is not the issue; the machinery is.

How much is stamp duty on incorporation in Madhya Pradesh?

It is linked to authorised share capital and the schedule is amended from time to time, so we quote it against your actual capital rather than publishing a table. Where duty scales with capital there is a real cost to setting authorised capital higher than you need at incorporation.

Do I need to be in Madhya Pradesh to register a company there?

No. The whole process is online — DSC through Aadhaar OTP or video KYC, documents by secure upload, and filing through the MCA portal. TAXAJ has no Madhya Pradesh office; we serve clients across the state from Delhi, Bengaluru, Bihar and Goa. You will need a genuine registered-office address in the state, which the Registrar can and does verify.
