Private Limited Company Registration in Indore

Register your Pvt Ltd company in Indore with a CA-led team — SPICe+ filing, DSC, DIN, name approval, MoA & AoA drafting, PAN, TAN and GST. Two things about Indore catch companies out: your Registrar is not in Indore, and Madhya Pradesh's profession tax slabs are annual rather than monthly, which most payroll systems handle badly. Both are dealt with below.

  • Filed with RoC Gwalior
  • MP profession tax set up correctly
  • DSC & DIN for all directors
  • PAN, TAN & CIN included
  • Pithampur & MPIDC route mapped
  • FDI & FEMA practice in-house

Worth Knowing Before You Need It

Neither of Indore's Company-Law Authorities Is in Indore

Indore is Madhya Pradesh's largest city and its commercial centre. It is not, however, where either level of the company-law machinery sits.

Where it isWhat it decides
Your RegistrarRoC Gwalior — roughly 500 km from IndoreIncorporation, name approval, all ROC filings, for the whole of Madhya Pradesh
Your Regional DirectorNorth-Western Region, at Ahmedabad — in GujaratCompounding of offences, condonation of delay, inter-state office shifts, name-change directions, section 233 mergers

The Registrar for Madhya Pradesh is at Gwalior — not Bhopal, the state capital, and not Indore, the commercial capital. Gwalior is the state's fourth-largest city. This is not unheard of: Uttar Pradesh's principal Registrar sits at Kanpur rather than Lucknow. But it does mean that a company formed in Indore has its file held five hundred kilometres away, and its Regional Director in a different state altogether.

The honest assessment, in both directions. Day to day this matters very little. SPICe+ is filed online, the certificate arrives by email, and annual filings never require anyone to be anywhere. A company can be incorporated in Indore, run from Indore and wound up from Indore without a single visit to Gwalior.

It starts to matter when something needs a hearing — a compounding application after a missed filing, a condonation of delay, a scheme under section 233. At that point the distance and the state boundary become real, and the point of knowing about them in advance is that you can budget for them rather than discover them. Anyone who tells you your Registrar's location is irrelevant has never had to attend one.

Madhya Pradesh does not appear in the Ministry of Corporate Affairs reorganisation notified as S.O. 4850(E), so the Registrar position is unchanged. Chhattisgarh, which was part of Madhya Pradesh until 2000, has its own Registrar at Bilaspur — and, as at February 2026, a different Regional Director as well, at Hyderabad rather than Ahmedabad. The current allocation is quoted from the notification; the transfer itself is our reading of the table rather than something we have seen documented.

The Payroll Trap Specific to Madhya Pradesh

MP's Profession Tax Slabs Are Annual, Not Monthly

Madhya Pradesh levies profession tax under the Madhya Pradesh State Tax on Professions, Trades, Callings and Employment Act, 1995 — the Vritti Kar Adhiniyam. The rates are unremarkable. The structure is where payroll systems go wrong, because unlike most states MP writes its slabs against annual salary.

Annual salaryProfession tax for the yearWorked out monthly
Up to ₹2,25,000Nil—
₹2,25,001 – ₹3,00,000₹1,500₹125
₹3,00,001 – ₹4,00,000₹2,000about ₹166–174, varying by month
Above ₹4,00,000₹2,500about ₹208–212, varying by month

Look at the right-hand column. Because the liability is fixed annually and ₹2,000 and ₹2,500 do not divide evenly into twelve, the monthly deduction is not the same in every month — the amounts vary so that they sum to the annual figure. A payroll system configured with a single flat monthly number and left to multiply by twelve will not reconcile to the annual liability, and the gap only surfaces when someone reconciles the year.

There is a second consequence people miss: where an individual ceases employment during the year, the liability is reduced proportionately. That is straightforward in principle and a common source of error in practice, particularly for a company with mid-year joiners and leavers.

Which makes four distinct structures we have now documented

It is worth seeing them together, because a group operating in several states is dealing with genuinely different machinery in each:

StructureStates
Monthly salary slabs, state-leviedMaharashtra, Karnataka, Telangana, Goa
Half-yearly income, levied by the local bodyTamil Nadu
Monthly, collected by the municipal corporationGujarat
Annual bands, with uneven monthly deductionsMadhya Pradesh
Not levied at allRajasthan, Delhi, Haryana, Uttar Pradesh

Every one of them caps out at ₹2,500 a year, because Article 276 of the Constitution says they must. The money is not the issue. The machinery is — and a payroll template moved between states without adjustment will be wrong in a different way in each of them.

Two more MP specifics. Remittance of the deducted tax is due within ten days after the end of the month, which is early by national standards though not as early as Telangana's tenth-of-the-month deadline. And Madhya Pradesh is not one of the three states where profession tax registration goes through SPICe+ — only Maharashtra, Karnataka and West Bengal have it built into the incorporation form — so for an Indore company it is a separate registration afterwards. Compare states with our profession tax state finder, or hand it to us through profession tax registration and filing.

Why Indore, and Where It Is Genuinely Strong

🎓

An IIT and an IIM in the same city

Very few Indian cities have both. For a business that recruits technical and management graduates locally, that is a structural advantage rather than a talking point.

🏭

Pithampur

Central India's most established automotive and engineering cluster, with pharmaceutical and packaging capacity alongside — and land availability the western metros no longer have.

📍

Genuine central positioning

Indore sits within reasonable road distance of Mumbai, Ahmedabad, Pune and the National Capital Region. For a distribution or warehousing business serving all-India, that geography is worth real money.

🧹

Civic administration that actually functions

Indore's repeated ranking as India's cleanest city in Swachh Survekshan is not a vanity metric — it reflects a municipal administration that executes, which is the same body you will deal with for licences and approvals.

💻

A services base with a cost advantage

Salaries and rents materially below Bengaluru, Pune or the NCR, with a graduate pipeline that keeps replenishing. For back-office, engineering services and support functions, the arithmetic works.

🗣️

What we will say plainly

Your Registrar is 500 km away and your Regional Director is in another state. Neither matters much until something needs a hearing. And Indore's senior hiring market, while improving, is not yet deep for specialised technology or finance roles.

Stamp Duty on MoA & AoA in Madhya Pradesh

Stamp duty on the Memorandum and Articles is a state levy collected when SPICe+ is filed, and in Madhya Pradesh it is linked to authorised share capital.

We do not publish a fixed table here, deliberately. Two states moved theirs in the last two years — Karnataka raised its incorporation duty fivefold in February 2024, and Maharashtra increased its Articles rate by half in October 2024. A figure printed on a website eighteen months ago is exactly how a founder ends up with a budget wrong by an order of magnitude. We quote Madhya Pradesh duty against your actual authorised capital and confirm it before filing. Compare states with our stamp duty calculator, and estimate the central fee with our MCA fee calculator.

Where duty scales with authorised capital there is a real cost to setting capital higher than you need at incorporation. Most companies are better off starting low and increasing it at the round. This is also a different thing from any stamp duty concession attaching to industrial land under the state's incentive schemes.

Step-by-Step Registration Procedure

1

Digital Signature Certificate (DSC)

A Class 3 DSC for every proposed director, through Aadhaar OTP or video KYC. For a foreign director the route is passport-based with notarisation and apostille, usually the longest item on the critical path.

2

Director Identification Number (DIN)

Allotted through SPICe+ itself for first-time directors. At least one director must be resident in India.

3

Name reservation and approval

Two proposed names through SPICe+ Part A. Check first with our company name availability tool, and run a trademark search alongside it rather than after.

4

Drafting MoA and AoA

Objects, share classes, reserved matters, transfer restrictions and board composition, aligned to any shareholders' agreement. For a Pithampur or MPIDC project the objects clause will later be read by whoever processes your allotment and any incentive claim — worth drafting broadly enough at the outset.

5

Filing SPICe+ with RoC Gwalior

SPICe+ Part B with AGILE-PRO-S (INC-35) and INC-9 — filed online, so the distance to Gwalior is irrelevant at this stage. Note that in Madhya Pradesh AGILE-PRO-S will not carry profession tax; that is a separate registration afterwards.

6

Certificate of Incorporation, PAN and TAN

Issued with the CIN, naming RoC Gwalior. Madhya Pradesh stamp duty is collected at this stage.

7

Post-incorporation setup

Current account activation, GST registration, profession tax registration and payroll configured to the annual slab structure, shops and establishments, Udyam registration, and — if foreign money is coming in — the time-bound FC-GPR filing.

Documents Required for Registration

For Indian directors and shareholders

  • PAN card (mandatory for Indian nationals)
  • Aadhaar card
  • Passport-size photograph
  • Identity proof — Voter ID, Passport or Driving Licence
  • Address proof — bank statement or utility bill, not older than two months
  • Email ID and mobile number linked to Aadhaar

For a foreign parent or foreign director

  • Passport and address proof, notarised and apostilled in the home country
  • Board resolution of the parent authorising the Indian investment and naming the authorised signatory
  • Certificate of incorporation and charter documents of the parent, apostilled
  • Proof of the registered office — utility bill, NOC from the owner, and the rental or lease agreement

A residential address is valid, and co-working works where the agreement and a utility bill in the provider's name are available. For an MPIDC or Pithampur plot, confirm the allotment position and permitted use before the address goes into the MoA.

Timeline & Cost Overview

StageTypical timeWhat decides it
DSC for all directors1–2 working daysSame day for Indian directors with Aadhaar OTP; several days if a foreign director needs apostilled documents
Name approval (SPICe+ Part A)1–3 working daysDistinctiveness, including against existing marks

Total, clean file7–10 working daysA resubmission typically adds three to five working days
With a foreign parentUsually 3–6 weeksDriven almost entirely by the apostille, not the Indian filing

FDI, FEMA and the Filings That Follow Incorporation

Pithampur has drawn international automotive and pharmaceutical investment for decades. Incorporation is the easy half; the filings that follow are time-bound and the penalties for missing them are real.

🚪

Entry route

Most sectors permit 100% foreign investment under the automatic route with no prior approval. Some — defence, broadcasting, print media, multi-brand retail — need government approval. Sector and activity are checked against the FDI Policy before the objects clause is drafted.

🧾

Entity Master and the Single Master Form

Before the first FC-GPR the company registers on the RBI's FIRMS portal through the Entity Master. Companies routinely discover this when the FC-GPR is already due.

📐

Pricing and valuation

Shares issued to a non-resident cannot be priced below fair value on an internationally accepted methodology, certified by a merchant banker or chartered accountant. Section 56(2)(viib) and rule 11UA also apply on the income-tax side.

⏱️

Form FC-GPR

Filed within 30 days of allotment. Allotment must happen within 60 days of receiving the money, failing which it is refundable within 15 days. FC-GPR filing →

📅

Annual FLA return

The Foreign Liabilities and Assets return is due by 15 July each year for every company holding foreign investment, including years when nothing new came in.

🔁

FC-TRS on transfers

Any transfer of shares between a resident and a non-resident is reported in FC-TRS within 60 days. Secondary transfers are missed far more often than fresh issues.

Where there is a foreign parent there will usually be international transactions with associated enterprises, bringing transfer pricing documentation and Form 3CEB, and outward remittances requiring Form 15CA and 15CB. Services exporters should check their STPI registration and Softex filing position — relevant for the Crystal IT Park cluster. If the structure is a branch, liaison or project office rather than a subsidiary, see branch office, liaison office and project office registration, or our foreign subsidiary company service.

Licences & Registrations Applicable in Madhya Pradesh

Applies to almost every MP company

  • Profession tax — separate registration, annual slabs, remittance within 10 days of month-end
  • Madhya Pradesh Shops and Establishments registration
  • GST registration — on crossing the threshold, or immediately for inter-state supply, e-commerce and exports
  • Udyam (MSME) registration — free, and it unlocks the 45-day payment protection
  • EPFO and ESIC — applied for through AGILE-PRO-S; obligations bite at the statutory headcounts
  • POSH — an internal committee is mandatory at ten or more employees

Sector and project-specific

  • MPIDC plot allotment and transfer approvals
  • MPPCB consent to establish, then consent to operate — before construction, not after
  • State incentive registration and eligibility certification
  • Factories Act licence and labour department approvals
  • Import Export Code and AD Code for anything crossing a customs frontier
  • FSSAI, drug licence, PESO and sector registrations as applicable
  • Trademark registration — in the company's name, not a founder's

Why Choose TAXAJ for Your Indore Company

📆

We configure MP payroll to annual slabs

Madhya Pradesh writes its profession tax against annual salary, and the monthly deduction varies so the year adds up. A flat monthly figure multiplied by twelve will not reconcile — we set it up properly rather than leave it to surface at year end.

🗺️

We tell you where your file actually sits

Your Registrar is at Gwalior and your Regional Director is in Ahmedabad. Neither matters much until something needs a hearing, and that is exactly when people wish they had known.

📑

We say what we could not verify

Across these pages you will find figures we declined to publish because sources conflicted or we could not reach a primary one. We work the same way on a file.

🌐

India entry, end to end

Apostille chains, entry route, valuation, Entity Master, FC-GPR, FLA, FC-TRS and transfer pricing — the work that decides whether a subsidiary runs cleanly.

👥

CA, CS and lawyer in one team

Incorporation, tax, GST, ROC, FEMA and legal drafting handled by one accountable team instead of four vendors who each blame the others.

🗣️

We will tell you not to

If your business needs a deep senior technology or finance hiring market today, Indore is improving but is not yet Pune or Bengaluru. Better said before you incorporate than after you try to hire.

TAXAJ does not have an office in Madhya Pradesh. We serve clients across the state from our offices in Delhi, Bengaluru, Bihar and Goa, and the entire incorporation is online — DSC by video KYC, documents by secure upload, filings through the MCA portal. We say this plainly because a firm that invents a local address on its website is telling you something about how it will handle yours.

Frequently Asked Questions

Which Registrar of Companies handles Indore?

RoC Gwalior, which has jurisdiction over the whole of Madhya Pradesh — not Bhopal, the state capital, and not Indore, the commercial capital. Madhya Pradesh does not appear in the February 2026 MCA reorganisation notification, so the position is unchanged. Chhattisgarh, part of Madhya Pradesh until 2000, has its own Registrar at Bilaspur.

Does it matter that my Registrar is 500 km away?

Day to day, very little. SPICe+ is filed online, the certificate arrives by email, and annual filings never require anyone to travel. It starts to matter when something needs a hearing — a compounding application after a missed filing, a condonation of delay, or a scheme under section 233. The point of knowing in advance is that you can budget for it rather than discover it.

Who is an Indore company's Regional Director?

The North-Western Region directorate at Ahmedabad, covering Rajasthan, Gujarat, Madhya Pradesh and the Union Territory of Dadra and Nagar Haveli. So both levels of company-law administration sit outside Indore, and one of them outside Madhya Pradesh.

Can I move my registered office within Madhya Pradesh later?

Yes, easily. Madhya Pradesh has a single Registrar, so any move inside the state — Indore to Bhopal, Jabalpur to Gwalior — is a plain INC-22. The proviso to section 12(5) only bites when you cross from one Registrar's jurisdiction to another within a state, which cannot happen here.

Does Madhya Pradesh charge profession tax?

Yes, under the Madhya Pradesh State Tax on Professions, Trades, Callings and Employment Act 1995 — the Vritti Kar Adhiniyam. What makes it unusual is that the slabs are written against annual salary, not monthly: nil up to ₹2,25,000 a year; ₹1,500 a year from ₹2,25,001 to ₹3,00,000; ₹2,000 from ₹3,00,001 to ₹4,00,000; and ₹2,500 above ₹4,00,000 — the Article 276 ceiling.

Why does my monthly profession tax deduction change from month to month?

Because the liability is fixed annually and ₹2,000 and ₹2,500 do not divide evenly into twelve. The monthly amounts vary — roughly ₹166 to ₹174, or ₹208 to ₹212 — so that they sum to the annual figure. A payroll system configured with a single flat monthly number and left to multiply by twelve will not reconcile, and the gap usually surfaces only when someone reconciles the year. Note also that where an individual ceases employment during the year the liability is reduced proportionately.

When is MP profession tax due?

Remittance of the deducted tax is due within ten days after the end of the month. That is early by national standards, though not as early as Telangana's tenth-of-the-month deadline. Madhya Pradesh is also not one of the three states where profession tax registration goes through SPICe+ — only Maharashtra, Karnataka and West Bengal — so it is a separate registration after incorporation.

I run payroll across several states. What should I watch?

That the machinery genuinely differs. We have now documented four distinct structures: monthly salary slabs levied by the state (Maharashtra, Karnataka, Telangana, Goa); half-yearly income levied by the local body (Tamil Nadu); monthly but collected by the municipal corporation (Gujarat); and annual bands with uneven monthly deductions (Madhya Pradesh) — plus states that do not levy it at all (Rajasthan, Delhi, Haryana, Uttar Pradesh). Every one caps at ₹2,500 a year. The money is not the issue; the machinery is.

How much is stamp duty on incorporation in Madhya Pradesh?

It is linked to authorised share capital and the schedule is amended from time to time, so we quote it against your actual capital rather than publishing a table. Where duty scales with capital there is a real cost to setting authorised capital higher than you need at incorporation — most companies are better off starting low and increasing it at the round.

Can a foreign company own 100% of an Indore subsidiary?

In most sectors yes, under the automatic route with no prior government approval. Some sectors need approval and a few are prohibited, so the activity is checked against the FDI Policy before the objects clause is drafted. You will need at least one director resident in India, which for a wholly foreign-owned company is usually the first constraint to solve.

Do I need to be in Indore to register a company there?

No. The whole process is online — DSC through Aadhaar OTP or video KYC, documents by secure upload, and filing through the MCA portal. TAXAJ has no Madhya Pradesh office; we serve clients across the state from Delhi, Bengaluru, Bihar and Goa. You will need a genuine registered-office address in the state, which the Registrar can and does verify.

How long does incorporation take in Indore?

Seven to ten working days for a clean file — one to two days for DSCs, one to three for name approval, one to two for drafting and signing, and three to five for SPICe+ Part B processing. A resubmission typically adds three to five working days. With a foreign parent the apostille usually extends the exercise to three to six weeks, and it is the item to start first.
