How Pvt Ltd Company Registration Works in Nagpur
Two things about this page, before anything else.
Until today its structured data told Google that "the Registrar of Companies (RoC) Mumbai handles all private limited company incorporations for Nagpur, along with the rest of Maharashtra." That is no longer true, and the page also managed to describe doing business in Nagpur without once using the word Vidarbha — which is a bit like writing about Kolkata without mentioning Bengal.
What is true now. On 16 February 2026 the Ministry of Corporate Affairs brought into force a reorganisation notified as S.O. 4850(E). The old RoC Mumbai, which covered twenty-eight of Maharashtra's thirty-six districts, was broken up — and one of the offices created was a Registrar of Companies at Nagpur. Your file is now processed here, in this region, by an office that exists for it.
The filing itself is unchanged: SPICe+ on the MCA portal, entirely online, seven to ten working days for a clean file. If you want the underlying process end to end, read our guide to private limited company registration in India. This page is about what is specific to Nagpur — and on incentives, that turns out to be a great deal.
Your New RegistrarRoC Nagpur Covers Eighteen Districts
The notification allocates them by name. Quoted in full:
"Registrar of Companies at Nagpur — Districts of Akola, Amravati, Beed, Bhandara, Buldhana, Chandrapur, Gadchiroli, Gondia, Hingoli, Jalna, Latur, Nagpur, Nanded, Osmanabad, Parbani, Wardha, Washim and Yavatmal."
Read that list against the map and it resolves cleanly: all eleven districts of Vidarbha, plus seven of Marathwada's eight. One office for the whole of eastern Maharashtra.
The one that is missing, and it is worth knowing
Marathwada's eighth district — Chhatrapati Sambhajinagar, still named Aurangabad in the notification — is not in the list. It was allocated to RoC Mumbai-II at Navi Mumbai instead, alongside Nashik, Dhule and Jalgaon.
So a company in Jalna files with Nagpur, and a company in Chhatrapati Sambhajinagar sixty kilometres away files with an office on the other side of the state. We state this because clients in that corridor will run into it, not to argue with it — the allocation is what it is, and the practical answer is simply to confirm the district before filing rather than assume that neighbouring towns share a Registrar. They frequently no longer do.
Above the Registrar sits the Regional Director, and that changed on the same date too. Nagpur now answers to the new Western Region-II at Navi Mumbai, which covers every district of Maharashtra except Mumbai and Mumbai Suburban.
The Reason to Actually Build HereRoC Nagpur's Eighteen Districts Contain No Group A Taluka At All
Maharashtra allocates industrial incentives by taluka, on a scale from Group A — the most developed, and entitled to nothing — down through B, C, D and D+, with special categories beyond that. We have read the taluka annexure to the government resolution itself, taluka by taluka, for all eighteen districts in this Registrar's territory.
There is not a single Group A or Group B taluka among them. Not one. And Nagpur City is Group D — making it, as far as we can find, the only major city in Maharashtra that is not Group A.
| Where | Classification |
|---|---|
| Nagpur City | Group D |
| Nagpur (Rural), Kamptee, Hingna, Katol, Narkhed, Savner, Kalmeshwar, Ramtek, Parseoni, Mauda, Umred, Bhiwapur, Kuhi | Group D+ |
| Every taluka of Bhandara, Gondia, Wardha and Chandrapur | Group D+ |
| Every taluka of Amravati, Akola, Washim, Buldhana and Yavatmal | Group D+ |
| Every taluka of Jalna, Beed, Osmanabad, Parbhani, Latur and Nanded | Group D+ |
| Gadchiroli | The table prints "NO INDUSTRY DISTRICT" across the whole row |
| Hingoli | The table prints "NO INDUSTRY DISTRICT" across the whole row |
What each classification is actually worth
This is the ceiling on the basket of incentives, expressed as a percentage of eligible fixed capital investment, from the same resolution:
| Classification | Ceiling as % of fixed capital investment | Eligibility period |
|---|---|---|
| Group A — Greater Mumbai, Pune City, Thane | Nil — the table carries a dash | — |
| Group B | 30% | 7 years |
| Group C | 40% | 7 years |
| Group D | 50% | 10 years |
| Group D+ | 60% | 10 years |
| Vidarbha, Marathwada, Ratnagiri, Sindhudurg & Dhule | 80% | 10 years |
| No-industry districts, naxalism-affected areas and aspirational districts | 100% | 10 years |
The last two rows are the ones that matter here, because the whole of RoC Nagpur's territory is Vidarbha or Marathwada. And the 100% row is not theoretical either. The resolution's own footnote names the aspirational districts — "Osmanabad, Gadchiroli, Washim and Nandurbar" — and three of those four are inside this Registrar's territory. Gadchiroli and Hingoli are, additionally, no-industry districts.
One honest caveat about how the table works. Two rows can describe the same place — Nagpur City is a Group D taluka and it is in Vidarbha. Our reading is that the regional row sets the ceiling for units in Vidarbha and Marathwada, which is how the scheme is generally applied, but the resolution does not spell the interaction out in a single sentence and we would rather say so than pretend otherwise. For a specific project we confirm the applicable ceiling in writing before it goes into a business plan.
The naxalism-affected talukas, named in the resolution
Annexure II of the same resolution lists them, and every one is inside RoC Nagpur's territory:
| District | Talukas |
|---|---|
| Gadchiroli | All talukas |
| Gondia | All talukas |
| Chandrapur | Chandrapur, Gondpipri, Rajura, Korpana, Jiwati, Ballarsha, Pombhurna, Mul, Sawali |
| Bhandara | Sakoli, Lakhandur, Lakhani |
| Yavatmal | Pandharkawda, Wani, Zari-Jamdi, Ghatanji, Arni |
| Nanded | Kinwat |
And It Is Far Easier to Qualify for the Big Tiers Here
The percentage ceiling is only half of it. The other half is how much you have to invest before the state treats you as a Large Scale Industry or a Mega Project at all — and that threshold is set by the same classification. This is the comparison nobody puts on a Nagpur page.
Large Scale Industry — minimum to qualify
| Classification | Minimum fixed capital investment | or minimum direct employment |
|---|---|---|
| Group A & B | ₹750 crore | 1,000 people |
| Group C | ₹500 crore | 750 |
| Group D | ₹250 crore | 500 |
| Group D+ | ₹150 crore | 400 |
| Vidarbha, Marathwada, Ratnagiri, Sindhudurg & Dhule | ₹100 crore | 300 |
| No-industry, naxalism-affected and aspirational districts | ₹100 crore | 250 |
Mega Project — minimum to qualify
| Classification | Minimum fixed capital investment | or minimum direct employment |
|---|---|---|
| Group A & B | ₹1,500 crore | 2,000 people |
| Group C | ₹1,000 crore | 1,500 |
| Group D | ₹750 crore | 1,000 |
| Group D+ | ₹500 crore | 750 |
| Vidarbha, Marathwada, Ratnagiri, Sindhudurg & Dhule | ₹350 crore | 500 |
| No-industry, naxalism-affected and aspirational districts | ₹200 crore | 350 |
| Ultra-Mega — entire State, no regional relief | ₹4,000 crore | 4,000 |
Put the two tables together and you get the sentence that ought to be on every Vidarbha investment brochure and is on none of them. A ₹350 crore project in Vidarbha is a Mega Project. The same ₹350 crore project in Mumbai or Pune does not even qualify as a Large Scale Industry — the threshold there is ₹750 crore. Same money, same machines, same promoters; two entirely different tiers of the state's incentive architecture, decided by where the plant stands.
One more, small but permanent
The resolution also provides a power tariff subsidy for eligible new MSMEs: ₹1 per unit for units in Vidarbha, Marathwada, North Maharashtra, the Konkan districts of Raigad, Ratnagiri and Sindhudurg, the no-industry districts, the naxalism-affected areas and the aspirational districts — against ₹0.50 per unit elsewhere in the state, for three years from the commencement of commercial production. And, in the resolution's own words, "the Units in Group 'A' areas will however not be eligible for this incentive."
These figures are from the 2019 Package Scheme of Incentives, read directly from the government resolution. The current policy is the Maharashtra Industries, Investment and Services Policy 2025, notified on 31 December 2025 and running to 30 December 2030; published analyses report that it carries over the 2019 area classification rather than notifying a new one. We check the operative position for a specific project rather than assuming continuity — but the structural point, that this region sits at the top of the state's incentive ladder and the Mumbai belt sits at the bottom of it, has been stable across every Maharashtra incentive policy for decades.
MIHAN: The Numbers, and What They Actually Mean
Every page about doing business in Nagpur leads with MIHAN — the Multi-modal International Cargo Hub and Airport at Nagpur — and repeats the headline figures without checking them. We would rather give you both the figures and the gap.
What was stated officially
On 5 March 2026 the Maharashtra Assembly was told that 90 companies are operational in the MIHAN SEZ, generating over 1.27 lakh jobs.
What local fact-checking found
Around 30 units are operational within the SEZ itself, and roughly 50 to 55 of about 130 allotted plots are operational — so the figure of 90 appears to include plots allotted or under development rather than companies actually running.
On employment the picture is better than the scepticism suggests. The jobs figure is described as broadly consistent with existing estimates once indirect employment is counted — approximately 78,000 jobs in the SEZ area and about 38,000 in the non-SEZ zone, around 1.16 lakh in total.
Why we are telling you this rather than the brochure version. If you are choosing between MIHAN and Butibori or Hingna for a plot, the useful fact is not the headline — it is that close to half the allotted plots are not yet fully operational. That is a real occupancy gap, and it cuts both ways: it means the ecosystem is thinner than the number suggests, and it means land and neighbouring capacity are genuinely available. Either way you should know it before you sign, and no page selling you incorporation services is going to volunteer it.
The Single Biggest Change to the Vidarbha Business Case
It is not a policy. It is a road.
The Samruddhi Mahamarg — the 701-kilometre Nagpur–Mumbai expressway — became fully operational on 5 June 2025, after the first phase from Nagpur to Shirdi opened in December 2022. The full run is reported at around eight hours against roughly sixteen before, at a project cost reported at about ₹55,000 crore, passing directly through ten districts.
For a manufacturer in Vidarbha that changes the arithmetic in a way no subsidy does. JNPA, the Mumbai market, the Mumbai customs zones and an international airport are now a day's round trip from a plant that sits in an 80 per cent incentive band. The historic argument against Vidarbha was never the incentives — they have always been generous. It was the distance to a port and a market. That argument is materially weaker than it was two years ago.
Why Nagpur Is a Serious Place to Register a Company
The top of the incentive ladder
An 80 per cent ceiling on the basket of incentives across Vidarbha and Marathwada, 100 per cent in the no-industry and aspirational districts, and qualifying thresholds a third of Mumbai's. Nowhere else in Maharashtra comes close.
Genuinely central
Nagpur sits close to the geographic centre of India and at the crossing of two major national highways, with the Samruddhi Mahamarg now running to Mumbai. For a distribution business the drive-time map from here is unlike anywhere else in the country.
Cargo infrastructure built for it
MIHAN was designed around an air-cargo hub with a customs-notified SEZ attached. Read our note above on the occupancy gap, but the physical infrastructure is real and there is capacity in it.
Its own Registrar, at last
Eighteen districts now have a Registrar of Companies in their own region rather than filing across the state. That is a genuine administrative improvement, and it happened in February 2026.
Cost base
Land, rent and wages in Nagpur, Butibori and Hingna are a fraction of the Mumbai–Pune corridor's, and the gap is widest exactly where a manufacturing business feels it — the fixed capital line.
The winter session, and what follows it
Nagpur is Maharashtra's second capital and hosts the legislature's winter session, with a Bench of the Bombay High Court sitting here. For a business that needs to deal with the state, that proximity is not nothing.
And the honest counterweight. Vidarbha's incentives are generous precisely because the region has struggled to attract industry, and the MIHAN occupancy figures above are part of that story. If your business depends on a deep local vendor ecosystem, or on being able to hire two hundred experienced engineers in a quarter, the Pune belt will still serve you better. The state is paying you to accept a thinner ecosystem. Whether that trade works is a question about your business, and we will work through it with you rather than sell you the region.
Businesses That Genuinely Suit a Nagpur Private Limited
Capital-intensive manufacturing
The place where the arithmetic bites hardest. An 80 per cent ceiling on a large fixed-capital base is worth more than any operating saving elsewhere.
Agri-processing and food
Cotton, soybean, orange and pulses belts across Vidarbha, with Marathwada's sugar and oilseed base alongside. Raw material and incentive point the same way here, which is rare.
Warehousing and distribution
Central location plus the Samruddhi corridor. A national distribution centre placed here reaches a great deal of India inside a day.
Pharmaceuticals and speciality chemicals
Butibori and the Hingna belt carry existing capacity, and MPCB consent conditions are typically easier to satisfy on greenfield land than inside a saturated NCR-style airshed.
Defence, aerospace and MRO
MIHAN was built with this in mind, and the air-cargo and runway infrastructure is the reason. A long-cycle sector that suits a ten-year incentive period.
IT and back-office operations
A large graduate output and an attrition rate well below the metros. The 2025 policy's services chapter carries its own thresholds, which we will check against your headcount plan.
A word about what a private limited company cannot do. Practice as an advocate, a chartered accountant or a company secretary cannot be carried on through a private limited company — the Advocates Act and the ICAI and ICSI regulations restrict practice to individuals, partnerships and LLPs. What a professional firm in Nagpur usually needs is a two-entity structure: the practice in its own permitted form, and a separate private limited company for consultancy, technology or support services. We set these up regularly and we will tell you where the line falls.

Benefits of Private Limited Company Registration
Limited liability
Shareholders' exposure is limited to unpaid amounts on their shares. Personal assets are not on the hook for the company's debts, subject to the usual exceptions for fraud and personal guarantees.
The only structure investors will fund
Equity, convertible instruments, ESOPs and priced rounds all assume a company with share capital. An LLP cannot issue shares, which ends the conversation with most investors.
The structure the incentive schemes assume
Eligibility certificates, MIDC allotments and industrial promotion subsidy claims are all built around a registered entity with audited accounts and a fixed capital investment that can be evidenced.
FDI on the automatic route
Most sectors permit 100% foreign investment without prior approval. A private limited company is the structure the FEMA framework is built around.
Credibility with banks and counterparties
A CIN, filed financials and a public register make credit assessment and vendor onboarding straightforward in a way a proprietorship never manages.
Clean ownership of IP
Trademarks, copyright and process know-how assigned to the company rather than held personally — the single most common thing we have to fix during a due diligence.
Instant Cost Estimator — Pvt Ltd in Nagpur
Get an indicative professional-fee estimate based on your company structure. Government fees (ROC, stamp duty, DSC tokens) are charged at actuals and confirmed on your free call.
Setting up an Indian subsidiary for an overseas parent? Use our foreign subsidiary set-up cost estimator instead — the cost structure is different.
Step-by-Step Registration Procedure
The process runs entirely online through the MCA portal. For every address in the eighteen districts listed above the file now goes to the Registrar of Companies at Nagpur.
Settle the district and the taluka first
The district confirms the Registrar. The taluka decides your incentive classification, and in this region that is worth more than anywhere else in the state. Both are settled before we draft anything.
Digital Signature Certificate (DSC)
A Class 3 DSC for every proposed director, issued through Aadhaar OTP or video KYC. For a foreign director the route is passport-based with notarisation and apostille, usually the longest item on the critical path.
Director Identification Number (DIN)
Allotted through SPICe+ itself for first-time directors. At least one director must be resident in India — the point that most often delays a wholly foreign-owned subsidiary.
Name reservation and approval
Two proposed names through SPICe+ Part A. Check first with our company name availability tool. A name suggesting a connection with a regulator or the government will not clear.
Drafting MoA and AoA
For a manufacturing project the objects clause deserves real attention, because it will be read later by MIDC, by the District Industries Centre and by whoever issues the eligibility certificate. Getting it broad enough and specific enough at incorporation saves an amendment later.
Filing SPICe+ with RoC Nagpur
SPICe+ Part B goes in with AGILE-PRO-S (INC-35) and INC-9. In Maharashtra that single form also carries your profession tax registration — one of only three states where this is built into incorporation.
Certificate of Incorporation, PAN and TAN
On approval the Registrar issues the Certificate of Incorporation carrying the CIN, with PAN and TAN allotted alongside. From 2026 that certificate names Nagpur.
Post-incorporation setup
Current account activation, GST registration if not taken through AGILE-PRO-S, Udyam registration, the shops and establishments intimation or registration, and — for a manufacturing project — the MIDC, MPCB and District Industries Centre steps that lead to an eligibility certificate.
Documents Required for Registration
For Indian directors and shareholders
- PAN card (mandatory for Indian nationals)
- Aadhaar card
- Passport-size photograph
- Identity proof — Voter ID, Passport or Driving Licence
- Address proof — bank statement or utility bill, not older than two months
- Email ID and mobile number linked to Aadhaar
For a foreign parent or foreign director
- Passport and address proof, notarised and apostilled in the home country
- Board resolution of the parent authorising the Indian investment and naming the authorised signatory
- Certificate of incorporation and charter documents of the parent, apostilled
- Proof of the registered office — utility bill, NOC from the owner, and the leave and licence agreement
A residential address in Nagpur is acceptable as a registered office. For an MIDC or MIHAN plot, confirm the allotment position and the permitted use before the address goes into the MoA — an address the company is not yet entitled to occupy causes problems at exactly the wrong moment.
Timeline & Cost Overview
| Stage | Typical time | What decides it |
|---|---|---|
| DSC for all directors | 1–2 working days | Same day for Indian directors with Aadhaar OTP; several days if a foreign director needs apostilled documents |
| Name approval (SPICe+ Part A) | 1–3 working days | Distinctiveness against an already very large Maharashtra registry |
| Drafting and signing MoA, AoA, INC-9 | 1–2 working days | Longer where the objects clause has to carry a manufacturing project through later approvals |
| SPICe+ Part B, AGILE-PRO-S processing | 3–5 working days | Registrar queue and whether the file attracts a resubmission |
| Total, clean file | 7–10 working days | A resubmission typically adds three to five working days |
On cost: professional fees, MCA filing fees, DSC tokens and Maharashtra stamp duty, which is set out below. We quote government charges at actuals and show them separately.

Your PAN and TAN AO code is assigned from the jurisdiction of your registered office — find your AO code here. Income-tax jurisdiction, GST jurisdiction and company-law jurisdiction are three separate maps that do not align with each other; February 2026 changed only the third.

Moving Your Registered Office Out of RoC Nagpur
Worth understanding before you incorporate rather than after, because it is one of the things that changed in February 2026 and almost nobody has worked through.
Changing a registered office within Nagpur is an INC-22 and a board resolution. Moving it from the jurisdiction of one Registrar to another in the same state is different: the proviso to section 12(5) of the Companies Act 2013 provides that a company shall not change the place of its registered office from the jurisdiction of one Registrar to the jurisdiction of another Registrar within the same State unless the change is confirmed by the Regional Director.
Before 16 February 2026 a move from Nagpur to Nashik or Chhatrapati Sambhajinagar was internal to one Registrar's territory. It is not any more.
Nagpur → Mumbai
Crosses a Registrar boundary and a Regional Directorate boundary — RoC Nagpur to Mumbai-I, and WR-II at Navi Mumbai to WR-I at Mumbai.
Nagpur → Pune, Nashik, Thane or Chhatrapati Sambhajinagar
Crosses a Registrar boundary but stays inside the same Regional Directorate, WR-II — so the same office decides it.
What the move takes
Board resolution and special resolution
Board meeting to approve the shift and convene the general meeting, then a special resolution of the members, with the registered-office clause of the MoA altered where required.
Form MGT-14
The special resolution is filed with the Registrar within thirty days.
Form INC-23 to the Regional Director
Application under rule 28 of the Companies (Incorporation) Rules 2014, with declarations on workmen's dues, creditors' consent and pending prosecutions.
The Regional Director's order
Rule 28 requires the order to be passed within fifteen days of receipt of an application complete in all respects. A query restarts that clock.
Forms INC-28 and INC-22
The certified copy of the order is filed in INC-28 within thirty days, and the new address in INC-22.
The 2017 amendment to rule 28 removed the earlier requirement to advertise the shift in newspapers and to serve individual notices on every creditor and debtor, which is what keeps this a matter of weeks rather than months. Worth noting for a company that has claimed incentives: a shift out of a Group D+ or Vidarbha location has consequences under the incentive scheme as well as under the Companies Act, and those need checking before the special resolution is passed, not after.
Maharashtra's Real Incorporation DifferenceProfession Tax Comes With Your Incorporation
Most states leave profession tax to be sorted out afterwards. Maharashtra does not. Under MCA's own service list, profession tax registration is applied for through SPICe+ itself for new companies incorporated in Maharashtra, with effect from 23 February 2020. Only two other states have this — Karnataka from 8 October 2020 and West Bengal from 12 March 2020.
PTEC — Profession Tax Enrolment Certificate
What the company itself pays for the privilege of carrying on business, and what each director pays personally. A flat ₹2,500 a year per certificate. Every company needs one, employees or not.
PTRC — Profession Tax Registration Certificate
The certificate under which the company deducts profession tax from employees' salaries and pays it over. Needed once you have salaried employees above the threshold. A company with no employees yet needs PTEC but not PTRC.
| Monthly salary or wage | Profession tax per month |
|---|---|
| Up to ₹7,500 | Nil |
| ₹7,501 to ₹10,000 | ₹175 |
| Above ₹10,000 | ₹200, and ₹300 in February — ₹2,500 for the year |
| Women, up to ₹25,000 a month | Nil — exempt since 1 April 2023 |
The February figure is not a mistake. Maharashtra collects ₹200 for eleven months and ₹300 in the twelfth so the annual total lands exactly on the ₹2,500 ceiling that Article 276 of the Constitution sets for taxes on professions, trades, callings and employments. Payroll software configured for a flat ₹200 will under-deduct every February — and on a factory payroll of several hundred, that is a correction nobody wants to make in year three.
Diary note for 2026. An amendment to rule 11(3) effective 28 February 2026 moved the Maharashtra profession tax due dates onto the 15th, replacing the older month-end, 31 March and 30 June references. PTEC for the year is due by 15 June where enrolment was before 15 May. PTRC is annual by 15 March where the previous year's liability was under ₹50,000, and monthly by the 15th above that — and a company in its first year of PTRC files monthly regardless of amount.
Shops & Establishments in Nagpur: You Probably Do Not Need a Licence
The governing law is the Maharashtra Shops and Establishments (Regulation of Employment and Conditions of Service) Act, 2017, which replaced the 1948 Act. It draws a line at ten workers, and the two sides of that line are completely different obligations.
Ten or more workers — section 6
- Apply online for registration within 60 days of commencing business
- Fees, self-declaration and self-certified documents
- The Facilitator issues a registration certificate and a Labour Identification Number
- Valid for the period you ask for, up to a maximum of ten years; renewal at least 30 days before expiry
Fewer than ten workers — section 7
- No registration at all. You give an intimation to the Facilitator within 60 days
- Online, with self-declaration and self-certified documents
- You receive a receipt of intimation, not a licence
- Penalty for not doing it: ₹1,000
- If headcount later reaches ten, section 6 registration becomes due
Most newly incorporated Nagpur companies are on the section 7 side on day one. They do not need the "Gumasta licence" that a great many websites will happily sell them — they need an intimation and a receipt, and they should keep the receipt. A factory, separately, comes under the Factories Act rather than this one.
Stamp Duty on MoA & AoA in Maharashtra
| Instrument | Article | Rate |
|---|---|---|
| Memorandum of Association | Article 39, Maharashtra Stamp Act 1958 | Flat ₹1,000 |
| Articles of Association | Article 10, Maharashtra Stamp Act 1958 | 0.3% of authorised share capital, maximum ₹1 crore |
The 2024 increase most quote sheets have not caught up with. The Maharashtra Stamp (Amendment) Ordinance took effect on 14 October 2024 and raised Article 10 from 0.2% of share capital, capped at ₹50 lakh, to 0.3%, capped at ₹1 crore — a fifty per cent increase in the rate. The same ordinance raised the stamp on an affidavit and on an Article 5(h) agreement from ₹100 to ₹500.
On ₹10 lakh of authorised capital the Articles now attract ₹3,000 rather than ₹2,000; on ₹1 crore, ₹30,000 rather than ₹20,000. The same 0.3% applies on later increases through Form SH-7, on the increase — so deferring does not save duty, but nor does it cost extra. For a capital-intensive project, set authorised capital against the fixed capital investment you actually intend to make, because the incentive schemes will be looking at that number too. Compare states with our stamp duty calculator.
Separately from incorporation, the incentive schemes provide stamp duty exemption on land for eligible industrial units in the less developed groups. That is a different exemption from the duty on your MoA and AoA, and the two are regularly confused. The incorporation duty above is payable in every group, including Vidarbha.
FDI, FEMA and the Filings That Follow Incorporation
Foreign investment into a Vidarbha manufacturing project is a different animal from foreign investment into a Mumbai services company — longer gestation, heavier fixed assets, and an incentive claim running alongside. Incorporation is the easy half; the filings that follow are time-bound and the penalties for missing them are real.
Entry route
Most sectors permit 100% foreign investment under the automatic route with no prior approval. Some — defence, broadcasting, print media, multi-brand retail — need government approval, and a few are prohibited. Sector and activity are checked against the FDI Policy before the objects clause is drafted.
Entity Master and the Single Master Form
Before the first FC-GPR the company registers on the RBI's FIRMS portal through the Entity Master. Companies routinely discover this only when the FC-GPR is already due.
Pricing and valuation
Shares issued to a non-resident cannot be priced below fair value determined by an internationally accepted methodology, certified by a merchant banker or a chartered accountant. Section 56(2)(viib) and rule 11UA also have to be satisfied on the income-tax side.
Form FC-GPR
Filed within 30 days of allotment. Allotment itself must happen within 60 days of receiving the money, failing which the money is refundable within 15 days. On a phased capital programme this catches people out repeatedly. FC-GPR filing →
Annual FLA return
The Foreign Liabilities and Assets return is due by 15 July each year for every company holding foreign investment, including in years when nothing new came in.
Capital goods and imports
A greenfield plant usually means imported plant and machinery, which brings customs valuation, EPCG considerations and Import Export Code into the picture early — and the machinery invoice is also the evidence for your fixed capital investment claim.
Where there is a foreign parent there will usually be international transactions with associated enterprises, bringing transfer pricing documentation and Form 3CEB, and outward remittances requiring Form 15CA and 15CB. Transfers of shares between residents and non-residents are reported in FC-TRS within 60 days. If the structure is a branch, liaison or project office rather than a subsidiary, see branch office, liaison office and project office registration, or our foreign subsidiary company service.
Licences & Registrations Applicable in Nagpur
Applies to almost every Nagpur company
- PTEC — profession tax enrolment, ₹2,500 a year, from day one
- PTRC — once you have salaried employees above the threshold
- Shops and establishments — intimation under section 7, or registration under section 6 at ten workers
- GST registration — on crossing the threshold, or immediately for inter-state supply, e-commerce and exports
- Udyam (MSME) registration — free, and it unlocks the 45-day payment protection
- EPFO and ESIC — applied for through AGILE-PRO-S; obligations bite at the statutory headcounts
For a manufacturing project in this region
- MIDC plot allotment — Butibori, Hingna, Kalmeshwar and the district estates
- MPCB consent to establish, then consent to operate — required before construction, not after
- Factories Act licence and Directorate of Industrial Safety and Health approvals
- Eligibility Certificate from the District Industries Centre — the document the whole incentive claim runs on
- Boiler registration and PESO licences where applicable
- FSSAI — agri-processing across the cotton, soybean, orange and pulses belts
- POSH — an internal committee is mandatory at ten or more employees
- Trademark registration — in the company's name, not a promoter's
Sequence matters more here than anywhere else in this programme. The incentive claim is built on an Eligibility Certificate, and that in turn depends on the entity being registered, the land being properly allotted, the consents being in place and the fixed capital investment being evidenced — in that order. Starting construction before the consent to establish, or buying land in the wrong promoter's name, can cost the whole claim. We would rather map that sequence with you at incorporation than untangle it later.
Why Choose TAXAJ for Your Nagpur Company
We name your Registrar correctly
A low bar that most pages about Nagpur — including our own until today — failed to clear. Your file goes to RoC Nagpur, an office that has existed since February 2026.
We have read the incentive annexure
Taluka by taluka, for all eighteen districts. The tables on this page are quoted from the government resolution, not paraphrased from another website.
We check the claim before the plan
Classification, ceiling, qualifying threshold and eligibility sequence — settled in writing before a business plan is built on them, because a wrong assumption here is worth crores.
India entry, end to end
Apostille chains, entry route, valuation, Entity Master, FC-GPR, FLA, FC-TRS and transfer pricing — the work that decides whether a subsidiary runs cleanly.
CA, CS and lawyer in one team
Incorporation, tax, GST, ROC, FEMA and legal drafting handled by one accountable team instead of four vendors who each blame the others.
We will tell you not to
If your business needs a deep vendor ecosystem that this region does not yet have, we will say so — as we have already said on this page — rather than sell you a subsidy you cannot use.
TAXAJ does not have an office in Nagpur. We serve clients across Vidarbha and Marathwada from our offices in Delhi, Bengaluru, Bihar and Goa, and the entire incorporation is online — DSC by video KYC, documents by secure upload, filings through the MCA portal. We say this plainly because a firm that invents a local address on its website is telling you something about how it will handle yours.

Frequently Asked Questions
Which Registrar handles Nagpur company registration?
The Registrar of Companies at Nagpur, a new office created by notification S.O. 4850(E) and in force from 16 February 2026. It covers eighteen districts: Akola, Amravati, Beed, Bhandara, Buldhana, Chandrapur, Gadchiroli, Gondia, Hingoli, Jalna, Latur, Nagpur, Nanded, Osmanabad, Parbhani, Wardha, Washim and Yavatmal. Before that date Nagpur filed with RoC Mumbai.
Why is Chhatrapati Sambhajinagar not covered by RoC Nagpur?
Because the notification allocated it, under its former name Aurangabad, to RoC Mumbai-II at Navi Mumbai, alongside Nashik, Dhule and Jalgaon. So seven of Marathwada's eight districts file with Nagpur and the eighth does not. A company in Jalna and a company in Chhatrapati Sambhajinagar sixty kilometres away now have different Registrars — which is a reason to confirm the district before filing rather than assume neighbouring towns share an office.
Who is my Regional Director?
The Regional Director, Western Region-II, at Navi Mumbai — also created on 16 February 2026. It covers all districts of Maharashtra other than Mumbai and Mumbai Suburban, and decides compounding of offences, condonation of delay and confirmations of registered-office shifts between Registrars.
Are the incentives in Vidarbha really better than in Mumbai or Pune?
Substantially, yes, and the gap is structural rather than marginal. Under the taluka classification the ceiling on the basket of incentives is a dash for Group A — which is Greater Mumbai, Pune City and Thane — while Vidarbha and Marathwada carry an 80 per cent ceiling over ten years, and the no-industry, naxalism-affected and aspirational districts carry 100 per cent. RoC Nagpur's eighteen districts contain no Group A or Group B taluka at all, and Nagpur City itself is Group D.
Is it easier to qualify as a Large Scale or Mega project in Vidarbha?
Yes, and this is the part most people miss. The qualifying threshold for a Large Scale Industry is ₹750 crore of fixed capital investment in Group A and B areas but only ₹100 crore in Vidarbha, Marathwada, Ratnagiri, Sindhudurg and Dhule. For a Mega Project it is ₹1,500 crore in Group A and B and ₹350 crore in those regions. A ₹350 crore project in Vidarbha is a Mega Project; the same project in Mumbai does not even qualify as a Large Scale Industry.
Which districts get the 100 per cent ceiling?
The no-industry districts, the naxalism-affected areas and the aspirational districts. The government resolution names the aspirational districts as Osmanabad, Gadchiroli, Washim and Nandurbar — three of the four are in RoC Nagpur's territory. Gadchiroli and Hingoli are additionally printed as no-industry districts in the taluka annexure. The naxalism-affected list covers all talukas of Gadchiroli and Gondia, nine talukas of Chandrapur, three of Bhandara, five of Yavatmal and Kinwat in Nanded.
What are the MIHAN figures, and can I rely on them?
On 5 March 2026 the Maharashtra Assembly was told that 90 companies are operational in the MIHAN SEZ generating over 1.27 lakh jobs. Local fact-checking found that around 30 units are operational within the SEZ itself and roughly 50 to 55 of about 130 allotted plots are operational, so the figure of 90 appears to include allotted or under-development plots. The employment figure is broadly consistent with estimates once indirect employment is included. Read the occupancy gap as the useful fact: the ecosystem is thinner than the headline suggests, and capacity is genuinely available.
How has the Samruddhi Mahamarg changed the picture?
More than any policy has. The 701-kilometre Nagpur–Mumbai expressway became fully operational on 5 June 2025, reducing the run to a reported eight hours from around sixteen. The historic objection to Vidarbha was distance from a port and a market, not the incentives. That objection is materially weaker than it was.
Do I have to register for profession tax in Nagpur?
Yes. Maharashtra levies profession tax and is one of only three states — with Karnataka and West Bengal — where registration is applied for through the SPICe+ incorporation form itself. Your company needs a PTEC from day one at ₹2,500 a year, and each director enrols personally. You need a PTRC once you have salaried employees above the threshold. Deduction is ₹200 a month above ₹10,000 of salary, with ₹300 in February; women earning up to ₹25,000 a month are fully exempt.
Do I need a Gumasta licence for a new Nagpur company?
Probably not, at first. Under the Maharashtra Shops and Establishments Act 2017, an establishment with fewer than ten workers does not register at all — it gives an intimation to the Facilitator within 60 days under section 7 and receives a receipt of intimation. Registration under section 6 applies at ten or more workers. A factory is governed by the Factories Act instead.
How much is stamp duty on incorporation in Maharashtra?
The Memorandum attracts a flat ₹1,000 under Article 39. The Articles attract 0.3% of authorised share capital under Article 10, capped at ₹1 crore — raised from 0.2%, with a ₹50 lakh cap, by the Maharashtra Stamp (Amendment) Ordinance effective 14 October 2024. Note this is separate from the stamp duty exemption on industrial land that the incentive schemes provide; the two are regularly confused.
Do I need to be physically present in Nagpur to register?
No. The whole process is online — DSC through Aadhaar OTP or video KYC, documents by secure upload, and filing through the MCA portal. TAXAJ has no Nagpur office; we serve clients across Vidarbha and Marathwada from Delhi, Bengaluru, Bihar and Goa, and none of the incorporation requires either of us to be in the city.
