Jaipur Rural Is a District That No Longer Exists
Rajasthan has done something in the last three years that very few states have: it created a large number of new districts, and then abolished most of them.
| When | What happened |
|---|---|
| 2023 | The previous government created 19 new districts and 3 new divisions |
| 31 December 2024 | The current government dissolved 9 districts and 3 divisions |
| Now | 41 districts and 7 divisions |
The nine dissolved were Dudu, Kekri, Shahpura, Neem Ka Thana, Gangapur City, Jaipur Rural, Jodhpur Rural, Anupgarh and Sanchore. Eight of the 2023 districts were kept on grounds of administrative necessity — Balotra, Beawar, Deeg, Didwana-Kuchaman, Kotputli-Behror, Khairthal-Tijara, Phalodi and Salumbar. The High-Level Committee that reviewed them found the new districts unviable: no infrastructure, no office buildings and insufficient administrative resources more than a year after they were created.
Read the list again. Jaipur Rural is on it. Which means a business that registered an address, took a licence or printed letterhead naming "Jaipur Rural" between 2023 and the end of 2024 now identifies itself by a district that has ceased to exist.
Here is the reassuring half. None of this touched your company law position, and it could not have. Rajasthan has one Registrar for the entire state, so there is no district line inside RoC Jaipur's territory for a boundary change to disturb. No CIN changed. No question arose under the proviso to section 12(5). No Form INC-23 was needed by anybody.
And the half that actually cost people time. Local registrations, trade licences, addresses on documents, dealings with the District Industries Centre and anything keyed to a district name did have to be reconciled. The transferable lesson is worth stating plainly: a district name is not a stable identifier to build compliance on. Where a form gives you the choice, the state and the Registrar are the durable facts.
This is not a hypothetical concern elsewhere either. Delhi reorganised its districts on 1 January 2026, and because the MCA notification splitting Delhi into two Registrar territories was written by naming districts, the jurisdictions took effect that February still naming a district that had been eliminated. Telangana has a commission reviewing its districts right now. Rajasthan is simply the completed case — created, reviewed, and largely reversed within eighteen months.
The Best Thing About Rajasthan for an EmployerThere Is No Profession Tax in Rajasthan. None.
We have spent a good deal of this year documenting how profession tax works across India, and it is a genuinely messy area. Then there is Rajasthan, where the answer is simply that it does not apply.
| State | How profession tax works there |
|---|---|
| Maharashtra & Karnataka | State tax, registered through SPICe+ at incorporation |
| Tamil Nadu | A local body tax on half-yearly income — no single state rate |
| Telangana | Due by the 10th of the month — the earliest deadline in India |
| Gujarat | Collected by your municipal corporation, not the state |
| Rajasthan | Not levied at all |
Rajasthan is in the same position as Delhi, Haryana and Uttar Pradesh. For an employer that means one fewer registration at incorporation, one fewer monthly deduction to configure, one fewer return to file and one fewer deadline to miss — for every employee, permanently. It is not a large sum per head, capped as it is at ₹2,500 a year by Article 276 of the Constitution. It is the administrative saving that people underrate, particularly for a company running payroll across several states from one finance team.
One practical warning, because we see this go wrong. If you run payroll for a group with entities in more than one state, the absence of profession tax in Rajasthan is a configuration difference, not a default. A payroll template copied from a Maharashtra or Karnataka entity will happily deduct profession tax from Rajasthan salaries that owe none — and recovering an over-deduction from an employee months later is an unpleasant conversation. Compare positions with our profession tax state finder.
Your Registrar Is in Jaipur. Your Regional Director Is in Gujarat.
Rajasthan does not appear in the Ministry of Corporate Affairs reorganisation notified as S.O. 4850(E), and RoC Jaipur continues to handle every incorporation, name approval and ROC filing for the whole state. The level above it is worth knowing about, because it is not in Rajasthan.
| Position | |
|---|---|
| Your Registrar | RoC Jaipur, for the whole of Rajasthan — unchanged |
| Your Regional Director | North-Western Region, at Ahmedabad — covering Rajasthan, Gujarat, Madhya Pradesh and the UT of Dadra and Nagar Haveli |
So the applications a growing company eventually files — compounding of offences after a missed filing, condonation of delay, shifting a registered office from one state to another, certain name-change directions and fast-track mergers under section 233 — are heard by a Regional Director sitting in another state's capital. That is not unusual in India and it is not a problem, but it is worth knowing before you need it, because it affects how a matter is run rather than whether it succeeds.
A registered-office move anywhere inside Rajasthan is a plain INC-22 — Jaipur to Jodhpur, Udaipur to Bhiwadi, six hundred kilometres if you like. With a single Registrar there is no internal boundary for the proviso to section 12(5) to bite on. In Maharashtra, which now has four Registrars, the equivalent move is a filing programme.
RIPS 2024 — What Rajasthan Puts on the Table
The state's headline incentive framework is the Rajasthan Investment Promotion Scheme 2024, covering manufacturing, IT, tourism and agri-processing among other sectors. The structure is clear enough to plan around, and the reported terms are these:
| Head | Reported position |
|---|---|
| SGST reimbursement | Up to 75% over 7–10 years, the period depending on investment size and sector |
| Capital subsidy | Up to ₹15 crore on eligible fixed capital investment |
| Stamp duty | 75% exemption plus 25% reimbursement on land and lease documentation |
| Electricity duty | 100% exemption for 7 years for eligible industrial units |
| Interest subsidy | An additional 0.5% to 2% on term loans for qualifying MSMEs |
| Location | Backward areas receive higher benefits |
How to read that table. The structure — which heads of assistance exist, that they run for several years, and that location changes the answer — is solid and worth planning around. The numbers come from published summaries rather than from the scheme document itself, which we have not read end to end, so we have labelled them as reported. Before any of them goes into a business plan we confirm them against the operative scheme for your sector, your investment size and your location. A scheme is also only as good as its disbursal record: RIPS is reported to have paid out ₹765.78 crore in FY 2024-25, which at least tells you it is a live scheme rather than a brochure.
The stamp duty line in that table is relief on industrial land and lease documents under the incentive scheme. It is a different thing entirely from the stamp duty payable on your Memorandum and Articles at incorporation, which is dealt with further down and is payable anywhere in Rajasthan. The two are regularly run together, usually to a founder's disappointment.

Why Jaipur, and Where Rajasthan Is Genuinely Strong
No profession tax
One fewer registration, deduction, return and deadline for every employee, permanently. Small per head, meaningful across a payroll, and free.
The Delhi-facing industrial belt
Bhiwadi, Neemrana and Khushkhera sit close enough to the National Capital Region to serve it while being priced like Rajasthan — which is the whole point of them.
Renewable energy at national scale
The solar resource is the best in India and the transmission has largely followed. For anything energy-intensive or renewables-adjacent, that is a real input advantage rather than a slogan.
Gems, jewellery and handicrafts
Jaipur is a world centre for coloured stones, with an export ecosystem — valuers, certifiers, freight, customs brokers — that would take a decade to replicate elsewhere.
Tourism and hospitality depth
An operator, supplier and staffing market that few states can match, and a sector RIPS 2024 covers explicitly.
What we will say plainly
Rajasthan is not a deep market for senior technology or professional hiring outside Jaipur, and distances between its industrial centres are large. If your business needs a dense specialist labour pool, be honest with yourself about that before you commit.

Stamp Duty on MoA & AoA in Rajasthan
Stamp duty on the Memorandum and Articles is a state levy collected when SPICe+ is filed, and in Rajasthan it is linked to authorised share capital.
We do not publish a fixed table here, deliberately. Two states moved theirs in the last two years — Karnataka raised its incorporation duty fivefold in February 2024, and Maharashtra increased its Articles rate by half in October 2024. A figure printed on a website eighteen months ago is exactly how a founder ends up with a budget wrong by an order of magnitude. We quote Rajasthan duty against your actual authorised capital and confirm it before filing. Compare states with our stamp duty calculator, and estimate the central fee with our MCA fee calculator.
Where duty scales with authorised capital there is a real cost to setting capital higher than you need at incorporation. Most companies are better off starting low and increasing it at the round, when there is money to pay for it and a reason to.
Step-by-Step Registration Procedure
Check the district on any document that predates 2025
If you already hold licences, allotments or agreements naming a district, confirm it still exists. Nine were dissolved on 31 December 2024, Jaipur Rural among them. Your Registrar is unaffected — your local paperwork may not be.
Digital Signature Certificate (DSC)
A Class 3 DSC for every proposed director, through Aadhaar OTP or video KYC. For a foreign director the route is passport-based with notarisation and apostille, usually the longest item on the critical path.
Director Identification Number (DIN)
Allotted through SPICe+ itself for first-time directors. At least one director must be resident in India.
Name reservation and approval
Two proposed names through SPICe+ Part A. Check first with our company name availability tool, and run a trademark search alongside it — names drawing on Jaipur's heritage and jewellery associations collide more often than founders expect.
Drafting MoA and AoA
Objects, share classes, reserved matters, transfer restrictions and board composition, aligned to any shareholders' agreement. For a project intending to claim under RIPS, the objects clause will later be read against your eligibility — worth drafting broadly enough at the outset.
Filing SPICe+ with RoC Jaipur
SPICe+ Part B with AGILE-PRO-S (INC-35) and INC-9. The profession tax field in AGILE-PRO-S applies only to Maharashtra, Karnataka and West Bengal, so for a Rajasthan company it is simply left alone.
Certificate of Incorporation, PAN and TAN
Issued with the CIN, naming RoC Jaipur. Rajasthan stamp duty is collected at this stage.
Post-incorporation setup
Current account activation, GST registration, shops and establishments, Udyam registration, RIICO and RIPS registrations where relevant, and — if foreign money is coming in — the time-bound FC-GPR filing. Note there is no profession tax step.
Documents Required for Registration
For Indian directors and shareholders
- PAN card (mandatory for Indian nationals)
- Aadhaar card
- Passport-size photograph
- Identity proof — Voter ID, Passport or Driving Licence
- Address proof — bank statement or utility bill, not older than two months
- Email ID and mobile number linked to Aadhaar
For a foreign parent or foreign director
- Passport and address proof, notarised and apostilled in the home country
- Board resolution of the parent authorising the Indian investment and naming the authorised signatory
- Certificate of incorporation and charter documents of the parent, apostilled
- Proof of the registered office — utility bill, NOC from the owner, and the rental or lease agreement
A residential address is valid, and co-working works where the agreement and a utility bill in the provider's name are available. For a RIICO plot, confirm the allotment position and permitted use before the address goes into the MoA.
Timeline & Cost Overview
| Stage | Typical time | What decides it |
|---|---|---|
| DSC for all directors | 1–2 working days | Same day for Indian directors with Aadhaar OTP; several days if a foreign director needs apostilled documents |
| Name approval (SPICe+ Part A) | 1–3 working days | Distinctiveness, including against existing marks |
| Drafting and signing MoA, AoA, INC-9 | 1–2 working days | Longer where a shareholders' agreement or a RIPS-facing objects clause has to be reflected |
| SPICe+ Part B, AGILE-PRO-S processing | 3–5 working days | Registrar queue and whether the file attracts a resubmission |
| Total, clean file | 7–10 working days | A resubmission typically adds three to five working days |
| With a foreign parent | Usually 3–6 weeks | Driven almost entirely by the apostille, not the Indian filing |
FDI, FEMA and the Filings That Follow Incorporation
Rajasthan's Delhi-facing industrial belt has drawn a good deal of Japanese and European manufacturing investment, and the renewables sector attracts international capital of its own. Incorporation is the easy half; the filings that follow are time-bound and the penalties for missing them are real.
Entry route
Most sectors permit 100% foreign investment under the automatic route with no prior approval. Some — defence, broadcasting, print media, multi-brand retail — need government approval. Sector and activity are checked against the FDI Policy before the objects clause is drafted.
Entity Master and the Single Master Form
Before the first FC-GPR the company registers on the RBI's FIRMS portal through the Entity Master. Companies routinely discover this when the FC-GPR is already due.
Pricing and valuation
Shares issued to a non-resident cannot be priced below fair value on an internationally accepted methodology, certified by a merchant banker or chartered accountant. Section 56(2)(viib) and rule 11UA also apply on the income-tax side.
Form FC-GPR
Filed within 30 days of allotment. Allotment must happen within 60 days of receiving the money, failing which it is refundable within 15 days. FC-GPR filing →
Annual FLA return
The Foreign Liabilities and Assets return is due by 15 July each year for every company holding foreign investment, including years when nothing new came in.
FC-TRS on transfers
Any transfer of shares between a resident and a non-resident is reported in FC-TRS within 60 days. Secondary transfers are missed far more often than fresh issues.
Where there is a foreign parent there will usually be international transactions with associated enterprises, bringing transfer pricing documentation and Form 3CEB, and outward remittances requiring Form 15CA and 15CB. Services exporters should check their STPI registration and Softex filing position. If the structure is a branch, liaison or project office rather than a subsidiary, see branch office, liaison office and project office registration, or our foreign subsidiary company service.
Licences & Registrations Applicable in Rajasthan
Applies to almost every Rajasthan company
- Rajasthan Shops and Establishments registration
- GST registration — on crossing the threshold, or immediately for inter-state supply, e-commerce and exports
- Udyam (MSME) registration — free, and it unlocks the 45-day payment protection
- EPFO and ESIC — applied for through AGILE-PRO-S; obligations bite at the statutory headcounts
- POSH — an internal committee is mandatory at ten or more employees
- No profession tax registration — Rajasthan does not levy it
Sector and project-specific
- RIICO plot allotment and transfer approvals
- RIPS 2024 registration and eligibility certification
- RSPCB consent to establish, then consent to operate — before construction, not after
- Factories Act licence and labour department approvals
- Import Export Code and AD Code for anything crossing a customs frontier — essential for the gems and handicrafts trades
- FSSAI, mining leases, PESO and sector registrations as applicable
- Trademark registration — in the company's name, not a founder's
Why Choose TAXAJ for Your Jaipur Company
We check what the district changes broke
Nine districts were dissolved on 31 December 2024, Jaipur Rural among them. If your paperwork predates 2025 we reconcile it rather than leave you to discover the problem at a renewal.
We configure payroll to Rajasthan, not to a template
No profession tax here. A payroll template copied from a Maharashtra entity will deduct it anyway — and unwinding an over-deduction from an employee is an unpleasant conversation.
We label what we have verified
You will notice the RIPS table on this page is marked as reported figures rather than presented as gospel. We confirm them against the operative scheme for your project before they reach a business plan.
India entry, end to end
Apostille chains, entry route, valuation, Entity Master, FC-GPR, FLA, FC-TRS and transfer pricing — the work that decides whether a subsidiary runs cleanly.
CA, CS and lawyer in one team
Incorporation, tax, GST, ROC, FEMA and legal drafting handled by one accountable team instead of four vendors who each blame the others.
We will tell you not to
If your business needs a dense senior technology or professional hiring market, Rajasthan outside Jaipur is thin, and we would rather say so before you incorporate than after you try to hire.
TAXAJ does not have an office in Rajasthan. We serve clients across the state from our offices in Delhi, Bengaluru, Bihar and Goa, and the entire incorporation is online — DSC by video KYC, documents by secure upload, filings through the MCA portal. We say this plainly because a firm that invents a local address on its website is telling you something about how it will handle yours.

Frequently Asked Questions
Which Registrar of Companies handles Jaipur?
RoC Jaipur, with jurisdiction over the whole of Rajasthan. Rajasthan does not appear in the February 2026 MCA reorganisation notification, so the position is exactly as it was.
Does Rajasthan charge profession tax?
No — Rajasthan does not levy profession tax at all, in the same position as Delhi, Haryana and Uttar Pradesh. That means no registration at incorporation, no monthly deduction to configure, no return to file and no deadline to miss, for every employee, permanently. It is capped at ₹2,500 a year elsewhere by Article 276 of the Constitution, so the saving per head is modest — the administrative saving is the real one.
My payroll software is deducting profession tax from Rajasthan salaries. Is that right?
No. If you run payroll for a group with entities in more than one state, a template copied from a Maharashtra, Karnataka or Gujarat entity will deduct profession tax from Rajasthan salaries that owe none. Recovering an over-deduction from an employee months later is an unpleasant conversation, so it is worth checking the configuration rather than assuming it.
Jaipur Rural was my registered district. What happened to it?
It was dissolved on 31 December 2024, along with Dudu, Kekri, Shahpura, Neem Ka Thana, Gangapur City, Jodhpur Rural, Anupgarh and Sanchore. Rajasthan created 19 new districts in 2023 and the current government abolished nine of them, taking the state from 50 districts to 41, and from 10 divisions to 7. The review committee found the new districts unviable — no infrastructure, no office buildings, insufficient administrative resources more than a year after creation.
Did that affect my company registration?
No, and it could not have. Rajasthan has one Registrar for the entire state, so there is no district line inside RoC Jaipur's territory for a boundary change to disturb. No CIN changed, no question arose under the proviso to section 12(5), and nobody needed a Form INC-23. What was affected is local: trade licences, registrations, addresses on documents, dealings with the District Industries Centre, and anything keyed to a district name.
Which districts from 2023 survived?
Eight, kept on grounds of administrative necessity: Balotra, Beawar, Deeg, Didwana-Kuchaman, Kotputli-Behror, Khairthal-Tijara, Phalodi and Salumbar. Khairthal-Tijara is the one most often relevant to industrial clients, since it covers part of the Delhi-facing belt.
Who is my Regional Director?
The North-Western Region directorate at Ahmedabad, covering Rajasthan, Gujarat, Madhya Pradesh and the Union Territory of Dadra and Nagar Haveli. So a Rajasthan company's Regional Director sits in another state's capital. That is not unusual in India and it is not a problem — but it affects how a matter is run, and it is better known in advance than discovered when you need a compounding application heard.
Can I move my registered office within Rajasthan later?
Yes, and easily. With a single Registrar for the state, any move inside Rajasthan is a plain INC-22 — Jaipur to Jodhpur, Udaipur to Bhiwadi, however far. The proviso to section 12(5) only bites when you cross from one Registrar's jurisdiction to another within a state, which cannot happen here.
What does RIPS 2024 offer?
Reported terms are SGST reimbursement of up to 75% over 7–10 years depending on investment size and sector; capital subsidy up to ₹15 crore; 75% exemption plus 25% reimbursement on stamp duty for land and lease documents; 100% electricity duty exemption for 7 years; and an interest subsidy of 0.5% to 2% for qualifying MSMEs, with higher benefits in backward areas. Those figures come from published summaries rather than the scheme document, so we label them as reported and confirm them against the operative scheme before anything goes into a business plan. RIPS is reported to have disbursed ₹765.78 crore in FY 2024-25.
How much is stamp duty on incorporation in Rajasthan?
It is linked to authorised share capital and the schedule is amended from time to time, so we quote it against your actual capital rather than publishing a table. Note this is entirely separate from the stamp duty relief on industrial land and lease documents under RIPS — the two are regularly confused, usually to a founder's disappointment.
Can a foreign company own 100% of a Rajasthan subsidiary?
In most sectors yes, under the automatic route with no prior government approval. Some sectors need approval and a few are prohibited, so the activity is checked against the FDI Policy before the objects clause is drafted. You will need at least one director resident in India.
Do I need to be in Jaipur to register a company there?
No. The whole process is online — DSC through Aadhaar OTP or video KYC, documents by secure upload, and filing through the MCA portal. TAXAJ has no Rajasthan office; we serve clients across the state from Delhi, Bengaluru, Bihar and Goa. You will need a genuine registered-office address in the state, which the Registrar can and does verify.
