How Pvt Ltd Company Registration Works for Lakshadweep

Lakshadweep is India's smallest union territory — 36 coral islands totalling about 32 square kilometres of land, of which ten are inhabited, with a population of around 64,473 at the 2011 census and a capital at Kavaratti. It lies 200 to 440 kilometres west of Kerala in the Arabian Sea. Its economy runs on pole-and-line tuna fishing, coconut and coir, and a tourism sector that has grown sharply since 2024.

Company registration itself works exactly as it does anywhere in India: an online SPICe+ filing with the Ministry of Corporate Affairs. Lakshadweep falls within the jurisdiction of the Registrar of Companies, Ernakulam at Kochi, which serves Kerala and Lakshadweep together. If you want the underlying process end to end, read our guide to private limited company registration in India.

What is genuinely different here is not the filing. It is the registered office — and that difference is significant enough that we deal with it before anything else.

Read this before you decide to register in Lakshadweep

A company needs a registered office, and a registered office needs premises you can lawfully occupy. In Lakshadweep two restrictions apply that exist almost nowhere else in India. Entry and residence require a permit for anyone who is not a native of the islands, under the Laccadive, Minicoy and Amindivi Islands (Restriction on Entry and Residence) Rules, 1967 — only government officials and armed forces personnel and their families are exempt. And a non-resident needs prior permission from the Administrator of Lakshadweep to buy property there. More than 94% of the territory's population belongs to Scheduled Tribes, and the land regime reflects that protection.

None of this makes incorporation impossible. It does mean the honest answer depends on who you are, so this page splits into two.

If you are an islander or a lawful resident of Lakshadweep

Your position is straightforward. You can use your residential or business premises in Kavaratti, Agatti, Andrott, Minicoy or any other island as the registered office, with the usual utility bill and No-Objection Certificate, and file through RoC Ernakulam exactly as a Kochi company would. The rest of this page is written for you.

If you are not from the islands

Be realistic about premises before you commit to a Lakshadweep registered office. If you already have a lawful arrangement — an office allotted through a local partner, a leased property with the necessary permissions, or an entitlement through employment on the islands — it works. If you do not, the sequence of permits and permissions will take longer than the incorporation itself.

In that case there is usually a better structure: incorporate in Kerala, most often at Kochi, which is the mainland gateway to the islands, shares the same Registrar, and is where the ships and the Agatti flights leave from — and serve Lakshadweep from there. You keep the same RoC, the same professional team and a registered office you can actually hold, and you avoid a permit chain you may not need. We will tell you plainly which of the two fits your case on the first call, including when the answer is "not Lakshadweep".

What the February 2026 reorganisation changed for Lakshadweep

Your Registrar is unchanged — still RoC Ernakulam. But with effect from 16 February 2026 the MCA created a Regional Directorate (South-Western Region) at Bengaluru covering Karnataka, Kerala and Lakshadweep. Lakshadweep companies previously went to the Southern Region Directorate at Chennai for RD-level matters — shifting a registered office between states, compounding of offences, condonation of delay and fast-track mergers. Those now go to Bengaluru.

What Lakshadweep Actually Offers a Business

For an islander, or for a venture with a genuine reason to be based here, the last two years have changed the picture more than the previous twenty.

🌐

Real Broadband Since 2024

The Kochi–Lakshadweep Submarine Optical Fibre Cable was inaugurated in January 2024. High-speed connectivity to the islands is the single biggest structural change here in a generation, and it makes services businesses viable for the first time.

🐟

Pole-and-Line Tuna

A genuinely premium, sustainably-certified fishery. Processing, cold chain and branded export are where the value sits, and almost none of it currently happens on the islands.

🥥

Coconut & Coir

Copra, coir and coconut-derived products are long-standing island exports with room for value addition and branding.

🏝️

Tourism, Growing Fast

Domestic arrivals reached around 46,000 in 2023 and the sector has expanded since 2024. Permits for tourists have been simplified — sponsorship and police clearance are no longer required.

📉

No Professional Tax

Lakshadweep does not levy professional tax — no PTRC, no PTEC, no monthly deduction, no returns.

🏛️

Same Registrar as Kerala

RoC Ernakulam serves both, so a Lakshadweep company and a Kochi company are handled by the same office — useful if your operation straddles the two.

Where the Opportunity Is

Businesses That Genuinely Work in Lakshadweep

A short list, deliberately. On 32 square kilometres with 64,000 people, the honest set of viable sectors is small — and pretending otherwise would not help you.

🐟

Tuna Processing & Export

Value addition on a premium sustainable catch, with an IEC and FSSAI licensing behind it.

🏨

Resorts & Homestays

The clearest growth sector, and one where island ownership is both the norm and the practical route.

⛵

Water Sports & Dive Operations

Diving, snorkelling and lagoon activity built around the atolls.

🥥

Coconut & Coir Products

Copra, coir, virgin coconut oil and branded island produce.

🚢

Shipping, Logistics & Agency

Everything arrives by ship or through Agatti. Freight, agency and supply services are structurally necessary.

💻

Remote & Digital Services

Newly viable since the submarine cable landed — the first sector here that does not depend on physical logistics.

☀️

Renewables & Desalination

Solar, storage and water infrastructure, largely procured by the administration.

🏗️

Construction & Contracting

Tourism, port and utility build-out across the inhabited islands.

🛒

Retail & Distribution

Supplying a dispersed island population that imports nearly everything.

By Island

Company Registration Across Lakshadweep's Inhabited Islands

Ten of Lakshadweep's 36 islands are inhabited — Kavaratti (the capital), Agatti, Amini, Andrott, Kadmat, Kalpeni, Kiltan, Chetlat, Bitra and Minicoy. All file through RoC Ernakulam. If the mainland is the better answer for you, Kochi and Kerala are linked first:

The company continues irrespective of changes in shareholders.

Step-by-Step Registration Procedure

The process is governed by the Ministry of Corporate Affairs and completed online through the MCA portal. Companies with a registered office in Lakshadweep are processed by the Registrar of Companies, Ernakulam, which verifies documents, approves the name and issues the Certificate of Incorporation.

0

Settle the registered office first

On the islands this is the step that determines everything else. Confirm you have premises you can lawfully hold and document — see the callout above and the documents section below. Doing this before the DSC saves the most time.

1

Digital Signature Certificate (DSC)

A Class 3 DSC is issued for every proposed director through Aadhaar OTP or video KYC — entirely remote, which matters more here than anywhere else in India.

2

Director Identification Number (DIN)

DIN is allotted through the SPICe+ form itself for first-time directors, so there is no separate application for a new company.

3

Name Reservation & Approval

Two proposed names go through SPICe+ Part A. Check availability first with our company name availability tool. Island and atoll names are commonly proposed for tourism ventures, so a check saves a rejection cycle.

4

Drafting MoA & AoA

The objects clause should cover what you will actually do — fishing and processing, tourism and hospitality, shipping and agency, trading, contracting or services — because it is read later by licensing authorities and by lenders.

5

Filing SPICe+ with RoC Ernakulam

SPICe+ Part B goes in with AGILE-PRO-S (INC-35) and INC-9, covering incorporation, PAN, TAN, GSTIN, EPFO, ESIC and bank account opening in one integrated form.

6

Certificate of Incorporation, PAN & TAN

On approval the RoC issues the Certificate of Incorporation carrying the CIN, with PAN and TAN allotted alongside.

7

Post-Incorporation Setup

Current account activation, GST registration if not taken through AGILE-PRO-S, Udyam registration, and any sector licence — FSSAI for fish and coconut processing, tourism approvals for a resort or dive operation.

Documents Required for Registration

For Directors & Shareholders

  • PAN card (mandatory for Indian nationals)
  • Aadhaar card
  • Passport-size photograph
  • Identity proof — Voter ID, Passport or Driving Licence
  • Address proof — bank statement or utility bill, not older than two months
  • Email ID and mobile number linked to Aadhaar
  • For foreign nationals: notarised and apostilled passport and address proof

For the Registered Office in Lakshadweep

  • Latest electricity or utility bill for the premises
  • Rent or lease agreement, if the premises are not owned
  • No-Objection Certificate from the owner
  • Ownership proof, if owned
  • Photograph of the premises with the proposed signage

The island-specific point: the NOC has to come from someone who lawfully holds the property, and for a non-islander the underlying entitlement is where the difficulty sits — entry and residence require a permit, and a non-resident needs the Administrator's prior permission to buy property. If you are an islander or already hold premises lawfully, none of this is an obstacle. If you are not, talk to us before you file rather than after a rejection.

Timeline & Cost Overview

Indicative Timeline

  • Registered-office confirmation — the variable, and the one to start first
  • DSC issue — 1 working day
  • Name approval through SPICe+ Part A — 1 to 3 working days
  • Drafting and signing MoA / AoA — 1 to 2 working days
  • SPICe+ Part B filing and RoC Ernakulam processing — 3 to 5 working days
  • Certificate of Incorporation with PAN and TAN — typically 7 to 10 working days once the office is settled

The filing is not the slow part. If a permit or permission is involved, that is what sets your timeline.

What Determines Your Cost

  • Number of directors — each additional director means another DSC
  • Authorised share capital — drives both MCA fee and stamp duty
  • Stamp duty on the MoA and AoA as applicable to Lakshadweep
  • Whether you add GST registration and first-year compliance
  • Professional fee for drafting, filing and follow-up

Under the Companies (Registration Offices and Fees) Rules, the MCA filing fee is nil for authorised capital up to ₹15 lakh. Estimate government fees with our MCA fee calculator.

A note on GST in a union territory

Lakshadweep is a union territory without a legislature, so intra-territory supplies attract CGST plus UTGST rather than CGST plus SGST — the rate is the same, but the tax heads differ, and getting this wrong on invoices is one of the more common errors we see. Inter-state supplies attract IGST as normal. Registration thresholds follow the standard position of ₹40 lakh for goods and ₹20 lakh for services. State-level matters are handled by the Lakshadweep Commercial Taxes Office; returns are filed on the central GST portal like everyone else's.

Statutory positions change from time to time. Confirm current jurisdiction, rates and fees with us on your free call before you rely on them for a filing.

Lakshadweep Levies No Professional Tax

Professional tax is a state-level levy on salaried employees and professionals, capped constitutionally at ₹2,500 per person per year. Maharashtra, Karnataka, West Bengal, Tamil Nadu, Gujarat, Telangana, Andhra Pradesh and Bihar all levy it. Lakshadweep does not. Salaries paid in the territory carry no professional tax deduction, and there is no registration or enrolment certificate to maintain.

The point that catches people out is the same everywhere: professional tax follows where the employee works, not where the company is registered. A Lakshadweep company with staff based in Kochi, Bengaluru or Mumbai will need professional tax registration in Kerala, Karnataka or Maharashtra respectively. Check any state's position with our professional tax state finder.

Stamp Duty on MoA & AoA

Stamp duty on the Memorandum and Articles of Association is charged with reference to your authorised share capital and collected electronically through SPICe+ at incorporation. Rates vary by state and union territory and the schedules are amended from time to time, so we do not publish a fixed figure here — we quote it against your actual authorised capital and confirm it before filing. Use our stamp duty calculator for an indicative number.

Licences & Registrations Applicable in Lakshadweep

Common Business Registrations

Sector-Specific for the Islands

Two of these deserve emphasis on a coral atoll. Coastal Regulation Zone clearance applies to a great deal more than people expect on islands this small, and environmental approvals for tourism construction have been the single most contested issue in Lakshadweep development. Budget time for both, and get advice before you buy plant or commit to a design.

Frequently Asked Questions

Which ROC handles company registration in Lakshadweep?

The Registrar of Companies, Ernakulam, at Kochi, whose jurisdiction covers Kerala and Lakshadweep together. Filing is online through SPICe+, so no travel is required. The Registrar was not changed by the MCA's February 2026 reorganisation.

Did anything change for Lakshadweep in the 2026 ROC reorganisation?

The Registrar did not change, but the Regional Directorate did. With effect from 16 February 2026 Lakshadweep moved from the Southern Region Directorate at Chennai to the new Regional Directorate (South-Western Region) at Bengaluru, which covers Karnataka, Kerala and Lakshadweep. The RD handles inter-state shifting of a registered office, compounding of offences, condonation of delay and fast-track mergers.

Can anyone register a company in Lakshadweep?

Legally, company incorporation is not restricted by residence — but a company needs a registered office, and that is where the difficulty sits. Entry and residence in Lakshadweep require a permit for anyone who is not a native of the islands, under the Laccadive, Minicoy and Amindivi Islands (Restriction on Entry and Residence) Rules, 1967, and a non-resident needs prior permission from the Administrator to buy property. If you already hold premises lawfully, incorporation is straightforward. If you do not, registering in Kerala and serving Lakshadweep from there is often the better structure.

Do I need a permit to visit Lakshadweep?

Yes, unless you are a native of the islands. Government officials and armed forces personnel and their families are exempt. Applications are made through the territory's online permit portal, and the tourist category has been simplified — sponsorship and a police clearance certificate are no longer required.

Can a non-islander buy property in Lakshadweep?

Only with the prior permission of the Administrator of Lakshadweep. The restriction reflects the islands' special legal status and the fact that over 94% of the population belongs to Scheduled Tribes.

Should I register in Lakshadweep or in Kerala?

If you are an islander or already hold premises lawfully on the islands, register in Lakshadweep. If you are not, and you would need to obtain permits and permissions purely to create a registered office, Kerala — usually Kochi — is generally the better answer. You keep the same Registrar, the same professional team and the mainland gateway to the islands, without a permit chain you may not need.

Is there professional tax in Lakshadweep?

No. Lakshadweep does not levy professional tax, so salaries carry no professional tax deduction and there is no registration or enrolment certificate to maintain. Note that professional tax follows where the employee works — staff based in Kerala, Karnataka or Maharashtra will trigger registration in those states.

What is the GST position in Lakshadweep?

The GST state code is 31. Because Lakshadweep is a union territory without a legislature, intra-territory supplies attract CGST plus UTGST rather than CGST plus SGST — same rate, different tax heads. Inter-state supplies attract IGST as normal, and returns are filed on the central GST portal.

How long does Pvt Ltd registration take for Lakshadweep?

Typically 7 to 10 working days from complete documents to Certificate of Incorporation, once the registered office is settled. The filing is not the slow part — if a permit or permission is involved, that is what determines your timeline.

Has internet connectivity to Lakshadweep improved?

Substantially. The Kochi–Lakshadweep Submarine Optical Fibre Cable was inaugurated in January 2024, bringing high-speed connectivity to the islands. It is the main reason remote and digital services businesses are viable there for the first time, and it makes fully online incorporation and compliance practical.

What licences does a tourism business in Lakshadweep need?

Beyond incorporation and GST, expect tourism and accommodation approvals from the administration, FSSAI licensing if you serve food, and Coastal Regulation Zone clearance for anything built near the shoreline — which on a coral atoll covers more than most people expect. Environmental approvals for tourism construction have been the most contested issue in Lakshadweep development, so get advice before committing to a design.
