📋 Section 43B(h) — Force Buyers to Pay in 45 Days

Effective from FY 2023-24, Section 43B(h) of Income Tax Act disallows expenditure deduction for buyers who delay payments to Micro & Small Enterprises beyond 45 days. This law creates a direct tax incentive for your customers to pay on time. Without Udyam registration, you cannot invoke this protection. One of the most powerful practical benefits.

⚖️ MSME Samadhaan — Delayed Payment Recovery

Micro and Small Enterprises can file complaints on the MSME Samadhaan portal against buyers who delay payments beyond 45 days. Complaints go to Micro & Small Enterprise Facilitation Councils (MSEFCs). Buyers face compound interest at 3× the bank rate on delayed amounts — a strong deterrent. Banks must allocate a portion of their lending to MSMEs under Priority Sector Lending (PSL) guidelines. This ensures easier loan approval and competitive interest rates for registered MSMEs. Emergency Credit Line Guarantee Scheme (ECLGS), Mudra Loans, and SIDBI schemes are all exclusively available to Udyam-registered enterprises.

Section 43B(h) — Critical for Your Buyers: If your buyers (companies paying you) are income tax assesses, they CANNOT claim deduction for payments to you beyond 45 days unless you are a registered Micro or Small Enterprise. Many large companies now ASK suppliers for their Udyam certificate before placing orders — to protect their own tax deductions. This is now a procurement qualification criterion, not just a registration benefit.

How to Register on Udyam Portal — 8 Steps

Registration is 100% online, paperless, and free on the government portal (udyamregistration.gov.in). No documents to upload — based entirely on Aadhaar OTP and self-declaration. PAN and GSTIN are verified automatically against IT/GST databases.

Visit Official Portal

Go to udyamregistration.gov.in. Click "For New Entrepreneurs who are not Registered yet as MSME or those with EM-II". Avoid third-party websites — many charge fees for this free government service.

Aadhaar Verification (OTP)

Enter your Aadhaar number and name exactly as on Aadhaar. Click "Validate and Generate OTP". OTP sent to Aadhaar-linked mobile. Enter OTP to proceed. For Company/LLP: Aadhaar of authorized signatory (director/partner). For Proprietorship: Owner's Aadhaar.

PAN Verification

Select your Organisation Type (Proprietorship, Partnership, Company, LLP, HUF, etc.) and enter PAN. The portal auto-validates PAN against Income Tax databases. Previous ITR filing details are pulled automatically. GST portal also queried for GSTIN if applicable.

Udyog Aadhaar (Old) vs Udyam Registration (New) — Key Differences

Important: Udyog Aadhaar (UAM) registrations done before June 30, 2020 are no longer valid for accessing benefits. All businesses must have migrated to Udyam Registration. MSME Udyam Registration — All Questions Answered

Udyam registration is not legally mandatory — there is no penalty for not registering. However, it is practically essential because: (1) You cannot access ANY MSME government benefit, subsidy, or scheme without a Udyam certificate. (2) Your buyers cannot claim Section 43B(h) deduction for payments to you — this may cause them to prefer registered suppliers. (3) You cannot apply for collateral-free CGTMSE loans. (4) You cannot file MSME Samadhaan complaints for delayed payments. (5) GeM portal procurement access requires Udyam registration. Given registration is free and instant, there is no practical reason not to register if you meet the criteria.
Yes. Since 2020, the MSME definition explicitly includes manufacturing, service, and trading enterprises under identical composite thresholds. A retail shop, wholesale trader, service provider, IT company, restaurant, contractor, or any business with investment ≤ ₹125 Cr and turnover ≤ ₹500 Cr qualifies. Udyog Aadhaar (old system) previously excluded traders — Udyam registration now includes them. NIC codes cover all trading and service activities.
No — Udyam registration has permanent validity with no expiry date and no renewal requirement. However, you should update your investment and turnover figures every year after filing your ITR and GST returns (the portal has an annual update provision). If your business grows beyond the Medium Enterprise limit (investment > ₹125 Cr OR turnover > ₹500 Cr), you automatically "graduate" out of MSME classification and your registration becomes inactive for benefit purposes. You cannot voluntarily surrender it in this case — graduation is automatic and reported in the system.
Section 43B(h) was inserted in the Income Tax Act effective FY 2023-24. It states that payments made to Micro and Small Enterprises (not Medium) can only be claimed as a deduction by the payer if paid within 45 days of the date of acceptance of goods/services (or within the agreed credit period, whichever is earlier, subject to 45-day maximum). If payment is delayed beyond 45 days, the buyer company cannot deduct that expense in their P&L for that year — they pay tax on higher income. This creates a strong tax incentive for your buyers to pay on time. To invoke this protection, your buyers need your Udyam Registration Certificate confirming you are a Micro or Small Enterprise. Medium Enterprises are NOT protected under Section 43B(h).
No — the "One Aadhaar, One Udyam" rule strictly limits each entrepreneur to one Udyam registration per Aadhaar. If you have multiple business activities, you can add multiple NIC codes under a single registration. If you have completely separate businesses (different PAN entities), each entity can have its own Udyam registration — but each registration is tied to the Aadhaar of the authorized person for that entity. Under the old Udyog Aadhaar system, people could register multiple times — this loophole is closed under Udyam.
Both criteria must be satisfied simultaneously. Investment in plant & machinery = original cost (gross block, not depreciated) of machinery, tools, equipment, and technology used in production or service delivery. Excludes land, building, furniture, computers used for administrative purposes, and vehicles. For service enterprises, "equipment" includes IT hardware, servers, and specialized tools. Annual turnover = total receipts/revenue from domestic operations, excluding GST collected, export turnover (exports of goods and services are excluded), and inter-unit transfers. A business with investment ₹20 Cr and turnover ₹150 Cr would be classified as Small (both within Small limits). If investment is ₹30 Cr but turnover is ₹80 Cr, it's also Small. Both must exceed limits to move to the next category.
