Company Secretarial and ROC Compliance in Goa
Annual ROC filing, board and AGM minutes, statutory registers and every event-based MCA form for companies across Goa, from our office in Porvorim. Many Goa companies have foreign shareholders, so we handle the FEMA reporting alongside the ROC work.

What is different for a Goa company
- Foreign shareholders mean RBI filings too. Shares issued to a foreign investor need FC-GPR within 30 days of allotment, a transfer between resident and non-resident needs FC-TRS, and the annual FLA return is due by 15 July. These sit next to the ROC calendar, not inside it. See FC-GPR filing.
- Professional tax is the most missed registration in Goa. Many published lists put Goa in the no-PT column, but Goa levies it, and because it is not part of SPICe+ it has to be applied for separately.
- Restructuring now carries stamp duty in Goa. The Indian Stamp (Goa Amendment) Ordinance, 2026 charges 5% of market value or consideration, capped at ₹10 crore, on conveyances under schemes of amalgamation, demerger and reconstruction.
- A smaller Regional Directorate. Goa now shares its Regional Director with only Mumbai, Mumbai Suburban and Daman and Diu, instead of all of Maharashtra.

Frequently asked questions
Where is the RoC for Goa companies?
RoC Goa, Daman and Diu, at Panaji, covers every company registered in Goa. Regional Director matters go to Western Region-I at Mumbai.
Does a Goa company need professional tax registration?
Yes. Goa levies professional tax, and the registration is made separately after incorporation because Goa is not one of the SPICe+ PT states.
My Goa company has a foreign shareholder. What extra filings are there?
FC-GPR with the RBI within 30 days of issuing shares to the foreign investor, FC-TRS for transfers between residents and non-residents, and the annual FLA return by 15 July, alongside the usual ROC filings.
What does company secretarial compliance cover?
Holding and minuting board and general meetings, keeping the statutory registers, filing the annual AOC-4 and MGT-7 or MGT-7A, and filing event-based forms such as director changes, share allotments, registered office changes and charges, all under the Companies Act, 2013.
What is the penalty for filing AOC-4 or MGT-7 late?
An additional fee of ₹100 a day for each form, with no upper cap, and directors of a company that misses its annual filings for three years can be disqualified.
