Company Secretarial and ROC Compliance in Delhi

Annual ROC filing, board and AGM minutes, statutory registers and every event-based MCA form, run from our head office in Dwarka for companies across Delhi. Since February 2026 Delhi has two Registrars, so the first thing we check is which one holds your file.

Our head office is in Delhi: 1/3, UGF, Sulahkul Vihar, Old Palam Road, Dwarka, New Delhi 110078. Meetings by appointment; most filings are done online. See CA in Delhi.

  • Moving between the two, for example from Karol Bagh to Dwarka, is now a shift between Registrars in the same state. It needs the Regional Director's confirmation in Form INC-23 before INC-22 can be filed.
  • Moving to Gurugram or Noida is a shift to another state, to RoC Haryana at Chandigarh or RoC Noida, and needs the same Regional Director route with more paperwork.
  • The district map changed too. Delhi moved to 13 districts on 1 January 2026, but the MCA notification still names the older 11. We check your address against both before filing anything address-based.

Frequently asked questions

Which RoC handles my Delhi company?

RoC NCT of Delhi-I for a registered office in the South, South West, New Delhi, South East or East districts, and RoC Delhi-II for Central, West, North, North West, North East and Shahdara. The split took effect on 16 February 2026.

Is there professional tax for Delhi companies?

No. Delhi does not levy professional tax, so there is no PT registration or deduction for staff working in Delhi.

Do I need RD approval to move my office from Karol Bagh to Dwarka?

Yes. Karol Bagh is in Central district (RoC Delhi-II) and Dwarka in South West (RoC Delhi-I), so the move needs the Regional Director's confirmation in Form INC-23 before the new address is filed.

What does company secretarial compliance cover?

Holding and minuting board and general meetings, keeping the statutory registers, filing the annual AOC-4 and MGT-7 or MGT-7A, and filing event-based forms such as director changes, share allotments, registered office changes and charges, all under the Companies Act, 2013.

What is the penalty for filing AOC-4 or MGT-7 late?

An additional fee of ₹100 a day for each form, with no upper cap, and directors of a company that misses its annual filings for three years can be disqualified.
