What is different for a Karnataka company

  • Regional Director matters now stay in Bengaluru. Since 16 February 2026 the new South-Western Region at Bengaluru covers Karnataka, Kerala and Lakshadweep; Karnataka companies used to go to Hyderabad.
  • One Registrar for the whole state. Moving your registered office anywhere in Karnataka never needs the Regional Director: within Bengaluru it is a board resolution and INC-22; to another city it is a special resolution with MGT-14 and INC-22.
  • Professional tax comes with incorporation. Karnataka is one of three states whose PT registration is applied for through SPICe+. Salaries up to ₹24,999 a month are exempt since 1 April 2025.
  • Funding rounds need more than ROC forms. A round with foreign investors needs PAS-3 for the allotment and FC-GPR with the RBI within 30 days; see FC-GPR filing.

Frequently asked questions

Which RoC handles Bengaluru companies?

RoC Bangalore, which covers the whole of Karnataka. Regional Director matters go to the South-Western Region at Bengaluru since 16 February 2026.

Do I need RD approval to move my company's office within Karnataka?

No. Karnataka has one Registrar, so a move anywhere in the state is a board resolution or special resolution plus INC-22, without the Regional Director.

Is professional tax registration needed for a Bengaluru company?

Yes. It is applied for through SPICe+ when the company is incorporated. Salaries up to ₹24,999 a month are exempt from deduction.

What does company secretarial compliance cover?

Holding and minuting board and general meetings, keeping the statutory registers, filing the annual AOC-4 and MGT-7 or MGT-7A, and filing event-based forms such as director changes, share allotments, registered office changes and charges, all under the Companies Act, 2013.

What is the penalty for filing AOC-4 or MGT-7 late?

An additional fee of ₹100 a day for each form, with no upper cap, and directors of a company that misses its annual filings for three years can be disqualified.
