Company Name Change Letter Format — Bank, Clients & Vendors
Once your company’s new name is approved by the ROC and a fresh Certificate of Incorporation is issued, you must intimate the change to your bank, clients, vendors and statutory registrations — the legal entity is the same (same CIN and PAN), only the name has changed. This guide gives you ready-to-use name-change intimation letters plus a quick recap of the MCA process that makes the change official.
Board resolution first
Before sending any intimation, keep a certified copy of the board/shareholders’ resolution and the fresh Certificate of Incorporation handy — banks and government departments will ask for both. The name change itself is approved by a special resolution and filed with the MCA (see the process section below).

How to change a company name with the MCA (quick recap)
- Board meeting to approve the proposed name and authorise a name-availability application (RUN) on the MCA portal.
- Name reservation approval from the Central Registration Centre.
- Extraordinary General Meeting — pass a special resolution approving the name change and consequential alteration of the MOA & AOA.
- File MGT-14 (special resolution) within 30 days, then INC-24 (application for approval of the change) with the ROC.
- Fresh Certificate of Incorporation is issued with the new name — the change is now legally effective. The CIN does not change.
- Update everywhere — bank, GST, PAN/TAN records, licences, signage, letterheads, website and the intimation letters above.

Frequently asked questions
Does the CIN or PAN change when a company changes its name?
No. Only the name changes. The CIN, PAN, GSTIN, bank accounts and legal identity remain the same, so existing contracts and registrations continue to be valid.
Do existing contracts stay valid after a name change?
Yes. Since it is the same legal entity, existing agreements remain enforceable; you simply intimate the new name to counterparties.
Which MCA forms are required to change a company name?
A special resolution filed in MGT-14, followed by INC-24 for approval; the ROC then issues a fresh Certificate of Incorporation.
