Addition of Director in a One Person Company (OPC)
A common misconception is that a One Person Company (OPC) can have only one person involved. In fact, while an OPC has a single member (shareholder), it can have more than one director. This guide explains how to add a director to an OPC.
Member vs director in an OPC
An OPC must have one member (the sole shareholder) and a nominee. But the number of directors is separate — an OPC can have one to fifteen directors like other companies. So you can appoint additional directors to help run the company without changing its OPC status or its single-member structure.
How to add a director to an OPC
- The proposed director obtains a DIN (Director Identification Number) — if they don’t already have one — and a DSC.
- Obtain the proposed director’s consent (Form DIR-2) and disclosures.
- Pass a board resolution (and member approval where required) appointing the director.
- File Form DIR-12 with the ROC within 30 days of the appointment, attaching the consent, resolution and appointment letter.
- Update the register of directors and the company’s records.
Adding a director does not convert the OPC into a private limited company; the OPC remains an OPC with one member. TAXAJ handles director appointments and changes.
