RoC Kolkata-I or Kolkata-II? Find Your Registrar of Companies in West Bengal

Since 16 February 2026 West Bengal has two Registrars of Companies, both in Kolkata. RoC Kolkata-I handles companies whose registered office is in Kolkata district. RoC Kolkata-II handles companies in every other district of the state, including Salt Lake, New Town, Howrah and Durgapur. Most companies do not need to do anything. The split matters when you move your registered office across the line, deal with a notice or adjudication, or address a letter to the Registrar.

Find your Registrar

The test is the district of the registered office, not the postal address. Many addresses say “Kolkata” but sit in North or South 24 Parganas: Salt Lake (Bidhannagar), Sector V, New Town and Rajarhat are all in North 24 Parganas, so companies there come under Kolkata-II. Park Street, BBD Bagh, Burrabazar, Camac Street and the rest of the Kolkata Municipal Corporation core are in Kolkata district and come under Kolkata-I. If your address is near a boundary, check the district on the property’s municipal tax bill or the electricity bill you used as address proof.

The split was notified by the Ministry of Corporate Affairs in S.O. 4850(E) dated 23 October 2025, as part of a reorganisation that also split the Registrars for Delhi, Haryana, Uttar Pradesh and Maharashtra. It was first due on 1 January 2026 and took effect on 16 February 2026. The Regional Director, Eastern Region, at Kolkata still sits above both Registrars.

Does an existing company need to do anything?

No. Companies were moved to the right Registrar automatically according to their registered office. The CIN does not change, there is no form or fee, and filings on the MCA portal reach the correct office on their own. Applications that were pending on 16 February 2026 were transferred to the new office.

What does change is who you deal with. Notices, scrutiny of e-forms, strike-off and penalty adjudication under section 454 now come from your own Registrar, so a company in Salt Lake answers to Kolkata-II even if its directors sit in Park Street. When you write to the Registrar or attend a hearing, address it to the right one.

The change that actually costs time: moving your registered office

Under the proviso to section 12(5) of the Companies Act, 2013, a company cannot move its registered office from one Registrar’s jurisdiction to another within the same state without the Regional Director’s confirmation. Before February 2026 the whole of West Bengal was one Registrar, so a move from Park Street to Sector V was a routine change. It is now an inter-Registrar shift.

MoveWhat it needs
Within the same city or town, same Registrar (for example Park Street to Camac Street)Board resolution, then Form INC-22 within 30 days
To another city or town under the same Registrar (for example Howrah to Durgapur, both Kolkata-II)Special resolution with Form MGT-14, then Form INC-22
Across the line between Kolkata-I and Kolkata-II (for example Park Street to New Town, or Salt Lake to Burrabazar)Special resolution with MGT-14, application to the Regional Director, Eastern Region in Form INC-23, the confirmation order filed in Form INC-28, then INC-22

The Regional Director route adds weeks, not days, so plan a move into or out of Kolkata district before you sign a lease or print new letterheads. Check the district before you choose a coworking address or a virtual office too: a cheaper desk in New Town puts the company under a different Registrar from one on Park Street.

New companies and LLPs

For a new company, SPICe+ assigns the Registrar from the district you enter for the registered office, so choose the address first. LLPs follow a separate LLP registrar notification, S.O. 4849(E); check which LLP registrar your LLP falls under before you file a change of address.

Frequently asked questions

Is Salt Lake under RoC Kolkata-I or Kolkata-II?

Kolkata-II. Salt Lake (Bidhannagar), including Sector V, is in North 24 Parganas district, not Kolkata district.

Which RoC handles New Town and Rajarhat companies?

RoC Kolkata-II, because New Town and Rajarhat are in North 24 Parganas.

Has my CIN changed because of the split?

No. The CIN stays the same and no filing is needed. Only the office handling your company has changed.

Do I need INC-23 to move from Park Street to Salt Lake?

Yes. Park Street is under Kolkata-I and Salt Lake is under Kolkata-II, so the move needs the Regional Director’s confirmation in Form INC-23, in addition to the special resolution and the INC-22 for the new address.

Where are the two Registrars located?

Both are headquartered in Kolkata. Only the jurisdiction is split, by district.
