MCA / ROC Filing Fees Explained — SPICe+, AOC-4, DIR-3 KYC (2026)
Every MCA (Ministry of Corporate Affairs) form carries a government filing fee, and knowing them upfront helps you budget incorporation and annual compliance accurately. Most fees follow a simple capital-based slab; a few are flat; and late filing adds a per-day penalty. Here is how MCA / ROC filing fees actually work in 2026.
To get the exact government fee for any form and capital, use our MCA fee calculator.
The capital-based slab
Most company forms — AOC-4, MGT-7, DIR-12, INC-22, PAS-3, MGT-14 — use one slab based on authorised share capital: ₹200 up to ₹1 lakh, ₹300 for ₹1–5 lakh, ₹400 for ₹5–25 lakh, ₹500 for ₹25 lakh–1 crore, and ₹600 above ₹1 crore. It is the authorised capital that matters, not paid-up.
SPICe+ incorporation — free up to ₹15 lakh
Company incorporation via SPICe+ carries zero MCA filing fee for authorised capital up to ₹15 lakh. Above that, the standard registration fee applies. You still pay stamp duty on the MoA/AoA (which varies by state) and the cost of DSCs — but the incorporation form itself is free within that capital limit.
LLP fees are lower
LLPs use total partner contribution, not capital. FiLLiP incorporation runs ₹500–₹5,000 by contribution, and the annual filings — Form 8 and Form 11 — are cheaper still, starting at just ₹50 and rising to ₹600 for large LLPs.
DIR-3 KYC and flat-fee forms
DIR-3 KYC is free if filed on time and is now triennial from FY 2025-26 — but if a DIN is deactivated for non-filing, reactivation costs a flat ₹5,000. Other flat-fee forms include RUN name reservation (₹1,000, or ₹200 for LLP) and STK-2 strike-off (₹5,000 for companies, ₹3,000 for LLPs).
Late filing: ₹100 per day, no cap
File AOC-4 or MGT-7 late and an additional fee of ₹100 per day per form accrues with no upper limit. Track your deadlines and any accumulated fee on our ROC due date & late fee calculator, and compute the base government fee for any form on the MCA fee calculator.
