Main Object of a Section 8 Company for Education (with Sample Object Clauses)

A Section 8 company is a not-for-profit company formed under the Companies Act, 2013 for charitable objects — and education is one of the most common. When incorporating a Section 8 company for education, the main object clause in the Memorandum of Association must be drafted carefully, because it defines what the company is legally permitted to do. This guide explains the position and gives sample educational objects.

What is a Section 8 company?

A Section 8 company is established for charitable or not-for-profit purposes such as education, art, science, sports, social welfare or the protection of the environment. It applies its income and profits solely towards promoting its objects and cannot distribute dividends to its members.

Why the main object clause matters

The main object clause sets the boundaries of the company’s activities and is scrutinised by the Registrar (and MCA/Regional Director for the Section 8 licence). For an education-focused Section 8 company, the objects should clearly describe the educational activities the company intends to carry on, so the licence is granted and the company stays within its permitted scope.

Sample main objects for an education Section 8 company

  1. Coaching and educational institutes — to establish and run coaching centres, study facilities and classes offering professional, technical, vocational or higher education across disciplines such as science, commerce, arts, management, engineering, law, banking, insurance, finance, medicine, hospitality, tourism and computer science.
  1. Franchise study centres — to develop and promote franchise educational centres in India and abroad, conducting classes with the appropriate regulatory approvals.
  1. Institutional collaboration — to form joint ventures and collaborations with accredited educational organisations to provide infrastructure support and learning resources.
  1. Research and training infrastructure — to establish and maintain training institutions, research laboratories and experimental facilities.
  1. Rehabilitation and inclusive education — to set up training centres and infrastructural programmes for the rehabilitation and advancement of persons with disabilities.

Points to keep in mind

The objects must remain genuinely charitable and not-for-profit, income must be applied only towards the objects, and any surplus cannot be paid out as dividend. Where the activities attract other approvals — such as affiliation, AICTE/UGC norms or state education-department permissions — those must be obtained separately. It is best to have the object clause drafted or reviewed by a professional so the Section 8 licence application is approved without objections.
