DIR-3 KYC for Directors — Due Date, Penalty & Process

Introduction

Every individual holding a Director Identification Number (DIN) is required to keep their KYC details updated with the Ministry of Corporate Affairs (MCA). DIR-3 KYC is an important compliance mechanism that helps maintain accurate records of directors and designated partners while ensuring transparency in corporate governance.

Failure to complete the prescribed KYC can lead to deactivation of the DIN, preventing directors from signing MCA forms until the KYC is completed and the DIN is reactivated.

What is DIR-3 KYC?

DIR-3 KYC is a statutory filing through which a DIN holder verifies and updates personal information such as:

  • Personal mobile number
  • Personal email address
  • Residential address
  • PAN (for Indian citizens)
  • Passport details (where applicable)

The information is authenticated using OTP verification and forms part of the MCA database.

Who Needs to File DIR-3 KYC?

DIR-3 KYC is generally applicable to:

  • Directors of private limited companies
  • Directors of public companies
  • Designated Partners of LLPs holding a DIN/DPIN
  • Disqualified directors with an approved DIN

The filing requirement applies based on the applicable MCA rules in force for the relevant compliance cycle.

Latest Due Date & Important Update

The MCA has introduced significant changes to the DIR-3 KYC framework. Under the amended rules effective from 31 March 2026, the earlier annual KYC requirement has been replaced with a simplified KYC filing once every three years. Existing directors who are already compliant will follow the revised cycle, while transitional cases should verify their filing obligations based on their DIN status and previous compliance.

Tip: Before filing, always verify your applicable due date on the MCA portal or consult a professional, especially if your DIN was recently allotted or reactivated.

Documents Required

Keep the following ready before filing:

  • PAN Card
  • Aadhaar (where applicable)
  • Passport (for foreign nationals or where required)
  • Proof of residential address
  • Personal mobile number
  • Personal email ID
  • Digital Signature Certificate (DSC), where applicable

Step-by-Step Filing Process

Step 1 – Gather Documents

Collect all KYC documents and ensure that your personal information matches official records.

Step 2 – Verify Contact Details

Your personal email ID and mobile number are verified through OTP authentication.

Step 3 – Complete DIR-3 KYC

Fill in or update your KYC details through the applicable MCA filing process.

Step 4 – Professional Certification

Where required, the form is certified by a practicing Chartered Accountant (CA), Company Secretary (CS), or Cost Accountant (CMA).

Step 5 – Submit the Form

Submit the completed filing through the MCA portal and retain the acknowledgement for future reference.

Penalty for Non-Compliance

If a director fails to complete the required KYC within the prescribed timeline:

  • The DIN may be marked as “Deactivated due to non-filing of DIR-3 KYC.”
  • The director cannot use the DIN for MCA filings until it is reactivated.
  • A ₹5,000 fee is payable for reactivation of the DIN after completing the KYC.

Best Practices for Directors

To avoid compliance issues:

  • Keep your email ID and mobile number active.
  • Ensure PAN details match MCA records.
  • Maintain updated residential address records.
  • Do not wait until the last date to complete the filing.
  • Keep your DSC valid and updated.

Conclusion

DIR-3 KYC is a simple yet essential compliance that every DIN holder should take seriously. Completing the filing on time helps avoid penalties, keeps your DIN active, and ensures uninterrupted participation in company filings and corporate governance activities.
