No. 2 in the Table below Explanation 2 to sub-section (1) of section 139 of the Income-tax Act, 1961” — in plain terms, the cohort whose return for AY 2026-27 was otherwise due on 31 October 2026. That is:

Companies

Any other taxpayer whose accounts are required to be audited under the Income-tax Act or under any other law

Partners of a firm whose accounts are required to be audited (and, where applicable, the spouse of such a partner covered by section 5A)

If your accounts have to be audited under section 44AB, or under the Companies Act, the LLP Act or any other statute, you are in this group.

Who it does not cover

Two groups should read this carefully before assuming they have more time.

Transfer pricing cases. Taxpayers required to furnish a report under section 92E sit in a different row of the same table, with a 30 November due date. Rajitha, Commissioner of Income Tax (Media & Technical Policy) and Official Spokesperson, CBDT.

One important caveat: the formal order is still awaited

The press release closes with a single line that matters: “A formal order/notification to this effect is being issued separately.”

So as things stand this is an announcement of intent, not yet the operative instrument. The order under section 119 is what the e-filing utility, the portal validations and any subsequent assessment will actually run on. Two practical consequences:

Watch for the order before you rely on the date in writing. If you are advising a client or documenting a file note, cite the order once it is out, not the press release alone.

Interest under section 234A is not addressed. The press release says nothing about interest. Extensions of the due date have historically not, by themselves, switched off interest where self-assessment tax is payable — the formal order is where any such relief would appear. Until it does, assume interest continues to run and plan your tax payment accordingly.

What you should actually do now

An extension is breathing room, not a reprieve. The honest advice is to treat 21 October as the date you finish, not the date you start.

Pay the tax now even if you file later. The filing date moved; the cost of holding back tax did not. If there is a self-assessment liability, discharging it early limits interest exposure whatever the formal order says.

Do not let the UDIN slip. The audit report still has to be signed, uploaded and accepted by the taxpayer, and the UDIN generated within the prescribed window. A late acceptance can undo an on-time upload.

Get the taxpayer’s acceptance early. Every year a meaningful number of audit reports are uploaded on time and then sit unaccepted on the taxpayer’s login past the deadline.

Finish the reconciliations that always run late. GSTR-2B against books, Form 26AS and AIS against your TDS ledger, related-party balances, and stock. These are what actually delay signings, not the deadline.

Remember section 271B. Failure to get the accounts audited and furnish the report by the specified date attracts a penalty of 0.5% of turnover or gross receipts, capped at Rs 1,50,000.

Why the extension came

CBDT has not published its reasons, and we will not speculate beyond what is on the record. What is on the record is that the audit season ran into a compressed calendar this year, and that representations for an extension were made through professional bodies well before the announcement.

Frequently asked questions

Is the tax audit due date for AY 2026-27 now 21 October 2026?

Yes. Per the CBDT press release dated 28 September 2026, the specified date for furnishing the report of audit for AY 2026-27 stands extended from 30 September 2026 to 21 October 2026, for persons covered at S. No. 2 of the table below Explanation 2 to section 139(1). The formal order giving effect to it is being issued separately.

What is the new ITR due date for audit cases?

21 November 2026, extended from 31 October 2026, for the same class of taxpayers.

Does this extend the transfer pricing deadline under section 92E?

No. The press release is limited to the row of the table whose return was due on 31 October 2026. Section 92E cases have their own due date and are not mentioned.

Will interest under section 234A still apply?

The press release does not say. Any relief on interest would have to come through the formal order or a separate circular. Until that is published, the prudent assumption is that interest continues to run on unpaid self-assessment tax, so pay first and file later rather than the other way round.

I already filed on 30 September. Does anything change for me?

No. An on-time filing stays on time. If you need to correct something, the usual revision route applies.

Need the audit closed before the new date?

TAXAJ handles statutory and tax audits, the 3CA/3CB-3CD filings that go with them and the return that follows, for companies, LLPs and proprietary businesses across Delhi, Bengaluru, Goa and Bihar.
