Before you can incorporate a private limited company, LLP, OPC or any entity, the proposed name has to clear the Ministry of Corporate Affairs (MCA) and satisfy the naming rules under the Companies (Incorporation) Rules, 2014. A name that clashes with an existing company, resembles a registered trademark, or uses a restricted word will simply be rejected, costing you time and fees. This 2026 guide walks through exactly how to check whether a company name is available before you file, using the MCA name search tools, the RUN service, SPICe+ Part A and an IP India trademark search.

Why a name-availability check matters

MCA will not register two companies with the same or a deceptively similar name. On top of that, a name that is otherwise available at MCA can still infringe someone else’s registered trademark, which exposes you to future litigation and a forced rebrand. A proper check therefore has two layers: corporate name availability (MCA) and brand availability (trademark). Doing both up front is far cheaper than fixing a rejection or a legal notice later.

Step 1: Do a free MCA name search first

Before paying any fee, use the free “Check Company Name” search on the MCA portal. It lets you see whether a name is already taken by an existing company or LLP.

Go to the MCA portal (mca.gov.in) and open the “Check Company Name” / “Company Name Search” tool under MCA Services.

Type your proposed name (or the distinctive part of it) and review the list of existing companies that appear.

If an identical or closely resembling name already exists, drop that option and try a variant.

Remember that MCA treats many “variants” as identical. Simply adding a plural, changing Private Limited to LLP, altering spacing, punctuation, letter case, or adding words like “New” or “India” usually does not make a name distinct enough.

Step 2: Understand the naming guidelines (Companies (Incorporation) Rules, 2014)

The MCA applies specific rules when approving names. Knowing them helps you self-filter before you apply.

Identical and resembling names

Two names are treated as identical even if the only differences are in the type of company (Pvt Ltd vs LLP), tense or number (plurals), letter case, spacing, punctuation, joining words, or the addition of common words. A minor tweak to an existing name will not be accepted.

Undesirable names

A name is “undesirable” and will be refused if it is offensive, vulgar or obscene, violates the Emblems and Names (Prevention of Improper Use) Act, resembles a registered trademark, or is identical to a company dissolved within the last two years. Names suggesting an unwarranted connection with the government also fall here.

Restricted words and words needing approval

Certain words require prior approval from the Central Government or a sectoral regulator before they can be used, for example:

Words implying government patronage such as National, State, Bharat, Indian, Federal, Municipal, Commission or Board.

Sector-sensitive words such as Bank, Insurance, Stock Exchange, Mutual Fund, or Venture Capital, which need approval from RBI, IRDAI, SEBI and similar regulators.

When a No Objection Certificate (NOC) is needed

If your company name includes the personal name of a promoter or a third party who is not a promoter, you may need a No Objection Certificate from that person and proof of the relationship. If the name resembles an existing company or trademark, you generally need an NOC from the rights holder.

Step 3: Run a trademark search on IP India

MCA approval does not guarantee that a name is free of trademark conflicts. Search the trademark database before committing.

Visit the IP India public search portal (ipindiaonline.gov.in) and use the Trade Marks “Public Search” facility.

Search your proposed word mark across the relevant class(es) for your goods or services.

If a similar mark exists in your field, either pick another name or take legal advice before proceeding.

This step protects your brand for the long term. A name can be available at MCA yet still infringe a registered trademark, and MCA rules themselves treat resemblance to a registered mark as a ground for rejection.

Step 4: Reserve the name through RUN or SPICe+ Part A

Once you have a shortlist that clears the free search and the trademark check, you formally apply to reserve it. There are two routes, both filed on the MCA portal.

RUN (Reserve Unique Name)

RUN is a standalone web service used mainly to reserve a name (for a new company or to change an existing company’s name) without immediately filing the full incorporation forms.

Log in to the MCA portal and open the RUN service.

Enter the proposed name(s) and select the appropriate entity type and business activity.

Attach any required supporting documents such as an NOC or approval letter, and add a note justifying the name.

Pay the fee and submit; the application goes to the Central Registration Centre for approval.

SPICe+ Part A

SPICe+ is the integrated incorporation form. Part A handles name reservation and Part B handles incorporation, DIN, PAN, TAN, GST and more. If you are ready to incorporate, reserving the name through SPICe+ Part A lets you carry the approved name straight into Part B, saving a step.

Fees, number of names and reservation validity

The table below summarises the key practical facts you need for a 2026 filing.

Item

Detail

MCA name search (“Check Company Name”)

Free

RUN application fee

Rs 1000 per application

Names you can propose

Up to two names per RUN / SPICe+ Part A application (with one resubmission allowed)

Validity for a new company

20 days from the date of approval

Validity for change of name of an existing company

60 days from the date of approval

Trademark search (IP India public search)

Free

If you do not proceed to incorporate within the 20-day reservation window for a new company, the reserved name lapses and you must apply and pay again. So reserve the name only when you are close to filing the rest of the incorporation paperwork.

Practical tips to avoid rejection

Prepare a genuinely distinctive coined word rather than a generic or descriptive term.

Keep two or three backup options ready in case your first choice is rejected.

Make sure the name reflects your main object; the activity you select should match.

Gather NOCs and regulator approvals before you apply, not after.

Check domain and social-media handle availability alongside the legal check.

Getting the name right the first time keeps your incorporation on schedule. If you would like help checking availability, clearing trademarks and filing the reservation, our team can guide you through registering a private limited company from name search to certificate of incorporation.

Approval is not the end of the risk: Section 16

A name cleared by the Central Registration Centre has cleared the Companies Act screen. It has not cleared the Trade Marks Act. Those are two different registers, and the MCA does not treat a trademark search as conclusive on your behalf.

Under Section 16 of the Companies Act, 2013, the registered proprietor of a trade mark may apply to the Central Government within three years of the incorporation, registration or change of name of a company, on the ground that the company’s name is identical to or too nearly resembles their mark. If the Government is satisfied, it directs the company to change its name — and the company must do so within three months of the direction, after passing an ordinary resolution.

The consequence of ignoring that direction changed on 1 September 2021. Where the company defaults, the Central Government allots a new name to the company itself. The Registrar enters it in the register and issues a fresh certificate of incorporation, and the company then has to use that name. The old position — a penalty, with the name left alone — no longer applies.

Two practical consequences follow. First, the trademark search in Step 3 is not optional diligence; it is the only check that addresses this risk, and doing it properly at the shortlist stage costs nothing. Second, the exposure sits with the company for three years after incorporation, so a name adopted on the strength of a clean MCA search alone can still be lost after the branding, the signage, the domain and the invoices have all been built around it.

If a direction under Section 16 does arrive, the company changes its name under Section 13 and then has to update every registration and record that carries it. Our note on the company name change procedure sets out that sequence, and the name change letter format covers the intimations to banks and counterparties.

Frequently asked questions

Is checking a company name on the MCA portal free?

Yes. The “Check Company Name” search on the MCA portal is free and shows existing companies and LLPs with the same or similar names. You only pay when you formally reserve a name through RUN (Rs 1000) or through SPICe+ Part A as part of incorporation.

How long is an approved company name reserved?

For a new company, an approved name is reserved for 20 days from the date of approval. For a change of name by an existing company, the reservation is valid for 60 days. If you do not incorporate within the window, the name lapses.

Can a name be available on MCA but still be a problem?

Yes. MCA approval does not clear trademark conflicts. A name may be available for registration yet still infringe a registered trademark, which is why you should always run an IP India trademark search before finalising it.

What is the difference between RUN and SPICe+ Part A?

RUN is a standalone service used mainly to reserve a name, including for changing an existing company’s name. SPICe+ Part A reserves the name as the first step of the integrated incorporation form, letting you move directly into Part B to complete incorporation.

Why do most company names get rejected?

Common reasons include resemblance to an existing company or LLP name, similarity to a registered trademark, use of restricted words without approval, a missing NOC, or a name considered undesirable under the Companies (Incorporation) Rules, 2014.

Choosing a company name feels creative, but in India it is first a legal exercise.
