Suo Moto Cancellation of GST Registration
Suo moto cancellation of GST registration is a cancellation initiated by the tax department itself, rather than on a request from the taxpayer. When a proper officer has reason to believe that a registration should not continue, the officer can move to cancel it under Section 29(2) of the CGST Act, 2017. This article explains what such cancellation means, why it happens, its consequences, and the steps to have it revoked and restored.
What suo moto cancellation means
The expression “suo moto” means “on its own motion”. In the GST context, it refers to a situation where the proper officer, on being satisfied that certain statutory conditions exist, cancels a taxpayer’s GST registration without the taxpayer having applied for it. This is distinct from voluntary cancellation or surrender, where the registered person themselves files an application to give up the registration.
Before an actual cancellation order is passed, the officer usually suspends the registration and issues a notice giving the taxpayer an opportunity to respond. The taxpayer therefore has a defined window to explain the position or to regularise the default before the registration is finally cancelled.
Reasons for department-initiated cancellation
Section 29(2), read with the relevant CGST Rules, sets out the grounds on which the proper officer may cancel a registration. The common reasons include the following:
- A registered person has contravened the provisions of the CGST Act or the rules made under it.
- A composition taxpayer has not furnished returns for three consecutive tax periods.
- Any other registered person (regular taxpayer) has not furnished returns for a continuous period as prescribed under the rules.
- A person who took registration voluntarily has not commenced business within six months from the date of registration.
- Registration was obtained by means of fraud, wilful misstatement or suppression of facts.
- The taxpayer issues invoices or bills without an actual supply of goods or services, leading to wrongful availment or passing on of input tax credit.
- Input tax credit is availed or utilised in violation of the provisions of Section 16 of the Act.
- Tax collected is not paid to the Government beyond the prescribed period, or the business is not conducted from the declared place of business.
Non-filing of returns is by far the most frequent trigger in practice. Many taxpayers discover that their registration has been suspended or cancelled simply because returns were not filed on time for a prolonged period.
The cancellation process step by step
The department follows a structured, notice-driven procedure so that the taxpayer gets a fair hearing. The forms and sequence are as follows.
Show cause notice in Form REG-17
Where the officer has reasons to believe that the registration is liable to be cancelled, a show cause notice is issued in Form GST REG-17. The notice states the grounds and asks the taxpayer to explain why the registration should not be cancelled. Along with, or soon after, this notice the registration is generally suspended, which restricts the taxpayer from carrying on normal GST activities.
Reply in Form REG-18
The taxpayer must file a reply in Form GST REG-18, ordinarily within seven working days from the date of service of the notice. The reply should address each ground raised, attach supporting documents, and, where the default is curable, show that it has been made good, for example by filing the pending returns and paying the tax, interest and late fee.
Order in Form REG-19 or dropping of proceedings in REG-20
If the officer is satisfied with the reply, the proceedings are dropped by an order in Form GST REG-20 and the registration continues as normal. If the officer is not satisfied, or if no reply is filed, a cancellation order is passed in Form GST REG-19. The order specifies the effective date of cancellation and any amount of tax, interest or penalty payable.
Consequences of suo moto cancellation
Cancellation of registration has significant commercial and compliance consequences and should not be ignored. The main effects are set out below.
- The taxpayer can no longer collect GST on outward supplies or issue tax invoices, and cannot claim input tax credit going forward.
- Existing customers may be reluctant to deal with a supplier whose GSTIN is inactive, since they cannot claim credit against such invoices.
- Cancellation does not wipe out past liabilities. Tax, interest and penalties relating to the period before cancellation remain payable.
- The taxpayer must file a final return in Form GSTR-10 within the prescribed time and reverse credit on stock and capital goods as required.
- Continuing to make taxable supplies without a valid registration can attract further penalties, and the person may be required to obtain fresh registration.
Because these effects touch pricing, cash flow and customer relationships, most businesses prefer to have the cancellation revoked rather than start afresh. If a business no longer needs the registration, a planned voluntary GST cancellation is a cleaner route than allowing a suo moto order to take effect.
How to revoke a suo moto cancellation
Where the registration has been cancelled by the department on its own motion, the taxpayer can apply for revocation of cancellation under Section 30 of the CGST Act, read with the CGST Rules. Revocation restores the same GSTIN, so the business does not need a new registration.
Application in Form REG-21
The application for revocation is filed online in Form GST REG-21. It must generally be filed within thirty days from the date of service of the cancellation order. This period can be extended, first by the Additional or Joint Commissioner and thereafter by the Commissioner, by a further period of thirty days each, giving an outer limit of up to ninety days in appropriate cases.
Clear all pending returns and dues first
Where the cancellation was on account of non-filing of returns, revocation cannot be applied for until all pending returns are filed and the tax due, along with interest and late fee, is paid. Regularising the defaults is therefore a pre-condition, not an afterthought.
Order of the officer
If the officer is satisfied, the cancellation is revoked by an order in Form GST REG-22 within the prescribed time, and the registration is restored. If the officer proposes to reject the application, a notice is issued in Form GST REG-23, to which the taxpayer replies in Form GST REG-24, and a final order follows. If revocation is refused and the taxpayer disagrees, the remedy lies in appeal.
Frequently asked questions
What is the difference between suo moto cancellation and voluntary cancellation?
Suo moto cancellation is initiated by the proper officer under Section 29(2) when statutory grounds exist, whereas voluntary cancellation or surrender is initiated by the taxpayer when the registration is no longer required. The remedies also differ, with suo moto cancellation being addressed through revocation under Section 30.
How much time do I have to reply to a REG-17 notice?
The reply in Form GST REG-18 must ordinarily be filed within seven working days from the date of service of the show cause notice. It is advisable to file the pending returns and pay the dues within this window so that the officer can drop the proceedings.
Can I get the same GSTIN back after cancellation?
Yes. If the application for revocation in Form GST REG-21 is filed in time and accepted, the department restores the original GSTIN through an order in Form GST REG-22, so a fresh registration is not required.
What happens if I miss the revocation time limit?
If the revocation window, including permissible extensions, has lapsed, revocation may no longer be available and the taxpayer may have to pursue an appeal or, depending on the facts, apply for a fresh registration. Acting promptly on the cancellation order is therefore important.
